RE: Approval of a Memorandum of Understanding Between Community Health Choice,
Inc., a Texas non-profit corporation licensed by the State of Texas, and the City of Port
Arthur.
Nature of the Request: This Memorandum of Understanding is being made and entered into between
Community Health Choice, Inc., a Texas non-profit corporation licensed by the Texas Department of
Insurance and the City of Port Arthur to increase access, and improve the quality of healthcare services
and healthcare education to low income, underserved and/or uninsured residents of Jefferson County and
surrounding areas by providing funding in the amount of$75,000.
Analysis, Considerations: The Memorandum of Understanding will be used for educational
purposes for low income pregnant clients being served by the Nurse Family Partnership Program
in the City of Port Arthur Health Department.
Recommendations: It is recommended that the City Council approve P.R. No. 19573, a
Memorandum of Understanding between Community Health Choice and the City of Port Arthur.
Budget Considerations: Community Health Choice is awarding $75,000 to the City of Port
Arthur's Nurse Family Partnership Program. See attached budget detail sheet.

A RESOLUTION APPROVING A MEMORANDUM OF
UNDERSTANDING BETWEEN COMMUNITY HEALTH
CHOICE, INC., A TEXAS NON-PROFIT CORPORTION
LICENSED BY THE TEXAS DEPARTMENT OF INSURANCE
AND THE CITY OF PORT ARTHUR HEALTH DEPARTMENT.
WHEREAS, Community Health Choice, Inc., is a Texas non-profit corporation
licensed by the Texas Department of Insurance to operate as a HMO, or health
maintenance organization and;
WHEREAS, The purpose of this Memorandum of Understanding is to help
increase access, improve the quality of healthcare services and healthcare education to
low-income first time pregnant mothers being served by the Nurse Family Partnership
Program, as well as to provide outreach and growth opportunities for the Community by
providing funding in the amount of$75,000.
NOW THEREFORE BE IT RESOLVED BY THE CITY COUNCIL OF
THE CITY OF PORT ARTHUR:
Section 1. That, the facts and opinions in the preamble are true and correct.
Section 2. That, the City Manager and City's Health Director are herein
authorized to execute the Memorandum of Understanding, in substantially the same form
as attached hereto as Exhibit"A".
Section 3. That, a copy of the caption of this Resolution be spread upon the
Minutes of the City Council.

EXHIBIT "A"
MEMORANDUM OF UNDERSTANDING
THE STATE OF TEXAS §
COUNTY OF HARRIS §
This Memorandum of Understanding is made and entered into by and between
Community Health Choice, Inc., a Texas non-profit corporation licensed by the Texas
Department of Insurance to operate as a HMO, or health maintenance organization
("Community") and City of Port Arthur Health Department. Either Community or City of
Port Arthur Health Department may be a"Party" or together, "Parties."
RECITALS
1. The Parties hereby agree to the terms of this Memorandum of Understanding
("MOU"), made effective upon full execution, and which shall remain in effect
for one (1) year from the date of the last signature, unless sooner terminated by
either Party.
2. The purpose of this MOU is to increase access, and improve the quality of
healthcare services and healthcare education available to low-income,
underserved and/or uninsured residents of Jefferson County and surrounding
areas, as well as Community Members and potential Members. A goal will be
improved healthcare for Community members and other residents of
Community's service delivery, as well as to provide outreach and growth
opportunities for Community. The general description of the proposal for the
project is attached hereto and made a part of this MOU.
3. In furtherance of the purposes stated above, and for the mutual benefit of the
Parties, Community and City of Port Arthur Health Department now enter into this
Memorandum of Understanding.
NOW, THEREFORE, in consideration of the mutual promises contained herein, the
sufficiency of which is hereby acknowledged, Community and City of Port Arthur Health
Department agree as follows:
SCOPE AND UNDERSTANDING
1. Scope and Funding from Community to City of Port Arthur Health Department
a. On or about January 31, 2016, Community shall make available to City of
Port Arthur Health Department funding in the amount of$75,000.00.
b. It is understood that the funding may not be exhausted during the time
frame of this MOU. It is understood that if the scope of this MOU
includes a continuing project, then this MOU shall continue to renew
automatically for 12 month terms EXCEPT that there shall be no
further or additional funding provided. Any additional scope, or
further or additional monetary terms or conditions must be provided for in
a written amendment to this MOU, and shall be subject to the approval of
Community and its Board of Directors.
c. It is understood that Community is under NO obligation whatsoever to
provide funding beyond the amount in Section 1.a. of this MOU.
d. It is understood that the listing of uses for these funds as set forth herein
are neither requirements nor an exhaustive list, and any project may entail
changes, adjustments and additions which will be discussed between the
parties.
e. It is understood and agreed that the only responsibility of Community
under this MOU is to provide the agreed funding. Community has no
other obligation, and has presented no promises or assurances of any
other scope or kind whatsoever.
2. Scope — Responsibilities of City of Port Arthur Health Department to
Community
a. See attachment for description of project. Attachment is fully
incorporated herein and made part of this MOU. Should any term of the
MOU be found to be in conflict with the attachment, then the MOU shall
control.
b. City of Port Arthur Health Department understands and agrees that it will
present a written report to Community no less than twice during the term
of this MOU. These reports shall be completed and given to Community

no later than six months from the effective date of this MOU and again no
later than twelve months from the date the effective date of this MOU. At
a minimum, these reports shall contain the following detailed information:
• How much of the funding has been spent to date
and how the funds were spent/used;
• All results of funding spent to date both
qualitatively as well as quantitatively as outlined
the organization's description in its proposal of
the metrics by which the program's outcomes
would be measured;
• Any barriers encountered in implementing the
project or any necessary changes to the scope of
the project;
• Expectations of benefits going forward.
Community may ask for additional information and City of Port Arthur Health
Department should make that available if possible and practicable. City of Port
Arthur Health Department understands that it may be asked to present a report to
the Community Board of Directors in person at some time.
3. Understanding of the Parties
It is further understood and agreed, such understanding and agreement also
being of the absolute essence to this MOU, that the consideration set forth
herein has been determined and agreed upon by the Parties to be of equal
value and mutual benefit, and there is no promise or assurance of any
additional monetary agreement whatsoever or money due to be exchanged at
this time or any time in the future, other than what is set forth herein.
4. Notices
All notices hereunder by either Party to the other shall be in writing, delivered
personally, by certified or registered mail, return receipt requested, or by
overnight courier, and shall be deemed to have been duly given when
delivered personally or deposited in the United States mail, postage prepaid,
addressed as follows:

And to such other persons or places as either Party may from time to time
designate by written notice each to the other. Either party may change their
designated address for notice by notifying the other in writing seven (7) days
prior to the change.
5. Independent Contractors
It is expressly understood and agreed by the Parties that nothing contained in
this MOU shall be construed to create a joint venture, partnership, agency or
other affiliation or like relationship. It is specifically understood and agreed
that the relationship between the Parties is and shall remain that of
independent parties.
6. No Personal Liability
Nothing herein shall be construed as creating any personal liability on the part
of any officer or agent of any public body, which may be a party hereto. The
Parties agree that no provision of this MOU is any way intended to constitute
a waiver of any immunity from suit or liability that either Party may have by
operation of law.

7. Entire Agreement
This MOU contains the entire agreement between the Parties regarding the
subject matter herein. Any oral representations or modifications concerning
this understanding shall be of no effect. This understanding may be amended
only by a written instrument executed by duly authorized representatives of
the Parties hereto.
8. Legality
This MOU is subject to all present and future valid laws, orders, rules and
regulations of the United States of America, the State of Texas and any other
regulatory body having jurisdiction. Venue for any action arising out of this
agreement shall be in a court of competent jurisdiction in Harris County,
Texas exclusively.
9. Community Not Obligated to Third Parties
Community is not made obligated or liable under this MOU to any party other
those parties specified herein.
10. No Assignment
Neither party may assign any element of this MOU or its subject matter to any
other party without the other party's express written permission.
11. Records
The Parties agree to maintain full and accurate records with respect to all
matters under this MOU for ten (10) years after the MOU terminates, or such
longer period as my be required by applicable law.
12. City of Port Arthur Health Department warrants and assures that it is not
prohibited, barred or restricted from participation in any State or federal
healthcare program.
13. Term and Termination
The term of this Memorandum of Understanding is from the date of execution
by each Party until one year from the date of the latest signature, unless
sooner terminated by either party.
