A RESOLUTION AUTHORIZING THE CITY MANAGER TO ENTER INTO A CONTRACT FOR MANAGEMENT OF THE CITY OF PORT ARTHUR'S PLEASURE ISLAND RV PARK WITH MELISSA J. WILSON OF PORT ARTHUR, TEXAS; FUNDING AVAILABLE IN ACCOUNT NO. PLEASURE ISLAND OTHER CONTRACTUAL SERVICES ACCOUNT NO.450-1292-549.59-00. WHEREAS, there will be a vacancy for the management position for the City of Port Arthur's Pleasure Island RV Park; and, WHEREAS, the City in order to effectively continue the management of the City of Port Arthur's Pleasure Island RV Park recommends contracting with Ms. Melissa J. Wilson as the City of Port Arthur's Pleasure Island RV Park Manager; and, WHEREAS, the City Council deems Ms. Wilson to possess the necessary knowledge and skills to manage the City of Port Arthur's Pleasure Island RV Park at a rate of $40,000.00 per year; now, therefore, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PORT ARTHUR: Section 1. That, the facts and opinions in the preamble are true and correct. Section 2. That, the City Manager is hereby authorized and directed to execute, on behalf of the City of Port Arthur, the contract with Ms. Melissa J. Wilson for management of the City of Port Arthur's Pleasure Island RV Park, in substantially the same form as attached hereto as Exhibit "A." Section 3. That a copy of the caption of this Resolution shall be spread upon the Minutes of the City Council. Wilson, hereinafter referred to as the "Contractor." I. DURATION AND TERMI NATION That this Agreement shall be for a period beginning November , 2017, and shall remain in effect until November , 2020 with an option to renew for one additional year. Either party may terminate this Agreement upon thirty (30) days written notice. It is understood and agreed that if Contractor is incapable of performing the services described herein; all rights to further compensation under this Agreement are to be invalid. II. MANAGEMENT SERVICES TO BE PERFORMED Contractor shall perform the duties assigned by the Pleasure Island Advisory Board and Port Arthur City Council, duties typically associated with the management of an R.V. Park to include: collections of fees; scheduling of guests; maintenance and cleaning of office, restrooms, shower facilities, laundry mat; and enforce all park rules. The Contractor shall comply with the policies of the City of Port Arthur. Contractor shall report to the Pleasure Island Director. III. COMPENSATION This contract is for$40,000.00 a calendar year. IV. INDEMINITY It is understood and agreed that Contractor is an independent contractor. The CITY hereby agrees to indemnify CONTRACTOR, to the extent permitted by law or the extent to which such coverage is available to CITY employees and officials, against any liability, claim, cause of action, damage, personal injury or death rising out of or in connection with the services performed or to be performed by CONTRACTOR pursuant to this Agreement when CONTRACTOR is acting within the scope of his employment. V. LIABILITY INSURANCE The City will provide legal services or pay a judgment rendered against Contractor for any suit or claim arising out of the performance of the Contractor's duties as outlined herein unless it is determined that said performance was the result of malfeasance or negligence. NON DISCRIMINATION The Contractor hereby agrees that no person shall, on the grounds of race, creed, color, handicap, national origin, sex, political affiliation, or beliefs, be excluded from, be denied the benefits of, or be otherwise subjected to discrimination as regards to any services or activity under this contract; and hereby gives assurance the Contractor will immediately take any measure necessary to effectuate Agreement. Wilson CITY OF PORT ARTHUR Brian McDougal, City Manager Page 2 AGREEMENT FOR INDEPENDENT MANAGEMENT SERVICES That this Agreement is made between the City of Port Arthur, Texas hereinafter referred to as "City" and Melissa J. Wilson, hereinafter referred to as the "Contractor." I. DURATION AND TERMI NATION This Agreement shall be for a one year period from the date stated on the notice to proceed. Thereafter, this Agreement shall be renewable at the discretion of the parties. II. MANAGEMENT SERVICES TO BE PERFORMED Contractor shall perform the duties assigned by the Pleasure Island Advisory Board and Port Arthur City Council, duties typically associated with the management of an R.V. Park to include: collections of fees; scheduling of guests; maintenance and cleaning of office, restrooms, shower facilities, laundry mat; and enforce all park rules. The Contractor shall comply with the policies of the City of Port Arthur. Contractor shall report to the Pleasure Island Director. III. COMPENSATION Ms. Melissa J. Wilson shall be paid Forty Thousand and no/100 ($40,000.00) a calendar year payable in twenty-six (26) payments on the City of Port Arthur's payroll schedule. IV. BENEFITS All benefits resulting from this contract are delineated herein, and no other benefits promised by any City office shall be binding on this City. V.
