City of ort rthur 7i..rus www.PortArthurTx.gov INTEROFFICE MEMORANDUM Date: February 27, 2018 To: The Honorable Mayor and City Council Through: Harvey Robinson, Interim City Manager From: Armando Gutierrez,Jr.,P.E.,Director of Public Works RE: P.R. 20125 —Janitorial Services Contract Second Renewal Introduction: The intent of this Agenda Item is to seek the City Council's approval for the City Manager to authorize the second renewal of an annual janitorial services agreement with Agape Cleaning Enterprises, Inc. of Houston,Texas for the annual projected budgetary impact of$62,482.20. Background: This is an annual contract to provide janitorial cleaning services in the City Hall and the City Hall Annex buildings with the option to renew for two additional one year terms as per Resolution No. 16-099. The City Council approved the second year — first renewal of the janitorial contract per Resolution 17-075. This is the second renewal final year of this contract. Budget Impact: Funding available in Public Works/City Hall Account No. 001-1206-531.59-00. Recommendation: It is recommended that City Council approve the City Manager to authorize the second renewal of an annual janitorial services contract with as discussed and/or outline above. A RESOLUTION AUTHORIZING THE THIRD YEAR AND FINAL YEAR CONTRACT BETWEEN THE CITY OF PORT ARTHUR AND AGAPE CLEANING ENTERPRISES, INC. OF HOUSTON, TEXAS, FOR JANITORIAL SERVICES FOR CITY HALL AND CITY HALL ANNEX, WITH AN ANNUAL PROJECTED BUDGETARY IMPACT OF $62,482.20. FUNDING IS AVAILABLE IN PUBLIC WORKS — CITY HALL ACCOUNT NO. 001-1206-531.59-00. WHEREAS, the City entered into an agreement with Agape Cleaning Enterprises, Inc. per Resolution No. 16-099 for janitorial cleaning services for City Hall and City Hall Annex with the option to renew for two (2) additional one-year periods; and, WHEREAS, the City entered into a second agreement (first renewal) with Agape Cleaning Enterprises, Inc. per Resolution No. 17-075; and, WHEREAS, the City wishes to utilize the option of renewal for the third and final year contract with Agape Cleaning Enterprises,Inc; now therefore; BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PORT ARTHUR: THAT, the facts and opinions in the preamble are true and correct; and, THAT, the City Manager is hereby authorized to execute the third year and final year of the contract with Agape Cleaning Enterprises, Inc. of Houston, Texas (attached as Exhibit "A") for janitorial cleaning services for City Hall and City Hall Annex, with an annual projected budgetary impact of $62,482.20, funding is available in account 001- 1206-531.59-00; and, P.R. 20125 Page 2 THAT, a copy of the caption of this Resolution be spread upon the Minutes of the City Council. Public Works Director/City Engineer 4/4,,i- 71)7. .--\_-------- / Al' 4_,A.efyi& Andy Vasquez, CPA Clifton Williams, CPPB Director of Finance Purchasing Manager SECOND RENEWAL CONTRACT FOR JANITORIAL SERVICES FOR CITY HALL AND CITY HALL ANNEX THIS AGREEMENT, made this the of April, 2018, by and between the City of Port Arthur, a municipal corporation organized under the laws of the State of Texas, hereinafter called "OWNER" or "CITY", and Agape Cleaning Enterprises, Inc. , hereinafter called "CONTRACTOR". WITNESSED: That for and in consideration of the payment terms, conditions and agreements set forth herein, OWNER and CONTRACTOR agree as follows: 1. Pursuant to Resolution No. 16-099, the City entered into a one (1) year contract with the option to renew for two additional one year periods. The parties hereby agree to exercise said option for the second year (first renewal). 2. Pursuant to Resolution No. 17-075, the City entered into a one (1) year renewal contract with the option to renew for one additional one year period. The parties hereby agree to exercise said option for the third year (second renewal). 2. The term of this Contract shall be from April 11, 2018 to April 10, 2019, unless sooner terminated under the provision hereof. The City can terminate this contract at its convenience which includes, but not limited to, funding not being available in any budget cycle with ten (10) days written notice. 3. During the term of this Contract, the CONTRACTOR will furnish at his own expense all of the materials, supplies, tools, equipment, labor, and other services necessary to connection therewith, excepting those supplies specifically not required of CONTRACTOR in the Specifications. 4. The CONTRACTOR agrees to perform all the work described in the specifications and contract documents and to comply with the terms therein for the following costs: Janitorial Service $4963.10 per month Additional Floor Waxing $0.105 per square foot Additional Carpet Cleaning $0.08 per square foot 5. The term "Contract Documents" means and includes the following: 1) Agreement 2) Invitation to Bid * 3-) General Information * 4) Specifications * 5) Bid * 6) Bidder's Information Sheet * *These items were attached to the original letting contract. The agreement is only included in this renewal. 6. This Agreement shall be binding upon all parties hereto and their respective heirs, executors, administrators, successors, and assigns. 7. IN WITNESS WHEREOF, the parties here to have executed, or caused to be executed by their duly authorized officials, this Agreement in two (2) copies, each of which shall be deemed an original of the date first written above.
