Introduction:
The intent of this Agenda Item is to seek City Council's approval for Interim City Manager to
approve the Utilities Easement Amendment.
Background:
Port Arthur LNG "PA LNG" wishes to install a liquefaction facility on the Sabine Neches
Waterway, which requires the relocation of utilities on State Highway 87 to the west side of the
facility. Additionally, PA LNG will manage all aspects of engineering and design efforts.
Budget Impact:
None.
Recommendation:
I recommend that the City Council approve Proposed Resolution No. 20186 authorizing the
execution of an Easement Amendment between the City of Port Arthur and PA LNG pertaining
to a public utility easement whereupon a new liquefaction facility will be installed.

A RESOLUTION AUTHORIZING THE EXECUTION
OF A UTILITIES RELOCATION AGREEMENT
BETWEEN THE CITY OF PORT ARTHUR AND PORT
ARTHUR LNG HOLDINGS,LLC PERTAINING TO A
PUBLIC UTILITY EASEMENT WHEREUPON A
LIQUEFACTION FACILITY WILL BE ERECTED
LOCATED IN THE CITY OF PORT ARTHUR.
WHEREAS,the City of Port Arthur and Port Arthur LNG Holdings,LLC wish to enter into
a utilities relocation agreement(Exhibit A)as it pertains to a public utility easement,which supplies
water to the liquefied natural gas(LNG) plant; and,
WHEREAS,Port Arthur LNG Holdings, LLC wishes to build a new LNG facility; and,
WHEREAS,Port Arthur LNG Holdings,LLC will manage all aspects of the engineering and
design as demonstrated in Exhibit B.
NOW THEREFORE,BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF PORT ARTHUR:
THAT, the City Manager is hereby authorized and instructed to execute on behalf of the
City, a Utilities Relocation Agreement between the City of Port Arthur and Port Arthur LNG
Holdings, LLC; and,
THAT,a certified copy of said Relocation Agreement shall be filed for record in the office of
the County Clerk of Jefferson County, Texas; and,
THAT,a copy of the caption of this Resolution be spread upon the Minutes of the City
Council.

Relocation Agreement
( 2018)
Port Arthur LNG Holdings, LLC ("Grantor"), is the fee owner of certain real property located in Jefferson County,
Texas (the "Property") and City of Port Arthur("Grantee") is the holder of certain rights and interests to occupy,
use and access a portion of the Property for the operation of its facilities as more particularly described below (the
"Facilities"). In connection with the anticipated future development of the Property,Grantor proposes the following
terms and conditions with respect to design, construction and execution provisions to be further delineated in a
definitive agreement ("Relocation Agreement") governing the relocation or replacement of the Facilities in a
different location on the Property as well as the amendment of Grantee's existing easement to identify the new
location of the Facilities.
1. Grantor Port Arthur LNG Holdings, LLC
2. Grantee City of Port Arthur
3. Grantee Facilities Approximately 2.9 miles of a combination 12-inch, 16-inch and 20-inch waterline
including existing fittings,valves and other associated appurtenances.
4. Grantee (a) Identify easement instrument and purpose, recorded or unrecorded.
Easement (b) Describe location of Grantee Facilities on the Property.
5. Replacement Facilities to be installed include the following:
Facilities (i) Approximately 3.6 miles of 20-inch waterline for transportation of
potable water,including any required fittings,valves and other associated
appurtenances("Replacement Facilities"); and
(ii) Interconnection to existing Grantee Facilities("Interconnection").
6. Replacement (a) Replacement Easement Area will be identified by metes and bounds legal
Easement description.
(b) Replacement Easement will be executed by the parties on substantially the same
terms and conditions of the Grantee Easement.
(c) Upon completion of the Interconnection and placement in service of the
Replacement Facilities,Grantee will terminate of record the rights to the easement
area under the original Grantee Easement.
7. Relocation Work (a) Grantor will install Replacement Facilities within the Replacement Easement
Sequence Area.

(b) Grantor will assign ownership of Replacement Facilities to Grantee.
(c) Grantee will perform the Interconnection of Grantee Facilities to Replacement
Facilities.
(d) Grantee will place interconnected Replacement Facilities in service.
(e) Within fourteen (14) days after in-service date, Grantee will decommission and
abandon the Grantee Facilities located in the Grantee Easement ("Abandoned
Facilities").
(f) Grantee will assign ownership of the Abandoned Facilities to Grantor.
(g) Grantor will record new easement to Grantee for Replacement Facilities location.
The above activities shall be referred to herein as the"Relocation Work".
8. Relocation (a) Grantor will utilize a 3`d party engineering firm, Universal Pegasus (UPI), to
Design prepare the design documents for the Relocation Work.
Responsibility (b) Design will be conducted in a manner consistent with the design of the Grantee
Facilities or as otherwise agreed by the parties. -
(c) Working design plans and specifications will be reviewed with Grantee by
Grantor("Relocation Plans").
9. Selection of (a) Grantor will work with Grantee and other grantees of easements to be
Construction located/relocated on the Property to develop a list of construction contractors
Contractor acceptable to all parties to perform the Relocation Work and Grantor will select a
contractor from such list.
(b) Relocation Work may be performed as part of a larger project with the selected
contractor ("Contractor") performing this work as a sub-contractor. The
Relocation Agreement and construction contract shall be assignable to Grantor's
affiliate and/or mortgagee.
(c) Grantee agrees to utilize the Contractor if at all practical to perform the
Interconnection in order to minimize delays in overall construction.
10. Relocation (a) Grantor will use commercially reasonable efforts to start construction in
Schedule connection with the relocation(s)not less than five(5)years after execution of the
Relocation Agreement. If such construction has not begun within said five (5)
year period, either party may cancel the Relocation Agreement upon ninety (90)
days written notice. In addition, Grantor shall have the right to terminate the
Relocation Agreement at any time prior to commencement of construction upon
ten(10)business days' notice to Grantee.
(b) Grantor will notify Grantee at least twenty-one(21)days prior to anticipated start
of the physical Relocation Work and pursue completion within a commercially
reasonable amount of time, subject to force majeure.

11. Relocation Work (a) Construction will be conducted in accordance with the design plans and
Execution specifications developed in consultation with Grantee and other affected parties.
(b) Grantee will have opportunity to inspect construction of the Replacement
Facilities as agreed by the parties.
(c) Grantor will issue monthly construction status reports.
12. Completion of (a) Grantor will notify Grantee within ten (10) business days after substantial
Replacement completion of the construction of the Replacement Facilities.
Facilities (b) Grantee will have ten (10) business days after receipt of Grantor's completion
notification to inspect the Replacement Facilities and identify in writing any
matters materially inconsistent with the Relocation Plans.
(c) Grantor will remedy such defects and notify Grantee promptly upon completion.
13. Interconnection (a) Grantor will notify Grantee when the Replacement Facilities are available for
to Grantee Interconnection. Grantor will assign Replacement Facilities to Grantee.
Facilities (b) Grantee will perform the Interconnection and place the Grantee Facilities in
service.
(c) Grantee will coordinate the timing of the Interconnection with Grantor to
minimize interference with other easement holders and any other work on the
Property.
(d) Grantee will immediately notify Grantor upon placing the Replacement Facilities
in service, provided that, subject to force majeure, this will be completed within
twenty-one(21)days of notice in(a)above.
(e) Grantee will be reimbursed by Grantor for the reasonable, direct 3rd party costs
incurred in performing the Interconnection.
14. Abandonment of (a) Decommissioning of Grantee Facilities no longer in service shall be performed by
Grantee Facilities Grantee (at [Grantor's] expense) in compliance with applicable regulations and
pursuant to schedule and specifications agreed by the parties in advance.
Decommissioning will include pigging, flushing, filling (if applicable), and
plugging or capping of each line by Grantee,followed by abandonment in place.
(b) Grantee shall perform any decommissioning/remediation required in connection
with abandonment and shall file any required notice with the TX Railroad
Commission or any other applicable authority.
(c) Grantor shall have the right to inspect and approve the decommissioning and
abandonment prior to Grantor's transfer of the Abandoned Facilities to Grantee.
15. Permitting Grantor,Contractor and Grantee shall respectively obtain permits required to the work
performed by each party.

16. Confidentiality The parties shall keep confidential the terms and provisions of this Term Sheet and
any additional proposed terms contained in any draft agreements in connection with
this transaction and shall not disclose any such provisions, terms, and conditions to
anyone other than to persons having a need to know such information with respect to
the transaction contemplated herein (provided such persons agree to keep such
information confidential as provided herein)or as required by applicable law.
This Term Sheet shall not constitute a formal and binding agreement;provided,however,that this sentence
(with respect to the non-binding nature of this document) and the provisions of Section 16 above (relating to
confidentiality obligations)shall be binding upon Grantor and Grantee. It shall serve simply as a proposal of terms
and conditions under which the Relocation Agreement may be agreed, and we would expect that the definitive
agreement which is negotiated between the parties, with respect to this transaction, would be generally consistent
with this Term Sheet. This Term Sheet shall not,however,create any legal rights or obligations between the parties.
It is intended that all legal rights and/or obligations of each of the parties shall be only those that may be set forth
in the Relocation Agreement.

PROJECT DESCRIPTION
1.1 Project Overview
The intent of this project (Project) is to relocate the existing pipelines and utilities
currently located on the west side of Texas State Highway 87 (SH 87) for Port
Arthur LNG Holdings, LLC (PALNGH), which are in Jefferson County Texas. This
Project will be required to facilitate the installation of the Port Arthur Liquefaction
Facility on the Sabine Neches Waterway. Additionally, PALNGH will be relocating
SH 87 to the west side of the new Liquefaction Facility. To assure timely
execution of the work and the most cost-effective means of accomplishing the
relocations, PALNGH will be managing all aspects of the engineering and design
effort on behalf of each pipeline and utility owner (Owner).
1.2 Relocation Summary
Information regarding each pipeline and utilities to be relocated are provided in
the below table.

The engineering and design scope of work will be based on replacement in "like
and kind", however there will be some design changes due differences in class
locations, road crossings, valve settings, etc. The design for the relocations will
be in accordance with the Design Basis provided herein. The installation of these
assets will be within a 175-foot-wide corridor located exclusively on PALNGH's
property.

2.0 ENGINEERING
2.1 General Scope of Work
The CONTRACTOR shall furnish all professional services required to perform
design and engineering required to relocate the existing pipelines and utilities.
The CONTRACTOR shall provide engineering and design services in
accordance with the Owner Specifications, Design Basis and the Deliverables
listed herein to produce complete and comprehensive design drawings for
construction purposes.
The CONTRACTOR would also be responsible to validate all hydraulic modeling
for pipeline.
2.2 Scope of Work— Natural Gas and Crude Oil Pipelines
The CONTRACTOR's detailed work scope shall include but not be limited to the
following:
• Provide Survey Services to Perform Survey to Support Detailed Design
o Verify and Locate Centerline of Existing Pipelines
o Verify Pipe depth at tie-in Locations
o Verify Existing Grades within new Corridor& Waterbody Crossings

5.0 WORK PERFORMED BY OTHERS
The following work scope items will be the responsibility of and managed by PALNG and
it will be the CONTRACTOR's responsibility to interface with, provide technical
information, support and assist PALNG as required to accomplish the specified work
scopes:
• Relocation of Texas State Highway 87: COMPANY will issue an engineering
and design contract for the relocation of the existing Highway 87.
CONTRACTOR will be required to coordinate with the Highway Engineering
Contractor if required.
• Relocation of Entergy 34.5 kV Power Distribution Line: Entergy will be
responsible for the design of the relocation of their power distribution line.
CONTRACTOR will be responsible for checking the compatibility of the Entergy
design with CONTRACTOR's design.
6.0 PROCUREMENT
The procurement effort would be the responsibility of the COMPANY; however, this
effort will be supported by the CONTRACTOR to provide required technical information
for bid packages (including but not limited to specifications and data sheets) and review
COMPANY's approved manufacturer's list (AML) for all goods to be purchased.
7.0 PERMITTING
The Project will be under FERC jurisdiction as well as other mandated federal, state and
local permits, refer to Permit Matrix provided for all applicable permits. The
CONTRACTOR's engineering and design of the facilities shall comply with all the
requirements specified in the permits acquired for the Project.
