RE: Proposed Resolution No. 20283
Motiva Enterprises, LLC approached the City with a desire to be a partner with us in the "Harvey"
recovery efforts underway. Working with City Staff and representatives of Drainage District 7 the
group identified areas where we could work together to not only recover from this most recent event,
but to prepare for the upcoming season. As a result of these efforts, Motiva has offered an initial
project funding of $1,150,000 as an immediate infusion to fund equipment that will serve both
drainage and water utilities' recovery and mitigation activities:
• Camera Truck ($250,000) to be used to inspect stormwater, water and wastewater lines in
order to identify areas of collapse and intrusion. This equipment will also be used to measure
and define areas of silt build up which prohibits the efficient function of the systems.
• Gradall ($300,000) will provide the ability to clear more drainage culverts; again increasing
the efficiency of the system.
• Vactor Truck ($350,000) will be used in conjunction with the Camera Truck to clear those
areas identified.
In addition, Motiva is contributing $250,000 toward the pipe-bursting project. This project was
estimated to cost$1 million in total. These funds will be used along with the $250,000 received from
Valero to begin equipment acquisition for this project which will allow the City to more quickly
replace aged, collapsed lines in the water utilities system.
PR 20283 authorizes the Mayor to execute a Memorandum of Understanding (MOUS) with Motiva
accepting these donated funds.

A RESOLUTION AUTHORIZING THE MAYOR OF THE
CITY OF PORT ARTHUR TO EXECUTE A
MEMORANDUM OF UNDERSTANDING WITH MOTIVA
ENTERPRISES, LLC TO ACCEPT A DONATION
TOTALING $1.15 MILLION TO BE USED TO PURCHASE
EQUIPMENT FOR DRAINAGE AND WATER UTILITIES
HURRICANE RECOVERY AND MITIGATION
ACTIVITIES
WHEREAS, as a result of Hurricane Harvey, several individuals and entities have asked
to donate funds or goods to the City to facilitate a public purpose that will be beneficial to the
citizens of Port Arthur in compliance with §51.076(a) of the Texas Local Government Code and
the Charter of the City of Port Arthur; and
WHEREAS,Motiva Enterprises, LLC wishes to donate One Million, One Hundred and
Fifty Thousand Dollars ($1,150,000)to the City of Port Arthur in order to assist the City in its
ongoing post- Harvey recovery efforts; and,
WHEREAS, staff has identified the need for additional equipment to support those
efforts, including a Camera Truck ($250,000), a Gradall ($300,000), a Vactor Truck($350,000)
and the Pipe Bursting program($250,000): and
WHEREAS, the City Council deems it in the best interests of the citizens of Port Arthur
to approve the donation and acceptance of funds to the City, as delineated in the Donation Form
attached hereto as Exhibit"A".
NOW THEREFORE,BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF PORT ARTHUR, TEXAS:
Section 1. That the facts and opinions in the preamble are true and correct.
Section 2. That the City Council authorizes the acceptance of the donation,which will

will be utilized by the City of Port Arthur exclusively for public purposes in compliance with the
§51.076(a) of the Texas Local Government Code and the City Charter.
Section 3. That a copy of the caption of this Resolution be spread upon the Minutes
of the City Council.

MEMORANDUM OF UNDERSTANDING
Between Motiva Enterprises LLC
And
City of Port Arthur
1. Parties.This Memorandum of Understanding (hereinafter referred to as "MOU") is made and entered into
by and between Motiva Enterprises LLC,whose address is 500 Dallas Street, Houston,TX 77002, and City of Port Arthur,whose
address is 444 4th Street, Port Arthur,TX 77640.
2. Purpose. The purpose of this MOU is to establish the terms and conditions under which the donation
earmarked for post-Harvey Disaster Recovery and Rebuild efforts shall be utilized.The devastating impacts of Hurricane and
Tropical Storm Harvey which made landfall in August of 2017,were especially felt throughout the City of Port Arthur and the
greater Jefferson County area. By working closely with officials from the City of Port Arthur and Drainage District 7,several
priority needs were identified and are listed in section 3 below.
3. Responsibilities of City of Port Arthur. Motiva has agreed to extend a donation in the amount of
$1,150,000.00 for the explicit and direct use of post-Harvey recovery and rebuild efforts in the City of Port Arthur and the
greater Jefferson County area, for the following:
A. Equipment:$900,000
City equipment needs (and also beneficial to Drainage District 7) for clearing debris, maintaining rights-of-way,
and determining root causes of piping issues through the use of cameras, such as where pipes have collapsed
or still clogged with silt, etc.
i. Camera Truck-$250,000
ii. Grade All Truck-$300,000
iii. Vactor Truck-$350,000
B. Pipe bursting project: $250,000
i. Replace old /degrading pipes with stronger material
ii. Goal is replacing 3,000-4,000 feet of pipe per month at the peak of the project
4. Signatures. In witness whereof, the parties to this MOU through their duly authorized representatives have
executed this MOU on Tuesday, June 5, 2018 and certify that they have read, understood, and agreed to the terms and
conditions of this MOU as set forth herein.
