(FNI), of Pearland, Texas, to Perform Professional Services for the Water Utilities Department, Main and Port Acres Wastewater Treatment Plants (WWTPs), for a multiphase Development of Technically Based Local Limits (TBLLs) Project. Phase 1, consists of development of a sampling and analysis plan, special services performed by Eastex Environmental of Coldspring, Texas for influent sampling and laboratory testing, drafting and submittal of the plan to the Texas Commission on Environmental Quality (TCEQ) in an amount not to exceed$70,000.00. Background: Purchasing issued and advertised Request for Proposal on December 4, 2018 and December 9, 2018. Two proposals were received on December 18, 2019. A committee reviewed the proposals, and Freese and Nichols was the highest ranked proposal. The City is required by the TCEQ to re-evaluate the TBLLs for the Main and Port Acres Wastewater Treatment Plants, as part of the Texas Pollution Discharge Elimination System (TPDES) permit renewal. The Main plant permit renewal has been completed and the Port Acres Plant renewal is still being processed by the TCEQ. PR 20731 —Freese and Nichols, Inc./TBLLs May 21, 2019 Page 2 Technically Based Local Limits (TBLLs), also commonly called local limits, are a crucial component of the Industrial Pretreatment Program. These are limits on harmful pollutants that industrial customers shall not exceed in their wastewater discharge to the City's collection system. The TBLLs are essential to protect the WWTP operation and to ensure the plant complies with its effluent and sludge regulations. The TBLLs in the City's current pretreatment program are more than 25 years old and are outdated. The limits are not representative of the current flow characteristics at the WWTPs, industrial sources, and pose some challenges in implementation and compliance. In order to ensure that the City remains in compliance with its approved Industrial Pretreatment Program and remains current on the treatment capabilities of the WWTPs, a TBLL redevelopment is necessary. The City of Port Arthur, despite its commercial and industrial growth, has not scientifically revised its TBLL in over 20 years. Cost Analysis: A redevelopment of TBLL requires extensive sampling and analytical testing of the city's WWTPs as well as the sanitary sewer collection system. This sampling is done over a set period of days and require substantial time and resources to perform. Furthermore, various technical reports and communication with the TCEQ is required during the entire process. FNI has worked on numerous water and wastewater projects for the City of Port Arthur and therefore has extensive knowledge of the city wastewater treatment facilities and processes. In order to minimize the budgetary impact of the TBLL study, the project will be conducted in phases. The first phase will provide a regulatory required baseline assessment of the WWTPs influent. Based upon this assessment, the 2nd phase can be tailored to the specific needs of the city. FNI has presented a contract for Phase 1, Development of Technically Based Local Limits (TBLLs) project for the Main and Port Acres WWTPs. Phase 1 consists of developing a sampling and analysis plan which include sampling the influent of both plants in the amount of $70,000.00 which include Special services (Laboratory analysis). The Phase 1 of the TBLL study will identify the pollutants of concern that require development of new local limits. With the identified pollutants of concern in Phase 1,the level of effort and cost of Phase 2 can be accurately estimated. It is anticipated that the cost of Phase 2 of the TBLL study will be around $200,000. Schedule: Phase 1 of the TBLL study will begin as soon as the contract documentation is completed. Completion of Phase 1 will depend on TCEQ review of City's proposed plan for sampling for PR 20731 —Freese and Nichols, Inc./TBLLs May 21, 2019 Page 3 Phase 2 of the project. The proposed schedule in contract presented by FNI includes submission of the sampling to the TCEQ by July 2019. TCEQ review period of the sampling plan can range from 60-90 days. Hence, the expected start date of Phase 2 of the TBLL study is in October 2019. Budget Impact: The not to exceed amount of $70,000.00 is dedicated to Phase 1 of the Technically Based Local Limits Project. The Account Number 410-1260-532.54-00, Water Utilities Department, Regulatory Services Division, is to be used. Recommendation: It is recommended that City Council adopt Proposed Resolution No. 20731, which authorizes City Manager to enter into a contract with Freese and Nichols, Inc., to develop the new Technically Based Local Limits for both the Main and Port Acres WWTPs, to be funded through Account 410-1260-532.54-00, Water Utilities Department, Regulatory Services Division, in the amount of$70,000.00 for Phase 1. A RESOLUTION AUTHORIZING THE CITY MANAGER TO ENTER INTO A CONTRACT BETWEEN THE CITY OF PORT ARTHUR AND FREESE AND NICHOLS, INC., OF PEARLAND, TEXAS, TO PERFORM PROFESSIONAL SERVICES FOR THE WATER UTILITIES DEPARTMENT, MAIN AND PORT ACRES WASTEWATER TREATMENT PLANTS,FOR THE DEVELOPMENT OF TECHNICALLY BASED LOCAL LIMITS (TBLLs) PROJECT, INCLUDING SPECIAL SERVICES PROJECT (PHASE 1). WHEREAS, the City of Port Arthur is being required by the Texas Commission on Environmental Quality (TCEQ) to re-evaluate the Technically Based Local Limits (TBLLs) for the Main and Port Acres Wastewater Treatment Plants (WWTPs), as part of the Texas Pollution Discharge Elimination System(TPDES)permit renewal; and, WHEREAS, the City's current local limits in its TCEQ approved Industrial Pretreatment Program (IPP) are outdated and has not been redeveloped in nearly 20 years and pose challenges for the City's WWTPs, industrial and commercial facilities as well the pretreatment staff ability to adequately enforce US Environmental Protection Agency(EPA)and TCEQ mandated compliance on Industrial Users (IU); and, WHEREAS, Purchasing issued and advertised Request for Proposals on December 4, 2018 and December 9, 2018; and, WHEREAS,two (2) companies provided proposals as delineated in Exhibit"A"; and, WHEREAS, a committee made up of City staff evaluated all of the proposals and Freese and Nichols of Pearland, Texas was ranked as the most reasonably qualified company (see evaluation matrix attached hereto as Exhibit"A"); and, P. No. 20731 05/29/19 to Page 2 of 3 WHEREAS, the Scope of Work includes development of new Technically Based Local Limits (TBLLs) for both the Main and the Port Acres WWTPs in accordance with the EPA local limit guidance manual and appropriate state regulations; and, WHEREAS,in coordination with TCEQ, analytical laboratory,and other stakeholders,on the new TBLLs, not including legal review by an attorney or other modifications to the Industrial Pretreatment Program (IPP); and, WHEREAS, Freese and Nichols, Inc. (FNI), of Pearland, Texas, has presented a contract for the Development of Technically Based Local Limits (TBLLs)project for the Main and Port Acres Wastewater Treatment Plants (WWTPs), for Phase 1 in the amount of$70,000.00 attached hereto as Exhibit"B"; and, NOW THEREFORE,BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PORT ARTHUR: THAT the facts and opinions in the preamble are true and correct; and, THAT the contract is attached hereto as Exhibit "A", with Freese and Nichols, Inc. for Phase 1,Development of the Technically Based Local Limits(TBLLs)for the Main and Port Acres Wastewater Treatment Plants; and, THAT the City Manager of the City of Port Arthur is hereby authorized and directed to execute on behalf of the City of Port Arthur, a contract in substantially the same form as Exhibit "A" between the City of Port Arthur and with Freese and Nichols, Inc.; and, THAT a copy of the caption of this Resolution be spread upon the Minutes of the City Council. City of 44.4, calki i : 1/49 ' ---e- PV IC '- PROFESSIONAL SERVICES AGREEMENT 0716 AGREEMENT FOR PROFESSIONAL SERVICES STATE OF TEXAS § COUNTY OF TARRANT § This Agreement is entered into by the City of Port Arthur, Texas, hereinafter called "OWNER" and Freese and Nichols, Inc.,hereinafter called"FNI." In consideration of the Agreements herein,the parties agree as follows: I. EMPLOYMENT OF FM: In accordance with the terms of this Agreement: OWNER agrees to employ FNI; FNI agrees to perform professional services in connection with the Project; OWNER agrees to pay to FNI compensation. The Project is described as follows: Sampling Plan Development for Technically Based Local Limits. II. SCOPE OF SERVICES: FNI shall render professional services in connection with Project as set forth in Attachment SC - Scope of Services and Responsibilities of Owner which is attached to and made a part of this Agreement. III. COMPENSATION: OWNER agrees to pay FNI for all professional services rendered under this Agreement in accordance with Attachment CO - Compensation which is attached hereto and made a part of this Agreement. FNI shall perform Basic Services for a lump sum fee of$57,000 and perform the Special Services for a not-to-exceed fee of$11000. Details concerning the fee are included in Attachment CO. If FNI's services are delayed or suspended by OWNER, or if FNI's services are extended for more than 60 days through no fault of FNI, FNI shall be entitled to equitable adjustment of rates and amounts of compensation to reflect reasonable costs incurred by FNI in connection with such delay or suspension and reactivation and the fact that the time for performance under this Agreement has been revised. IV. TERMS AND CONDITIONS OF AGREEMENT: The Terms and Conditions of Agreement as set forth as Attachment TC shall govern the relationship between the OWNER and FNI. Nothing under this Agreement shall be construed to give any rights or benefits in this Agreement to anyone other than OWNER and FNI, and all duties and responsibilities undertaken pursuant to this Agreement will be for the sole and exclusive benefit of OWNER and FNI and not for the benefit of any other party. This Agreement constitutes the entire Agreement between OWNER and FNI and supersedes all prior written or oral understandings. The City is being required by the Texas Commission on Environmental Quality (TCEQ) to re-evaluate the Technically Based Local Limits (TBLLs) for both WWTPs as part of the Texas Pollution Discharge Elimination System(TPDES)permit renewal.The City's current local limits in its TCEQ approved Industrial Pretreatment Program(IPP) are outdated and pose challenges for the pretreatment staff to enforce compliance on the Industrial Users(lUs). This Scope of Work includes sampling plan development for new Technically Based Local Limits (TBLLs) for both the Main and the Port Acres WWTPs in accordance with the EPA local limit guidance manual and appropriate state regulations. Also included in this Scope of Work is coordination with TCEQ, and analytical laboratory for the sampling plan development for the TBLLs. Upon approval of the sampling plan by the TCEQ an amendment to the contract will be requested for the execution of the sampling plan and the development of the TBLLs from the data collected from the sampling plan. ARTICLE I BASIC SERVICES: FNI shall render the following professional services in connection with the development of the Project: A. General FNI will perform general administrative duties associated with the Project including progress monitoring, scheduling, general correspondence, office administration, and invoicing. These duties include day-to-day contact and liaison with the OWNER,TCEQ, and project staff: ensuring the needs of the OWNER are met in a timely manner; providing project communication; and monitoring work on the project. FNI will represent the City in dealing with TCEQ on all TBLL development activities and work with the City staff to meet the TCEQ's required schedule for TBLL development.The parties recognize that FNI, OWNER and TCEQ each play a role in meeting these schedules. FNI shall not be responsible for any delays over which it does not have control. B. Meetings 1. Conduct one (1) Kick-off meeting with the OWNER to review scope and schedule of services, discuss project approach and work plan,verify the OWNER's project requirements. 2. Hold one(1)meeting to review Sampling Plan with OWNER and project team. C. Sampling Plan Development 1. FNI will develop a sampling plan describing the analytical sampling and testing to take place at the influent, effluent, and sludge at the Main and Port Acres WWTPs, up to five (5) sampling locations in the collection system for the domestic commercial background loadings. Prime Agreement-Port Arthur TBLL Sampling Plan Only_5-18-2019 FNI /4GN SC-1 0WNER 2. FNI will submit for approval a list of pollutants to be included in the Initial Influent Priority Pollutant Scan(APPS)and coordinate the sampling with OWNER and the analytical laboratory at each plant. FNI will analyze the IIPPS data and identify the pollutants of concern (POC) in addition to the(15)pollutants identified by the EPA guidance manual as POC: arsenic,cadmium, chromium copper,cyanide,lead,mercury,nickel,silver,zinc,molybdenum,selenium,5-day BOD, TSS,TKN and ammonia. It is also recommended to sample for total phosphorous, conductivity, total dissolved solids,chlorides,sulfates,total nitrogen,nitrate-N,nitrite—N and orthophosphate. 3. Meet with OWNER and identify the influent,effluent and sludge sample locations at both plants and five of the sampling locations for the domestic/commercial background loadings. 4. FNI will prepare two(2)copies of the Draft Sampling Plan and provide to the OWNER for review. FNI will incorporate OWNER's review comments prior to submittal to TCEQ.One electronic copy in PDF format will also be provided to the OWNER. 5. FNI will submit two(2)copies of the Sampling Plan to TCEQ for review and approval and provide OWNER with two (2) copies. One electronic copy in PDF format will also be provided to the OWNER. 6. FNI will address TCEQ review comments and submit one(1) Final Sampling Plan to TCEQ and two (2) copies to the OWNER. One electronic copy in PDF format will also be provided to the OWNER. SPECIAL SERVICES FNI shall render the following professional services in connection with the development of the Project: TBLL Sampling and Analytical Testing 1. Sampling includes the Initial Influent Priority Pollutants Scan (IIPPS) required to develop the Sampling Plan (Refer to Appendix A — IIPS Pollutants in Attachment B) and the 7-day pollutant sampling at the Main and Port Acres WWTP and the collection system to develop the TBLLs for the pollutants of concern identified in the Sampling Plan (Refer to "Appendix B — TBLL Sampling Pollutants"in Attachment B). ARTICLE II ADDITIONAL SERVICES: Additional Services to be performed by FNI, if authorized by Owner, which are not included in the above described basic services,are described as follows: A. Any additional sampling required by the TCEQ in addition to the pollutants listed in Appendix A. B. Additional meetings,presentations and workshops in excess of the quantity included in Basic Services. C. Update and/or coordination of new sewer use ordinance and program with the OWNER's existing ordinance and program. Changes to the ordinance under this contract will be limited to those sections affecting the Technically Based Local Limits calculations. D. Modifications to the City Sewer Use Ordinance(SUO),Enforcement Response Plan(ERP),and Standard Operating Procedures(SOP). E. Preparing data and reports for assistance to OWNER in preparation for hearings before regulatory Prime Agreement-Port Arthur TBLL Sampling Plan Only 5-18-2019 FNI SC-2 OWNER agencies, courts, arbitration panels or any mediator, giving testimony, personally or by deposition, and preparations therefore before any regulatory agency,court,arbitration panel or mediator. F. Assisting OWNER in the defense or prosecution of litigation in connection with or in addition to those services contemplated by this AGREEMENT. Such services, if any, shall be furnished by FNI on a fee basis negotiated by the respective parties outside of and in addition to this AGREEMENT. G. Providing basic or additional services on an accelerated time schedule. The scope of this service includes cost for overtime wages of employees and consultants, inefficiencies in work sequence and plotting or reproduction costs directly attributable to an accelerated time schedule directed by the OWNER. H. Preparing statements for invoicing or other documentation for billing other than for the standard invoice for services attached to this professional services agreement. ARTICLE III TIME OF COMPLETION: FNI is authorized to commence work on the Project upon execution of this Agreement and agrees to complete the services in accordance with the following schedule: • Kick-off Meeting 15 days from Notice to Proceed • IIPPS Sampling - 15 days from Kick-off Meeting • Draft Sampling Plan to OWNER-60 days from Notice to Proceed • Final Sampling Plan Submitted to TCEQ 15 days from receiving comments on draft sampling plan from OWNER If FNI's services are delayed through no fault of FNI, FNI shall be entitled to adjust contract schedule consistent with the number of days of delay. These delays may include but are not limited to delays in Owner or regulatory reviews, delays on the flow of information to be provided to FNI, governmental approvals, etc. These delays may result in an adjustment to compensation as outlined on the face of this Agreement and in Attachment CO. ARTICLE IV RESPONSIBILITIES OF OWNER: OWNER shall perform the following in a timely manner so as not to delay the services of FNI: A. Legal review of the 1PP Ordinance and Certifications by an attorney. B. Development of financial programs, revenue sources, equipment, staffing and organizational chart of those positions which will be employed to implement the pretreatment program. C. Designate in writing a person to act as OWNER's representative with respect to the services to be rendered under this AGREEMENT. Such person shall have contract authority to transmit instructions, receive information,interpret and define OWNER's policies and decisions with respect to FNI's services for the Project. D. Assist FNI by providing all available information pertinent to the Project including previous reports and any other data relative to the Project. E. Provide all criteria and full information as to OWNER's requirements for the Project, including objectives, constraints,performance requirements, and any budgetary limitations; and furnish copies of all pertinent standards which OWNER will require to be included in the project. Arrange for access to and make all provisions for FNI to enter upon public and private property as required for FNI to perform services under this AGREEMENT. G. Examine all studies,reports, sketches, drawings,specifications,proposals and other documents presented by FNI,obtain advice of an attorney,insurance counselor and other consultants as OWNER deems appropriate for such examination and render in writing decisions pertaining thereto within a reasonable time so as not to delay the services of FNI. H. Furnish approvals and permits from all governmental authorities having jurisdiction over the Project and such approvals and consents from others as may be necessary for completion of the Project. I. Give prompt written notice to FNI whenever OWNER observes or otherwise becomes aware of any development that affects the scope or timing of FNI's services,or any defect or nonconformance of the work of any Contractor. J. Furnish,or direct FNI to provide,Additional Services as stipulated in Attachment SC,Article II of this AGREEMENT or other services as required. K. Bear all costs incident to compliance with the requirements of this Article TV. They include outside printing and reproduction expense, communication expense, travel, transportation and subsistence away from the FNI office and other miscellaneous expenses directly related to the work, including costs of laboratory analysis, test, and other work required to be done by independent persons other than staff members. For Resident Representative services performed by non-FNI employees and CAD services performed In-house by non-FNI employees where FNI provides workspace and equipment to perform such services, these services will be billed at cost times a multiplier of 2.0. This markup approximates the cost to FNI if an FNI employee was performing the same or similar services. These rates will be adjusted annually in February. 202205 CO-I OWNER 12-01-16 ATTACHMENT TC TERMS AND CONDITIONS OF AGREEMENT 1. DEFINITIONS: The term Owner as used herein refers to City of Port Arthur,Texas. The term FNI as used herein refers to Freese and Nichols,Inc.,its employees and agents;also its subcontractors and their employees and agents. As used herein,Services refers to the professional services performed by Freese and Nichols pursuant to the Agreement. 2. CHANGES: Owner, without invalidating the Agreement,may order changes within the general scope of the WORK required by the Agreement by altering,adding to and/or deducting from the WORK to be performed. If any change under this clause causes an increase or decrease in FNI's cost of, or the time required for,the performance of any part of the Services under the Agreement,an equitable adjustment will be made by mutual agreement and the Agreement modified in writing accordingly. 3. TERMINATION: The obligation to provide services under this Agreement may be terminated by either party upon ten days'written notice. In the event of termination, FM will be paid for all services rendered and reimbursable expenses incurred to the date of termination and,in addition,all reimbursable expenses directly attributable to termination. 4. CONSEQUENTIAL DAMAGES: In no event shall FNI or its subcontractors be liable in contract,tort,strict liability, warranty,or otherwise for any special,indirect,incidental or consequential damages,such as loss of product,loss of use of the equipment or system,loss of anticipated profits or revenue,non-operation or increased expense of operation or other equipment or systems. 5. INFORMATION FURNISHED BY OWNER: Owner will assist FNI by placing at FNI's disposal all available information pertinent to the Project including previous reports and any other data relative to design or construction of the Project. FNI shall have no liability for defects or negligence in the Services attributable to FNI's reliance upon or use of data,design criteria,drawings,specifications or other information furnished by Owner and Owner agrees to indemnify and hold FNI harmless from any and all claims and judgments,and all losses,costs and expenses arising therefrom. FNI shall disclose to Owner,prior to use thereof,defects or omissions in the data,design criteria,drawings,specifications or other information furnished by Owner to FM that FM may reasonably discover in its review and inspection thereof. 6. INSURANCE: FNI shall provide to Owner certificates of insurance which shall contain the following minimum coverage: Commercial General Liability Workers'Compensation General Aggregate $2,000,000 Each Accident $1,000,000 Automobile Liability(Any Auto) Professional Liability CSL $1,000,000 $3,000,000 Annual Aggregate 7. SUBCONTRACTS: If,for any reason,at any time during the progress of providing Services,Owner determines that any subcontractor for FNI is incompetent or undesirable,Owner will notify FM accordingly and FNI shall take immediate steps for cancellation of such subcontract. Subletting by subcontractors shall be subject to the same regulations. Nothing contained in the Agreement shall create any contractual relation between any subcontractor and Owner. 8. OWNERSHIP OF DOCUMENTS: All drawings,reports data and other project information developed in the execution of the Services provided under this Agreement shall be the property of the Owner upon payment of FNI's fees for services. FNI may retain copies for record purposes. Owner agrees such documents are not intended or represented to be suitable for reuse by Owner or others. Any reuse by Owner or by those who obtained said documents from Owner without written verification or adaptation by FM will be at Owner's sole risk and without liability or legal exposure to FM,or to FM's independent associates or consultants,and Owner shall indemnify and hold harmless FNI and FNI's independent associates and consultants from all claims,damages,losses and expenses including attorneys'fees arising out of or resulting therefrom. Any such verification or adaptation will entitle FM to further reasonable compensation. FM may reuse all drawings, report data and other project information in the execution of the Services provided under this Agreement in FNI's other activities. Any reuse by FAR will be at FNI's sole risk and without liability or legal exposure to Owner, and FNI shall indemnify and hold harmless Owner from all claims,damages,losses and expenses including attorneys'fees arising out of or resulting therefrom. 9. POLLUTANTS AND HAZARDOUS WASTES: It is understood and agreed that FM has neither created nor contributed to the creation or existence of any hazardous,radioactive,toxic, irritant,pollutant,or otherwise dangerous substance or condition at the site,if any,and its compensation hereunder is in no way commensurate with the potential risk of injury or Page 1 of 2 FM j/eW Owner 12-01-16 ATTACHMENT TC loss that may be caused by exposures to such substances or conditions. The parties agree that in performing the Services required by this Agreement,FNI does not take possession or control of the subject site,but acts as an invitee in performing the services, and is not therefore responsible for the existence of any pollutant present on or migrating from the site. Further,FNI shall have no responsibility for any pollutant during clean-up,transportation,storage or disposal activities. 10. OPINION OF PROBABLE COSTS: FM will furnish an opinion of probable project development cost based on present day cost,but does not guarantee the accuracy of such estimates. Opinions of probable cost,financial evaluations,feasibility studies, economic analyses of alternate solutions and utilitarian considerations of operations and maintenance costs prepared by FM hereunder will be made on the basis of FNI's experience and qualifications and represent FNI's judgment as an experienced and qualified design professional. It is recognized,however,that FNI does not have control over the cost of labor, material, equipment or services furnished by others or over market conditions or contractors' methods of determining their prices. 11. CONSTRUCTION REPRESENTATION: If required by the Agreement,FM will furnish Construction Representation according to the defined scope for these services. FNI will observe the progress and the quality of work to determine in general if the work is proceeding in accordance with the Contract Documents. In performing these services,FNI will endeavor to protect Owner against defects and deficiencies in the work of Contractors; FNI will report any observed deficiencies to Owner,however, it is understood that FNI does not guarantee the Contractor's performance,nor is FNI responsible for the supervision of the Contractor's operation and employees. FNI shall not be responsible for the means, methods,techniques, sequences or procedures of construction selected by the Contractor,or the safety precautions and programs incident to the work of the Contractor. FM shall not be responsible for the acts or omissions of any person (except his own employees or agent)at the Project site or otherwise performing any of the work of the Project. If Owner designates a person to serve in the capacity of Resident Project Representative who is not a FM's employee or FM's agent, the duties,responsibilities and limitations of authority of such Resident Project Representative(s)will be set forth in writing and made a part of this Agreement before the Construction Phase of the Project begins. 12. PAYMENT: Progress payments may be requested by FNI based on the amount of services completed. Payment for the services of FNI shall be due and payable upon submission of a statement for services to Owner and in acceptance of the services as satisfactory by the Owner. Statements for services shall not be submitted more frequently than monthly. Any applicable new taxes imposed upon services,expenses,and charges by any governmental body after the execution of this Agreement will be added to FNI's compensation. If Owner fails to make any payment due FM for services and expenses within thirty(30) days after receipt of FM's statement for services therefore,the amounts due FNI will be increased at the rate of one percent(1%)per month from said thirtieth(30th)day,and,in addition,FM may,after giving seven(7)days'written notice to Owner,suspend services under this Agreement until FNI has been paid in full,all amounts due for services,expenses and charges. 13. ARBITRATION: No arbitration arising out of,or relating to,this Agreement involving one party to this Agreement may include the other party to this Agreement without their approval. 14. SUCCESSORS AND ASSIGNMENTS: Owner and FM each are hereby bound and the partners,successors,executors, administrators and legal representatives of Owner and FNI are hereby bound to the other party to this Agreement and to the partners,successors,executors,administrators and legal representatives(and said assigns)of such other party,in respect of all covenants,agreements and obligations of this Agreement. Neither Owner nor FNI shall assign, sublet or transfer any rights under or interest in(including,but without limitation, moneys that may become due or moneys that are due)this Agreement without the written consent of the other,except to the extent that any assignment,subletting or transfer is mandated by law or the effect of this limitation may be restricted by law. Unless specifically stated to the contrary in any written consent to an assignment,no assignment will release or discharge the assignor from any duty or responsibility under this Agreement. Nothing contained in this paragraph shall prevent FNI from employing such independent associates and consultants as FNI may deem appropriate to assist in the performance of services hereunder. 15. PURCHASE ORDERS: If a Purchase Order is used to authorize FNI's Services,only the terms,conditions/instructions typed on the face of the Purchase Order shall apply to this Agreement.
