RE: A Resolution Authorizing the Selection of an Executive Search Firm for City Manager
Nature of the request: The Mayor and City Council desire that a professional executive
search firm be hired to perform the full scope of recruitment for the position of City Manager.
The office of City Manager, an appointed position, has been served by an Interim City Manager
since November 2017. Pursuant to the Charter of the City of Port Arthur the City Manager
serves as the chief administrative and executive officer of the City. The position is critical to
efficient and effective administration of services to the citizens of Port Arthur and its municipal
operations.
Staff Analysis, Considerations: The City advertised for Request for Proposals (RFP) for an
Executive Search Firm for the City Manager position. The City received four (4) bids, and all
four (4) bids were evaluated by a Committee of three (3) members. After thorough review by the
committee members, it is recommended that Baker Tilly Virchow Krause, LLP (Bakertilly) of
Addison, Texas, be awarded the bid based on the firm's qualifications, prior work experience,
and level of expertise for executive recruitment. The bidders' prices ranged from $20,000 -
$36,000; and Bakertilly's proposed fees are$24,500.
Bakertilly has 30+ years of experience and performs national recruitment services with a diverse
candidate pool. Bakertilly has the most experience in City Manager recruitment. Their scope of
work is outlined in three (3) phases, which results in the acceptance of offer by a qualified
candidate. The estimated timeline is two (2) months. The actual approved target date will be
developed in consultation with Mayor and City Council.

Recommendation: It is recommended that City Council approve Proposed Resolution No.
20970, authorizing the Mayor to execute a Letter of Agreement on behalf of the City of Port
Arthur with Bakertilly, a professional executive search firm that will perform the full scope of
recruitment for the City Manager position, in an amount not to exceed $24,500.00.
Budget Considerations:
Account#001-1002.512-54-00; $24,500.00 (City Manager/Professional Services).
The all-inclusive professional fees will be billed in four installments:
30%will be billed at the beginning of the recruitment
30% at the implementation of Phase I
30% at the implementation of Phase II
10%upon acceptance of an offer by the candidate

A RESOLUTION AUTHORIZING THE CITY MANAGER TO ENTER
INTO AN AGREEMENT WITH BAKER TILLY VIRCHOW KRAUSE, LLP
OF ADDISON, TEXAS, FOR SERVICES RELATED TO THE EXECUTIVE
SEARCH FOR THE POSITION OF CITY MANAGER IN THE AMOUNT
OF $24,500.00; FUNDS AVAILABLE IN ACCOUNT NO. 001-1002-
512.54-00
WHEREAS, the office of the City of Port Arthur City Manager is currently occupied
by an interim appointee; and,
WHEREAS, it is the desire and responsibility of the Mayor and City Council to fill
the position of City Manager; and,
WHEREAS, pursuant to the Charter of the City of Port Arthur, the City Manager
shall serve as Chief Administrative and Executive Officer of the City; and,
WHEREAS, said office is critical to the efficient and effective provision of services
to the citizens of Port Arthur through municipal operations; and,
WHEREAS, pursuant to Chapter 252 of the Local Government Code, Purchasing
advertised a Request for Proposals (RFP) for a search firm for the City Manager position;
and,
WHEREAS, four (4) companies provided proposals as delineated in Exhibit "A";
and,
WHEREAS, a committee of City staff evaluated and ranked the proposals with
Baker Tilly Virchow Krause, LLP ("Bakertilly") of Addison, Texas, ranking the highest and
most qualified, as delineated in Exhibit "B"; and,

WHEREAS, the City staff recommends that the City of Port Arthur enter into an
agreement with Bakertilly, in substantially the same form as attached hereto as Exhibit
"C".
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF PORT ARTHUR:
THAT, the City Council hereby authorizes the City Manager to enter into an
agreement with Baker Tilly Virchow Krause, LLP of Addison, Texas, for the executive
search for the position of City Manager in the amount of $24,500.00, in substantially the
same form as Exhibit"C".
THAT, a copy of the caption of this Resolution be spread upon the Minutes of the
City Council.

AGREEMENT FOR SERVICES
THIS AGREEMENT FOR SERVICES ("Agreement") is made as of the , 2019,
("Effective Date"),by and between the City of Port Arthur,Texas,("Client"),and Baker Tilly Virchow Krause,
LLP("Baker Tilly").
WHEREAS,the Client wishes to retain the services of Baker Tilly on the terms and conditions set forth herein,
and Baker Tilly wishes to provide such services;and
NOW THEREFORE,the parties hereto agree as follows:
SCOPE OF PROFESSIONAL SERVICES
Baker Tilly will provide professional services in the area of an executive recruitment for the position of City
Manager. This Agreement, including the Standard Business Terms attached hereto as Appendix A,includes
Baker Tilly's commitment to provide all elements of the recruitment process,services,and conditions described
herein.
Phase Description of Profeonal Servic -`
Phase 1 Task 1 — Candidate Profile Development/Advertising/Marketing (includes one day on
site by Project Team Leader).
Task 2—Identify Quality Candidates.
Phase II Task 3—Screening of Applications and Submission of Recommended Semi-Finalists to
Client. (includes one day onsite by Project Team Leader)
Task 4—Reference Checks,Background Checks,and Academic Verifications.
Phase III Task 5 — Final Process/On-Site Interviews with Finalists (includes two days on site by
Project Team Leader).
Conclusion Acceptance of offer by candidate.
TERM
This Agreement shall be effective as of the Effective Date and shall remain in effect for the period necessary
for successful completion of the project. This Agreement may be terminated upon thirty(30)days prior written
notice to BT. If the Client terminates,BT is entitled to any portion of its fee so earned.
ALL-INCLUSIVE PROFESSIONAL FEE
1. The all-inclusive professional fee to conduct the recruitment is $24,500.00 and includes the cost of
professional services by the Project Team Leader and the project support staff, and all project-related

expenses such as advertising,printing,candidate background and reference checks,and travel expenses for
on-site visits by the Project Team Leader. Travel expenses incurred by candidates for on-site interviews
with the Client are not the responsibility of Baker Tilly and are handled directly by the client organization. If
Client elects to utilize the employee/community survey there will be an additional fee of$1650.00. The
Client will make payments for the project upon receipt of an invoice submitted by Baker Tilly. Payment
to Baker Tilly is due upon receipt. All invoices will be forwarded to the Client for processing unless
otherwise directed. For reporting purposes,Baker Tilly's tax identification number is 47-1064404.
2. The all-inclusive professional fee will be billed in four installments; 30% of the fee will be billed at the
beginning of the recruitment;30%at the implementation of Phase I;30%at the implementation of Phase
II;and the final 10%upon acceptance of offer by the candidate.
3. Additional work related to the recruitment process and as specifically requested by the Client which is
outside the scope of this project (i.e. additional on-site visits) will include an additional fee. The fixed
professional fee for this recruitment anticipates no more than three on-site visits which include four
consulting days. However, we would be pleased to provide additional on-site consulting visits for our
standard daily rate of$1,500 plus expenses.
TRIPLE GUARANTEE
1. A commitment to remain with the recruitment assignment until you have made an appointment for the fee
and tasks quoted in the proposal. If you are unable to make a selection from the initial group of finalists,
Baker Tilly will work to identify a supplemental group until you find a candidate to hire.
2. Your executive recruitment is guaranteed for 24 months against termination or resignation. Within the
first two years following the date of hire, the replacement recruitment will be repeated with no additional
professional fee,but only for project-related expenses.Candidates appointed from within your organization
do not qualify for this guarantee. This guarantee is subject to further limitations and restrictions of your
state laws.
3. Baker Tilly will not solicit any candidates selected under this contract for any other position while the
candidate is employed with your organization.
DEVOTION OF TIME
Baker Tilly shall devote such time to the performance of its duties under this Agreement as is necessary for the
completion of all project phases.

ENTIRE AGREEMENT
This Agreement and the Standard Business Terms attached hereto as Appendix A,supersedes any and all other
agreements, either oral or in writing,between the parties hereto with respect to the subject matter hereof,and
no other agreement,statement,or promise relating to the subject matter of this Agreement that is not contained
herein shall be valid or binding.
AMENDMENT
This Agreement may be amended by the mutual agreement of the parties hereto in writing and must be attached
to and incorporated into this Agreement.
LEGAL CONSTRUCTION
In case any one or more of the provisions contained in this Agreement shall for any reason be held to be invalid,
illegal, or unenforceable in any respect, such invalidity,illegality, or unenforceability shall not affect any other
provisions thereof and this Agreement shall be constructed as if such invalid,illegal,or unenforceable provision
had never been contained herein.

Standard Business Terms
These Standard Business Terms("Terms")govern the services provided by Baker Tilly Virchow Krause, LLP("Baker Tilly","we","us"or"our")set forth in the
Agreement for Services to which these Terms are attached(the"Services").These Terms,together with the Agreement for Services to which they are attached,
constitute the entire understanding and agreement between the client identified on such Agreement for Services(the"Client")and Baker Tilly with respect to
the Services described in the Agreement for Services (collectively, the Agreement for Services and these Terms are referred to as the "Agreement") and
supersede and incorporate all prior or contemporaneous representations,understandings or agreements,and may not be modified or amended except by an
agreement in writing signed between the parties hereto. If there is a conflict between these Terms and the terms of the Agreement for Services,these Terms
shall govern.

The City of Port Arthur is seeking a firm to assist in the search process to fill the job of City
Manager. Port Arthur operates under the council-manager form of government in which the City
Manager is a Council appointee; has nine elected council members; is located on the Gulf Coast of
Texas; and is the heart of a major petro-chemical industrial complex. The 2010 Census population
is 53,000+--ethnically and socio-economically diverse.
Proposal Format
As part of the search screening process, the City of Port Arthur is seeking preliminary information
from firms under consideration. To determine the most probable, effective pairing, the City is
requesting the following preliminary information on your agency:
1. Number of years of experience in municipal executive (e.g. City Manager/Administrator.
City Attorney, etc.) searches.
2. Number of years of experience in municipal executive (e.g. City Manager/Administrator,
City Attorney, etc.) searches in Texas.
3. The City of Port Arthur anticipates a lump sum contract with a not-to exceed figure to
accomplish the City Manager nation-wide full search. Provide a breakdown on all costs
related to the content of the proposal required to accomplish the scope of work.
4. Names, title, and years of experience of the company professionals who will be the
principally assigned, and responsible for,the City Manager search:

The City of Port Arthur requires comprehensive responses to every section within this RFP.
Conciseness and clarity of content are emphasized and encouraged. Vague and general
proposals will be considered non-responsive and will result in disqualification. To facilitate
the review of the responses, Firms shall follow the described proposal format. The intent of
the proposal format requirements is to expedite review and evaluation. It is not the intent to
constrain Vendors with regard to content, but to assure that the specific requirements set
forth in this RFP are addressed in a uniform manner amenable to review and evaluation.
Failure to arrange the proposal as requested may result in the disqualification of the
proposal. All pages of the proposal must be numbered and the proposal must contain an
organized, paginated table of contents corresponding to the sections and pages of the
proposal.
EVALUATION AND SELECTION PROCESS
All proposals will be screened by an evaluation committee and those proposers selected for a short
list may be invited to attend an interview, at the proposers own expense. Any invitation for an
oral presentation will be solely for the purpose of clarifying proposals received from each
qualifying proposer, and will not represent any decision on the part of the evaluation committee as
to the selection of a successful proposer.
The City will evaluate all responses based on the experience, qualifications, project approach,
price, and quality of response. The City reserves the right to negotiate the final fee prior to
recommending any Vendor for a contract.
The City's process is as follows:
A. The evaluation committee shall screen and rate all of the responses that are submitted.
Evaluation ratings will be on a 100 point scale and shall be based on the following
criteria:
1. Qualifications and experience of the firm and key personnel to be assigned
to work with the City particularly. (30 points)
2. Technical ability of the firm to perform the needed services, including an
evaluation of the performance based on any prior work experience with the
firm. (30 points)
3. Thoroughness of the response as it relates to the Scope of Work
requirements and organization of the requested information. (15 points)
4. Pricing(25 points)
B. The evaluation committee shall recommend the most qualified firm to the City Council
for approval and will offer a contract based on services and fees as agreed upon.
C. Prior to the approval of an award, no evaluation committee member shall disclose any
information regarding the committees' decision.
D. This RFP does not commit the City to pay for any direct and/or indirect costs incurred
in the preparation and presentation of a response. All finalist(s) shall pay their own
costs incurred in preparing for,traveling to and attending interviews.
The City reserves the right to use all pertinent information (also learned from sources other than
disclosed in the RFP process)that might affect the City's judgment as to the appropriateness of an
award to the best evaluated proposer. This information may be appended to the proposal
evaluation process results.

GENERAL INFORMATION:
Proposers are cautioned to read the information contained in this RFP carefully and to
submit a complete response to all requirements and questions as directed.
TERMINOLOGY: "Bid" vs. "Proposal"--For the purpose of this RFP, the terms "Bid" and
`Proposal" shall be equivalent.
AWARD: The City of Port Arthur will review all proposals for responsiveness and compliance
with these specifications. The City reserves the right to award on the basis of the Lowest and
Best Offer in accordance with the laws of Texas, to waive any formality or irregularity, and/or to
reject any or all proposals.
ALTERING BIDS: Bids cannot be altered or amended after submission deadline. Any
interlineations, alteration, or erasure made before opening time must be initialed by the signer of
the bid, guaranteeing authenticity.
WITHDRAWAL OF PROPOSAL: The proposer may withdraw its proposal by submitting
written request, over the signature of an authorized individual, to the Purchasing Division any time
prior to the submission deadline. The proposer may thereafter submit a new proposal prior to the
deadline. Modification or withdrawal of the proposal in any manner, oral or written, will not be
considered if submitted after the deadline.
CONFLICT OF INTEREST: Provide a completed copy of the Conflict of Interest Questionnaire
(Form CIQ). The Texas legislature recently enacted House Bill 914 which added Chapter 176 to
the Texas Local Government Code. Chapter 176 mandates the public disclosure of certain
information concerning persons doing business or seeking to do business with the City of Port
Arthur, including affiliations and business and financial relationships such persons may have with

response to this RFP, you acknowledge that you have been notified of the requirements of Chapter

you have concerns about whether Chapter 176 of the Texas Local Government Code applies
to you or the manner in which you must comply,you should consult an attorney.
ETHICS: The bidder shall not offer or accept gifts or anything of value nor enter into any
business arrangement with any employee, official or agent of the City of Port Arthur.
MINIMUM STANDARDS FOR RESPONSIBLE PROSPECTIVE BIDDERS: A prospective
bidder must affirmatively demonstrate bidder's responsibility. A prospective bidder must meet the

2. Have a satisfactory record of performance.
3. Have a satisfactory record of integrity and ethics.
4. Be otherwise qualified and eligible to receive an award.

warranty service required.
6. The City Council shall not award a contract to a company that is in arrears in its
obligations to the City.
7. No payments shall be made to any person of public monies under any contract by
the City with such person until such person has paid all obligations and debts
owed to the City,or has made satisfactory arrangements to pay the same.
ADDENDA: Any interpretations, corrections or changes to the RFP will be made by addenda no
later than 48 hours prior to the date and time fixed for submission of proposals. Sole issuing
authority of addenda shall be vested in the City of Port Arthur Purchasing Manager. The City
assumes no responsibility for the proposer's failure to obtain and/or properly submit any
addendum. Failure to acknowledge and submit any addendum may be cause for the proposal to be
rejected. It is the vendor's responsibility to check for any addendums that might have been issued
before bid closing date and time. All addenda will be numbered consecutively,beginning with 1.
PORT ARTHUR PRINCIPAL PLACE OF BUSINESS: Any bona fide business that claims the
City of Port Arthur as its principal place of business must have an official business address (office
location and office personnel) in Port Arthur, the principal storage place or facility for the
equipment shall be in Port Arthur and/or the place of domicile for the principal business owner(s)
shall be in Port Arthur or such other definition or interpretation as is provided by state law.
Contractors outside the City of Port Arthur are allowed to bid.
PRICES: The bidder should show in the proposal both the unit price and total amount, where
required, of each item listed. In the event of error or discrepancy in the mathematics, the unit
price shall prevail.
PURCHASE ORDER: A purchase order(s) shall be generated by the City of Port Arthur to the
successful bidder. The purchase order number must appear on all itemized invoices.
INVOICES: All invoices shall be mailed directly to the City of Port Arthur, Attn.: Grants, P.O.
Box 1089, Port Arthur, Texas 77641.
PAYMENT: Payment will be made upon receipt of the original invoice and the acceptance of the
goods or services by the City of Port Arthur, in accordance with the State of Texas Prompt
Payment Act, Article 601f V.T.C.S. The City's standard payment terms are net 30, i.e. payment is
due 30 days from the date of the invoice.
SALES TAX: The City of Port Arthur is exempt by law from payment of Texas Sales Tax and
Federal Excise Tax; therefore the proposal shall not include Sales Tax.
VENUE: This agreement will be governed and construed according to the laws of the State of
Texas. This agreement is performable in Port Arthur, Texas, Jefferson County. The City of Port
Arthur may request and rely on advice, decisions, and opinions of the Attorney General of Texas
and the City Attorney concerning any portion of these requirements.
COMPLIANCE WITH LAWS: The Contractor shall comply with all applicable laws,
ordinances, rules, orders, regulations and codes of the federal, state and local governments relating
to performance of work herein.

INTEREST OF MEMBERS OF CITY: No member of the governing body of the City, and no
other officer, employee or agent of the City who exercises any functions or responsibilities in
connection with the planning and carrying out of the program, shall have any personal financial
interest, direct or indirect, in this Contract; and, the Contractor shall take appropriate steps to
assure compliance.
DELINQUENT PAYMENTS DUE CITY: The City of Port Arthur Code of Ordinances
prohibits the City from granting any license, privilege or paying money to any-one owing
delinquent taxes, paving assessments or any money to the City until such debts are paid or until
satisfactory arrangements for payment has been made. Bidders must complete and sign the
AFFIDAVIT included as part of this RFP.
QUANTITIES: Quantities shown are estimated, based on projected use. It is specifically
understood and agreed that these quantities are approximate and any additional quantities will be
paid for at the quoted price. It is further understood that the contractor shall not have any claim
against the City of Port Arthur for quantities less than the estimated amount.
SHIPPING INFORMATION: All bids are to be F.O.B., City of Port Arthur, Port Arthur. TX

INCORPORATION OF PROVISIONS REQUIRED BY LAW: Each provision and clause
required by law to be inserted into the Contract shall be deemed to be enacted herein and the
Contract shall be read and enforced as though each were included herein. If, through mistake or
otherwise, any such provision is not inserted or is not correctly inserted the Contract shall be
amended to make such insertion on application by either party.
CONTRACTOR'S OBLIGATIONS: The Contractor shall and will, in good workmanlike
manner, perform all work and furnish all supplies and materials, machinery, equipment, facilities
and means, except as herein otherwise expressly specified, necessary or proper to perform and
complete all the work required by this Contract, in accordance with the provisions of this Contract
and said specifications.
The apparent silence of these specifications as to any detail or to the apparent omission from it of a
detailed description concerning any point shall be regarded as meaning that only the best
commercial practices are to prevail.
While the purpose of the specifications is to indicate minimum requirements in the way of
capability, performance, construction, and other details, its use is not intended to deprive the City
of Port Arthur the option of selecting goods which may be considered more suitable for the
purpose involved.
Under the Title VI of the Civil Rights Act of 1964, no person shall, on the grounds of race, color,
or national origin, be excluded from participation in, be denied the benefits of, or be subjected to
discrimination under any program or activity receiving Federal financial assistance.
TERMINATION FOR CAUSE: If, through any cause, the Contractor shall fail to fulfill in a
timely and proper manner his obligations under this contract, or if the Contractor shall violate any
of the covenants, agreements or stipulations of this contract, the City shall thereupon have the

right to terminate this contract by giving written notice to the Contractor of such termination and
specifying the effective date thereof, at least fifteen (15) days before the effective date of such
termination. Notwithstanding the above, the Contractor shall not be relieved of liability to the
City for damages sustained by the City by virtue of any breach of the contract by the Contractor,
and the City may withhold any payments to the Contractor for the purpose of set-off until such
time as the exact amount of damages due the City from the Contractor is determined.
TERMINATION FOR CONVENIENCE: The City may terminate this contract at any time
giving at least thirty (30) days notice in writing to the Contractor. If the Contract is terminated by
the City as provided herein, the Contractor will be paid for the service that it has performed up to
the termination date. If this contract is terminated due to fault of the Contractor, the previous
paragraph hereof relative to termination shall apply.
RELEASES AND RECEIPTS: The City of Port Arthur before making payments may require
the Contractor to furnish releases or receipts for any or all persons performing work and supplying
material or service to the Contractor, or any sub-contractors for work under this contract, if this is
deemed necessary to protect its interests.
CARE OF WORK: The Contractor shall be responsible for all damages to person or property
that occurs as a result of his fault or negligence in connection with the work performed until
completion and final acceptance by the City.
SUB-CONTRACTS: The Contractor shall not execute an agreement with any sub-contractor or
permit any sub-contractor to perform any work included in this Contract until he has received
from the City of Port Arthur written approval of such agreement.
INSURANCE: All insurance must be written by an insurer licensed to conduct business in the
State of Texas, unless otherwise permitted by Owner. The Contract shall, at his own expense,
purchase, maintain and keep in force insurance that will protect against injury and/or damages
which may arise out of or result from operations under this contract, whether the operations be by
himself or by any subcontractor or by anyone directly or indirectly employed by any of them, or
by anyone for whose acts any of them may be liable, of the following types and limits

Contractor shall cause Contractor's insurance company or insurance agent to fill in all information
required (including names of insurance agency, contractor and insurance companies, and policy
numbers, effective dates and expiration dates) and to date and sign and do all other things
necessary to complete and make into valid certificates of insurance and pertaining to the above

Contractor shall file completed certificates of insurance with the Owner.
None of the provisions in said certificate of insurance should be altered or modified in any respect
except as herein expressly authorized. Said CERTIFICATE OF INSURANCE Form should
contain a provision that coverage afforded under the policies will not be altered, modified or
canceled unless at least fifteen (15) days prior written notice has been given to the City of Port
Arthur. Contractor shall also file with the City of Port Arthur valid CERTIFICATE OF
INSURANCE on like form from or for all Subcontractors and showing the Subcontractor (s) as
the Insured. Said completed CERTIFICATE OF INSURANCE Form (s) shall in any event be
filed with the City of Port Arthur not more than ten (10)days after execution of this Contract.
NOTICE TO PROCEED: Notice to Proceed shall be issued within ten (10) days of the
execution of the Contract by OWNER. Should there be any reasons why Notice to Proceed cannot
be issued within such period, the time may be extended by mutual agreement between OWNER

The all-inclusive professional fee to conduct the recruitment is
provided below.
The all-inclusive professional fee includes the cost of professional services by the recruitment
project team co-leaders, the project support staff and all project-related expenses such as
advertising, preparation of the recruitment brochure.printing.candidate background, reference
and academic verification checks and travel expenses for on-site visits. Travel expenses
incurred by candidates for on-site interviews with the client are not the responsibility of Baker

At the City's option, Baker Tilly will conduct a web-based survey to determine
key community-wide issues and priorities that could be considered in the $1,650
selection of a new City Manager. This survey is completed by community
leaders,citizens, and City employees and would alter the project timeline.
On rare occasions, Baker Tilly is asked to provide additional search services
that are not included in this scope of service or to provide more than three on-site
visits to the City.Additional work specifically requested by the City which is $220 per hour _.
outside of the scope of this project will be invoiced at the hourly rate of$220 plus expenses
plus expenses. Baker Tilly will submit a written explanation of the additional
services to be provided and the estimated hours that will be required prior to
commencing any additional services.
Triple Guarantee
Our Triple Guarantee includes the following:
1. A commitment to remain with the recruitment assignment until you have made an
appointment for the fees and tasks quoted in this proposal. If you are unable to finalize
selection from the initial group of finalists. Baker Tilly will identify a supplemental
group of additional qualified applicants, until you are able to find a candidate to hire.
2. Your executive recruitment is guaranteed for 24 months against termination or resignation ^"
for any reason. If for any reason, the individual you select resigns or you end his or
her employment agreement, within 24 months of hire, we will repeat the recruiting.at
no additional professional fee to you. You will however pay all project-related expenses
such as advertisings. Candidates appointed from within your organization do not *--
qualify for this guarantee. Additionally,this guarantee is subject to further limitations and
restrictions imposed by state laws.
3. Baker Tilly will not directly solicit any candidates selected under this contract for any

While a typical search may take up to 90 days from beginning to end, depending on the
