A RESOLUTION AUTHORIZING THE CITY OF PORT ARTHUR SECTION 4A ECONOMIC DEVELOPMENT CORPORATION TO ENTER INTO A CONSTRUCTION MANAGER GUARANTEED MAXIMUM PRICE AGREEMENT WITH SETEX FACILITIES & MAINTENANCE, LLC FOR THE ADDITION AND RENOVATION OF THE FORMER PORT ARTHUR NEWS BUILDING AS A CENTER FOR COMMUNITY AND BUSINESS DEVELOPMENT "THE PRESS BUILDING" AT 549 4TH STREET NOT TO EXCEED$7,249,999.83; FUNDING AVAILABLE IN EDC ACCOUNT NO.305-1606-591.82-00 WHEREAS, it is deemed in the best interest of the citizens of Port Arthur to create an environment that promotes business, entrepreneurial and community development; and WHEREAS,the City of Port Arthur is in need of dedicated space for the development of an emergency operations center; and WHEREAS, the City of Port Arthur Section 4A Economic Development Corporation ("PAEDC")applied for and was awarded Economic Development Administration(EDA)funding under the 2018 Disaster Assistance Grant Funds to renovate the former Port Arthur News building located at 549 4t" Street in Port Arthur, Texas to serve as a center for community and business development to be known as "The Press Building"; and WHEREAS, on July 16, 2019,per Resolution No. 19-296,the City Council of the City of Port Arthur authorized PAEDC to enter into a Pre-Development Construction Services Agreement with SETEX Facilities & Maintenance, LLC ("SETEX") for the addition and renovation of the former Port Arthur News building,which states that the Owner and the Construction Manager and in consultation with the Architect,the Construction Manager shall prepare a Guaranteed Maximum Price proposal for the Owner's review and acceptance. The Guaranteed Maximum Price in the proposal shall be the sum of the Construction Manager's estimate of the cost of the work,including contingencies described in Section 2.2.4, and the Construction Manager's Fee. WHEREAS, pre-construction services are complete, and PAEDC and SETEX have negotiated and established a Guaranteed Maximum Price based on 100% architectural drawings, 75%MEP drawings and a revised project scope further described in a Guaranteed Maximum Price Proposal amending the original Agreement set forth in Resolution No. 19-296, submitted by SETEX and attached hereto as Exhibit "A"; and WHEREAS, the PAEDC Board of Directors at their special meeting of January 27, 2020 approved acceptance of the Guaranteed Maximum Price Proposal Amendment with SETEX for the addition and renovation of the former Port Arthur News building at a price not to exceed $7,249,999.83. NOW THEREFORE,BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PORT ARTHUR, TEXAS: Section 1. That the facts and opinions in the preamble are true and correct. Section 2. That the City Council of the City of Port Arthur authorizes PAEDC to execute the acceptance of the Guaranteed Maximum Price Proposal Amendment with SETEX as set forth in Exhibit"A",to provide construction services for the addition and renovation of the former Port Arthur News building at a price not to exceed $7,249,999.83. Section 3. That a copy of the caption of this Resolution shall he spread upon the Minutes of the City Council. Infrastructure Division Seven —Thermal / Moisture Protection Corporate • GMP provides for one (1) elevator pit and surface-applied waterproofing on the interior face of the pit walls & floor. Education • Exterior wall insulation shall be 3" unfaced blanket insulation in lieu of Performing Arts foam. • Moisture mitigation coating per Note 8/S5 has an allowance set of Historical $30,000. • Fusion drill free frame system with Larson ACM material will be used.
