Introduction:
The intent of this Agenda Item is to seek the City Council's approval for the City Manager to
authorize the second and final year renewal of the contract with Latitude Catering for the provision
of emergency food services in the event of an emergency or disaster.
Background:
The City Council awarded the contract with Latitude Catering on June 4, 2019 pursuant to
Resolution 19-221. The Contract expired December 31, 2019 with the option to renew for two
additional one-year periods. The City Council approved the first renewal pursuant to Resolution
19-561. The City would like to use that option for a second and final year renewal.
Budget Impact:
Funds will be provided for in the appropriate disaster/emergency recovery project accounts.
Recommendation:
It is recommended that City Council approve the City Manager to authorize the second renewal of
the contract with Latitude Catering LLC for the provision of emergency food services in the event
of an emergency or disaster, as discussed and/or outline above.

RESOLUTION NO.
A RESOLUTION AUTHORIZING THE SECOND AND
FINAL YEAR RENEWAL OF THE CONTRACT BETWEEN
THE CITY OF PORT ARTHUR AND LATITUDE, LLC OF
TUCSON, ARIZONA FOR PROVISION OF EMERGENCY
FOOD SERVICES IN THE EVENT OF AN EMERGENCY OR
DISASTER
WHEREAS, it is deemed in the best interest of the City of Port Arthur to have a service in
place for the provision of emergency food services in the event of an emergency or a disaster; and,
WHEREAS, on June 4, 2019, the City Council approved Resolution No. 19-221
authorizing the City Manager to enter into a contract with two (2) additional one (1) year renewals
with Latitude Catering, LLC of Tucson, Arizona; and
WHEREAS, on December 17, 2019, the City Council approved Resolution No. 19-561
authorizing the City Manager to enter into a contract for an additional one (1) year renewal with
Latitude Catering, LLC of Tucson, Arizona; and
WHEREAS,this will be the second and final renewal of the contract with Latitude
Catering, LLC; and
WHEREAS,the City Council deems it is in the best interest of the City to renew the
contract for the second and final year.
NOW THEREFORE BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF PORT ARTHUR:
Section 1. That the facts and opinions in the preamble are true and correct.

Section 2. That,the City Council hereby approves the second and final renewal of the
contract between Latitude Catering, LLC of Tucson, Arizona and the City of Port Arthur for the
provision of food services in the event of an emergency or a disaster, in substantially the same
form as attached hereto as Exhibit"A".
Section 3. That, a copy of the caption of this Resolution be spread upon the Minutes of
the City Council.

EXHIBIT "A"
CONTRACT
CONTRACT TO PROVIDE
EMERGENCY FOOD SERVICES
THIS AGREEMENT, made this day of , 2020, by and between the
City of Port Arthur, a municipal corporation organized under the laws of the State of Texas,
hereinafter called "OWNER" or "CITY" and Latitude Services, LLC, a(n)
Corporation herein after called "CONTRACTOR".
WITNESSETH: That for and in consideration of the payment terms, conditions and agreements
set forth herein, OWNER and CONTRACTOR agree as follows:
1. The term of this Contract shall be from January 1, 2021 to December 31, 2021. This is the
second and final year renewal.
2. During the term of this Contract, the Contractor will furnish at his own expense all of the
materials, supplies, tools, equipment, labor and other services necessary to connection
therewith, excepting those supplies specifically not required of Contractor in the
Specifications.
3. The CONTRACTOR agrees to perform all the work described in the specifications and
contract documents and to comply with the terms in the amounts stated in bid document.
4. The term "Contract Documents" means and includes the following:
1) Agreement
2) Invitation to Bid *
3) General Information *
3) Specification *
/I) Bid *
5) Notice of Award *
*These items were attached to the original letting contract. The agreement is only
included in this renewal.
5. This Agreement shall be binding upon all parties hereto and their respective heirs, executors,
administrators, successors and assigns.
6. IN WITNESS WHEREOF, the parties hereto have executed, or caused to be executed by
their duly authorized officials, this Agreement in(2 copies) each of which shall be deemed an
original on the date first written above.
