Alexander, MBA-HCM, Health Director DATE: June 23, 2008 SUBJECT: Proposed Resolution No. 14791 Approval of a Professional Services Agreement between the City of Port Arthur and the University of Texas Health Science Center at Houston on Behalf of the School of Health Information Sciences RECOMMENDATION It is recommended that the City Council approve P.R. No. 14791, approving a Professional Services Agreement with the University of Texas Health Science Center at Houston on behalf of the School of Health Information Sciences in the amount of $31,000 to provide professional services for this Multi-Jurisdictional Medical Special Needs Project. BACKGROUND The City of Port Arthur received one-time public health preparedness discretionary funding to develop plans, policies and procedures to coordinate the delivery of mass care services for shelters of last resort that may also be used as medical special needs shelters. Other responsibilities include developing training manuals for adults and pediatric medical special needs persons and regional standard delegation orders. The University of Texas at Houston has agreed to provide professional services for this multi-jurisdictional project in order that all of the grant requirements will be met by July 31, 2008. This Agreement will meet the requirements for an adult medical special needs shelter. A sepazate contract will be done for pediatrics. BUDGETARY AND FISCAL EFFECT Funds aze available in account number 101-1331-542.54-00 (HG0815): STAFFING EFFECT None. SUMMARY It is recommended that the City Council approve P.R. No. 14791, approving a Professional Services Agreement with the University of Texas Health Science Center at Houston on behalf of the School of Health Information Sciences in the amount of $31,000 to provide professional services for this Multi-Jurisdictional Medical Special Needs Project. A RESOLUTION AUTHORIZING THE CITY OF PORT ARTHUR TO APPROVE A PROFESSIONAL SERVICES AGREEMENT WITH THE UNIVERSITY OF TEXAS HEALTH SCIENCE CENTER AT HOUSTON ON BEHALF OF THE SCHOOL OF HEALTH INFORMATION SCIENCES IN THE AMOUNT OF $31,000 WHEREAS, the City of Port Arthur .received one-time public health preparedness funding on behalf of the Texas Department of State Health Services Public Health Region 6/5 South to develop plans, policies and procedures to coordinate the delivery of mass care services for shelters of last resort that may also be used as medical special needs shelters; and, WHEREAS, the University of Texas Health Science Center at Houston on behalf of the School of Information Sciences has agreed to provide professional services to assist with meeting the grant requirements as outlined in the Scope of Work of the Agreement for this Multi-Jurisdictional Medical Special Needs Project; and, WHEREAS, this contract will cover the development of plans, policies, procedures and training for adult medical special needs; and, WHEREAS, the City of Port Arthur shall compensate the University of Texas in the amount of $31,000 upon completion of the agreed upon services. NOW THEREFORE BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PORT ARTHUR: Section 1. That, the Facts and opinions in the preamble are true and correct; P. R. NO. 14791 Page 2 - 6/23/08 Section 2. That, the City Council of the City of Port Arthur hereby authorizes the City Manager and the Director of Health Services to execute said Agreement, as delineated in Exhibit "A"; with an effective date of July 1, 2008. Section 3. That, a copy of the caption of this Resolution be spread upon the Minutes of the City Council. Alexander, MBA-HCM irector of Health Services APP(R~OVED FOR AVAI~LA[BILITY OF FUNDS: ,__~-~ Rebecca Underhill, CPA, Director of Finance EXHIBTT "A" Professional Services Agreement This Professional Services Agreement ("Agreement") is entered into on this. day of , 2008, by and between The University of Texas Health Science Center at Houston on behalf of the School of Health Information Sciences ("University"), a state institution of higher education under the laws of the State of Texas and governed. by the Board of Regents of The University of Texas System, and the City of Port Arthur, Texas ("City"),apolitical subdivision of the State of Texas. WITNESSETH: WHEREAS, City desires to engage the services of University; and, WHEREAS, University, through its faculty and personnel, is competent to render such services and is prepared to work with. City; and, NOW, THEREFORE, University and City agree that the following terms, conditions and limitations shall govern this Agreement: Scope of Work: University shall provide services to the City as follows: 1) Develop plans, policies and procedures to coordinate the delivery of mass care services for shelters of last resort that may also be used as medical special needs shelters; 2) Develop a training manual for adult medical special needs; 3) Develop a Medical Special Needs Shelter Management Team; a) Develop standard adult operation guidelines for medical special needs operation; and 5) Train personnel in shelter operation to include medical special needs operations, to include standing delegation orders. 2. Responsibilities of City: The City shall be responsible for the following: 1) Identify participants for training program; and. 2) Review and sign off on curriculum and policies. 3. Duration of Agreement: This Agreement shall be effective and shall terminate on July 31, 2008. Either party may terminate this Agreement, without cause, upon thirty (30) days written notice to the other party. with or 4. Payment: City shall compensate University in the amount of Thirty-One Thousand US dollars ($31,000.00) upon completion of the services. Payment shall be made to Professional Services Agreement for Dr. Dunn - School of Health Information Sciences with City of Port Arthur Page ` 1 - University within thirty (30) days of City's receipt of an invoice from University. 5. Independent Contractor: It is understood and expressly agreed by the parties that University is acting as an independent contractor in performing the services hereunder.. University will not hold itself out as an employee or agent of City. City shall not pay any contributions to Social Security, unemployment insurance, federal or state withholding taxes, nor provide any other contributions or benefits that might be expected in an employer-employee relationship. 6. Assignment: This Agreement is entered into in reliance upon and inconsideration. of the singular skill and qualifications of University. Neither party shall voluntarily or by operation of law, assign or otherwise transfer its rights or obligations pursuant to the terms of this Agreement without the prior written consent of the other party. Any attempted assignment or transfer by either party of its rights or obligations without such consent shall be void. 7. Amendment: This Agreement may not be changed or modified in any respect except by means of a written document signed by authorized representatives of both parties. 8. Provisions of Law: This Agreement is subject to and shall be governed by the laws of the State of Texas. 9.
