AN ORDINANCE APPROVING THE BYLAWS OF THE PLEASURE ISLAND COMMISSION ACTING AS AN ADVISORY BOARD TO THE CITY MANAGER WHEREAS, pursuant to Ordinance 13-27, the governance of Pleasure Island became a subcomponent of City Government under the jurisdiction and supervision of the City Manager; and, WHEREAS, the Pleasure Island Commission serves as an advisory board to the City Manager; and, WHEREAS, the Pleasure Island Commission as developed and approved the bylaws as attached hereto as Exhibit "A". NOW THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF PORT ARTHUR, TEXAS: Section 1. That the facts and opinions in the preamble are true and correct. Section 2. That the City Council hereby approves the bylaws for the Pleasure Island Commission, attached in substantially the same form as Exhibit "A". Section 3. That a copy of the caption of this Ordinance be spread upon the Minutes of the City Council. Section 4. That the ordinance shall be effective immediately. Valecia Ti , City orney APPROVED FOR ADMINISTRATION: Ronald Burton, City Manager EXHIBIT l'Iltk" PLEASURE ISLAND COMMISSION BYLAWS ARTICLE I — Identification and Purpose 1.1 Pleasure Island Commission—Pursuant to Article XVIII of the Charter of the City of Port Arthur, an advisory board has been authorized known as the Pleasure Island Commission. 1.2 Purpose —The Pleasure Island Commission shall perform additional duties and responsibilities as may be prescribed in the by-laws as written herein. The bylaws must be formally approved by the governing body of the City of Port Arthur. 1.3 Duties and Authority of the Pleasure Island Commission -To advise the City Manager regarding the governance of those lands owned by the City of Port Arthur, commonly known as Pleasure Island, including any such lands hereafter acquired or added thereto. The City Charter authorized the creation of the Pleasure Island Department as a subcomponent of City Government under the supervision of the City Manager. Accordingly, the City Manager exercises direction and control over it in the same manner as all other City departments. The Pleasure Island Commission shall serve as an advisory body to the City Manager and shall perform additional duties and responsibilities as may be prescribed herein by making recommendations to the City Manager. 1.4 Term- Pursuant to the Charter, Commission members shall be appointed by the respective Councilmember whose position corresponds to the position for which the appointment is made and may be removed for just cause at any time by the majority vote of the City Council present. ARTICLE II — Membership 2.1 Qualifications - Commission members shall have the same qualifications as required for membership on the City Council excepting, however, there shall be no Council District residency requirement for any position on the Commission and members shall have no conflict of interest. The Commission may adopt and from timeto time amend rules of procedure. 2.2 Vacancies — Vacancies on the Pleasure Island Commission shall be reported to the City Secretary and willbe filled with an appointment by the City Council as set forth in the Charter. 2.3 Attendance - If a member of the Pleasure Island Commission fails to maintain a seventy percent (70%) attendance record for all regularly scheduled meetings, the Chair will notify the Pleasure Island Director who will notify the City Secretary. The appointing Councilmember shall at their discretion decide whether to recommend removal of the appointee in accordance with Article XVIII, Section 2 of the City Charter. ARTICLE III — Officers 3.1 Officers -The officers of the Pleasure Island Commission shall be the Chair and the Vice Chair. The Chair shall act as a liaison between the Commission and the City Manager or his designee, with support and/or assistance of Board appointed member(s.) The Chair shall be an ex-officio member of all committees. 3.2 Term of the Chair - The Pleasure Island Commission shall elect one of its members as Chair, who shall serve in that capacity for a period of two (2) years, or the duration of the Commissioner's term if less than two (2) years, and who shall be a non-voting Member except in case of a tie vote. 3.3 Vice-Chair - The Commission shall elect a Vice-Chair to serve in their capacity for a period of two (2) years, or the duration of the Commissioner's term, and shall be a voting Member. Vice- Chair shall act as Chairin their absence. PIC Bylaws, updated 2021 3.4 Vacancies: In the event of resignation or incapacity of the Chair, the Vice Chair shall serve as the Chair for the unexpired portion of the term. A new Vice Chair shall be elected when needed. In the absence of the Chair andVice Chair, the Pleasure Island Commission, shall appoint a temporary Chair to serve in their capacity. 3.5 City staff shall take minutes of the meeting and serve as custodian of Pleasure Island Commission records.Meetings shall be recorded by audio or videoconference for City Staff's use in preparing the minutes. ARTICLE IV— Meeting 4.1 Regular meetings shall be held once a month, on the second (2nd) Monday of each month, at the Pleasurelsland Commission Office, located at 520 Pleasure Pier Blvd., Port Arthur, TX, unless otherwise designated in writing and posted of record. Regular, special, or work session meeting date, time, and location may be changed, as necessary. 4.2 Members unable to attend a regular meeting shall notify the Pleasure Island Director or Chair by noon of themeeting day. 4.3 Four (4) Members of the Pleasure Island Commission shall constitute a quorum to conduct business ofthe Pleasure Island Commission. 4.4 Meeting agendas will be posted on the City Hall bulletin boards and the City's web site 72 hours prior to ameeting. Approved meeting minutes will be sent to the City Secretary for recordation and placement on the City's website. 4.5 Meeting agenda packets will be distributed to each Commissioner 72 hours prior to a meeting. Membersmay request items to be added to the agenda by contacting the Chair who will give the information to the Pleasure Island Director, or their designee. 4.6 The Chair may recognize individuals wishing to speak regarding an item on the agenda. Speakers shall belimited to two (2) minutes to speak. 4.7 In order to speak on a topic, a written request must be submitted to the Chair five (5) days prior to the posting of the scheduled meeting and the Chair will notify the Pleasure Island Director. The written request must be specific in topic to be addressed and include sufficient information to inform the Commission and public. 4.8 Special meetings may be called at the request of the Chair, or two (2) members of the Pleasure Island Commission and upon approval from the City Manager or his designee. Posting and notification of meeting requirements shall apply to special meetings. Article V—Subcommittee 5.1 The Pleasure Island Commission standing committee will be as follows: • Marketing Committee 5.2 The Pleasure Island Commission may approve "ad-hoc" or special subcommittees as deemed appropriateand shall be made up of Board members and non-members. Such committees must be approved by the City Manager or his designee and will be dissolved upon completion of the charge or task. PIC Bylaws, updated 2021 ARTICLE VI — Duties and Responsibilities 6.1 The Pleasure Island Commission acts in an advisory capacity to the City Manager in all matters pertaining to the city-owned lands on Pleasure Island, which is also known as the Pleasure Island Department. 6.2 The Commission may adopt and from time to time amend rules of procedure. ARTICLE VII —Amendments 7.1 These bylaws may be amended by a majority vote at any regular meeting if all members have been notified of the proposed amendment 72 hours prior to such meeting. Amendments must be in compliance with applicable City ordinances and Charter provisions. 7.2 Rules and Procedures not herein provided shall be under the recommendations of Robert's Rules of Order.
