AN ORDINANCE ANNEXING ,LAND THAT WAS THE
SUBJECT OF INDUSTRIAL DISTRICT AGREEMENTS THAT
WILL EXPIRE ON DECEMBER 31, 2008, LAND
ADJACENT THERETO, AS WELL AS ANNEXING '
SUBSTATIONS AND METERING LOCATIONS PURSUANT TO
CHAPTER 43 LOC~iL GOVERNMENT CODE, V.T.C.A.
- WHEREAS, the City required service plans be prepared, pursuant
to Resolution No. 08-296; and ,
WHEREAS, the proposed service plans were prepared and are
attached to Resolution No. 08-335; and
WHEREAS, the City Y~eld public hearings on November 1l, 2008 .
and November 18, 2008, pursuant to Resolution No. 08-358; and
. WHEREAS, the City Council deems it in the public interest to
annex the following land as described herein as owned, possessed or
leased by the following, as well as the substations and metering
locations therein:

WHEREAS, the total tracts are delineated on Exhibit "VII"; and
WHEREAS, the effective date of the annexations will be

December 31, 2008 at 11:59 p.m.; and
WHEREAS, if TOTAL signs and returns the Industrial District
Agreements that were approved by P. R. No. 14973 and P. R. No.
15003 by December 23, 2008, this Ordinance will not be effective as ~
to the land described in Exhibit "A" to the Industrial District
Agreements with TOTAL approved in P. R. No. 14973 and P. R. No.
15003; and
WHEREAS, if BASF AND FINA signs and returns the Industrial
District Agreement that was approved by P. R. No. 14987 by December

23, 2008, this Ordinance will not be effective as to the land
described in Exhibit'"A" to the Industrial District Agreement with
BASF and FINA approved in P. R. No. 14987; and
WHEREAS, if BASF signs and returns the Industrial District
Agreement pertaining to the Old Sandoz Property that was approved
by P. R. No. 14999 by December 23, 2008, this Ordinance will not be
effective as to the land described in Exhibit "IV" to this
. Ordinance and as described in Exhibit "A" to the Industrial
District Agreement with BASF for the Old Sandoz plant approved in
P. R. No. 14987,• and
WHEREAS, if ~1) Chevron Phillips signs and returns the
Industrial District Agreement that was approved by P. R. No. 15000
by December 2 3, 2 0 0 8, and ( 2) i f Ineos Phenol s igns and returns

WHEREAS, if CHEVRON USA signs and returns the Industrial
District Agreement that was approved by P. R. No. 15001 by December

WHEREAS, if VALERO signs and returns the Industrial District
Agreement that was approved by P.R. No. 15002 by December 23, 2008,
this Ordinance will not be effective as to the land described in

WHEREAS, if Equilon signs and returns the Industrial District
Agreement that was approved by P., R. No. 15003 by December 23,
2008, this Ordinance will not be effe'ctive as to the land described

approved in P. R. No. 15003; and.
WHEREAS, if Oxbow Calcining signs and returns the Industrial
District Agreement that was approved by P. R`. No. 15004 by December
23, 2008, this Ordinance will not be effective as to the land
described in Exhibit "A" to the Industrial District Agreement with
Oxbow Calcining; and
. WHEREAS, if FLINT HILL RESOURCES signs and returns the
Industrial District Agreement that was approved by P. R. No. 15005
by December 23, 2008, this Ordinance will not be effective as to

the land described in Exhibit "A" to the Industrial District
Agreement with Flint Hill Resources and as described in Exhibit
"III"-Tract 3 to this Ordinance; and
WHEREAS, if Praxair signs and returns the Industrial District
~ Agreement that was approved by P. R. No. 15006 by December 23,
2008, this Ordinance will not be effective as to the land described

23, 2008, this Ordinance will not be effective as to the land
described in Exhibit "A" to P. R. No. 14999 and in Tract IV-Exhibit
"IV"
Section 9. That if (1) Chevron Phillips signs and returns
the Industrial District Agreement that was approved by P. R.,No.

Section 10. That if CHEVRON USA signs and returns the
Industrial District Agreement that was approved by P. R. No. 15001
by December 23, 2008, this Ordinance will not be effective as to
the land described in Exhibit "A" to P. R. No. 15001; and
Section 11. That if Premcor ~'signs and returns the
Industrial District Agreement that was approved by P. R. No. 15002
by December 23, 2008, this Ordinance will not be effective as to
the land described in Exhibit "A" to the Industrial District
Agreement with Valero approved in P.R. No. 15002.
Section 12. That if Equilon signs and returns the
Industrial District Agreement that was approved by P. R. No. 15003
by December 23, 2008, this Ordinance will not be effective as to
the land described in Exhibit "A" to P. R. No. 15003; and
Section 13. That if Oxbow Calcining signs and returns the

Industrial District Agreement that was approved by P.,R. No. 15004
by December 23, 2008, this Ordinance will not be effective as to
the land described in Exhibit "A" to P. R. No. 15004; and
Section 14. That if Flint H,ill Resources signs and returns
the Industrial District Agreement that was approved by P. R. No.

Section 15. That if Praxair signs and returns the
Industrial District Agreement that was,approved by P. R. No. 15006
by Decembe'r 23, 2008, this Ordinance will not be effective as to

the land described in E~hibit "A" to P. R. No. 15006; and
Section 16. Tha~ as to the annexation of the Premcor
property, the City will: (1) remit the excess taxes for the year
;
2009 as delineated in Section 5 of the Tier II Industrial District
Agreement as, approved by Resolution No. 05-165, (2) remit the
excess taxes for the years 2009 to 2014 as delineated in Section 5
of the Feed Rate Expansa.on Project and DeCoker Industrial District
Agreement as approved by Resolution No. 05-164, and (3) remit the
excess taxes for the years,.2009 and 2010 as delineated in Section~5

`of the Hydrotreater Industrial District Agreement as approved by
Resolution No. 03-297 ar~d the City will also remit excess taxes to'
Air Products for the excess taxes for the years 2009 to 2410 as
delineated in SeCtion 5 of their contract as approved by Resolution
No. 05-202.
~ Section 17. That the area of land in Tract V does not
include the 16.673 tract and the 4.245 acre sit, as de~,ineated in
the Butadiene contract with BASF, Sabina Petrochemic~ls, and
Atofina Petrochemicals, as per Resolution No. 02-25.
Section 18. That should any part of this Ordinance be

declared invalid by a Court of Competent Jurisdiction, it shall~
not affect or vary the remaining parts of this Ordinance.

Section 19. That this Ordinance shall take effect on
December 31, 2008 at 11:59 p. m.

Section 20. That the City Attorney shall notify the
Justice Department of the annexations.
Section 21. That a copy of the caption of this Ordinance
,be spread upon the Minutes of the City Council.
