Attached is P. 0. No. 5965 as it pertains to annexing land
that was the subject of Industrial District Agreements that will
expire on December 31, 2008, land adjacent thereto, as well as
substations and metering locations.
Chevron USA decided not to enter into an Industrial District
Agreement in a form as approved by the City and is, therefore,
being annexed. This is Tract II.
Equilon decided not to enter into new Industrial District
Agreements. We are annexing only the Equilon terminal and not
their pipeline right of way.
Flint Hills decided to enter into a new Industrial District
Agreement and therefore their facility ~Tract III) ~will not be
annexed.
Ineos Phenol decided to enter into a new Industrial District
Agreement and therefore their facility and a corridor thereto will
not be annexed.
Updated exhibits will be presented at or prior to the meeting.

AN ORDINANCE AS IT PERTAINS TO ANNEXING LAND
THAT WAS THE SUBJECT OF INDUSTRIAL DISTRICT
AGREEMENTS THAT WILL EXPIRE ON DECEMBER 31,
2008, LAND ADJACENT THERETO, AS WELL AS
SUBSTATIONS AND METERING LOCATIONS
WHEREAS, on December 16, 2008, the City Council approved
Industrial District Agreements with the following companies who
have returned signed copies thereof prior to December 23, 2008:
• TOTAL PETROCHEMICALS USA, INC . f or the ref inery ~as f or the
years 2009 to 2013 as approved by Resolution No. 08-466
with TOTAL PAR LLC being added as a party
• TOTAL PETROCHEMICALS USA, INC. for the expansion (Deep
Conversion Project~ as for the years 2009 to 2021 as
approved by Resolution No. 08-474 with TOTAL PAR LLC being
added as a party
• PRAXAIR as for the year 2009 as approved by Resolution No.
08-472
• PREMCOR as for the years 2009 to 2013 as approved by
Resolution No. 08-494 with Premcor being responsible for
the payments
• CHEVRON PHILLIPS as for the years 2009 to 2013 as approved
by Resolution No. 08-469
• BASF for the Old Sandoz facility for the years 2009 to 2013
as approved by Resolution No. 08-468
• BASF and TOTAL as for the years 2009 to 2013 as approved by
Resolution No. 08-467 with BASF Petrochemicals being added
as a party
• OXBOW CALCINING, INC. as for the year 2009 as approved by
Resolution No. 08-471
WHEREAS, on December 16, 2008, the City Council approved
Ordinance No. 08-124 which annexed the following, effective

WHEREAS, Ineos Phenol has returned a signed Industrial
District Agreement for the years 2009 to 2013 so that their cumene
unit and the corridor thereto will not be annexed, with Ineos
Phenol being identified as a divisi~on, of Ineos USA, and
WHEREAS, Flint Hills has returned a signed Industrial District
Agreement for the years 2009 to 2013 so that Tract III will not be~
annexed, and
WHEREAS, Equilon has not returned a signed Industrial District
Agreement so that their t~rminal facility is annexed as described
in Exhibit "A", and

WHEREAS, the City deems it in the public interest not to annex
the pipeline right-of-way of Equilon, which is not included in
Exhibit "A", and

WHEREAS, Chevron USA has declined to enter into an Industrial
District Agreement in a form as approved by the City and therefo~re
Tract II as described in Exhibit B is annexed.
NOW THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY

OF PORT ARTHUR:
Section 1.
That the facts and opinions in the preamble
are true and correct.
Section 2. That the City of Port Arthur herein annexes
the Equilon terminal in Tract I, described in Exhibit "A",
effective December 31, 2008 at 11:59 p.m.as well as any metering
locations and substations located therein.
Section 3. That the City of Port Arthur herein annexes
the Chevron USA facility, as described in Tract II, as attached
hereto as Exhibit "B", effective December 31, 2008 at 11:59 p.m.
as well as any metering locations and substations located
therein.
Section 4. That the City of Port Arthur does not annex
Tract~ III as it pertains to Flint Hills and Huntsman.
Section 5. That should any part of this Ordinance be
declared invalid by~a Court of Competent Jurisdiction, it shall
not affeCt or vary the rernaining parts of this Ordinance.
Section 7. That this Ordinance shall take effect on

December 31, 2008 at 11:59 p.m.
Section 8. That the City Attorney shall notify the
Justice Department of the annexations.
Section 9. That a copy of the caption of this Ordinance
be spread upon the Minutes of the City Council.
