employment of Mark Sokolow as City Attorney, pursuant to Article
VI, Section 1, of the City Charter and authoring the Mayor to
execute a new agreement. (Requested by Mayor Prince). Exhibit "B"
will be presented at or before the City Council meeting.

A RESOLIITION PERTAINING TO THE TERMS OF
EMPLOYMENT OF MARR SOKOLOW AS CITY ATTORNEY,
AND AIITHORIZING THE MAYOR TO EBSCIITE A NEW
AGREEMENT PIIRSIIANT TO ARTICLE VI, SECTION 1 OF
THS CITY CHARTER (REQIIESTED BY MAYOR PRINCE)
WHEREAS, the City Council approved the Third Revised Letter of
Agreement, as denoted in Exhibit "A" with Mark Sokolow as the City
Attorney, per Resolution No. 04-307 on September 14, 2004; and
WHEREAS, the City Attorney receives an auto allowance of $250
per month, per Resolution No. 06-384;and
WHEREAS, the City Council desires to execute a new agreement
for the terms of employment of Mark Sokolow as the City Attorney of
the City of Port Arthur.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COIINCIL OF THE CITY
OF PORT ARTHIIR:
Section 1. That the facts and opinions in the preamble
are true and correct.
Section 2. That the Mayor, on behalf of the City Council,
is hereby authorized to execute a new Agreement with Mark Sokolow,
in substantially the same form as attached hereto as Exhibit "B"
Section 3. That a copy of the caption of this Resolution
be spread upon the Minutes of the City Council.

Re: Third Revised Letter of Agreement
Dear Mr. Sokolow,
Pursuant to our conversation, we are pleased to extend
an offer of continued employment to you as the City
Attorney for the City of Port Arthur. This Letter of
Agreement outlines the general terms and conditions of your
employment (as an at-will employee) of the City of Port
Arthur. The following terms and conditions apply:
A. Salary Information
Your salary will be placed at Range 69, Step 9,
effective October 1, 2004.
You will be provided a $150 per 2004h auto
allowance, effective October 1,
s. Vacation and Sick Leave
From the first day of employment, you were
provided with two (2) weeks credit for vacation.
Thereafter, you accrued and will continue to
accrue and vest vacation and sick leave on a
normal schedule according to existing personnel
policy. Nevertheless, as of January 1, 2002, you
will accumulate four (4) weeks of vacation per
year.

C. Medical/Dental/Life/AD&D
Your medical, dental, life and AD&D insurance
will be effective on your first day of
employment. Per City policy, 100$ of the premium
for your health insurance coverage will be paid
by the City and 50$ of the premium will be paid
by the City for dependent coverage if you choose
to cover your dependents under the plan. Also,
the City provides $6,000 life insurance and
$5,000 AD&D insurance for you at no cost.

D. Severance Pay
Should your employment with the City be
terminated for any reason, except for malfeasance
in office or if you voluntarily terminate, the
City will pay you six (6) months severance pay.
E. Retirement
You will become a member of the Texas Municipal
Retirement System on the fiYourdcontribution into
employment with the City.

will match that contribution on a 2:1 basis.
F. Business Expense and Auto Allowance
Standard business expense shall be provided to
you via the policies set forth in the City
Personnel Policy.
G. Membership/Professional Dues
Your membership dues in the State Bar of Texas,
American Bar Association, Texas City Attorneys
Association, College of the State Bar, Board
Certification Program, Jefferson County Bar
Association and one (1) civic club shall be paid
by the City. Other appropriate legal or
municipal association dues shall be paid by the

City and shall be handled on a case by case
basis.
H. Performance Evaluation
Your performance will be evaluated annually,
based on a minimum acceptable standard of
satisfactory or better accomplishments.
I. Starting Date
Your starting date was March 1, 1996.
J. Drug and Alcohol Policy
You have already satisfactorily completed a
physical examination and drug screening.
K. Rights under City Personnel Policy
You will be entitled to all rights and privileges
granted under the City's Personnel Policy that
are not in conflict with this Agreement or the
City Charter. Said provisions of this Agreement
shall supersede any conflicting policy provision
(except Charter requirements), but only to the
extent of such conflict.
L. Travel and Seminar Expenses
The City shall pay your expenses for legal
seminars necessary for you to comply with
Mandatory Continuing Legal Education requirements
in order for you to maintain your Law License and
board certification and will pay your expenses
for municipal legal seminars necessary to
maintain your proficiency as a municipal attorney
and keep current with developments in municipal
law.
We fully expect and trust that you will faithfully
perform the duties assigned to you to the best of your
ability and will devote your full and undivided time to the
transaction of the City's business.
The aforestated offer of employment has been approved
by the City Council.

Enclosed is the original and one copy of this offer of
continued employment. If this deems as acceptable to you,
please sign and return the original to me. If you have any
questions regarding this letter, please contact me or
Harvey Robinson, Director of Human Resources, or Albert
Thigpen, Assistant Director of Human Resources, at your
earliest convenience.
We are looking forward to a highly productive and
long-term relationship between you and the City of Port
Arthur.
