Subject: P.R. 15205 Purchase Agreement with
Voice Print International
Please find attached P.R. 15205, which is a resolution
authorizing the City Manager to execute a contract for the
voice recording system for the police/fire dispatch center.
The legal department has recommended changes to the
contract with regard to the jurisdiction and venue for
possible claims that may arise from the agreement. We have
recommended that the jurisdiction be changed from
California to Texas.

RESOLIITION NO.
A RESOLIITION AIITHORIZING THE E%ECIITION OF
A PIIRCHASE AGREEMENT WITH VOICE PRINT
INTERNATIONAL, INC. FOR THE VOICE RECORDING
SYSTEM FOR THE POLICE/FIRE DISPATCH CENTER
WHEREAS, on March 5, 2009, the City Council authorized the
purchase of a voice recorder system via an HGAC contract with Voice
Print International of Camarillo, California (VPI);and
WHEREAS, VPI has forwarded a purchase agreement to be executed
by the City Manager, which includes terms associated with the
purchase of a software, hardware, a third party software licensing
agreement, and 24 hour-7 day a week support and maintenance.
WHEREAS, VPI has also offered a (1) year limited warranty on
hardware, which can be extended for a period of five (5) years.
WHEREAS, VPI has also offered a 24 hour-7 days per week
support and maintenance services agreement, which the City has
agreed to make an initial purchase for a period of two years; and
WHEREAS, the legal department has recommended changes to the
contract as delineated in Exhibit "A"
NOW THEREFORE, BE IT RESOLVED BY TBE CITY COIINCIL OF TBE CITY
OF PORT ARTHIIR:
Section 1. That the facts and opinions in the preamble
are true and correct.

Section 2. That the City Council authorizes the City
Manager the agreement with VPI with the changes delineated in
Exhibit "A".
Section 3. That a copy of the caption of this Resolution
be spread upon the Minutes of the City Council.
