INVOCATION, PLEDGE & ROLL CALL Mayor Pro Tern Frank gave the invocation followed with the pledge to the flag. The City Council of the City of Port Arthur met in Joint Special Session on Tuesday, January 25, 2022 at 5:07 p.m. in the City Council Chamber, City Hall, with the following members present: Mayor Thurman Bill Bartie; Mayor Pro Tem Donald Frank, Sr.; Councilmembers Cal Jones, Thomas Kinlaw, III. and Charlotte Moses; City Manager Ron Burton; City Secretary Kelly Moore; City Attorney Valecia R. Tizeno and Sergeant At Arms Police Chief Tim Duriso. Councilmembers Ingrid Holmes and Kenneth Marks were absent from the Joint Special Meeting. The following EDC Board members were present: Darrell Anderson, Beverly Raymond, Christopher Smith, Rashad Harris, Jerry LaBove, and Rhonda Conner; EDC Interim Director George Davis and EDC Attorney Frank Garza. II. DISCUSSION ITEMS: (1) To Discuss The Position Of The Chief Executive Officer Of The PAEDC (2) To Discuss A Proposed Grievance Process For Complaints Of Harassment And Appeals Of Discipline As An Addendum To The City Of Port Arthur's Code Of Ordinances (3) To Discuss A Proposed Lease Agreement Between The City Of Port Arthur And PAEDC Regarding Office Space At 549 4th Street, Port Arthur, Texas (4) To Discuss A Proposed Contract For The Provision Of Administrative Services To The PAEDC By The City Of Port Arthur EDC Board Member Jerry LaBove; EDC Interim Director George Davis and Attorney Frank Garza appeared before the City Council to answer inquires and discuss the above- mentioned topics. III. *CLOSED MEETING (EXECUTIVE MEETING) Closed Meeting: (1) Section 551.074 Government Code — To Deliberate The Appointment Of A Chief Executive Officer For The PAEDC (2) Section 551.074 Government Code — To Deliberate The Appointment, Duties And Responsibilities Of Legal Counsel For The PAEDC The City Council and the EDC Board recessed their meeting at 5:57 p.m. to meet in Executive Session to consider the above-mentioned topics and reconvened their meeting at 6:54 p.m. with the following Councilmembers present: Mayor Bartle; Mayor Pro Tern Frank; Councilmembers Jones, Kinlaw and Moses; City Manager Burton; City Secretary Bellard; City Attorney Tizeno and Sergeant At Arms Chief Duriso. The following EDC Board members were present: Darrell Anderson, Beverly Raymond, Christopher Smith, Rashad Harris, Jerry LaBove, and Rhonda Conner; EDC Interim Director George Davis and EDC Attorney Frank Garza. MOTION IN OPEN SESSION Mayor Pro Tern Frank read the following motion into the record: A Motion That The Recommendation For The EDC Director Be Make Contingent Upon A Change Of The $172,000.00 Salary Upon the motion of Mayor Pro Tern Frank, seconded by Councilmember Moses and carried, the above-mentioned motion was adopted. The following roll call vote was taken to adopt the above-mentioned motion: Mayor Pro Tern Frank "Yes" Councilmember Jones "Yes" Councilmember Kinlaw "Yes" Councilmember Moses "Yes" Mayor Bartie "Abstained" II. DISCUSSION ITEMS: (4) To Discuss A Proposed Contract For The Provision Of Administrative Services To The PAEDC By The City Of Port Arthur Clarification was made that there are two different contracts that are not contingent upon the other. But we have looked at the cost and this is the determination on both: we are accepting what the EDC has recommended which is $133,000.00 and then we have given some factors that lead to where we came further to 6%. So, they can make that assessment and come back to us accepting our reasonable assessment for services. III. ADJOURNMENT OF MEETING Upon the motion by Councilmember Kinlaw, seconded by Mayor Pro Tern Frank and carried unanimously, the City Council adjourned their meeting at 7:08 p.m. An audio-tape of this meeting is on file in the office of the City Secretary and is made a part of the official minutes of this meeting.
