Introduction:
The intent of this Agenda Item is to seek City Council's approval of the Port Arthur Economic
Development Corporation entering into a Certified Nurse's Aide (CNA) Workforce Training
Agreement with Angel's Devine Touch.
Background:
After researching the demand we see that this particular field of study is a necessity.
The implementation of this initiative will improve the quality of life for Port Arthur residents
who lack skills to qualify for an on-the-job training program with a local employer or to secure
permanent employment.
Budget Impact:
The budget impact of this Workforce Initiative is $27,000.00; funds available in PAEDC
Account No. 120-80-625-5475-00-00-000.
Recommendation:
It is recommended that the City Council of the City of Port Arthur approve the Port Arthur
Economic Development Corporation entering into a Certified Nurse's Aide (CNA)Workforce
Training Agreement with Angel's Devine Touch.

A RESOLUTION APPROVING A TRAINING AGREEMENT
BETWEEN THE CITY OF PORT ARTHUR SECTION 4A
ECONOMIC DEVELOPMENT CORPORATION AND
ANGEL'S DEVINE TOUCH CORP. FOR CERTIFIED
NURSES' AIDE TRAINING TO PORT ARTHUR
RESIDENTS AT A COST NOT TO EXCEED $27,000.00;
FUNDS AVAILABLE IN EDC ACCOUNT NO. 120-80-625-

WHEREAS, the City of Port Arthur Section 4A Economic Development Corporation
("PAEDC") Board of Directors is dedicated to improving the quality of life for Port Arthur
residents who lack skills to qualify for an on-the-job training program with a local employer or to
secure permanent employment; and
WHEREAS, House Bill 1967 amends the Texas Local Government Code and adds
§501.163 which authorizes expenditures by PAEDC for job training skills sufficient to enable an
unemployed individual to obtain employment; and
WHEREAS, Angel's Devine Touch Corp. ("Subcontractor") proposes to provide
Certified Nurses' Aide("CNA") skills training to Port Arthur residents; and
WHEREAS, at their September 12, 2022 Regular Board meeting, the PAEDC Board of
Directors approved entering into a Training Agreement with the Subcontractor(the"Agreement")
attached hereto as Exhibit"A"; and
WHEREAS,in consideration for the extraordinary costs of providing job skills training to
Port Arthur residents, the PAEDC Board of Directors approved funding $27.000.00.00 of the
program cost; and

WHEREAS, the Agreement is for a one-year period with the option to renew for two
(2) additional one-year periods if PAEDC is satisfied with the Subcontractor's performance.
NOW,THEREFORE,BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF PORT ARTHUR:
Section 1. That the facts and opinions in the preamble are true and correct.
Section 2. That the City Council approves the Agreement between PAEDC and Angel's
Devine Touch Corp. for a cost not to exceed$27,000.00,in substantially the same form as attached
hereto as Exhibit"A".
Section 3. That a copy of the caption of this Resolution be spread upon the Minutes of the
City Council.

TRAINING AGREEMENT
BETWEEN
CITY OF PORT ARTHUR SECTION 4A
ECONOMIC DEVELOPMENT CORPORATION
AND
ANGEL'S DEVINE TOUCH CORP.
RECITALS
WHEREAS, the City of Port Arthur Type A Economic Development Corporation
("PAEDC") Board of Directors is dedicated to improving the quality of life of Port Arthur
residents who lack skills to qualify for an on-the-job training program with a local employer or
skills to secure permanent employment in the current labor market; and
WHEREAS, the Texas Local Government Code Section §501.163 authorizes
expenditures for job training skills sufficient to enable an unemployed individual to obtain
employment by the PAEDC; and
WHEREAS, Angel's Devine Touch Corp. ("Subcontractor") agrees to provide job
training skills to Port Arthur residents ("Program Participants"); and
WHEREAS, in consideration for the extraordinary costs of providing job training skills
to Port Arthur residents, the PAEDC agrees to fund an amount not to exceed twenty-seven
thousand dollars ($27,000.00) of the program cost excluding any cost for supplies needed for the
training.
NOW, THEREFORE, for good and valuable consideration, PAEDC and Subcontractor
hereby agree as follows:
AGREEMENT DATES
AGREEMENT START DATE
1. This Training Agreement("Agreement") shall begin on , 2022.
AGREEMENT END DATE
2. This Agreement expires on , 2023. However, PAEDC has the option
to extend this Agreement for two additional one-year periods if PAEDC is satisfied with the
Subcontractor's performance.
PARTIES
3. PAEDC, located at 501 Procter Street, Port Arthur, Texas 77640, is a not-for-
profit corporation. It is duly authorized to do business in the State of Texas under Chapter 504,
Local Government Code (the "Development Corporation Act of 1979") and duly authorized by
Resolution of the City Council of the City of Port Arthur to enter into this Agreement. As so
authorized and as provided by the PAEDC bylaws, the President and Secretary of the PAEDC
Board have the authority to execute this Agreement.
4. Angel's Devine Touch Corp., 5700 32nd St., Groves, Texas 77619, is a for-profit
Texas corporation and its duly-authorized representative for purposes of this Agreement is Angel
Maze.
CONDITIONS PRECEDENT
5. This Agreement has no legal consequences unless and until both the Board of
Directors of the PAEDC and the City of Port Arthur City Council approve this Agreement in its
final form.
PROMISED PERFORMANCE
6. The parties agree to perform as follows.
(a) PERFORMANCE BY SUBCONTRACTOR
Funding in an amount not to exceed $27,000 (the "Reimbursement
Amount") is allocated to reimburse Subcontractor for the following
services:
a. Identification of students who are eligible to receive financial
assistance per the Income Chart attached as Exhibit "A".
b. Providing the eligible student training as set forth in Exhibit "B" so
that the eligible student can receive their CNA Certification.
c. Providing PAEDC reports on the students that evidence when 1) fifty
percent (50%) of the course is completed; 2) when the students
complete their training, and 3) when students are placed in
employment.
PERFORMANCE BY PAEDC
a. PAEDC shall provide Subcontractor fifty percent (50%) of tuition at a
cost not to exceed $325.00 per student upon eligible students'
enrollment.
b. PAEDC shall provide Subcontractor the remaining fifty percent
(50%) of tuition at a cost not to exceed $325.00 per student upon
completion of the Training Program by the eligible students.

c. PAEDC shall pay an additional $150.00 per student to Subcontractor
once the student has gained employment following certification upon
presentation by Subcontractor to PAEDC a copy of student's paycheck
stub.
d. PAEDC's obligations for payment under this Agreement shall not, in
any circumstance, exceed the Reimbursement Amount.
PAEDC'S CONDITIONAL OBLIGATIONS AND LIMITED LIABILITY
7. The PAEDC, at its sole option, may terminate this Agreement for
nonperformance or failure to comply with the terms of this contract. In the event of such
termination by the PAEDC, the PAEDC may, at its sole option, immediately cease all further
funding, if any, required by this Agreement and the PAEDC shall not be liable to Subcontractor
or to any third parties for failure to make payments to Subcontractor under the terms and
conditions of this Agreement.
8. The PAEDC's sole liability/obligation shall be to Subcontractor and shall be
limited to the funding for the Programs detailed in this Agreement. The PAEDC shall not be
liable, in contract or otherwise, for any expense, expenditure or cost incurred by or on behalf of
Subcontractor related to the Programs except as set forth in this Agreement.
RECORDS/INSPECTION/PAEDC AUDIT
9. All records pertinent to this Agreement shall be retained by Subcontractor.
10. Upon written request, Subcontractor shall provide reports and records relating and
pertinent to this Agreement to the PAEDC.
11. Upon written request, Subcontractor shall provide PAEDC with all reports
necessary for PAEDC compliance with the Development Corporation Act of 1979.
CHANGES AND AMENDMENTS
12. Any alterations, additions, or deletions to the terms of this Agreement shall be by
amendment in writing and executed by all parties to this Agreement and approved by PAEDC.
13. Any alterations, additions, or deletions to the terms of this Agreement which are
required by changes in Federal, state or local law are automatically incorporated into this
Agreement without written amendment hereto, and shall become effective on the date designated
by such law or regulation.

DEFAULT/TERMINATION
14. In the event of default of any of the obligations of the Subcontractor detailed
herein, the PAEDC may, at its sole and exclusive option, withhold and/or disallow further
PAEDC payments or incentives to the Subcontractor.
15. In addition to the foregoing, the PAEDC and Subcontractor agree that this
Agreement may be terminated at any time when both parties agree, in writing, to the terms and
conditions of any such voluntary termination.
ORAL AND WRITTEN AGREEMENTS/PRIOR AGREEMENTS
16. All oral and written agreements between the parties to this Agreement relating to
the subject matter of this Agreement that were made prior to the execution of this Agreement
have been reduced to writing and are contained in this Agreement.
VENUE
18. For purposes of litigation that may accrue under this Agreement, venue shall be
Jefferson County, Texas, where substantially all the performance will occur.
UNDOCUMENTED WORKERS
19. Subcontractor and any branch, division or department of Subcontractor certifies
that they have not and will not knowingly employ an "undocumented worker" which means "an
individual who, at the time of employment, is not lawfully admitted for permanent residence to
the United States or authorized under law to be employed in that manner in the United States."
Subcontractor acknowledges that it has reviewed Chapter 2264, Texas Government Code,
attached hereto as Exhibit "C" and made a part hereof for all purposes and hereby affirmatively
agrees by execution of this Agreement to repay the amount of any grant with interest at the rate
of ten (10%) percent per annum not later than the 120th day after the date PAEDC notifies
Subcontractor of a violation. Subcontractor acknowledges PAEDC may bring a civil action or
recover any amounts owed under this Chapter and further acknowledges that PAEDC may
recover court costs and reasonable attorneys' fees incurred in an action brought under
§2264.101(a). The Subcontractor is not liable for a violation of this Chapter by a subsidiary,
affiliate or franchisee of the Subcontractor or by a person with whom the Subcontractor
contracts.
CONFLICT OF INTEREST DISCLOSURE
20. Subcontractor shall comply with the Certification Regarding Lobbying attached
hereto as Exhibit "D," and the Compliance Statement attached hereto as Exhibit"E."

Angcl's Dcvinc Touch Corp.was founded in 2019.The school was created by Angcl Mazc
whose goal was to create a career school helping individuals sccurc a certificate in a field in
which he or she loves.

Nurse Aide Clinical Evaluation
A satisfactory level of 74.5 or better must be attained at the completion.
clinical setting according to the course curriculum.
REQUIREMENTS FOR GR4D[ATION
Completion Standards: The student must have satisfactorily completed a minimum of 100
clock hours of training(grade"C"or better which is a 2.0 GPA and paid all financial obligations
and met attendance requirements.)
Testing after graduation: Each student must register with Promctric to take thc Tcxas Nurse
Aide test. The test fees are S125.00 for the w-rittentskiils examination and Si 35.00 for oral/skills
examination.Written portion only is S35.00,oral portion only is S45.00.and skills only
examination is S90.00. Each student is allowed three attempts to pas examination if unable to
pass after thc third attempt he/she must retake the course.After passing the examination. students
will receive a certificate in 4 to 6 weeks.To keep a license active students must work within 2
years and complete 12 continuing educatior. hours annua.ly.
SATISFACTORY PROGRESS AND ACADEMIC PROBATION
Progress Evaluation
1.The school shall record a student's grades at the midpoint of lecture and lab(30 hours)and end
of each progress evaluation period(60 hours).The student will be given a progress report at the
midpoint(1/2 way through the entire class period which is after 30 hours.A student not making
satisfactory progress at the midpoint shall be placed on academic probation for the remainder of
the progress evaluation period. If the student does not achieve satisfactory progress by the end of
the probationary period.the student's enrollment shall be terminated.Satisfactory progress is
identified as achieving a grade of 74.5 or higher as outlined in the Grading section of this
catalog.Once a student completes a lecture/lab with a 74.5 or higher he or she will be able to
complete clinical.
3. The school shall place a student who returns after their enrollment was terminated for
unsatisfactory progress on academic probation for the next grading period. The school shall
advise the student of this action and document the student's file accordingly. If the student does
not demonstrate satisfactory progress at the end of this probationary period.that students
enrollment shall be terminated.

It is necessary for health care workers to be reliable and dependable employees. The patient's
welfare is dependent on the worker being in the right place at the right time.We believe that is

student can miss before they arc terminated.)
Following reasons may be accepted towards 5%(5 hours):
1 Illness of the student(medical evidence may be requested)
2. Death of an immediate family member.
3. Emergency in the immediate family.
4.Religious holiday
5. Subpoena by any law enforcement agency
Termination of Enrollment
This school shall terminate the enrollment of a studcntwho accumulates the lesser of the
following amounts of absences:
(1)more than 5 hours of absence which is 5%of the total clock hours. if the program or subject
is clock hours in length(2)any 4 days if the student fails to return from an approved leave of
absence as scheduled. (3)less than--60 clock hours in the classroom and 40 hours in the clinical
setting as the student must have 100 hours combined as defined by the Health and Human
Services.
This school does not offer an Attendance inaLbailua policy. It is the policy of this school that
any student missing more than 48 hours of scheduled class days the student will withdraw or
must arrange(for an additional ice)to continue classes either through a make-up session with the
instructor or during the next scheduled course session. Students may be charged S35.00 per hour
for makeup course work at the discretion of the School Director.
Readmission after termination for unsatisfactory attendance upon discretion and meeting with
the school director.
It is the policy of this school that a student may be granted readmission privileges after
termination for unsatisfactory attendance if the following criterion is`arc met:
I)The student has rectified the issue causing the attendance problem to begin with.(i.e.,not
having transportation.illness,etc.)

2)The student commits to arriving on time to classes.
3)The student may not re enter before the start of the next grading period if terminated for
violation of the attendance policy.
TARDY
Students arc expected to be in class.at their desks.and prepared to work at the beginning of the
school day. following breaks.and lunch periods.Students who arc not on time will be marked
tardy by the instructor who will track tardiness and report 3 tardiness as an absence.
If you arrive more than 5 minutes after class time begins.this is considered tardy.
MAKE-UP WORK
POLICY:It is a requirement of the school that students with excused absences must follow a
make-up work policy to continue to meet the requirements of the school prior to graduation from
the school.
No more than .5?/0(5 hours)of the total course time hours for a course may be made up.
Make-up work shall:
(I)be supervised by an instructor approved for the class being made up.
(2)require the student to demonstrate substantially the same level of knowledge or
competence expected of a student who attended the scheduled class session.
(3)be completed within two weeks of the end of the grading period during which the
absence occurred.
(4)be documented by the school as being completed.recording the date.time,
duration of the make-up session.and the name of the supervising instructor,and
(5)be signed and dated by the student to acknowledge the make-up session.
LEAVE OF ABSENCE
Students may be considered for a leave of absence under the following circumstances:
I.Medical or Extended Illness—students will be considered fora leave of absence due to
extended illness.
2. Family—a leave of absence for pregnancy. paternity.adoption leave.or parental care will be
granted consistent with the family leave act.
3.Military—a leave of absence will be approved for employees/students to perform military
service or receive military training.

Leaves of absence for other reasons may be approved on an individual basis,The decision to
grant leave will be left solely to the school Director. The length for a leave of absence is per
FMLA law and for other types of absences due to illness and.may be no more than 30 days in
length for a 12-monthcakndar period.
STUDENT CONDUCT
It is the policy of this school to require students to use professional.courteous behavior in the
classroom and in the Geld.
I.Students arc always expected to have the necessary materials and be punctual.
2.When participating in class. only ONE student should talkata time.
3.The school encourages friendliness,but NEVER familiarity with stall'or patients.
4.In the lab.there will be no playing with equipment or lying or sitting on the beds except in
mock clinical practicum.
5.Students that harass. threaten.or use inappropriate Language with fellow students,staff.or
patients shall be terminated from the school immediately.No alcohol.drugs.guns.or weapons
allowed on premises of school clinical site.Anyone found with these items or under the
influence of alcohol or drugs will be immediately removed from nurse aide training.
6.Students must obtain their TB test or CXR two days prior to clinical starting. If a student does
not comply with the health requirements for clinical.they will not be allowed to participate in the
clinical portion of the course delaying their completion, and certification exam eligibility.

DRESS CODE
Wearing apparel shall be such that it does not disrupt thc classroom atmosphere.Uniforms/scrubs
will only be worn at thc clinical site. Wearing scrubs in public places such as bars is not
permitted. The students must follow the school dress code in its policies and procedures manuals.
A copy of the dress code is issued to students on the first day of class.The school scrub color is
black.
PERSONAL APPEARANCE
The well-groomed nurse aide should showeribattte daily. shampoo hair frequently and keep it
neat, use deodorant daily. and practice good oral hygiene. The instructor will do regular
grooming checks.
SMOKING POLICY
Smoking will be permitted only in the designated smoking areas on campus and is restricted to
lunch and break time.In the clinical area. the facility'slagcncy's rules will apply.
Jobs after G rad uat ion
Once the course is completed and state test completed students may refer to a job posting bulletin
for potential jobs. Students can receive assistance with resumes.
GRIEVANCE POLICY
Each student shall receive a copy of the grievance procedure and the school shall maintain proof
of the delivery.All complaints will be documented on the Student Grievance Form and arc to be
forwarded to the school director_The school director will review all completed complaint forms
and follow up'investigatc for resolution. The school will then maintain the complaint report
including any associated documentation.The school will diligently work to resolve all
complaints at the local school level.

CANCaLNION POLICY
A full refund will be made to any student who cancels the enrollmentcontract within 72 hours
(until midnight of the third day excluding Saturdays, Sundays, and legal holidays)after the
enrollment contract is signed. A full refund will also be made to any student who cancels
enrollment 24 hours prior to first scheduled class day,except that the school may retain not
more than 5100 in any administrative fees charged,as well as items of extra expense that are
necessary for the portion of the program attended and stated separately on the enrollment
agreement.
REFUND POLICY
1. Refund computations w ill be based on scheduled course time of class attendance
through the last date of attendance. Leaves of absence,suspensions and school holidays will
not be counted as part of the scheduled class attendance.
2. The effective date of termination for refund purposes will be the earliest of the
following:
(a) The last day of attendance if the student is terminated by the school.
(b) The date of receipt of written notice from the student;or
(c) Ten school days following the last date of attendance.
3. If tuition and fees are collected in advance of entrance.and if after expiration of the
72•hour cancellation privilege the student does not enter school.not more than MOO in
any administrative fees charged shall be retained by the school for the entire residence
program or synchronous distance education course
4 1f a student enters a residence or synchronous distance education program and
withdraws or is otherwise terminated after the cancellation period.the school or
college may retain not more than MOO in any administrative fees charged for the entire
program. The minimum refund of the remaining tuition and fees will be the pro rata
portion of tuition, fees, and other charges that the number of hours remaining in the
portion of the course or program for which the student has been charged after the
effective date of termination bears to the total number of hours in the portion of the

not collect a refund if the student has completed 75 percent or more of the total number

5. Refunds for items of extra expense to the student. such as books. tools.or other
supplies arc to be handled separately from refund of tuition and other academic fees.
The student will not be required to purchase instructional supplies.books,and tools
until such time as these materials arc required. Once these materials arc purchased.no
refund will be made. For full refunds,the school can withhold costs for these types of
items from the refund if they were necessary for the portion of the program attended
and separately stated in the enrollment agreement. Any such items not required for the
portion of the program attended must be included in the refund.
6. A student who withdraws for a reason unrelated to the student's academic status after
the 75 percent completion mark and requests a grade at the time of withdrawal shall be
given a grade of"incompkc"and permitted to re-enroll in the course or program
during the I2--month period following the date the student withdrew without payment
of additional tuition for that portion of the course or program.
7. A full refund of all tuition and fees is due and refundable in each ofthc following
cases:
(a) An enrollee is not accepted by the school.
(b) If the course of instruction is discontinued by the school and this prevents the
student from completing the course;or
(c) If the student's enrollment was procured because of any misrepresentation in,
advertising,promotional materials of the school. or representations by the
OAT.CT or representatives of the school.
A full or pta•tial refund may also be due in other circumstatk cs ofprogram deficiencies
or violations of requirements for career schools and colleges.
8. REFUND POLICY FOR STUDENTS CALLED TO ACTIVE MILITARY SERVICE.
A student at the school or college who withdraws from the school or college because
of the student being called to active duty in a military service of the United States or
the Texas National Guard may elect one of the following options for each program in
which the student is enrolled:
(a) I f tuition and fees arc collected in advance of the withdrawal,a pro rata refund
of any tuition. fees.or other charges paid by the student for the program and a
cancellation of any unpaid tuition,fees,or other charges owed by the student
for the portion of the program the student does not complete following
withdrawal.
(b) A grade of incomplete with the designation"withdrawn-military" for the
courses in the program.other than courses for which the student has previously
received a grade on the student's transcript,and the right to re-enroll in the
program.or a substantially equivalent program if that program is no longer
available,not later than the first anniversary of the date the student is
discharged from active military duty without payment of additional tuition.

SUBCHAPTER A. GENERAL PROVISIONS
Sec. 2264.001. DEFINITIONS. In this chapter:
(1) "Economic Development Corporation" means a development corporation
organized under Subtitle Cl, Title 12, Local Government Code.
(2) "Public agency" means the state or an agency, instrumentality, or political
subdivision of this state, including a county, a municipality, a public school district, or a special-
purpose district or authority.
(3) "Public subsidy" means a public program or public benefit or assistance of
any type that is designed to stimulate the economic development of a corporation, industry, or
sector of the state's economy or to create or retain jobs in this state. The term includes grants,
loans, loan guarantees,benefits relating to an enterprise or empowerment zone, fee waivers, land
price subsidies, infrastructure development and improvements designed to principally benefit a
single business or defined group of businesses, matching funds, tax refunds, tax rebates, or tax
abatements.
(4) "Undocumented worker" means an individual who, at the time of
employment, is not:
(A) lawfully admitted for permanent residence to the United States; or
(B) authorized under law to be employed in that manner in the United
States.

Sec. 2264.051. STATEMENT REQUIRED IN APPLICATION FOR PUBLIC
SUBSIDIES. A public agency, state or local taxing jurisdiction, or economic development
corporation shall require a business that submits an application to receive a public subsidy to
include in the application a statement certifying that the business, or a branch, division, or
department of the business, does not and will not knowingly employ an undocumented worker.

Sec. 2264.052. CONDITION ON RECEIPT OF PUBLIC SUBSIDIES. The statement
required by Section 2264.051 must state that if, after receiving a public subsidy, the business, or
a branch, division, or department of the business, is convicted of a violation under 8 U.S.C.
Section 1324a(f), the business shall repay the amount of the public subsidy with interest, at the
rate and according to the other terms provided by an agreement under Section 2264.053, not later
than the 120th day after the date the public agency, state or local taxing jurisdiction, or economic
development corporation notifies the business of the violation.

Sec. 2264.053. AGREEMENT REGARDING REPAYMENT OF INTEREST. A

specifying the rate and terms of the payment of interest if the business is required to repay the
public subsidy.

SUBCHAPTER C. ENFORCEMENT

taxing jurisdiction, or economic development corporation under this chapter.

attorney general, as applicable, shall recover court costs and reasonable attorney's fees incurred
in an action brought under Subsection(a).
(c) A business is not liable for a violation of this chapter by a subsidiary, affiliate, or
franchisee of the business, or by a person with whom the business contracts.
