RE: PR#22779: Disposition of Technology Equipment
Introduction:
The intent of this Agenda Item is to seek the City Council's authorization for the City Manager to enter into a
contract with Global Assets of Carrollton, Texas for the disposition of technology assets.
Background:
Purchasing Division and IT Department dispose of old, outdated and damaged technology equipment such as
as laptops, tablets, desktop computers, printers, scanners and additional technology equipment. In the past
Purchasing would dispose equipment through the City Auction. City would have to group a lot of equipment
together to spark interest to buy and it is sold for a low amount. This contract would be simpler. Purchasing
would contact Global Assets to pick up all the equipment submitted on the list and would dispose of the hard
drive if the City request it. Global Assets would provide a check or credit for the equipment.Even the equipment
that has no value,the City does not have to pay to dispose of that equipment.
Budget Impact:
None
Recommendation:
The intent of this Agenda Item is to seek the City Council's authorization for the City Manager to enter into a
contract with Global Assets of Carrollton, Texas for the disposition of technology assets.

RESOLUTION NO.
A RESOLUTION AUTHORIZING THE CITY MANAGER TO ENTER INTO
A MASTER IT RECOVERY & RECLYCLE AGREEMENT WITH GLOBAL
ASSET OF CARROLLTON, TEXAS THROUGH THE BUYBOARD
COOPERATIVE PURCHASING PROGRAM CONTRACT NO. 661-22 FOR
THE DISPOSITION OF TECHNOLOGY ASSETS
WHEREAS,the City of Port Arthur's disposes of old, outdated and damaged technology
equipment; and,
WHEREAS, Global Assets through the BuyBoard contract will store, refurbish,
remarket, sell or otherwise dispose of the equipment; and,
WHEREAS,Global Assets will also erase the hard drives as part of the service; and,
WHEREAS, Chapter 271 of the Texas Government Code allows a city, by resolution of its
governing body, to participate in cooperative purchasing programs such as the Texas BuyBoard
Cooperative Purchasing Program as an alternative to a formal bid process; and,
WHEREAS, pursuant to Resolution No. 02-341, the City of Port Arthur entered into an
interlocal agreement for cooperative purchasing with the Buyboard Cooperative Purchasing
Program; now therefore,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PORT ARTHUR:
THAT,the facts and opinions in the preamble are true and correct; and,
THAT, the City Manager of the City of Port Arthur is hereby authorized and directed to
enter into a contract with Global Assets of Carrollton, Texas through their Buyboard contract
number 661-22 for the disposition of technology assets, in substantially the same form as attached
in Exhibit A and,
THAT, staff will provide a list of assets to the contractor in an Ordinance authorizing the
potential sale of refurbished assets at fair market value as provided in the attached Exhibit A.

THAT, a copy of the caption of this Resolution be spread upon the Minutes of the City
Council.

MASTER IT RECOVERY & RECYCLE AGREEMENT
Master Recovery Agent Agreement("Agreement") dated as of October 11, 2022 between Global
Asset,A Texas Corporation with an office located at 1815 Monetary Lane, Suite 100 Carrollton,TX
75006 ("Agent") and The City of Port Arthur located at 444 4th St., Port Arthur Texas, 77640("Owner").
Owner owns and utilizes certain computer,data processing,telecommunications or other general
equipment(collectively,the "Equipment") in the ordinary course of its business, which from time to time
becomes underutilized or surplus and requires storage, refurbishing, scrapping and remarketing.
Owner desires to engage Agent and Agent desires to accept such engagement to dispose of the
Equipment on behalf of Owner under the terms and conditions set forth below.
NOW,THEREFORE, Owner and Agent agree as follows:
1. Appointment: The Owner appoints Agent as its agent to store, refurbish, remarket, sell or
otherwise dispose of (collectively, "Recover") the equipment pursuant to the procedures
specified herein.
2. No Discrimination: The parties understand and agree that Agent is engaged in the business of
buying, selling and leasing equipment similar to Owner's for other owners. Agent agrees to
dispose / remarket the equipment so as to neither favor nor discriminate against Owner or any
other owner for which Agent is performing Remarketing services for like Equipment.
3. Delivery of Equipment:Agent shall at its own expense recover the Equipment owner designates
as recovery.
4. Warranty of Title: Owner represents and warrants to Agent that it has good and marketable title
to all Equipment delivered to Agent hereunder,free and clear of all security interests, mortgages,
liens, pledges, claims, charges or encumbrances of any kind.
5. Records: Agent shall maintain and provide Owner with a detailed audit by serial number of all
assets of value, counts of equipment scrapped, and certificates covering the performance of data
destruction as well as disposal.

6. Expenses: Agent shall bear all handling, billing, shipping, collection and travel expenses incurred
by Agent in connection with bundled recovery activities.
7. Payment: Instances where recovered assets yield a fair market value, payment will be made to
owner within 30 calendar days of processing completion. Payment will be made in the form of
company check, certified check,wire transfer, or innovation vouchers.
8. Term:The term of this agreement shall be for 1 year and commence once this document has been
executed by obtaining the necessary signatures from the authorized party for both the agent and
owner. This agreement will automatically renew for one year. Either Party may cancel this
agreement with a thirty-day written notification.
9. Miscellaneous:
A.Amendments:This Agreement and any Recovery Schedule may only be amended by a
writing signed by the parties hereto.
B. Entire Agreement:This Agreement supersedes all previous arrangements
or
Agreements, whether written or oral and comprises the entire agreement of the parties.
C. Survival: The representations and agreements in the Agreement shall survive the
execution and delivery of this Agreement and consummation of any transaction
hereunder. This Agreement shall be binding on and insure to the benefit of the parties,
their respective successors and assigns.
D. Global Asset can no longer provide a zero cost recycle program for older model tube
type TV's or CRT's. As a single source IT recycling partner Global Asset can provide this
recycling service for a competitive$.35 cents per pound for TV's& CRT monitors when
bundled with our Retired IT Asset Recovery and Recycling Programs.
