ORDINANCE NO.
AN ORDINANCE AUTHORIZING THE SALE OF CITY-OWNED VACANT
TRACTS OF LAND LOCATED ON THE CITY'S WESTSIDE NEAR DENBO
AND GRANNIS AVENUE TO THE PORT OF PORT ARTHUR
NAVIGATION DISTRICT IN ACCORDANCE WITH CHAPTER 272 OF
THE LOCAL GOVERNMENT CODE AND EXECUTION OF A SPECIAL
WARRANTY DEED
WHEREAS,on July 11,2023,the Port of Port Arthur Navigation District submitted an offer
to the City requesting to purchase city-owned vacant tracts of land located on Port Arthur's Westside
near Denbo and Grannis Avenue as described in the attached"Exhibit"A"; and
WHEREAS, on August 1, 2023, City Council approved a Motion authorizing the City
Attorney and City Manager to enter into a sales agreement with the Port of Port Arthur, in
accordance with the Chapter 272 of the Local Government Code,for the potential sale of the above-
mentioned vacant tracts at the total fair market value price of$311,800.00; and
WHEREAS,the vacant tract referenced as JCAD Property ID No. 100578(LTS 1718<
19 BLK 1 SMY 3), will need to be omitted from for the sale due to the title examiner's report
revealing that the City was not fee simple owner,thereby reducing the price by$18,700.00 to a new
total sale price of$293,100.00; and
WHEREAS, the sale is authorized pursuant to Section 272.001(1) of the Texas Local
Government Code which applies to the sale of land to another political subdivision; and
WHEREAS,pursuant to §272.001(b)(5)of the Texas Local Government Code,the notice of
bidding requirements of Subsection (a) do not apply to real property interest conveyed to a
government entity that has the power of eminent domain; and
WHEREAS,the City Council has determined that it is in the best interest to proceed with the
sell and conveyance of the vacant tracts in order to help facilitate the Port's expansion and to
4 promote economic development efforts within the City.
NOW THEREFORE,BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY
OF PORT ARTHUR:
Section 1. That the facts and opinions in the preamble are true and correct.
Section 2. That the City Council hereby authorizes the sale of the vacant tracts of land to
the Port of Port Arthur Navigation District as described in Exhibit"A".
Section 3. That the vacant tract referenced as JCAD Property ID No. 100578(LTS 1718
& LT 19 BLK 1 SMY 3), shall be omitted from for the sale, thereby reducing the price by
$18,700.00 to a new total sale price of$293,100.00 determined by certified appraisals.
Section 4. That the sale of the vacant tracts of land shall be in accordance with Chapter
272 of the Texas Local Government Code and under the terms and conditions specified in the Real
Estate Sale Contract.
Section 5. That the City Manager and City Attorney,are hereby authorized to execute all
closing documents necessary for the sale of the vacant tracts.
Section 6. That the City Manager is further authorizes,contingent upon closing,execute
a Special Warranty Deed, in substantially the same form attached hereto as Exhibit "B", for the
conveyance to Port of Port Arthur Navigation District for the consideration of sum in the amount of
$293,100.00.
Section 7. That a copy of the caption of this Ordinance be spread upon the Minutes of the
City Council.

As previously discussed, the Port of Port Arthur is interested in acquiring additional real property in
order to expand its facilities and to promote economic development in Port Arthur. In connection therewith, the
Port of Port Arthur hereby offers to purchase from the City of Port Arthur, Texas the properties listed on page 3
for the full appraised value of each property in accordance with an appraisal performed for and paid for by the
Port of Port Arthur.
This offer is conditioned upon the parties entering into a mutually acceptable Real Estate Contract
containing usual and customary terms and conditions pertaining to the sale including confirmation of ownership
as to each Tract. Should you have any questions regarding this offer, please do not hesitate to contact me.
Otherwise, please indicate your acceptance of this offer by dating, signing and returning to me via email or
regular mail a copy of this letter. Upon my receipt thereof, I will instruct our attorneys to prepare a Real Estate
Contract for your consideration.
