RE: P.R.23373 —Replacement of the Gates Building's Roof for $180,500.00 by
Marsh Waterproofing, Inc. of Vidor, Texas, through the Region 5 Cooperative
Purchasing Program
Introduction:
This agenda item requests Council's approval to replace the roof on the Gates Building.
Background:
Resolution 23-307 authorized the Public Works Department to demolish, abate, and clean the
Gates Building, which the Christus Hospital System donated to the City. During this work,
numerous voids in the roof were revealed. The contractor informed the Public Works
Depai intent of the urgency for the roof replacement for the mold and asbestos remediation work
to be completed and effective.
The Public Works Department contacted Marsh Waterproofing, Incorporated(Marsh) of Vidor,
Texas, to provide a quote for cleaning and replacing the roof and removing the inoperable air
conditioning unit. Marsh provided its quote through the Region 5 Cooperative Purchasing
Program.
Budget Impact:
Marsh Waterproofing, Inc. of Vidor, Texas, which maintains contract numbers 20230301,
Building Materials & Supplies; 20220403, Disaster Restoration & Recovery; and 20230305,

Paint Supplies & Services with the Region 5 Cooperative Purchasing Program, provided a
competitive quote for $180,500.00. The roof replacement will be funded by the Capital
Improvement Fund—City Facility Improvements Account, 307-21-049-8512-00-10-000.
Recommendation:
The City of Port Arthur City Council is recommended to approve PR 23373 authorizing the
Gates Building's roof replacement by Marsh Waterproofing, Inc. of Vidor, Texas, through the
Region 5 Cooperative Purchasing Program.

A RESOLUTION AUTHORIZING THE ROOF REPLACEMENT FOR
THE GATES BUILDING BY MARSH WATERPROOFING, INC. OF
VIDOR, TEXAS, WITH A PROJECTED BUDGETARY IMPACT OF
$180,500.00 THROUGH REGION 5 EDUCATION SERVICE CENTER
(ESC) CONTRACT NUMBERS 20230301, 20220403 AND 20230305.
FUNDING IS AVAILABLE IN THE CAPITAL IMPROVEMENT FUND —
CITY FACILITY IMPROVEMENTS ACCOUNT, 307-21-049-8512-00-10-
000.
WHEREAS,Resolution 23-307 authorized the execution of a contract for the demolition,
abatement, and cleaning of the Gates Professional Building; and,
WHEREAS, during this work, numerous voids in the roof were revealed; and,
WHEREAS, the contractor informed the Public Works Department of the urgency to
replace the roof for the mold and asbestos remediation work to be completed and effective; and,
WHEREAS, Marsh Waterproofing, Incorporated of Vidor, Texas, provided a quote for
cleaning and replacing the roof and removing the inoperable air conditioning unit through the
Region 5 ESC Southeast Texas Cooperative Purchasing quote of$180,500.00; and,
WHEREAS, pursuant to Chapter 271, Subchapter D of the Texas Local Government
Code, a city, by resolution of its governing body, may participate in cooperative purchasing
programs established by the State Facilities Commission for the purchase of goods at prices
established through purchase contracts of the Commission; and,
WHEREAS,the City entered into an interlocal agreement for cooperative purchasing with
the Region 5 ESC Southeast Texas Cooperative Purchasing Organization through Resolution 20-
019; and,
WHEREAS,Marsh Waterproofing, Inc. is a vendor on the Region 5 ESC Southeast Texas
Cooperative Purchasing Organization and has provided a quote attached hereto as Exhibit A.

NOW,THEREFORE,BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF PORT ARTHUR:
THAT,the facts and opinions in the preamble are true and correct; and,
THAT, the City Council of the City of Port Arthur hereby authorizes and directs the City
Manager to execute on behalf of the City a contract with Marsh Waterproofmg, Inc. of Vidor,
Texas,for the roof replacement and air conditioning removal for$180,500.00,in substantially the
same form as attached in Exhibit B; and,
THAT, a copy of the caption of this Resolution be spread upon the Minutes of the City
Council.

• If needed, Owner to furnish two (2) 110-volt amp outlets and one (1) 220 volt 50-amp
single phase outlet and connect contractors power cord as supplied by contractor.
• If needed, Owner to furnish cold water at spigot in work area.
• If needed, Owner will cooperate with contractor in moving cars, etc. to minimize the
risk of overspray.
• This proposal does not include any asbestos removal, encapsulation, or disposal of the
same.
• We are not responsible for the relocation or covering of any product or production
areas that could get damaged by dust, dirt, falling deck or water during the project.
• If needed, Owner will furnish interior and exterior storage area, parking space for
trucks and storage trailers.
• If needed, Owner to move all non-permanently mounted items away from surfaces to
be treated.
• If needed, Owner to cut back any existing landscaping a minimum of two feet away
from the building prior to work commencing if needed.
• The scope of work under this contract expressly does NOT include investigation,
detection, abatement, replacement, removal or detoxification of and Hazardous
Environmental Condition.
• "Hazardous Environmental Condition"means any type or form of asbestos, lead or
fungus, including mildew, mold, rot, rust, mycotoxins, spores, scents or byproducts
produced or released by fungi.
• Our quote is based on the fact that this specification meets your insurance company
approval and local code approval.

CONTRACT TO REMOVE AND REPLACE THE ROOF AND DISCARD THE
AIR CONDITIONER AT THE GATES PROFESSIONAL BUILDING FOR THE
CITY OF PORT ARTHUR
THIS AGREEMENT, made this day of , 2023,
by and between the City of Port Arthur, a municipal corporation organized under the laws
of the State of Texas, hereinafter called "OWNER" or"CITY" and Marsh
Waterproofing, Inc. hereinafter called"CONTRACTOR."

WITNESSETH: That for and in consideration of the payment terms, conditions
and agreements set forth herein, OWNER and CONTRACTOR agree as follows:
1. The term of this Contract shall be sixty (60) days from the start date on the Notice to
Proceed. The City can terminate this contract at its convenience, which includes,
but is not limited to, funding not being available in any budget cycle with thirty (30)
days' written notice.
2. The Contractor will perform work as stated in the Contract Documents.
3. During the term of this Contract, the Contractor will furnish at his own expense all of
! the materials, supplies, tools, equipment, labor, and other services necessary to
connection therewith, excepting those supplies specifically not required of Contractor
in the Specifications.
4. The CONTRACTOR agrees to supply the materials described in the specifications
and contract documents at the unit prices shown below, and will be the contracted
vendor for the following items as indicated.
Roofing overlay including cleaning roofing debris, smoothing high spots in the foam,
installing '/2" coverboard, installing 60 mil roofing membrane,reusing existing coping
cap, and cleaning all trash and debris
Not-to-Exceed: $175,000.00
Rooftop unit removal including demolishing the existing roof units and hauling off all
trash and debris
Not-to-Exceed: $5,500.00
5. The term "Contract Documents" means and includes the following:
a) Agreement
b) Scope of Work
c) Bid/Quote

6. This Agreement shall be binding upon all parties hereto and their respective heirs,
executors, administrators, successors, and assigns.
7. IN WITNESS WHEREOF,the parties hereto have executed, or caused to be executed

deemed an original on the date first above written.
