R.# 15614, Thyssen Krupp Elevator for City Hall Elevator Modernization DATE: 09 November 2009 RECOMMENDATION: It is recommended that the City Council approve Proposed Resolution No. 15614 authorizing the City Manager to execute an agreement with ThyssenKrupp Elevator of Houston, Texas through TCPN Contract # R4679 to modernize and upgrade the elevators at City Hall for an amount not to exceed $225,498. Funds are available in CIP900, 303-1601-591.82-00. BACKGROUND: The City Hall elevators are in need of having the electrical and operating systems upgraded. The basic upgrades we have requested (per car) include: New microprocessor controller New A/C hoist motor with electronic drive (to replace the existing DC motor generator set) New wiring New door operator New fixtures (car operating panel, push buttons, and lanterns) New code-related door access keyswitches, rope brake, and toe guard New top of car inspection stations New positioning system ThyssenKrupp Elevator can provide these upgrades for an amount not to exceed $225,498. We have recently upgreded the cab walls and lighting, so that is not included in this scope. BUDGETARY/FISCAL EFFECT: _ Funds are available in CIP900, 303-1601-591.82-00. EMPLOYEE/STAFF EFFECT: None. WHEREAS, in the interest of providing continued service to the citizens of Port Arthur, the Gty Hall elevators need to be modernized and upgraded; and, WHEREAS, ThyssenKrupp Elevator can provide the needed upgrades through TCPN Contract # R4679 for an amount not to exceed $225,498; now, therefore, BE IT RESOLVED BY THE CITY-COUNCIL OF THE CITY OF PORT ARTHUR: THAT, the City Manager is hereby authorized to execute an agreement with ThyssenKrupp Elevator of Houston, Texas (attached as Exhibit "A'~ to modernize and upgrade the elevators at Gty Hall for the not to exceed amount of $225,498, with 30% due at execution, funding being available in CIP900 303-1601-591.82-00; and, a copy of the caption of this Resolution be spread upon the Minutes of the City Council. Page 3 of 14 1.01 This proposal covers the complete modernization of TWO (2) GEARED TRACTION PASSENGER elevator(s) located at PORT ARTHUR CITY HALL, 444 4TM ST., PORT ARTHUR, TX 77641. All work will be performed in a workmanlike manner and will include all work and material as specified herein. In ail cases where a device or part of equipment is herein referred to in the singular number, it is intended that such reference will apply to as many such devices as are required to complete the installation. 1.02 All work will be performed in accordance with the most applicable edition of the Nationa! Safety Code for Elevators, Dumbwaiters, Escalators, and Moving Walks (ASME A17.1), ANSI A117.1 Barrier Free Code as pertaining to Passenger Elevators, the Americans with Disabilities Act (ADA), the National Electrical Code, and/or such State and Lowl elevator codes as may be applicable. ' 1.03 Drawings. ThyssenKrupp Elevator will prepare drawings and/or out sheets at company's sole discretion, showing the general arrangement of the elevator equipment. 1.04 Permits. taxes and licenses All applicable sales and use taxes, permit fees and licenses, as of the date bids are taken, will be paid by ThyssenKrupp Elevator. 1.05 Maintenance service. ThyssenKrupp Elevator will furnish a separate maintenance contract to be executed by Owner/Manager. 1.06 Wiring diagrams. Two (2) complete sets of "made final" wiring diagrams including input and output signals will befumished to the Purchaser. 1.07 K~ Two (2) keys for each key switch specified will be furnished to the Purchaser. Page 5 of 14 PART 3 -MODERNIZATION EQUIPMENT DESCRIPTIONS AND FEATURES MACHINE ROOM and HOISTWAY: CONTROL & DRIVE SYSTEMS. NEW MICROPROCESSOR CONTROLLER: NEW. The elevator control system shall be microprocessor based and software oriented. The system shall operate in real time, continuously analyzing the car(s) changing postion, condition, and work load. All controller and operational circuits including the brake control and drive system shall be all digital. Control of the elevator shall be automatic in operation by means of push buttons in the car numbered to correspond to floors served, for registering car stops, and by "up-down" push buttons at each intermediate landing and "call" push buttons at terminal landings. TRAFFIC PATTERN: NEW. The microprocessor shall provide flexibility to meet well-defined patterns of traffic such as up peak, down peak, and heavy inter-floor demands and the fuzzy logic software will adjust for the many indeterminate variations in patterns that occur in buildings. ANTI-NUISANCE CALL CONTROL: NEW. The microprocessor control system shall evaluate the number of people an the car and compare that value to the number of car calls registered. If the number of car calls exceeds the number of people by a field programmable value, the car calls shall be canceled after the first call has been answered. POSITION SELECTION: NEW. The postion selector shall be part of the microprocessor system. The car position in the hoisiway shall he digitrzed through a primary position encoder. The microprocessor control system shall store the floor position and slowdown points in memory. AUTOMATIC SELF-LEVELING: NEW. The elevator shall be provided with aself-leveling feature that will automatically bring the car to the floor landings. This self-leveling shall, within its zone, he entirety automatic and independent of the operating device and shall correct for over-travel orunder-travel. The car shall also be maintained approximately level with the landing irrespective of the load. MOTION CONTROL: NEW. The drive control system shall bedual-loop feedback system hosed primarily on car position. The velocity profile shall be calculated by the microprocessor control system producing extremely smooth and accurate stops. The velocity encoder shall permit continuous comparison of machine speed to velocity profile and to actual car speed. MACHINE: All Elevators Retain, clean and paint existing machines. Add NEW Rape Brake/Rope Gripper Device, including controller circuitry, as per Code requirements for Ascending Car Overspeed and Unintended Car Movement Protection). Add NEW sheave guards as required by Code. MOTOR and DRIVE. Remove existing outdated MG sets and replace with New AC Motor (geared elevators only) and New Drives, thereby eliminating the need for carbon brushes and helping to mairrtain a cleaner building ernironment. In addition, power consumption of the new equipment is less than that required by the old MG sets, resulting in energy savings to the building. MOTOR: NEW. Furnish and install new, totally enclosed, non-ventilated AC motor with Class F insulation. Motor armature shall be dynamically balanced and supported by ball bearings of ample capacity. NEW velocity encoder is also included. Motor Pre-Torque: Current shall be applied to the elevator drive before the brake is released and the speed pattern is dictated to eliminate rdl hack and sling shot effects of unbalanced loads in the car. The electronic loadweigher shall determine the load on the car determining apre-torque reference to send to the drive. M00 03/02 Agreement for Elevator Modemaation, NEW velocity encoder will be provided. Page 6 of 14 DRIVE; NEW Variable Voltage Variable Frequency (VWF) Drive. Control: Vector controlled pulse-width modulated AC drive. The variable voltage variahle frequency drive shall convert the AC power supply using a two step process to a variable voltage variable frequency power supply for use by the hoist motor. Speed control shall be by means of vector control providing independent excitation and torque current. Provide a digital velocity encoder on the motor, giving feedback to the controller on motor speed and position. BRAKE: Retain existing brake, clean, lubricate and adjust Provide new brake switch if applicable. New brake switch shall monitor lifting and setting of the brake. The setting and liking of the-brake shall be software based and all electronic. GOVERNORS & SAFETIES. GOVERNOR: NEW. New centrifugal speed governor lopted over the hoistway. Governor will include position encoder and be designed to cut off power to the motor and apply the brake whenever the governor indicates the car has excessive speed. GOVERNOR ROPE: NEW. Furnish and install new governor rapes. AUTOMATIC TERMINAL LIMITS. NEW. Electric limit swftches shall be placed in the hoistway near the terminal landings and be designed to cut-off the electric current and stop the car should it run beyond either terminal landing. EMERGENCY TERMINAL LIMITS. NEW. Provide emergency terminal stopping devices for speeds over 100 FPM. The emergency terminal stopping device shall operate independently of the normal terminal stopping device if it fails to slow down the car at the terminal as intended. WfRING. NEW. Complete new elevator hoistway wiring and traveling cables shall be provided. ROPES, RAILS & COUNTERWEIGHTS. HOIST CABLES: Retain existing hoist cables. GUIDE RAILS: Retain existing guide rails. COUNTERWEIGH7S: Retain existing counterweights. CAR and COUNTERWEIGHT ROLLER GUIDES: Retain existing car and counterweight roller guides and refurbish as needed; replace rollers as needed: HOISTWAY DOORS & ENTRANCES. Retain existing hoistway doors and sills, including stamped steel, floor ident~cation pads {Braille plates) on both sides of elevator entrance at each floor, in accordance with ADA requirements. PIT EQUIPMENT. BUFFERS: Retain existing buffer assemblies. PIT STOP SWITCH: NEW Furnish and install new pit stop switch as per Code. PIT LADDER: NEW Furnish and install new Code compliant pit ladder, one per elevator, as per Code. MOD 03/04 Agreement far Elevator Modernization. Page 7 of 14 CAR: CAR SLING AND PLATFORM. Retain existing car slmg and platform. NEW Electronic Loadweigher. Each car shall be provided with aload-weighing device which, when the particular car is filled to an adjustable percentage of the capacity load, shall cause the car to bypass the landing calls but not car tails. These passed landing calls shall remain registered for the next following car. The device shall be unaffected by the action of compensating chain or rope. The load sensor shall use a linear variable differential transformer to accurately measure the weight in the car. The device shall detect under all conditions a 15-pound load change. CAB ENCLOSURElCAB FINISHES Retain existing cab enclosure and finishes, including car doors and sills. CAR TOP RAILING. Furnish and install new car top railing if needed, as requ'ved by Code. TOE GUARD. Furnish and install new toe guards as needed, as required by Code. DOOR OPERATION. DOOR OPERATOR: NEW, Closed loop Door Operator, complete including machine and motor. Front door types are Center Opening. The complete door operator will be replaced with a microprocessor based control closed loop feedback system to improve door cantrDl and performance time. All other car-side equipment such as hangers, rollers, gate switches and track shall also be replaced with new. DOOR OPERATION: System shall be designed to operate the car and haistway doors simultaneously. Door movements shall be electrically. wshioned at both limits of travel and the door operating mechanism shall be arranged for manual operation in the event of power failure. Doors shall automatically dose after an adjustable time interval ar when the car is dispatched to another landina• The microprocessor control system sftall provide separate timers for car call door hold open time and hall call door open time: The door hold open times shall be field programmable. DOOR OPERATOR RELATED HARDWARE: Hoistway-side interlocks, pick-up assemblies and closers will 6e replaced with new. Retain and refurbish existing tracks and replace rollers as needed. DOOR PROTECTION SYSTEM: NEW NEW Microlight door protection system to comply with Code. Microlight system uses 40 microprocessor controlled infrared light beams that project across the car opening detecting the presence of a passenger or object If door movement is obstructed, the doors shall immediately reopen. Microlight door protection reduces liability by eliminating passenger/elevator contact, it has no moving parts, and its solid state component ensures high reliability. DOOR RESTRICTOR: Retain existing if Code compliant or replace as needed. CARTOP INSPECTION STATION. NEW top of car inspection station with "emergency stop" swRch and constant "up-down" direction buttons will he installed as per Code. The station removes the car from normal service and allows the car to run at inspection speed from the car top station only. It provides a means of operating the elevator from on top of the carat slow speed during adjustment, inspection, maintenance and repair. MOD 03/01 Agreement for Elevator Modernization. Page 8 of 14 SIGNALS. -Any new signals provided under this section shall be Traditional Style and include LED illumination, CAR SIGNAL FIXTURES. NEW Main Car Operating Panel surface applied to existing front return. New panel will contain all devices required for the specified operation, as follows: Main: Furnish and install new ADA-compliant car operating panel with Traditional style fixtures including emergency light, integral ADA phone, alarm, door open and door close buttons, Code-compliant keyed "emergency stop" switch, illuminated floor pushbuttons, Rre Service-Phase II with Firefighters' instructions, floor passing tone, rear mount Braille plates and Digital (CE Microcom) Car Position Indicator all in an applied panel with No. 4 Stainless Steel finish. The operation of the "emergency stop" switch in the car shall, in addition to stopping the car, cause the alarm bell to ring as per Code. Elevator designation number, car capacity and No Smoking signage shall be engraved. Main panel shall also include the required operating switches such as fan, light, inspection and independent service key switches, and convenience outlet, all located behind a locked cabinet crompartment. EMERGENCY COMMUNICATION: NEW. Main car operating panel includes speaker pattern with a flush, integral ADA phone and Cade compliant instructional signage. HALL SIGNAL FlXTURES. HALL BUTTON RISERS (Hall Stations): NEW -Traditional Style NEW hall fixtures consisting of flush mounted hall stations in Stainless Steel #4 finish. Phase I Fire Service with fireman's instructions will be incorporated into 1"floor hall station. Illuminated buttons shall illuminate to indicate call has been registered at that floor for the indicated direction. Each terminal station shall contain one illuminating push button; each intermediate station shall consist of two illuminating push buttons, one for the up direction and one for the down position. COMBINATION HALL LANTERN/POSITION INDICATOR: NEW-Traditional Sryfe (at main landing only.) Furnish and install new top and bottom hoistway access switches including controller circuitry as required by Cade. LOBBY PANEL. NEW Fire Command Panel in elevator lobby at main landing. Panel will include both elevators and contain all Cade required features including the following: - CE Micro Comm digital position indicarors with diredian arrows -Fire Service Recali keyed switch and jewel - Fire Service instructions - Emergency Power keyed switch with manual selection (if applicable) -Emergency Power Lowering Complete Jewel (if applicable) -. Faceplate finish shall be Stainless Steel #4 finish. Sggna/fixture Notes: - Cutting and patching of walls ifrequired sha/l be by others. - All/nstructionalfire signage for the public, building maps, exit signage, etc. sha/l be by others. Phase I and Phase II Fire Service controls and features shall meet all applicable Code requirements as of the date of this proposal, and as currently required by the State of Texas. Nate: Building items, such as smoke detectors, etc., shall be by others. EMERGENCY POWER. NEW controller includes circuitry for emergency power operation; a feature which begins to function when Normal Building Power is last and Owner-provided Standby Power Source {building generator} is producing power. If a building generator does not exist, this feature will not function. Note: - Where a Standby Power Source (building generator exists.• Emergency power supp/y with automatic time delay transfer switch and auxiliary contacts with wiring to the designated elevator rontrol%% and a%ctrical cross connections between a%vator machine rooms for emergency power purposes are to be provided by others. MISCELLANEOUS. Car and Hoistway Door Gibs Car Top Exit Switch Intercom (Machine Room to Car} Owner's Manual & Wiring Diagrams 12 Month's Manufacturer's Standard Warranty PART 4 -INSTALLATION SEQUENCE AND SCHEDULE. Retain existing - Refurbish/replaee as Headed NEW as per Code NEW as per Cade NEW, one (1} set Included -All work will be performed during regular working hours of regular working days as is customary in the elevator industry. -The elevator will be out of service in the performance of the work as specfied -A sample work schedule is included with this proposal. Actual start date is subject to change based on receipt of executed contract and related requirements, and may possibly be subject to manpower schedule availability. -Start date to be coordinated with ThyssenKrupp Modernization Superintendent. -Pricing is based on standard manufacturing and delivery lead times as shown on sample schedule. Drawings are Hat included. If required, layouts will add approximately 5-6 weeks to the time sequence and their preparation will be at an additional cost to the price stated. WARRANTY MAINTENANCE. - Pricing in this proposal is based on both elevators being covered under a ThyssenKrupp Full Maintenance proposal prior to beginning of modernization. The one (1) year of manufacturer's standard maintenance to cointade with the 12- month Warranty will be covered under the existing service agreement so that no additional cost for Warranty service is included in this proposal. On overtime calls, ThyssenKrupp will cover the regular time portion and customer shall pay for the overtime portion, including travel time if applicable, at the then published billing rates for ThyssenKrupp customers. Fully executed full maintenance contract must be in place prior to beginning of modernization. MOD 03!02 Agreement for Elevator Modernization. Page 10 of 14 GENERAL NOTES. - Pricing on this proposal is based on, and shall meet all applicable requirements of, new Cade (ASME A17.1-2007}, which became effective in the state of Texas on September 1, 2008. PART 5 -TESTS. Ememencvfire service Perform Phase I and Phase II Fire Service tests to conform to applicable codes. Safetv Tests. Perform safety test as per Code. Test reports. Completed copies of test reports will be provided to the Purchaser. All required tests are ro be performed during the regular working hours of the elevator trade. Should the Purchaser require these tests to be performed outside the regular working hours, there will be an added cost to the quoted contract amount. PERMIT & INSPECTION: Applicable permit fees and one (1} State Inspector fee, per elevator, for final inspection and testing is included. NOTE: Should the inspection fail due to building related items for which Owner or others are responsible, additional fee(s) for subsequent inspection(s) are not included in the price stated. PART 6 -CLEAN UP AND PURCHASER INSPECTION. Clean up, ThyssenKrupp Elevator will remove all debris resulting from work on this contract. In addition, we will remove from the project site all unused or removed equipment and materials and restore elevator premises to a neat, clean appearance. Ins n. All materials and workmanship will be subject to inspection or testing. The Purchaser will have the right to reject defective or inferior. material or workmanship installed under this contract and may require the correction of such without additional cost to the Purchaser. PART 7 -WORK NOT INCLUDED. The following work is not included unless specifically addressed in this proposal, and is conditional upon the proper performance of such work by the General Contracror, Owner, Owner's Representative, or other Subcontracrors. A legal hoistway, propedy framed and enclosed, and including a pit of proper depth provided with ladder, sump pump, lights, access doors and waterproofing, as required. Removal of water in pit(s). Legal machine room, adequate for the elevator equipment, including floors, trap doors, gratings, foundations, lighting, ventilation and heat ro maintain the room at an ambient temperature of 50°F minimum (90° maximum). Adequate supports and foundations to carry the loads of all equipment, including supports for guide rail brackets and machine beams or overhead sheaves (if furnished). If adjacent hoistways are utilized, divider beams at suitable points shall be provided for guide rail bracket support. Should additional weight need to be added to the counterweight to balance the cabs, there would be an additional charge added to the contract amo-unt. Cutting and patching of walls, floors, etc., and removal of such obstructions as maybe necessary for proper installation of the elevato-r. Pockets or blockouts for signal factures. Suitable connections from the power main to each controller and signal equipment feeders as required, including necessary circuit breakers and fused mainline disconnect switches per N.E.C. Suitable power supply capable of operating the new elevator equipment under all conditions. Wiring to controller far car lighting. (Per N.E.C. Articles 620-22 and 620-51). Electric power without charge, for construction, testing and adjusting of the same characteristics asthe permanent supply. A means to automatically disconnect the main line and the emergency power supply to the elevator prior to the application of water in the elevator machine room will he furnished by the electrical contractor. This means shall not be self-resetting. Wiring and conduit from life safety panel or any other monitor station to elevaror machine room or suitable connection point in hoistway. Emergency power supply with a dry set of contacts which close 20 seconds prior to the transfer from normal power ro emergency power or hom emergency power to normal power whether in test mode or normal operating conditions. Automatic time delay transfer switch and auxiliary contacts with wiring to the designated elevator controller. Electrical cross connections between elevator machine rooms far emergency power purposes are ro 6e provided by others. Any governmentally required safety provisiens not directly involved for elevator installation. All painting, except as otherwise specified. Temporary elevator service prior ro compketion and acceptance of complete installation. Furnishing, installing and maintaining the required fire rating of elevator haistway walls, including the penetration of firewall by elevator fixture boxes, is not the responsibility of the elevator contractor. Flooring and/or installation of flooring by others. Purchaser is to provide a bonded N.E.C. compliant service ground wire, properly sized, from the elevator controller(s) to the primary building ground. Remote wiring to outside alarm bell as requested by the National Safety Code for Elevators and Escalators (ASME A17.1) (where applicable). Cost for additional inspections of the elevator equipment by code authorities after the initial one fails due to items that are the responsibility of the contractor, or for assisting others inspecting equipment installed by others. Purchaser agrees to provide a dry and secure area for storage of the elevator equipment at the time of delivery. Adequate ingress and egress td this area will also be provided. Any relocation of the equipment as directed by the purchaser after its initial delivery will be at purchaser's expense. A!I existing equipment removed by ThyssenKrupp shall become the exclusive property of ThyssenlGupp, It is agreed that in the event asbestos material is knowingly or unknowingly removed or disturbed in any manner at the job site, Purchaser will monitor our work place. Prior to and during our manning of the job, Purchaser will certify that asbesros in the environmern does not exceed .Ol fibers per cc as tested by NIOSH 7400. In the event ThyssenKrupp employees or those of our subcontractors are exposed to an asbestos hazard, PCP's or other hazardous substances, Purchaser agrees ro indemnify, defend, and hold ThyssenKrupp harmless.from all damages, claims, suits, expenses, and payments resulting from such exposure. Removal and disposal of asbestos crorrtaining material is the responsibility of the Purchaser. PART 8 -SPECIAL CONDITIONS. Performance of this contract is contingent upon Purchaser furnishing ThyssenKrupp with any necessary permission or priority required under ttre terms and conditlons of government regulations affecting the acceptance of this order or the manufacture, delivery or installation of the equipment. Unless otherwise agreed, it is understood that the work will be performed during regular working hours of the trades involved. If overtime is mutually agreed upon, an additional charge at our usual rates for such work shall be added to the contract price. ThyssenKrupp shall not be responsible in any way for the acts of others ar far pro-rata expenses of any nature incurred by others in or about the building. Certificates of Workmen's Compensation, Bodily Injury and Property Damage liability Insurance coverage will 6e furnished to Purchaser upon request, The premium far any bonds or insurance beyond our standard coverage and limits will bean addition to the contract price. Should loss of or damage to our materials, tools or work occur at the job site, Purchaser shalt compensate ThyssenKrupp, unless such loss or damage results from our own acts or omissions. If any drawings, illustrations or descriptive matter ~ fumished with this proposal, they are approximate and are submitted only to show the general style and arrangement of equipment being offered. Page 12 of 14 In the event the Purchaser defaults on any payment, or on any other provision of this contract, the unpaid balance of the purohase price, less the cost of completing the work, as estimated by us, shall immediately become due and payable. In the event a third parry is retained to enforce, construe or defend any of the terms and conditions of this agreement or to collect any monies due hereunder, either with ar without litigation, the prevailing parry shall be entitled to recover all costs and reasonable attorneys fees. The Purchaser does hereby waive trial byjury and does further hereby consent that venue of any proceeding or lawsuit under this agreement shall be in Dallas County, TX. PART 9 -TERMS AND CONDITIONS. All work shall be performed in accordance with the latest revised edition (as of the date of this proposaq of the Safety Code for Elevators, Escalators, and Dumbwaiters, the National Electrical Cade, andlor such State and local Codes as maybe applicable, as well as Company's Work-Not-Included form. Subsequent to the date of this proposal, should changes be made in any code, or should rulings by any code enforcing authorities extend the application of the cads, the work and materials necessary to make the installation comply with such changes shall be performed as an addition tai the contract price. Permits. taxes and licenses. All applicable sales and use taxes, permit fees and licenses imposed upon us as an Elevator Contractor as of the date of this proposal are included in the contract price. The Pumhaser agrees to pay, as an addition to the contract price, the amount of any additional taxes, fees or other charges exacted from the Purchaser or the Company on account thereof, by any law enacted after the date of this proposal. Acceptance of installation. Upon notice from us that the installation of the elevator has been completed, the Purchaser will arrange to have present at the installation site, a person duly authorized to make the final inspection and to provide a written acceptance. The date and time that such person will be present at the site shall be as mutually agreed, but shall not be more than ten business days after the date of our notice to you, unless we both agree to a certain date thereafter. Such final inspection and certificate of acceptance shall not be unreasonably delayed or withheld. Warr n We warrant the equipment installed by us under this.contract against defects in material and workmanship for a period of one year from the date each elevator is completed and placed in operation. This warranty is in lieu of any other liability for defects. We make no warranty of merchantability and no warranties which extend beyond the description in this contract, nor are there any other warranties, expressed or implied, by operation of law or otherwise. Like any piece of fine machinery, this equipment should be periodically inspected, lubricated, and adjusted by to mean that we will provide free service for periodic examination, lubrication, or adjustment due to normal use beyond that included in the contract, nor will we corcect, without a charge, breakage, maladjustments, or other trouble arising from abuse, misuse, improper or inadequate maintenance, or any other causes beyond our control. In the event of a claim, you must give us prompt written notice, and provided all payments due under the terms of this contract have been made in full, we shall, at our own expense, correct any proven defect by repair or replacement. We will not, under this warranty, reimburse you for cost of work done by others, nor shall we be responsible for the performance of equipment to which any revisions or alterations have been made by others. Itthere is more than one (1) unit in this contract, this section shall apply separately to each unit as completed and placed in operation. Title and ownership. We retain title to all equipment supplied by us under this contract, and a security interest therein, (which, it is agreed, can be removed without material injury to the real property} until all payments under the terms of this contract, including deferred payments and any extensions thereof, shall have been made in the event of any default by you in any payment, or under any other provision of this contract, we may take immediate possession of the equipment and enter upon the premises where it is located (without legal process) and remove such equipment or portions thereof irrespective of the manner of its attachment to the real estate or the sale, mortgage, or lease of the real estate Pursuant to the Uniform Commercial Code, at our request, you agree to join with us in executing any financial or continuation statements which may he appropriate for us to file in public offices in order to perfect our security interest in such equipment ThyssenKrupp Elevator complies with provisions of Executive Orders i 124fi, 11375, 11758, Section 503 of the Rehabilitation Act of 1993, Vietham Era Veteran's Readjustment Act of 1974, 3 S U. Any payments not paid when due shall bear interest at legal rate in farce at the place of the project. If after the work has been substantially completed, full completion is materially delayed through no fault of ours, you shall make such additional payments as may be required to leave outstanding only an amount equal to the value as estimated 6y us, based on the contract price, of the uncompleted portion. ThyssenKrupp Elevator shall not be liable for any loss, damage, or delay caused by acts of government, labor troubles, strikes, lockouts, fire, explosion, theft, floods, riot, civil commotion, war, malicious mischief, acts of God or any cause beyond its contro€, and in no event shall ThyssenKrupp Elevator be liable for any damages, nor any consequential, special or contingent damages. ThyssenKrupp Elevator shall automatically receive an extension of time commensurate with any delay regarding the aforementioned. INDEMNITY CLAUSE Elevator Contractor will fully indemnify and hold harmless parties indemnified under this contract for all our acts, actions, and neglects, but we will not indemnify any other party for their acts, actions or negligence. Any claim involving contributory negligence shall be handled so each party is responsible and liable for its share of the damages in proportion to its share of negligence. Elevator Contractor agrees to name Owner and/or Owner's representative as an additional insured in its liability and any excess (umbrella) liability insurance policy(es). The named Additional insureds) is/are defended and indemnified for actions arising from Contractor's acts, actions, omissions or neglects; but is not defended or indemnified for its awn acts, actions, omissions, neglects, ar bare allegations.ThyssenKrupp Elevator shall not be responsible for consequential, indirect, incidental, exemplary, special, or liquidated damages. Purchaser's acceptance of this agreement will constitute exclusively and entirely the agreement for the service herein described. All other prior representations aragreements, whether written or verbal, will be deemed to be merged herein, and no other changes in, or additions to this agreement will be recognized unless made in writing and property executed by both parties. Should your acceptance be in the form of a purchase order or similar document, the `_ __ provisions, terms and conditions of this agreement will govern in the event of a conflict. The remainder of the contract amount including changes and exva work orders is due attime of completion and approval by local authorities, but prior to tumaver for vour use. If there is more than one unit in this contract, final payment shall be made separately as each unit is completed. We reserve the right to discontinue our work at any time until payments have been made as agreed, and we have assurance, satisfactory to us, that the subsequent payments will he made as they become due.
