AN ORDINANCE AUTHORIZING THE SALE AND CONVEYANCE OF
CITY-OWNED VACANT TRACTS OF LAND LOCATED ON FREEMAN
AVENUE(FORMERLY TEXAS AVENUE),IDENTIFIED AS PARCEL NOS.
95636,95641,95642,95643,AND 95644,TO THE PORT OF PORT ARTHUR
NAVIGATION DISTRICT FOR THE TOTAL FAIR MARKET VALUE OF
$26,100.00 TO SUPPORT THE PORT'S EXPANSION EFFORTS
WHEREAS,the Port of Port Arthur Navigation District,a political subdivision of the State
of Texas, is actively working to expand its operational capacity to support the growing maritime
commerce, logistics and industrial development of the region; and
WHEREAS,on July 22,2025,the Port of Port Arthur Navigation District submitted an offer
letter, attached hereto as Exhibit "A"to purchase City-owned vacant tracts of land located on the
City's Westside along Freeman Avenue (formerly Texas Avenue), described in Exhibit "B" and
identified as Parcel Numbers 95636,95641,95642,95643,and 95644,for the total fair market value
amount of$26,100.00; and
WHEREAS, the sale of these tracts will support the Port's long-term development
objectives and align with broader regional economic development efforts aimed at increasing trade
activity and creating employment opportunities; and
WHEREAS,the sale of the tracts is authorized pursuant to Section 272.001(1)of the Texas
Local Government Code which applies to the sale of land to another political subdivision; and
WHEREAS,pursuant to§272.001(b)(5)of the Texas Local Government Code,the notice of
bidding requirements of Subsection (a) do not apply to real property interest conveyed to a
government entity that has the power of eminent domain; and
WHEREAS,it is deemed in the best interest of the citizens to sell and convey the tracts of
land to the Port to support its mission to stimulate economic growth and development.
NOW THEREFORE,BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY
OF PORT ARTHUR,TEXAS:
Section 1. That the facts and opinions in the preamble are true and correct.
Section 2. That the City Council hereby authorizes the City Manager to accept the Port
of Port Arthur Navigation District's offer attached hereto as Exhibit"A"for the sale of the following
tracts of land for the fair market value amounts determined by certified appraisals:

Section 3. That the sale of the vacant tracts of land shall be in accordance with the Texas
Local Government Code § 272.001(b)(5), which applies to the sale of land to another political
subdivision.
Section 4. That the City Manager and City Attorney are hereby authorized to execute all
necessary documents relating to the sale and conveyance of the vacant tracts of land to the Port of
Port Arthur Navigation District.
Section 5. That a copy of the caption of this Ordinance be spread upon the Minutes of the
City Council.

Conditional offer to purchase real property located in Port Arthur,Texas
Dear Mr. Burton,
As previously discussed,the Port of Port Arthur is interested in acquiring additional real property
in order to expand its facilities and to promote economic development in Port Arthur. In connection
therewith, the Port of Port Arthur hereby offers to purchase from the City of Port Arthur, Texas the
following properties for the full appraised value of each property in accordance with an appraisal
performed for and paid for by the City of Port Arthur:
95641 Feeman Ave. $4,200
95642/95643/95644 710 Freeman Ave $12,000
The following property appraisal was performed for and paid for by the Port of Port Arthur:
95636 748 Freeman Ave $9,900
This offer is conditioned upon the parties entering into a mutually acceptable Real Estate Contract
containing usual and customary terms and conditions pertaining to the sale including confirmation of
ownership as to each Tract. Should you have any questions regarding this offer, please do not hesitate to
contact me. Otherwise, please indicate your acceptance of this offer by dating, signing and returning to
me via email or regular mail a copy of this letter. Upon my receipt thereof, I will instruct our attorneys to
prepare a Real Estate Contract for your consideration.
