Introduction:
The intent of this agenda item is to seek the City Council's approval of Proposed Resolution
23649 authorizing the financing of two Pierce Custom Enforcer Pumper, 2nd Generation Type I
Fire Engine Apparatus from Siddons-Martin Emergency Group of Denton,Texas,through PNC
Leasing and Amending Resolution 24-123 to increase the amount.
Background:
On March 26,2024,the City Council adopted Resolution 24-123 approving the purchase of two
Pierce Type I Fire Engine Apparatus from Siddons-Martin Emergency Group through a
lease/purchase financing agreement with PNC Equipment Finance, LLC. The resolution
contemplated full pre-payment, and the original quoted price of$2,512,762 included pre-pay
discounts.
Although the apparatus had already been ordered,the City did not issue a purchase order,execute
a contract, or complete the pre-payment arrangements authorized under Resolution 24-123.
Because the pre-payment was not made, certain discounts tied to early payment were lost.
Siddons-Martin recalculated the pricing to reflect the remaining eligible discounts and the loss
of those that have since expired.
As a result,the updated total cost for both units is $2,670,977. This revised figure represents the
corrected equipment cost after accounting for the partial loss of pre-pay incentives.

Budget Impact:
To complete this purchase, the Fire Department is requesting approval of Proposed Resolution
23649, authorizing the execution of a Master Lease-Purchase Agreement with PNC Equipment
Finance, LLC, for a principal amount not to exceed $2,670,977. The financing proposal aligns
with the City's intended procurement method and enables the City to secure the equipment while
capturing the remaining discounts available.
Lease payments will begin in December 2026, shifting the financial impact to the FY 2026-
2027 budget cycle rather than the current fiscal year, however Proposed Budget Amendment
7385 encumbers the first year payment.
Although the Equipment was approved in FY 2023-2024 and appropriations were made through
Resolution 24-123, no purchase order, contract, or encumbrance was executed. As a result, the
acquisition must now be completed through the lease/purchase financing process.
Funding for the financing will be drawn from Capital Reserve Account No. 625-19-047-8492-
00-00-000, consistent with the Fire Department's capital planning.
Recommendation: This resolution is necessary to address the procedural gap left by Resolution
24-123, secure the updated pricing, and enable the City to proceed with the acquisition of
essential fire apparatus. Adoption will authorize the financing documents and ensure that the
City obtains the equipment needed to maintain reliable and effective emergency response
operations.

LEASE/PURCHASE OF TWO PIERCE CUSTOM
ENFORCER PUMPER, 2ND GENERATION TYPE I FIRE
ENGINE APPARATUS FROM SIDDONS-MARTIN
EMERGENCY GROUP OF DENTON, TEXAS. FUNDS TO
SUPPORT THIS FINANCING STRUCTURE WILL BE
DRAWN FROM THE CAPITAL RESERVE ACCOUNT NO.
625-19-047-8492-00-00-000 PENDING PROPOSED
BUDGET AMENDMENT PO 7385.
WHEREAS, on March 26, 2024, the City Council of the City of Port Arthur, Texas,
adopted Resolution 24-123 approving the purchase of two(2)Pierce Type I Fire Engine Apparatus
in the amount of$2,512,762 from Siddons-Martin Emergency Group of Denton, Texas; and,
WHEREAS, although the apparatus had been ordered, the City did not issue a purchase
order, enter into a contract, or complete the prepayment arrangements contemplated under
Resolution 24-123, resulting in the loss of certain prepayment discounts and requiring an
adjustment to the total equipment cost; and,
WHEREAS, the City Council finds that proceeding with the pre-pay agreement offered
through Siddons-Martin Emergency Group,and financing the acquisition through a lease/purchase
structure, will allow the City to preserve remaining eligible discounts while ensuring timely
procurement of the Equipment; and,
WHEREAS, the updated total cost for the Equipment is $2,670,977, which reflects the
revised pricing and the remaining available pre-payment savings; and,
WHEREAS,the Equipment is essential to the City's ability to maintain safe and effective
fire and emergency response operations; and,
WHEREAS,the City Council finds it necessary and appropriate to proceed with financing
through a Master Lease-Purchase Agreement ("Leases") in a principal amount not to exceed
$2,670,977 to secure the Equipment; and,
WHEREAS, PNC Equipment Finance, LLC has submitted a financing proposal and will
serve as the lessor under the Leases; and,
WHEREAS, lease payments are scheduled to begin in December 2026, resulting in the
financial impact occurring in the FY 2026-2027 budget cycle rather than the current fiscal year;
and,
WHEREAS, although the Equipment was approved in FY 2023-2024 and appropriations
were included in Resolution 24-123,no purchase order, contract, or encumbrance was executed at

that time, necessitating that this capital procurement be completed through the proposed
lease/purchase financing; and,
WHEREAS, funds to support this financing structure will be drawn from the Capital
Reserve Account No. 625-19-047-8492-00-00-000.
NOW THEREFORE,BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF PORT ARTHUR, TEXAS:
Section 1. That Resolution 24-123 is amended from $2,512,762 to $2,670,977.
Section 2. It is hereby found and determined that the terms of the Lease Financing
Proposal are in the best interest of the City of Port Arthur for the acquisition of the equipment.
Section 3. The City Manager is authorized to accept the financing proposal relating to
the lease/purchase of the Equipment, submitted by PNC Equipment Finance,LLC, attached hereto
as Exhibit A. The City Manager is authorized to execute, acknowledge, and deliver the Financing
Documents.
Section 4. The aggregate original principal amount of the Leases shall not exceed
$2,670,977, shall bear interest as provided therein, and shall include the purchase option terms set
forth in the Leases. Funds to support this financing structure will be drawn from the Capital
Reserve Account No. 625-19-047-8492-00-00-000.
Section 5. Pursuant to Section 265(b) of the Internal Revenue Code of 1986, as
amended ("Code"), the City acknowledges that the Lease will not constitute a "qualified tax-
exempt obligation"under Section 265(b)(3) of the Code.
Section 6. The City's obligations under the Leases shall be subject to annual
appropriation or renewal by the City Council as provided therein. The obligations shall not
constitute a general obligation of the City and shall not create indebtedness.
