A RESOLUTION OF THE CITY OF PORT ARTHUR, TEXAS, AUTHORIZING
THE CITY MANAGER To ENTER INTO AN INTERLOCAL COOPERATION
AGREEMENT BETWEEN THE CITY OF PORT ARTHUR, TEXAS, AND THE
SABINE NECHES NAVIGATION DISTRICT OF JEFFERSON COUNTY,TEXAS,
RELATING To THE DEEPENING, WIDENING, AND IMPROVING OF THE
SABINE-NECHES WATERWAY
WHEREAS, the Interlocal Cooperation Act, Chapter 791, of the Texas Government Code, as
amended,authorizes political subdivisions of this state to contract with each other in furtherance of
their authority; and
WHEREAS,the Sabine-Neches Navigation District of Jefferson County,Texas(District)is a political
subdivision of the State of Texas and is the non-federal sponsor of the federally authorized Sabine
Neches Waterway Channel Improvement Project (Project). The Project involves deepening and
improving the Sabine-Neches Waterway (Waterway).
WHEREAS, the City of Port Arthur, Texas (City) owns specific real property necessary for
constructing the Project. Specifically,the City owns and operates:
(1) an RV Park formerly known as Waterview RV Resort of Pleasure Island and also known as
PLEASURE ISLAND RV PARK II, located at 150 Pleasure Pier Boulevard, Port Arthur,
Texas (RV Park); and
(2) a STRIP OF LAND ALONGSIDE THE SABINE-NECHES WATERWAY and the former
Palms Golf Course at Pleasure Island, more specifically described in the Interlocal
Agreement(strip of land).
Both the RV Park and the strip of land are needed for the Project; and
WHEREAS, the City also owns and operates TWO 10" WATER UTILITY LINES from Houston
Avenue to T.B.Ellison Parkway on Pleasure Island,under the Sabine Neches Waterway,that must
be removed and replaced at a lower elevation(no higher than-70 feet)to construct the Project; and
WHEREAS, the District is willing to:
(1) RECONFIGURE AND RECONSTRUCT THE PLEASURE ISLAND RV PARK II onto
property owned by the City to maintain the total number of RV pads and utility connections
as are presently existing at the RV Park at the District's expense; and
(2) REMOVE AND REPLACE THE CITY'S TWO EXISTING 10"WATER UTILITY LINES and
install a minimum 16" line inside diameter HDPE waterline using the District's engineers
and contractors and at the District's expense; and
WHEREAS, the District will begin the work within 15 calendar days to reconfigure and replace the
RV parking spaces/pads and utility connections on land owned by the City; and
WHEREAS, the District will begin and complete the work to remove and replace the City's two
existing 10" water utility lines within 18 months or less; and
WHEREAS,in exchange and for consideration of the above-listed conditions,the City will transfer fee
title to five tracts out of property owned by the City to permit the District to construct the Project
within 15 calendar days. Said five tracts are identified more particularly in the two plats(Exhibit C
and D) and the five metes and bounds descriptions attached as Exhibits E. F. G. H, and I in the
attached Interlocal Cooperation Agreement. See Exhibit 1; and
WHEREAS,upon full review and consideration of the Agreement and all matters attendant and related
thereto, the City Council is of the opinion and finds that the terms and conditions thereof are
acceptable.
Now,THEREFORE,BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PORT ARTHUR,TEXAS:
SECTION 1. That the facts and the above recitals are true and correct and hereby incorporated for
all purposes.
SECTION 2. That the City Manager is hereby authorized to execute an Interlocal Cooperation
Agreement with the Sabine Neches Navigation District of Jefferson County, Texas, to deepen,
widen,and improve the Sabine-Neches Waterway in substantially the same form as attached hereto
as Exhibit 1.
SECTION 3. That this Resolution shall take effect immediately from and after its passage in
accordance with the provisions of the Charter for the City of Port Arthur,Texas,and it is accordingly
resolved.
SECTION 4. That a copy of the caption of this Resolution shall be spread upon the Minutes of the
City Council.

INTERLOCAL AGREEMENT BETWEEN THE CITY OF PORT ARTHUR,TEXAS
AND THE SABINE-NECHES NAVIGATION DISTRICT OF JEFFERSON COUNTY,
TEXAS

This Interlocal Agreement(the"Agreement")made and entered into by and between the
City of Port Arthur, Texas (the "City"), acting herein by and through its City Manager, as
authorized by Resolution of the City Council , and the Sabine-Neches Navigation District of
Jefferson County, Texas (the "District"), operating by and through its COO as authorized by
Resolution of the Board of Directors of the District.
RECITALS:
A. The City and District, pursuant to the provisions of Chapter 791, Interlocal
Cooperation Act, of the Texas Government Code, as amended and in furtherance of their
authority under applicable law, execute this Agreement.
B. The District is a political subdivision of the State of Texas and is the non-federal
sponsor of the federally authorized Sabine Neches Waterway Channel Improvement Project,
Southeast Texas and Southwest Louisiana as authorized by Section 7002(1)1 of the Water
Resources Reform and Development Act (WRRDA) of 2014, P.L. 113-121 (the "Project").
The Project involves deepening and improving the Sabine-Neches Waterway (the
"Waterway"). The Project is projected to generate an additional $57 billion in gross product
and 465,000 US jobs. The authority and powers of the District have been created by Texas
session laws and by federal law in the District's role as non-federal sponsor of the Project.
C. The City is a home rule municipality acting under its charter adopted by the
electorate pursuant to Article XI, Section 5 of the Texas Constitution and Chapter 9 of the Texas
Local Government Code.
D. The District, as non-federal sponsor of the Project, is responsible for providing
real estate necessary to construct the Project and also responsible for facilitating required
removal and relocation of utilities, such as water lines. Removal and relocation is necessary
because the Project deepens the Waterway requiring that the utilities be lowered to permit the
deepening. The deepening also requires that the shoreline of the Waterway in certain areas be
dredged away to maintain the necessary engineering requirements for the shape of the
Waterway at its new depth.
E. The City owns certain real property necessary for constructing the Project. The City
operates an RV Park formerly known as Waterview RV Resort of Pleasure Island and also
known as Pleasure Island RV Park II, located at 150 Pleasure Pier Boulevard, Port Arthur,
Texas (RV Park), more specifically legally described in Exhibit K. The City also owns a strip

of land alongside the Sabine Neches Waterway and the former Palms Golf Course at Pleasure
Island,more specifically legally described in Exhibit L. Both the RV Park and the strip of land
alongside the former golf course are subject to an easement in favor of the United States, Vol.
380,Page 250 Deeds Records,Jefferson County,Texas. File No. 6005,which easement allows
any portion of the real property subject to the easement to be used for the Project
F. The City also owns and operates two 10" water utility lines from Houston
Avenue to T.B. Ellison Parkway on Pleasure Island, under the Sabine Neches Waterway that
must be removed, replaced and relocated at a lower elevation(no higher than -70 feet).
G. The District is willing to remove and relocate the two water utility lines owned
by the City using the District's engineers and contractors and at the District's expense; and,the
District is willing to reconfigure the RV park onto property owned by the City so as to maintain
the same number of RV spaces and utility connections at the Pleasure Island RV Park II.
H. The City is willing to transfer fee title to 5 tracts out of property owned by the
City to permit the District to construct the Project.
NOW, THEREFORE,the District and the City, in consideration of the recitals set forth
above which are incorporated into this Agreement as if fully set forth below and in
consideration of such other agreements set forth below, agree as follows:
1. The District shall remove and relocate the two waterlines by at its sole expense
as described in the Scope of Work attached as Exhibit A. The exact timing of
the removal and relocation of the two waterlines will depend on many factors,
but the work will be complete in 18 months or less.
2. The District shall begin work within 15 calendar days to reconfigure and replace
RV parking spaces and utility connections on land owned by the City to maintain
the same number of RV spaces and connections at the Waterview RV Resort on
Pleasure Island. This work shall conform with the Scope of Work attached as
Exhibit B and work diligently to complete the Scope of Work.
3. Within 15 calendar days after execution of this Agreement,the City will transfer
fee title by special warranty deed to five tracts identified more particularly in the
two plats(Exhibit C and D),and the five metes and bounds descriptions attached
as Exhibits E, F, G, H and I. The forms of special warranty deed to be executed
is attached as Exhibit J.
4. The City shall permit access to the parcels identified in Paragraph 3 from land
to facilitate the reconfiguration work described in Paragraph 2 and the Project.
5. The District and the City will cooperate with each other to provide necessary
easements, information and access to accomplish the task contemplated by this
Agreement.

Waterline Crossing
The City's existing twin ten-inch (10-inch)waterlines from Houston Avenue to T.B. Ellison
Parkway on Pleasure Island, under the Sabine Neches Waterway, are installed at a depth
that conflicts with the Deepening and Widening Project. Therefore, the existing waterlines must
be removed and replaced at a lower elevation (no higher than -70 feet).
The Sabine Neches Navigation District(SNND)will perform the required field investigations,
surveying, engineering design, permitting,testing, and develop complete construction plans and
specifications to install a minimum 16-inch inside diameter HDPE waterline(including required
casing, spacers, valves, and connections) from the existing 16-inch waterline north of 5th Street
(between Washington Street and San Antonio Street), under the waterway,to T.B. Ellison
Parkway on Pleasure Island. All work will comply with applicable federal and State of Texas
requirements, including current TCEQ rules. City staff will review and provide input on the
design at 30%, 60%, 90%, and final milestones. SNND/their contractor will repair any
construction-related damage to infrastructure, buildings, or utilities. As-built plans will be
delivered to the City upon the City's acceptance of the new, fully functional waterline.
City staff shall be able to provide input and request reasonable changes. City staff shall be
invited to, and may participate in all meetings. The City of Port Arthur has no objection to other
utilities joining the convention, provided participation supports coordination, does not conflict
with City operations or project requirements, and follows all applicable City policies and
procedures.
SNND/their Contractor will be responsible for repairing any damage to existing infrastructure,
buildings, or utilities caused by the construction of the new waterline.

PLEASURE ISLAND RV Park II
The widening and dredging of the Sabine-Neches Channel will reduce the number of RV pads at
the Pleasure Island RV Park II by 30. SNND shall provide all required field investigations,
surveying, engineering design, permitting, associated testing, and complete construction plans,
contract documents, and technical specifications necessary to extend the existing RV park to
accommodate 30 new pads to replace the 30 pads being lost. SNND shall bid, manage
construction, and deliver to the City of Port Arthur a complete RV Park. The design of the new
pads and associated roads, water, sewer, drainage, and electrical systems shall meet the City of
Port Arthur—adopted Building Codes and Recreational Vehicle Ordinance. The new roads and
the additional pads shall meet the City of Port Arthur Fire Department's requirements. Any new
roads and/or cul-de-sacs shall be designed to support fire truck loadings. The additional pads
shall be constructed at the maximum possible distance from the City of Port Arthur elevated
water storage tank and sanitary sewer lift station.No pads shall be constructed over existing
water or sanitary sewer pipes.
All design and construction documents shall comply with applicable federal and state
requirements and all current Texas Commission on Environmental Quality (TCEQ)rules and
regulations. City of Port Arthur staff shall review and approve the design at the 50%, and final
design milestones. City staff shall be invited to, and may participate in meetings. City staff shall
be able to provide input and request reasonable changes.
SNND/their contractor will be responsible for repairing any damage to existing infrastructure,
buildings, and utilities that occurs during construction of the 30 new RV pads.
