Introduction: The City of Port Arthur issued a Request for Proposals(RFP) on December 10, 2025, and December 17,2025, seeking qualified firms to provide state and federal legislative consulting and government relations services. The proposed resolution authorizes the City Manager to negotiate an agreement with Greenberg Traurig, LLP with terms substantially similar to those outlined in Exhibit "C." Any negotiated agreement will be presented to the City Council for final consideration and approval prior to execution. Background: Five (5) proposals were timely received and evaluated in accordance with the criteria established in the RFP. Following a comprehensive review of the submitted proposals, Greenberg Traurig, LLP of Austin, Texas, was determined to be the most qualified firm based on its experience, qualifications, governmental relations expertise, available resources, and demonstrated ability to effectively represent municipal interests at both the state and federal levels. The proposed services will include representation of the City before the Texas Legislature, the Office of the Governor, the Office of the Lieutenant Governor, state agencies, the United States Congress, and federal agencies. In addition, the firm will monitor and advocate for legislation and policies affecting the City's governmental operations, employees,residents,infrastructure, economic development initiatives, and financial interests. Greenberg Traurig, LLP will also assist the City in developing and advancing its 2026-2027 legislative priorities, facilitating strategic governmental outreach efforts, preparing informational materials for legislative and executive branch officials,and providing analyses and recommendations concerning legislative,regulatory, financial, and budgetary matters impacting the City. Budget Impact: Funding for these services will be provided through the appropriate departmental budget allocation, subject to City Council approval of the final negotiated agreement. Recommendation: Staff recommends approval of the resolution authorizing the City Manager to negotiate an agreement with Greenberg Traurig, LLP, for state and federal legislative consulting and government relations services for the City. A RESOLUTION AUTHORIZING THE CITY MANAGER TO NEGOTIATE AN AGREEMENT WITH GREENBERG TRAURIG, LLP OF AUSTIN, TEXAS, TO PROVIDE STATE AND FEDERAL LEGISLATIVE CONSULTING AND GOVERNMENT RELATIONS SERVICES FOR THE CITY OF PORT ARTHUR. WHEREAS, the City seeks to enhance and protect its governmental, legislative, regulatory, and financial interests before state and federal governmental entities through professional legislative consulting and government relations services; and WHEREAS, on December 10, 2025, and December 17, 2025, the City issued a Request for Proposals seeking proposals from qualified individuals, joint ventures, and government relations firms to provide comprehensive state and federal legislative consulting and lobbying services for the City, as set forth in Exhibit"A"; and WHEREAS, the scope of services requested by the City included,but was not limited to, governmental representation, legislative monitoring and analysis, strategic consultation, professional advice, research, legislative advocacy, development and pursuit of legislation, establishment of legislative and governmental contacts, and related support services necessary to advance the interests of the City; and WHEREAS, five(5)proposals were timely received and evaluated in accordance with the criteria established in the RFP as set forth in Exhibit"B"; and WHEREAS, following review and evaluation of the submitted proposals, Greenberg Traurig,LLP was determined to be the most qualified firm to provide the requested services based upon its experience, qualifications,resources, governmental relations expertise, and demonstrated ability to effectively represent municipal interests at the state and federal levels; and WHEREAS, the selected firm shall serve as the City's legislative and governmental relations representative and shall establish and maintain key contacts with state and federal governmental agencies, legislative bodies, elected officials, public and private organizations, and other stakeholders whose actions may impact the City; and WHEREAS,the services to be provided shall include representation of the City before the Texas Legislature, the Office of the Governor, the Office of the Lieutenant Governor, state agencies, the United States Congress, and federal agencies, as well as monitoring and advocating for legislation affecting the City, its governmental operations, officers, employees, residents, and economic interests; and WHEREAS,the firm shall,but not limited to, assist the City in developing and advancing its 2026-2027 legislative priorities, facilitate strategic governmental outreach efforts, prepare and disseminate informational materials to legislative and executive branch officials, and provide recommendations and analyses regarding legislative, financial,regulatory, and budgetary matters affecting the City; and PR 24946 05/07/26 TN R WHEREAS,the City Council finds that it is in the best interest of the City to authorize the City Manager to negotiate an agreement with Greenberg Traurig, LLP, for state and federal legislative consulting and government relations services which will enhance the City's ability to effectively advocate for municipal priorities and secure favorable legislative and governmental outcomes. That the findings and recitals set forth in the preamble of this Resolution are hereby found to be true and correct and are incorporated herein for all purposes. SECTION 2. That the City Manager is hereby authorized to negotiate an agreement with Greenberg Traurig, LLP for the provision of state and federal legislative consulting and government relations services for the City of Port Arthur, with substantially the same terms as delineated in Exhibit "C". Port Arthur is known for its Cajun-influenced culture and petrochemical industry, which led to the world's largest refinery being located in the area.The City's population is home to more than 55,000 people. The City is governed by a City Council — City Manager form of Government. The City Council is composed of a Mayor and six elected Councilmembers for setting policy, and the City Manager is responsible for the City's operations. This Request for Proposals ("RFP") is seeking proposals from experienced individuals, joint ventures, and/or government relations firms to provide state and federal lobbying services for the City of Port Arthur, Texas, including, but not limited to, representation, information, professional advice, research, establishing legislative contacts, developing and pursuing specific legislation, and providing associated staff services. SCOPE OF WORK The term "LOBBYIST(S)" in this RFP shall be interpreted to include sole proprietors and their subcontractors, individuals,joint ventures, companies, partnerships, corporations, etc. For the purposes of this solicitation, a lobbyist shall function as the City of Port Arthur's representative in establishing and maintaining key contacts in state and federal governments and in public and private organizations. Work involves the responsibility for representing the City of Port Arthur at Texas State Legislature and U.S. Congress, performing research on legislative issues, compiling statistical data and reports, and providing the City with information which may assist them in making policy decisions. This solicitation is for professional state and federal lobbying services that are provided in line with the City of Port Arthur's legislative program. The resulting contract shall be for the term of 2 years. Lobbying assignments are received from the City Council; however, the lobbyist exercises considerable independence in the application of research methods and techniques. During those periods when the Texas Legislature is not in Regular Session or any Special Session, the City. ESSENTIAL FUNCTIONS Lobbyists shall represent the interests of the City before appropriate state and federal agencies, legislative committees, members of the Texas House of Representatives and the Texas Senate, the Office of the Lieutenant Governor, the Office of the Governor, and the U.S. Congress. Lobbyists shall secure sponsorship of legislation and shall monitor and advocate the enactment of legislation as identified in the City of Port Arthur Legislative Agenda. Lobbyists shall monitor all legislation regarding its impact on the duties and responsibilities of city government and its officers and employees. Page 4 of 21 Lobbyists shall advocate the defeat of legislation identified by the City of Port Arthur City Council as detrimental to the interests of the City. Lobbyists shall monitor state and federal departments, agencies, and legislative activities on a day- by-day basis as necessary and as requested by the City of Port Arthur City Council. Lobbyists shall perform additional legislative services on behalf of the City including: • Working with the City Council on legislative initiatives. • Work with the City Council in the preparation of a legislative package for City Council Agenda approval for the 90th and 91 st Legislative Sessions and any Special Sessions. • Drafting or assisting in the drafting of proposed legislation and amendments. • Attending and testifying at hearings, scheduling witnesses. • Advocacy on behalf of legislative agenda adopted by City Council, including preparation, communication, and coordination with the City of Port Arthur delegation and other members of the Legislature. • Assistance in prioritizing the legislative efforts of the City of Port Arthur. • Regular reporting on the lobbying efforts of the City of Port Arthur. • Tracking legislation throughout the session. • Provides legal research and bill and amending drafting. • Managing the relationship with the City as the main point of contact to receive and carry out instructions and goals of the City. • Regularly reports on legislative matters to Mayor, Council, City Manager and City Attorney or designee. • Arranges and accompanies the client to meetings or represents the City at meetings. • Establishes work plans for accomplishing City's goals. • Providing a final report at the conclusion of each session. • Reviewing and interpreting legislative interim changes to assist the City Council in addressing those with an impact,positive or negative, on city government. Lobbyists shall communicate with City Council as needed throughout a session for the purpose of updating the City Council on current activities and developments regarding the City's legislative initiatives and general matters affecting the City of Port Arthur. Lobbyists shall provide monthly reports to the City Council on its activities. Lobbyists shall communicate on a regular basis with the City Council to provide updates on legislative issues and initiatives to ensure that the Council has information sufficient to effectively assist the City in preparing its legislative agendas. Lobbyists shall meet the City of Port Arthur during the legislative period as defined in the Lobbyist contract or as requested by the City in order to maintain an effective working relationship with City officials. Lobbyists shall consult with the City Council concerning problems and needs in all areas of city government in order to provide informed representation in the Legislature and assist in securing legislation favorable to the City. Lobbyists shall consult with the City Council to evaluate the need to propose state and federal legislation and follow through to secure support and passage of any resulting legislation. Page 5 of 21 Lobbyists shall appear before the Legislature, establish and maintain close contacts among legislative committees, individual legislators, public officials, trade and industry associations, and business organizations in order to influence members and to assure full communication of ideas, interests, and favored outcomes. Lobbyists shall recommend action to City Council or Legislature and maintain a flow of information to the City Council regarding state and federal government trends, attitudes, and programs. Lobbyists shall evaluate financial and budget issues of interest to City Council, conduct research to clarify issues, identify alternatives, develop recommendations, and prepares verbal and written reports as necessary. Performs other related duties as needed or as the situation dictates within the scope of work. REQUIRED KNOWLEDGE, SKILLS AND ABILITIES • Knowledge of the principles and practices of public administration, particularly of the organization and functions of constituent units of City Government. • Knowledge of public administration, research and report presentation methods and techniques. • Knowledge of governmental legal, budgeting, tax and accounting procedures and processes. • Ability to establish and maintain effective working relationships with administrative officers, lobbyists,the public and legislative representatives. • Ability to work independently, choosing creative methods for obtaining results within legal and ethical limitations. • Ability to conduct original research and routine investigations, articulate sound administrative analyses relating to policy and management problems, and prepare and present oral and written reports and recommendations to groups and individuals. EXPERIENCE Demonstrated experience in positive communication with individuals and groups, and performing investigative research for legislative or administrative use. Experience in policy making and presenting and working toward the acceptance of significant concepts,programs, or products. The lobbyist's company must have been in the business of providing lobbying services to governmental entities for no less than five (5) years. Primary personnel assigned to the City of Port Arthur must demonstrate six (6)years of proven lobbying experience and must have been registered with the State of Texas for lobbying services for that time period. Must demonstrate a proficient knowledge of government agencies similar to the City of Port Arthur, its demographics and size. Have demonstrated experience in working with state and federal agencies, statewide advocacy groups or other entities that have an interest in or impact on city government. Page 6 of 21 SPECIAL QUALIFICATIONS Ability to coordinate transportation between Austin,Washington D.C., and Port Arthur, Texas. Instructions All Proposals should include: • A transmittal letter on company letterhead indicating the proposer's interest in representing the City of Port Arthur and a list of the personnel that will be assigned to the elements of the contract. • A brief history of the firm, its organization, when it was established, the principles of the firm, and personnel and/or subcontractors that will be providing lobbyist services. • Proposer's understanding of its role as the City's lobbyist, and its approach to providing lobbyist services for the City of Port Arthur. • Qualifications of all personnel that will be representing the City, years of experience in providing legislative and intergovernmental services before the legislative and executive branches of the State of Texas, the U.S. Congress, and the amount of time they will be representing the City, and the role each individual will provide. • A list of past clients,and any similar governmental entities represented.Provide information for three agencies that have utilized your services for three or more years in which the City may contact as a reference. Include agency name,address,contact name,phone number,and e-mail. • List any specialties, affiliations, or expertise in specific areas that would demonstrate that it is best suited to represent the City. • Successful lobbying firm must perform all lobbying services for the City of Port Arthur,and may not assign or convey all or part of this contract for the duration of the contract period. Request for Proposals will be evaluated based on the responding firm's knowledge, experience, approach, and expertise on all relevant border, economic, and land use issues and any other issues that will affect the City of Port Arthur. Respondents may be required to interview or give a brief presentation before the City Council or an evaluation committee, if desired by the Council. City Council will award the contract to the firm or firms that will provide the best legislative services to the City of Port Arthur. Fees will be negotiated with the awarded firm. Telephone, electronic, or facsimile submittals will not be considered. Qualifications received after the time and date of closing will not be considered. Page 7 of 21 The City of Port Arthur requires comprehensive responses to every section within this RFP. Conciseness and clarity of content are emphasized and encouraged. Vague and general proposals will be considered non-responsive and will result in disqualification. To facilitate the review of the responses, Firms shall follow the described proposal format. The intent of the proposal format requirements is to expedite review and evaluation. It is not the intent to constrain Vendors with regard to content,but to assure that the specific requirements set forth in this RFP are addressed in a uniform manner amenable to review and evaluation. Failure to arrange the proposal as requested may result in the disqualification of the proposal. It is requested that proposals be limited to no more than 50 pares, excluding.resumes. All pages of the proposal must be numbered and the proposal must contain an organized,paginated table of contents corresponding to the sections and pages of the proposal. EVALUATION AND SELECTION PROCESS All proposals will be screened by an evaluation committee and those proposers selected for a short list may be invited to attend an interview, at the proposers own expense. Any invitation for an oral presentation will be solely for the purpose of clarifying proposals received from each qualifying proposer, and will not represent any decision on the part of the evaluation committee as to the selection of a successful proposer. The City will evaluate all responses based on the experience, personnel qualifications, references, methodology/strategy, cost, and quality of response. The City reserves the right to negotiate the final fee prior to recommending any Vendor for a contract. The City's process is as follows: 1. The evaluation committee shall screen and rate all of the responses that are submitted. Evaluation ratings will be on a 100 point scale and shall be based on the following criteria: a. Knowledge (25points) b. Experience (25 points) c. Approach (25points) d. Expertise (25 points) 2. City staff shall recommend the most qualified Vendor to the City Council and request authority to enter into contract negotiations. 3. When services and fees are agreed upon, the selected Vendor shall be offered a contract subject to City Council approval. 4. Should negotiations be unsuccessful, the City shall enter into negotiations with the next, highest ranked Vendor. The process shall continue until an agreement is reached with a qualified Vendor. 5. This RFP does not commit the City to pay for any direct and/or indirect costs incurred in the preparation and presentation of a response. All finalist(s)shall pay their own costs incurred in preparing for, traveling to and attending interviews. The City reserves the right to use all pertinent information (also learned from sources other than disclosed in the RFP process) that might affect the City's judgment as to the appropriateness of an award to the best evaluated proposer. This information may be appended to the proposal evaluation process results. Page 8 of 21 GENERAL INFORMATION: Proposers are cautioned to read the information contained in this RFP carefully and to submit a complete response to all requirements and questions as directed. TERMINOLOGY: "Bid" vs. "Proposal"--For the purpose of this RFP, the terms "Bid" and `Proposal" shall be equivalent. AWARD: The City of Port Arthur will review all proposals for responsiveness and compliance with these specifications. The City reserves the right to award on the basis of the Lowest and Best Offer in accordance with the laws of Texas, to waive any formality or irregularity, and/or to reject any or all proposals. ALTERING BIDS: Bids cannot be altered or amended after submission deadline. Any interlineations, alteration,or erasure made before opening time must be initialed by the signer of the bid, guaranteeing authenticity. WITHDRAWAL OF PROPOSAL: The proposer may withdraw its proposal by submitting written request, over the signature of an authorized individual, to the Purchasing Division any time prior to the submission deadline. The proposer may thereafter submit a new proposal prior to the deadline. Modification or withdrawal of the proposal in any manner, oral or written, will not be considered if submitted after the deadline. CONFLICT OF INTEREST: No public official shall have interest in this contract, in accordance with Vernon's Texas Code Annotated, Local Government Code Title 5, Subtitle C, Chapter 171. ETHICS: The bidder shall not offer or accept gifts or anything of value nor enter into any business arrangement with any employee, official or agent of the City of Port Arthur. MINIMUM STANDARDS FOR RESPONSIBLE PROSPECTIVE BIDDERS: A prospective bidder must affirmatively demonstrate bidder's responsibility. A prospective bidder must meet the following requirements: 1. Be able to comply with the required or proposed delivery schedule. 2. Have a satisfactory record of performance. 3. Have a satisfactory record of integrity and ethics. 4. Be otherwise qualified and eligible to receive an award. 5. Be engaged in a full time business and can assume liabilities for any performance or warranty service required. 6. The City Council shall not award a contract to a company that is in arrears in its obligations to the City. 7. No payments shall be made to any person of public monies under any contract by the City with such person until such person has paid all obligations and debts owed to the City, or has made satisfactory arrangements to pay the same. ADDENDA: Any interpretations, corrections or changes to the RFP will be made by addenda no later than 48 hours prior to the date and time fixed for submission of proposals. Sole issuing authority of addenda shall be vested in the City of Port Arthur Purchasing Manager. The City assumes no responsibility for the proposer's failure to obtain and/or properly submit any addendum. Failure to acknowledge and submit any addendum may be cause for the proposal to be rejected. PORT ARTHUR PRINCIPAL PLACE OF BUSINESS: Any bona fide business that claims the City of Port Arthur as its principal place of business must have an official business address (office location and office personnel)in Port Arthur,the principal storage place or facility for the equipment shall be in Port Arthur and/or the place of domicile for the principal business owner(s) shall be in Port Arthur or such other definition or interpretation as is provided by state law. Contractors outside the City of Port Arthur are allowed to bid. PRICES: The bidder should show in the proposal both the unit price and total amount, where required, of each item listed. In the event of error or discrepancy in the mathematics, the unit price shall prevail. PURCHASE ORDER: A purchase order(s) shall be generated by the City of Port Arthur to the successful bidder. The purchase order number must appear on all itemized invoices. INVOICES: All invoices shall be mailed directly to the City of Port Arthur, Attn.: Accounts Payable, P.O. Box 1089, Port Arthur, Texas 77641. PAYMENT: Payment will be made upon receipt of the original invoice and the acceptance of the goods or services by the City of Port Arthur, in accordance with the State of Texas Prompt Payment Act, Article 601f V.T.C.S. COMPLIANCE WITH LAWS: The Contractor shall comply with all applicable laws,ordinances, rules, orders, regulations and codes of the federal, state and local governments relating to performance of work herein. INTEREST OF MEMBERS OF CITY: No member of the governing body of the City, and no other officer, employee or agent of the City who exercises any functions or responsibilities in connection with the planning and carrying out of the program, shall have any personal financial interest, direct or indirect, in this Contract; and,the Contractor shall take appropriate steps to assure compliance. DELINQUENT PAYMENTS DUE CITY: The City of Port Arthur Code of Ordinances prohibits the City from granting any license, privilege or paying money to any-one owing delinquent taxes, paving assessments or any money to the City until such debts are paid or until satisfactory arrangements for payment has been made. It is specifically understood and agreed that these quantities are approximate and any additional quantities will be paid for at the quoted price. SHIPPING INFORMATION: All bids are to be F.O.B., City of Port Arthur, Port Arthur, TX 77640 INCORPORATION OF PROVISIONS REQUIRED BY LAW: Each provision and clause required by law to be inserted into the Contract shall be deemed to be enacted herein and the Contract shall be read and enforced as though each were included herein. If, through mistake or otherwise, any such provision is not inserted or is not correctly inserted the Contract shall be amended to make such insertion on application by either party. CONTRACTOR'S OBLIGATIONS: The Contractor shall and will, in good workmanlike manner, perform all work and furnish all supplies and materials, machinery, equipment, facilities and means, except as herein otherwise expressly specified, necessary or proper to perform and complete all the work required by this Contract, in accordance with the provisions of this Contract and said specifications. The apparent silence of these specifications as to any detail or to the apparent omission from it of a detailed description concerning any point shall be regarded as meaning that only the best commercial practices are to prevail. While the purpose of the specifications is to indicate minimum requirements in the way of capability, performance, construction, and other details, its use is not intended to deprive the City of Port Arthur the option of selecting goods which may be considered more suitable for the purpose involved. Under the Title VI of the Civil Rights Act of 1964, no person shall, on the grounds of race, color, or national origin, be excluded from participation in, be denied the benefits of, or be subjected to discrimination under any program or activity receiving Federal financial assistance. TERMINATION FOR CAUSE:If,through any cause,the Contractor shall fail to fulfill in a timely and proper manner his obligations under this contract, or if the Contractor shall violate any of the covenants, agreements or stipulations of this contract, the City shall thereupon have the right to terminate this contract by giving written notice to the Contractor of such termination and specifying the effective date thereof, at least fifteen (15) days before the effective date of such termination. Notwithstanding the above, the Contractor shall not be relieved of liability to the City for damages sustained by the City by virtue of any breach of the contract by the Contractor, and the City may withhold any payments to the Contractor for the purpose of set-off until such time as the exact amount of damages due the City from the Contractor is determined. TERMINATION FOR CONVENIENCE:The City may terminate this contract at any time giving at least thirty(30)days notice in writing to the Contractor. If the Contract is terminated by the City as provided herein, the Contractor will be paid for the service that it has performed up to the termination date. If this contract is terminated due to fault of the Contractor,the previous paragraph hereof relative to termination shall apply. Page 11 of 21 RELEASES AND RECEIPTS: The City of Port Arthur before making payments may require the Contractor to furnish releases or receipts for any or all persons performing work and supplying material or service to the Contractor, or any sub-contractors for work under this contract, if this is deemed necessary to protect its interests. CARE OF WORK: The Contractor shall be responsible for all damages to person or property that occurs as a result of his fault or negligence in connection with the work performed until completion and final acceptance by the City. SUB-CONTRACTS: The Contractor shall not execute an agreement with any sub-contractor or permit any sub-contractor to perform any work included in this Contract until he has received from the City of Port Arthur written approval of such agreement. INSURANCE:All insurance must be written by an insurer licensed to conduct business in the State of Texas, unless otherwise permitted by Owner. The Contract shall, at his own expense, purchase, maintain and keep in force insurance that will protect against injury and/or damages which may arise out of or result from operations under this contract,whether the operations be by himself or by any subcontractor or by anyone directly or indirectly employed by any of them, or by anyone for whose acts any of them may be liable, of the following types and limits 1. The term does not include a connection based on: (A) a transaction that is subject to rate or fee regulation by a federal,state,or local governmental entity or an agency of a federal,state,or local governmental entity; (B) a transaction conducted at a price and subject to terms available to the public;or (C) a purchase or lease of goods or services from a person that is chartered by a state or federal agency and that is subject to regular examination by,and reporting to,that agency.
