Introduction: The intent of this Agenda Item is to seek City Council of Port Arthur approval of the first renewal (second year) of the agreement with S&S Investigations and Security, Inc. of Groves, Texas, for Security Guard Services at the Spur 93 Business Park. Background: S&S Investigation and Security has provided security guard services at the Spur 93 Business in an acceptable manner. Pursuant to Resolution 25-268, the contractor was awarded the bid for Security Guard Services at the Spur 93 Business Park. This agreement began on July 2, 2025, for a one-year term, with the option to renew for two additional one-year terms. This request is to renew for the second year(first renewal). Budgetary Impact: The budgetary impact is$126,659.00,funds available in Port Arthur EDC Account No. 120-80-625-5479-00-00-000 (Business Park Development). The proposed first renewal term is for an amount not to exceed $126,659.00, representing an increase from the original annual contract amount of $120,174.00, which included holiday coverage. The increase reflects updated pricing for security services and the continued need for dedicated vehicle patrols throughout the Spur 93 Business Park. Recommendation: It is recommended that the City of Port Arthur City Council authorize the Port Arthur Economic Development Corporation to enter into the first renewal(second year) of the agreement with S&S Investigations and Security, Inc. of Groves, Texas, for Security Guard Services at the Spur 93 Business Park in an amount not to exceed$126,659.00. A RESOLUTION APPROVING THE SECOND YEAR (FIRST RENEWAL) OF AN AGREEMENT BETWEEN THE PORT ARTHUR ECONOMIC DEVELOPMENT CORPORATION AND S&S INVESTIGATIONS & SECURITY, INC. OF GROVES, TEXAS, FOR SECURITY GUARD SERVICES TO SERVE THE SPUR 93 BUSINESS PARK FOR AN AMOUNT NOT TO EXCEED $126,659.00; FUNDING AVAILABLE IN EDC ACCOUNT NO. 120-80-625-5479-00-00-000 (BUSINESS PARK DEVELOPMENT) WHEREAS,pursuant to Resolution No. 25-268,the City Council approved the Port Arthur Economic Development Corporation ("PAEDC") entering into a Security Guard Services Agreement with S&S Investigations & Security, Inc., of Groves, Texas ("S&S"), for the provision of security guard services at the PAEDC Spur 93 Business Park; and WHEREAS,the Agreement provided for an initial one-year term with the option to renew for two (2) additional one-year periods upon approval by the parties; and WHEREAS, S&S has satisfactorily performed its obligations under the Agreement and has continued to provide security patrol services that assist in protecting PAEDC property, infrastructure, tenants, and economic development assets located within the Spur 93 Business Park; and WHEREAS,at its regular meeting held on June 1,2026,the PAEDC Board of Directors approved the first renewal of the Agreement for an additional one-year term in an amount not to exceed$126,659.00; and WHEREAS, the City Council finds that continuation of the security services is necessary and beneficial to the protection and operation of the Spur 93 Business Park and desires to approve the first renewal term of the Agreement. NOW THEREFORE,BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PORT ARTHUR, TEXAS: Section 1. That the facts and opinions in the preamble are true and correct. Section 2. The City Council hereby authorizes PAEDC to approve the first renewal term of the Security Guard Services Agreement between the Port Arthur Economic Development Corporation and S&S Investigations & Security, Inc., of Groves, Texas, for security patrol services at the Spur 93 Business Park, in an amount not to exceed $126,659.00, substantially in the form attached hereto as Exhibit"A." Section 3. Funding for the Agreement is available in PAEDC Account No. 120-80-625- 5479-00-00-000 (Business Park Development). Section 4. That a copy of the caption of this Resolution be spread upon the Minutes of the City Council. For and in consideration of the payment terms,conditions and agreements set forth herein, PAEDC and Contractor agree as follows: 1. The term of this Agreement shall be for one(1)year from the date stated on the Notice to Proceed,with the option to renew for two(2)additional,one(1)year periods, unless sooner terminated under the provisions hereof. The PAEDC can terminate this contract at its convenience, which includes, but is not limited to, funding not being available in any budget cycle within fifteen(15)days written notice. 2. During the term of this Contract,the CONTRACTOR will furnish at his own expense all of the materials, supplies, tools, equipment, labor and other services necessary to connection therewith,excepting those supplies specifically not required of CONTRACTOR in the Specifications set forth in the Contract Documents. 3. The CONTRACTOR agrees to perform all the work described in the Specifications of the Contract Documents and to comply with the terms therein on an hourly basis patrolling in either a vehicle or street legal golf cart as directed by PAEDC and providing guard services for PAEDC Board Meetings for the annual cost not to exceed$121,659.00 4.
