A RESOLUTION ACKNOWLEDGING JEFFERSON COUNTY DRAINAGE DISTRICT NO. 7 AS THE NON-FEDERAL SPONSOR FOR THE U.S. ARMY CORPS OF ENGINEERS' SABINE PASS TO GALVESTON BAY(S2G) COASTAL STORM RISK MANAGEMENT PROJECT; AUTHORIZING THE GRANT OF A PERMANENT STORM PROTECTION LEVEE EASEMENT, A TEMPORARY WORK AREA EASEMENT, AND AN INGRESS AND EGRESS ACCESS EASEMENT ACROSS PORTIONS OF CITY-OWNED PROPERTY LOCATED ALONG AND/OR BETWEEN 4TH STREET, LAKESHORE DRIVE, AND SEAWALL DRIVE IN CONNECTION WITH THE PORT ARTHUR PROJECT; AND AUTHORIZING THE CITY MANAGER TO EXECUTE THE NECESSARY EASEMENT INSTRUMENTS. WHEREAS, the U.S. Army Corps of Engineers (USACE) is implementing the Sabine Pass to Galveston Bay(S2G)Coastal Storm Risk Management Project, a regional flood mitigation initiative extending along the upper Texas coast from Brazoria County to Jefferson County; and WHEREAS,the Port Arthur Project is a component of the S2G Project and is being carried out through a partnership between the USACE and its non-federal sponsor, Jefferson County Drainage District No. 7 (DD7); and WHEREAS, in connection with the Port Arthur Project, USACE's non-federal sponsor, DD7,has requested that the City of Port Arthur grant a permanent storm protection levee easement, together with a temporary work area easement and an ingress and egress access easement, for portions of City-owned tracts of land located along and/or between 4th Street,Lakeshore Drive and Seawall Drive, as depicted in Exhibit"A", for the purpose of constructing,maintaining,repairing, operating, patrolling, and replacing flood protection improvements, including a flood protection levee, floodwall, gate closure, and sandbag closure; and WHEREAS, the approval and acceptance of the Permanent Storm Protection Levee Easement, attached hereto as Exhibit"B", is hereby deemed to be an appropriate course of action. NOW THEREFORE,BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PORT ARTHUR,TEXAS: SECTION 1. That the facts and above recitals are true, correct, and hereby incorporated for all purposes. SECTION 2. That the City Council hereby grant unto Jefferson County Drainage District No.7,a permanent storm protection levee easement,together with a temporary work area easement and an ingress and egress access easement for the purpose of constructing,maintaining,repairing, operating, patrolling, and replacing flood protection improvements, including a flood protection levee, floodwall, gate closure, and sandbag closure. SECTION 3. That the City Council hereby authorizes the City Manager to execute the Permanent Storm Protection Levee Easement to Jefferson County Drainage District No. 7 in substantially the same form attached hereto as Exhibit"B". SECTION 4. That said easement, upon execution by both parties, shall be filed and recorded in the Office of the County Clerk of Jefferson County,Texas. SECTION 5. That a copy of the caption of this Resolution shall be spread upon the Minutes of the City Council. Box 3244, Port Arthur, TX (hereinafter called "GRANTEE"), its successors and assigns, a perpetual, exclusive, permanent storm protection levee easement and right-of-way for flood control purposes(the"Easement")over,under, upon,through and across the lands described herein and more particularly described in Exhibit A through Exhibit G, attached hereto and made a part hereof as though fully set forth herein(the"Property"). This Easement is granted for the construction,maintenance,repair,operation,inspection,replacement,and patrolling of a permanent flood protection system,including levees and related structures,designed to provide storm protection and flood control for lands located within Jefferson County,Texas. In compliance with United States Army Corps of Engineers requirements,this Easement grants: A perpetual and assignable right and easement in the land described in Exhibit A through Exhibit G Tracts Nos. PAVO3C-133,PAVO3C-133A-1,PAVO3C-133A-2,PAVO3C-133A-3,PAVO3C-135B-2,PAVO3C-136-4 and PAVO3C- 136-5 to construct,maintain,repair,operate,patrol and replace a flood protection levee,floodwall,gate closure,and sandbag closure, including all appurtenances thereto;reserving,however,to the owners,their heirs and assigns, all such rights and privileges in the land as may be used without interfering with or abridging the rights and easement hereby acquired;subject,however,to existing easements for public roads and highways,public utilities,railroads and pipelines. The Easement as reflected in Exhibit A through Exhibit G will include several improvements, and be used in connection with those improvements, including but not limited to a constructed flood control structure, whether earthen levee or floodwall. The structures may include but are not limited to toes, crowns, slopes, berms, drainage features,culverts, crossings,gravity drainage structures,various pieces of equipment,pumps,pump housing,motors, compressors, sheet pile, H-Pile, steel foundation piles, footings, foundation structures, concrete structures, drainage canals and ditches,borrow areas,access roads,and maintenance zones associated therewith. The Easement will also include Permanent Workspace to construct,operate,maintain,repair and replace the improvements. GRANTEE shall have the perpetual,exclusive and assignable rights to construct,reconstruct,maintain,operate,repair, patrol,and replace the levee and all appurtenances within the Easement,and to remove and haul away soil,excavate soil, use the soil, and grade soil as necessary for levee formation and stability, to trim, cut, fell, and remove trees, brush, vegetation, structures, or obstructions that may interfere with the levee or improvements, or levee's safe operation,and GRANTEE shall have rights to place and remove fill material,armor material,bedding stone,or riprap, as needed, and to restrict construction of buildings, fencing, utilities, or other improvements, operations or use that may obstruct access or compromise levee integrity, or interfere with GRANTEE'S rights herein granted, and GRANTEE shall also have, at all times, access to the Easement area at any time with personnel and equipment necessary for flood protection activities without further compensation to GRANTOR. GRANTOR may not erect or keep permanent structures on the Easement area and within the Easement without prior written approval of GRANTEE. Grantor expressly reserves all rights in and to the surface of the Property so long as that surface use is consistent with the rights herein granted;and further,so long as such surface use does not unreasonably interfere with Grantee's rights herein granted, as Grantor and Grantee contemplate and understand that Grantor will reserve the right to use the surface of the Property for light recreation and park use, such as pedestrian walking, pedestrian picnicking, light vehicle parking,or other light recreational activities that do not disturb the soil or jeopardize the integrity of the Levee Improvements, specifically prohibiting and hereby excluding heavy equipment parking,recreational vehicle("RV") parking, heavy equipment use or operations when such equipment or vehicle weight exceeds lbs (gross weight), earth work, soil disturbance, excavation, or any other activity that would possibly compromise, disturb or move the integrity of the Levee Improvements on the Property. In addition,Grantor reserves the right to grant other easements to other third parties on the Property so long as such other easements are on or above the surface of the Property, and do not conflict with or otherwise unreasonably interfere with Grantee's Levee Improvements or Grantee's rights conveyed herein. This Easement does not convey fee title or exclusive possession.The rights granted herein are subject to existing easements for public roads,utilities,railroads,and pipelines. Any use such as agricultural activities, grazing, hunting activities, 4-wheelers, dirt bikes, ATVs and other recreational vehicles are strictly prohibited,including RV use or parking. TEMPORARY WORK AREA EASEMENT In addition to the Easement, and in compliance with United States Army Corps of Engineers requirements, this easement grants a TEMPORARY WORK AREA EASEMENT AS FOLLOWS: A temporary easement and right-of-way in, on, over, through and across the land described in Exhibit A through Exhibit G Tracts Nos., PAV03C-133A-1-TW, PAV03C-133A-2-TW, PAV03C-133A-3-TW, PAV03C-136-4-TW, PAV03C-136-5-TW, and PAV03C-133A-3-1-TW for a period not to exceed 7 years,beginning with date of contract award,for use by the United States, its representatives, agents, and contractors as a work area, including the right to move, store, and remove equipment and supplies, and erect and remove temporary structures on the land and to perform any other work necessary and incident to the construction of the Sabine Pass to Galveston Bay Coastal Storm Risk Management Project Contract PAV03C,together with the right to trim,cut,fell,and remove therefrom all trees, underbrush, obstructions, and any other vegetation, structures, or obstacles within the limits of the right-of-way; reserving,however,to the landowners,their heirs and assigns, all such rights and privileges as may be used without interfering with or abridging the rights and easement hereby acquired; subject, however, to existing easements for public roads and highways,public utilities,railroads,and pipelines. INGRESS/EGRESS ACCESS EASEMENT In addition to the Easement,GRANTOR hereby grants and conveys to GRANTEE an access easement for access to and from the Grantee's facilities and/or other dedicated easement areas on, over, through and across certain land ("Access Easement"), such Access Easement more particularly described in Exhibit H attached and incorporated herein. The Access Easement shall allow and provide GRANTEE and GRANTEE's successors and assigns and contractors unobstructed and continuous access and rights for pedestrian and vehicular traffic to the Grantee's facilities and/or other dedicated easement areas, including rights to the movement of equipment, materials and supplies to and from the Easement area, and further provide access to GRANTEE and USACE, and their representatives, agents, and contractors as an access area,including the right to move, store, and remove equipment and supplies, and erect and remove temporary structures on the land and to perform any other work necessary and incident to the construction, operation and maintenance of the Grantee's facilities and/or other dedicated easement area,together with the right to trim, cut, fell, and remove therefrom all trees, underbrush, obstructions, and any other vegetation, structures, or obstacles within the limits of the right-of-way,Grantee shall repair any damages caused by their use of the easement; reserving,however,to the landowners,their heirs and assigns, all such rights and privileges as may be used without interfering with or abridging the rights and easement hereby acquired; subject, however,to existing easements for public roads and highways,public utilities,railroads,and pipelines. The consideration recited herein shall constitute full compensation for all damages sustained by GRANTOR by reason of GRANTEE'S exercise of the rights herein granted,including damages resulting from construction and maintenance activities.
