NO. 24918—Change Order No. 2, Final Acceptance of Construction, and Release of Contract Retainage for the Port Arthur Animal Services Center Introduction: The Port Arthur City Council is requested to consider Proposed Resolution No.24918, authorizing the execution of Deductive Change Order No. 2 to the construction contract for the new Port Arthur Animal Services Center, accepting the project as substantially complete, authorizing final payment to Construction Zone of Southeast Texas, LLC, including the release of all contract retainage, and authorizing the City Manager to execute all documents necessary to complete the administrative closeout of the project. Background: On February 27, 2024, the City Council approved Resolution No. 24-071, authorizing a construction contract with Construction Zone of Southeast Texas, LLC, for the construction of the new Port Arthur Animal Services Center in the amount of $7,365,000.00. The project was designed by PGAL and represents one of the City's most significant capital investments in public health, animal welfare, and municipal services. The new facility was constructed to replace the City's aging animal shelter with a modern, purpose-built facility designed to improve animal care, employee safety, operational efficiency, and customer service. The facility includes expanded kennel space, veterinary examination and treatment areas, animal intake and isolation rooms, adoption and visitation areas, administrative offices, staff support areas, laundry facilities, storage, improved security systems, and modern mechanical, electrical, and life-safety systems. The project also included extensive site improvements, parking, "Remember,we are here to serve the Citizens of Port Arthur" P.O.Box 1089 X Port Arthur,Texas 77641-1089 X 409.983.8101 X FAX 409.982.6743 drainage, utilities, landscaping, perimeter fencing, and public access enhancements. These improvements support compliance with contemporary building codes, animal care standards, and operational best practices. Throughout construction, City staff, PGAL, and Construction Zone worked collaboratively to address field conditions, owner-requested modifications, regulatory requirements, and value engineering opportunities. On May 27, 2025, the City Council approved Resolution No. 25-197, authorizing Change Order No. 1, increasing the construction contract by $426,585.34, resulting in a revised contract amount of $7,791,585.34. As construction neared completion, project allowances, unused owner contingencies, and remaining contract balances were reconciled. These adjustments resulted in Change Order No. 2, a deductive change order decreasing the contract amount by $110,845.84, establishing a final contract amount of $7,680,739.50. The deductive change order reflects unused allowances and contingency balances rather than reductions in the completed scope of work. The City celebrated the Grand Opening of the new Animal Services Center on April 15, 2026, and the facility has since become fully operational, providing enhanced services for residents and significantly improving the City's ability to care for stray, abandoned, and surrendered animals. Project Closeout: The contractor has completed the work required under the construction contract and submitted the documentation necessary for the project's administrative closeout. The closeout package includes: • Change Order No. 2; • Retainage Pay Application; • Unconditional Waiver and Release; • Conditional Waiver and Release; • Certificate of Substantial Completion; • Certifications of Asbestos-Free Construction; • Certifications of Lead-Free Construction; • Certifications of Hazardous Material-Free Construction; • Project Warranty. The final retainage payment requested is $384,036.98, subject to execution of the closeout documents and final review by the City's Project Manager, Architect, Finance Department, and Law Department. Post-Occupancy Observations: Following occupancy of the new facility, City staff identified several minor operational and construction-related items that are common during the transition into a newly constructed municipal facility. These items primarily involve adjustments, calibration, "Remember,we are here to serve the Citizens of Port Arthur" P.O.Box 1089 X Port Arthur,Texas 77641-1089 X 409.983.8101 X FAX 409.982.6743 minor finish corrections, equipment modifications, and warranty-related issues that become apparent only after a building is occupied and placed into continuous operation. These items have been documented through the established project closeout process and are being coordinated with the contractor and design team. Staff anticipates that the remaining items will either: • be completed as part of the final project closeout, • be corrected through the contractor's punch-list obligations, or • be addressed under the applicable manufacturer or contractor warranty provisions. At this time, staff have not identified any deficiencies that materially affect the structural integrity, life-safety systems, or intended operation of the facility, nor do the remaining items prevent the facility from continuing normal operations. Acceptance of the project and release of retainage do not relieve the contractor of its contractual warranty obligations. Construction Zone of Southeast Texas, LLC, remains responsible for correcting warrantable defects discovered during the applicable warranty period in accordance with the construction contract. Recommendation: It is recommended that the City Council consider approving Proposed Resolution No. 24918, authorizing the acceptance of substantially completed construction of the new Port Arthur Animal Services Center, authorizing final payment and release of contract retainage to Construction Zone of Southeast Texas, LLC, and authorizing the City Manager to execute all documents necessary to administratively close out the project. Approval of this resolution will formally conclude the construction phase of one of the City's most significant recent capital improvement projects while preserving the City's contractual rights to require correction of any remaining warranty items identified during the post-occupancy period. WHEREAS,the City Council approved Resolution No.24-071 authorizing a construction contract with Construction Zone of Southeast Texas, LLC, for the construction of the new Port Arthur Animal Services Center in the amount of$7,365,000.00; and WHEREAS,the City Council subsequently approved Resolution No. 25-197, authorizing Change Order No. 1,increasing the contract amount by$426,585.34,resulting in a revised contract amount of$7,791,585.34; and WHEREAS, during substantial completion of the project, several owner allowances, contingency balances, and unused contract items were reconciled, resulting in Change Order No. 2, a deductive change order decreasing the contract amount by $110,845.84, establishing a final contract amount of$7,680,739.50, attached hereto as Exhibit"A"; and WHEREAS, Construction Zone of Southeast Texas, LLC,has substantially completed all work required under the construction contract,including all approved change orders,in accordance with the plans, specifications, and contract documents; and WHEREAS, the City celebrated the Grand Opening of the new Port Arthur Animal Services Center on April 15, 2026, and the facility has been placed into service for the benefit of the citizens of Port Arthur; and WHEREAS, PGAL, the Project Architect, and City staff have reviewed the completed work and recommend acceptance of the project and approval of the final closeout documents, including the final Application and Certification for Payment, retainage payment application, unconditional and conditional waivers, Certificate of Substantial Completion, Change Order No. P.R.NO.24918 07/28/2026 PDL PAGE 2 OF 5 2,environmental certifications,and facility progress and completion photos and which are attached hereto as Exhibits "A" through"J"; and WHEREAS, the final Application and Certification for Payment recommend the release of contract retainage to Construction Zone of Southeast Texas, LLC, in an amount not to exceed $384,036.98, subject to approval of all required closeout documentation; and WHEREAS, funding for Change Order No. 2, final payment, and release of contract retainage is available in Account No. 307-00-000-2050-00-000-00; Project No. BU0008. NOW,THEREFORE,BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY COUNCIL OF THE CITY OF PORT ARTHUR,TEXAS: THAT,the facts and opinions in the preamble are true and correct. THAT,the City Council hereby approves Change Order No. 2 with Construction Zone of Southeast Texas, LLC, decreasing the contract amount by One Hundred Ten Thousand Eight Hundred Forty-Five Dollars and Eighty-Four Cents ($110,845.84), resulting in a final adjusted contract amount of Seven Million Six Hundred Eighty Thousand Seven Hundred Thirty-Nine Dollars and Fifty Cents ($7,680,739.50). THAT, the City Council hereby accepts the construction of the Port Arthur Animal Services Center as complete and in accordance with the contract documents. THAT, the City Council authorizes final payment and release of contract retainage to Construction Zone of Southeast Texas, LLC, in an amount not to exceed Three Hundred Eighty- Four Thousand Thirty-Six Dollars and Ninety-Eight Cents($384,036.98), contingent upon receipt and approval of all required closeout documentation. THAT, the City Manager is authorized to execute Change Order No. 2, the final Application for Payment,release of retainage,certificates of completion,waivers and releases,and all other documents necessary to complete the administrative closeout of the project.
