RE: P.R.No.25059—Executing an Easement Agreement Kinder Morgan Pipeline
Company,LLC,for the Hwy 365 Force Main Replacement Project.
Introduction:
The intent of this agenda item is to request the City Council's approval to authorize the City Manager to
execute an easement agreement with Kinder Morgan Pipeline Company,LLC for the City of Port Arthur
to acquire a 20-foot-wide permanent easement and a temporary workspace over the same easement area,
for the purpose of constructing, installing,maintaining and operating a sanitary sewer force main along
FM 365, for the total acquisition cost of$26,173.00. The temporary workspace shall be for a period of
twelve(12)months.
Background:
Pursuant to Resolution 25-050,the City entered into a contract with ALLCO,LLC for the Highway 365
Sanitary Sewer Force Main Replacement Project along FM 365,which involves replacing the existing 8-
inch force main with a new 16-inch line to convey flows from the Highway 365 Lift Station to the
manhole beyond West Port Arthur Road,spanning approximately 9,300 linear feet to address the critical
conditions that caused multiple overflows and TCEQ violations from 2020.
The City needs to acquire a twenty-foot(20') wide permanent easement and temporary workspace over
the same easement area from Kinder Morgan Texas Pipeline,LLC,on portion of lands described as Lots
6 and 7,Block 13,Range M,Port Arthur Land Company Subdivision,Jefferson County,Texas in order
to continue with the sewer main replacement work along FM 365.
Kinder Morgan Texas Pipeline, LLC has agreed to grant the City said permanent easement and a
temporary workspace over a portion of its property to construct, install,maintain and operate a sanitary
sewer force main,for the total acquisition cost of$26,173.00.
Budget Impact:
The total projected budgetary impact is $26,173.00 and is available in CIP Account No. 405-40-000-
8516-00-00-000,Project No.WS0012.CON.
Recommendation:
It is recommended that the City Council approve Proposed Resolution No. 25059, authorizing the City
Manager to acquire the Permanent Easement and a Temporary Workspace as discussed/outlined above.

A RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE

APPROXIMATELY 2.20 ACRES OF LAND, MORE OR LESS, BEING
PART OF LOTS 6 AND 7, BLOCK 13, RANGE M, PORT ARTHUR LAND
COMPANY SUBDIVISION, JEFFERSON COUNTY, TEXAS, LOCATED
ALONG FM 365, FOR THE PURPOSE OF CONSTRUCTING,
INSTALLING,OPERATING,MAINTAINING,REPAIRING,REPLACING,
AND ACCESSING A SANITARY SEWER FORCE MAIN, FOR THE

WHEREAS,pursuant to Resolution 25-050,the City entered into a contract with ALLCO,

depicted in Exhibit"1" and more particularly described in Exhibit"2", across a portion of Lots 6
and 7,Block 13, Range M, Port Arthur Land Company Subdivision,Jefferson County,Texas, for
the construction, installation, maintenance, and operation of a sanitary sewer force main in
connection with the sewer main replacement work along FM 365; and
WHEREAS, Kinder Morgan Texas Pipeline, LLC has agreed to grant the City said
permanent easement and a temporary workspace(for a twelve(12)month period) across the same
area, for a total cost of$26,173.00; and
WHEREAS, the approval and acquisition of the permanent easement and a temporary
workspace is hereby deemed an appropriate course of action in order to continue the sewer main
replacement project.
NOW THEREFORE,BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF PORT ARTHUR,TEXAS:

SECTION 1. That the facts and recitals in the preamble are true and correct; and
SECTION 2. That the City Council hereby authorizes the City Manager to execute the
Easement Agreement with Kinder Morgan Pipeline, LLC, for the City of Port Arthur to acquire a
twenty-foot (20') wide permanent easement, together with temporary workspace (for a period of
twelve(12)months),over portions of Lots 6 and 7,Block 13,Range M,Port Arthur Land Company
Subdivision, Jefferson County, Texas, in substantially the same form attached hereto as Exhibit
"2"; and
SECTION 3.That the funding for the permanent easement and temporary workspace area
in the amount of Twenty-Six Thousand One Hundred Seventy-Three Dollars and No Cents
($26,173.00), is available in Account No. 405-40-000-8516-00-00-000, Project No.
WS0012.CON; and
SECTION 4. That said Easement Agreement, upon execution by both parties, shall be
filed and recorded in the Office of the County Clerk of Jefferson County,Texas; and
SECTION 5. That a copy of the caption of this Resolution be spread upon the Minutes of
the City Council.

EASEMENT AGREEMENT
This EASEMENT AGREEMENT (this "Agreement"), dated 2026, is between
KINDER MORGAN TEXAS PIPELINE LLC, a Delaware limited liability company, with offices at 1001
Louisiana Street, Suite 1000, Houston,Texas 77002 (hereinafter referred to as"Grantor",whether one or more),
and CITY OF PORT ARTHUR,TEXAS whose mailing address is 444 4Tg Street,Port Arthur,Texas 77640,and
its successors and assigns (such entity and its successors and assigns are collectively referred to as the"Grantee").
Grantor and Grantee may be referred to herein individually as a"Party" and collectively as the "Parties". For the
consideration of TEN AND No/100 Dollars ($10.00) and other good and valuable consideration, the receipt and
sufficiency of which are hereby acknowledged, Grantor hereby grants, sells and conveys unto Grantee a permanent
and temporary easement, for the purpose, as Grantee may elect,to establish, lay,construct, install,replace, operate,
maintain,inspect,protect,use,and remove,from time to time,one force main pipeline(the"Pipeline")not to exceed
twenty inches(20")in nominal diameter for the purpose of transporting waste water,as more particularly described
and depicted in EXHIBIT A,attached hereto and made a part hereof,in,over,through,across,under,upon,and along
the following described property("Grantor's Lands") situated in Jefferson County,Texas,described as follows:
Being 2.20 acres more or less in Lot 6 and Lot 7 Block 13 Range M T&NO RR CO.Survey,
Abstract No.239,Jefferson County,Texas.Being the same tract of land conveyed by Anna
Elizabeth Edwards a femme sole to United Gas Pipe Line Company by Deed Dated October 23,
1951 Deed Records Jefferson County,Texas
Grantor hereby conveys a non-exclusive twenty inch (20") wide permanent easement for the above-described
purposes,more or less,for the location and construction of the Pipeline(the"Permanent Easement"),is more generally
depicted on EXHIBIT A and EXHIBIT B. Notwithstanding anything herein to the contrary,there shall be no above-
ground improvements of Grantee on the Permanent Easement.Grantee shall bury the Pipeline a minimum of twenty-
five feet(25')below the surface of the ground.
Grantor further conveys a temporary workspace easement for the above-described purposes, being an area of land
comprising approximately 0.129 acres,more or less(the"Temporary Workspace Easement"),which is more generally
depicted on EXHIBIT A and EXHIBIT B. The duration of the Temporary Workspace Easement shall be for a period
not extending twelve (12) months from the date of initial construction commencement of the Pipeline. Upon
completion of the initial construction of the Pipeline,Grantee shall restore the Temporary Workspace Easement to the
extent practicable to its original condition following the completion of such initial construction. Upon completion of
such restoration, the Temporary Workspace Easement shall revert to Grantor and the grant of the Temporary
Workspace Easement shall terminate. Thereafter,as required for the replacement or removal of the Pipeline(in whole
or in part)or as required for excavation(to occur entirely within the Permanent Easements),Grantee shall be granted
such Temporary Workspace Easement upon providing requisite notice as required by this Agreement and written
approval of Grantor,which shall not be unreasonably withheld,provided,however,that Grantor reserves the right to
change the size and parameters of such subsequent Temporary Workspace Easement as is reasonably necessary to
ensure Grantor's safe and undisturbed use and operations on Grantor's lands. Upon completion of such replacement
or removal of the Pipeline or excavation, Grantee shall restore said area in compliance with the covenants aforesaid
and said Temporary Workspace Easement shall revert and terminate same. All rights,duties and/or obligations arising
by or under this Agreement shall only apply to the Temporary Workspace Easement while same is in effect. The
Temporary Workspace Easement,and Permanent Easement are collectively referred to as the"Easements."
It is further agreed as follows:
1. The right to use these Easements shall belong to the Grantee and its agents, employees, designees, contractors,
guests,invitees,successors and assigns,and all those acting by or on behalf of it for the purposes established herein.
2. During initial construction of the Pipeline, and thereafter as required for replacement, removal, or excavation,
Grantee shall limit ingress and egress and the exercise of its rights under this Agreement to the Permanent Easements.
Grantee shall conduct all activities in a manner that avoids interference with Grantor's use and operation of Grantor's
Lands and shall not block,obstruct,or otherwise materially interfere with Grantor's roads,driveways,gates,entrances,
exits,or access routes.At no time shall Grantee prevent vehicular access to Grantor's Lands.
3. Grantee shall not excavate on the Easements for any purpose(including the initial construction of the Pipeline),
and Grantee shall not conduct any excavation outside the presence of a designated Grantor representative. No work
as approved herein, including digging,shall be performed within twenty-five feet(25')of any of Grantor's pipeline
facilities on Grantor's Lands without a designated Grantor representative being on-site.All digging and excavation
shall be conducted solely by a Grantor-approved soft-digging method or as otherwise agreed upon in writing by
Grantor taking place within the currently existing fenced area on Grantor's Land.All digging and excavation within
eighteen inches (18") of Grantor's pipeline facilities shall be conducted solely by a Grantor-approved hand-digging
or soft-digging method. In the event that contact is made with Grantor's pipeline facilities, said contact shall be
reported immediately to Grantor's representative. No material,fill,spoil,pipe or other material shall be stored on the
Easements. The existing grade and/or ground cover on the Easements shall not be altered or reduced without Grantor's
written consent, and if it is altered or reduced, upon completion of construction of the Pipeline, Grantee agrees to
restore all disturbed areas on the Easements as nearly as practicable to their original condition at Grantee's sole cost
and expense.
4. Grantee shall employ or contract only licensed professionals in compliance with all required certifications and
standards required by applicable statutes, ordinances and regulations of any governmental entity having jurisdiction
to construct,replace or remove the Pipeline. Grantee shall be responsible for procuring and maintaining all necessary
federal, state, county, and municipal permits, licenses, variances, signoffs, or other documentation required to
construct,maintain,operate,repair,replace and remove the Pipeline.
5. Grantee will restore the ground disturbed by the Grantee's use and operations on the Easements(including initial
construction of the Pipeline)and will take reasonable measures,as necessary,to prevent soil erosion resulting solely
from operations of Grantee hereunder. Grantee shall leave the surface as nearly as reasonably possible as it was prior
to the construction of the Pipeline and will restore all fences as nearly as possible to as good, or better,condition as
they were prior to the construction of the Pipeline.
6. After the construction of the Pipeline,should the Pipeline cease to be used for the transmission of waste water for a
continuous period of twenty-four(24)months or more or if Grantee shall at any time expressly abandon the Pipeline for
the use of the rights herein granted,the Pipeline shall be considered abandoned and all rights enjoyed by Grantee herein
terminated. Upon termination,Grantee agrees that it will promptly remove the Pipeline from the Permanent Easements
in accordance with this Agreement,industry standards,and in a good and workmanlike manner and restore the surface of
the Easements as near as reasonably practicable to the conditions existing prior to the construction of the Pipeline within
180 days of termination. After removal of the Pipeline,the Easements shall revert to Grantor.
7. Grantor shall retain all the oil,gas,and other minerals in,on and under the Easements.
8.Neither Party shall be liable hereunder for indirect,special,speculative,remote,consequential or punitive damages
(including lost profits or savings)even if it has been advised of their possible existence,except that the foregoing shall
not restrict a Party's ability to recover actual damages for breach of this Agreement.
9.Grantee maintains liability coverage through the Texas Municipal League Intergovernmental Risk Pool(TMLIRP),
a governmental risk pool established pursuant to Texas law. Grantee shall maintain such coverage throughout the
construction of the Pipeline and for so long as the Easements remain in effect.Upon request,the Grantee shall provide
the Grantor with a current TMLIRP Certificate of Coverage as evidence of such coverage.The Grantee's coverage is
subject to the terms,conditions,exclusions,and limits of the applicable TMLIRP Coverage Documents.
10. This Agreement shall not be assigned in whole or in part without the written consent of Grantor, which
consent shall not be unreasonably withheld, delayed or conditioned. However, Grantee is specifically granted the
right to assign this Agreement without the necessity of obtaining such consent should Grantee desire to assign this
Agreement to any affiliate or subsidiary company of Grantee.
11. This Agreement shall be interpreted in accordance with the laws of Texas and all applicable federal laws.

12. If any provision herein is held to be partially or completely contrary to law and/or unenforceable, then this
Agreement shall survive and be deemed to be amended to delete the unenforceable provision or portion thereof.
13. This Agreement may be signed in counterparts and all such counterparts shall be deemed as originals and binding
upon each party executing any counterpart and upon their respective heirs, representatives, successors and assigns.
Facsimile signatures shall be deemed as an original signature by the enforcing party.
14. This Agreement contains the entire agreement between the parties and there are not any other representations or
statements,verbal or written that have been made modifying,adding to,or changing the terms of this Agreement.
