Background: The program addresses employer-identified readiness gaps by teaching essential workplace skills, including professionalism, communication, attendance, financial literacy, resumes, interviews, employer engagement, and workforce support. Graduates earn a Work Ready Credential showing readiness for employment and further workforce training. The agreement includes deliverables, milestones,reporting, and accountability measures to ensure authorized use of public funds under Chapter 501 of the Texas Local Government Code. On July 20, 2026, the PAEDC Board of Directors approved the agreement and recommends City Council approval. Budget Impact: PAEDC will fund up to$250,000 over 24 months: $50,000 in FY 2026, $140,000 in FY 2027,and $60,000 in FY 2028, from Account No. 120-80-625-5475-00-00-000 (Job Training Programs); subject to annual appropriation and approval of the budget. Recommendation: City Council is asked to approve P.R. 25065, authorizing PAEDC to execute the Professional Services Agreement with Future Force Inc.This initiative will strengthen Port Arthur's workforce, help residents gain core workplace skills, and support employers with job-ready workers. A RESOLUTION AUTHORIZING THE PORT ARTHUR ECONOMIC DEVELOPMENT CORPORATION TO ENTER INTO A PROFESSIONAL SERVICES AGREEMENT WITH FUTURE FORCE INC.TO PROVIDE THE FUTURE FORCE WORKFORCE READINESS PROGRAM TO ELIGIBLE PORT ARTHUR RESIDENTS IN AN AMOUNT NOT TO EXCEED$300,000 OVER A TWO (2) YEAR TERM(FY 2026 — $50,000; FY 2027 —$175,000; FY 2028 —$75,000), SUBJECT TO ANNUAL APPROPRIATION AND APPROVAL OF THE BUDGET. FY 2026 FUNDS ARE AVAILABLE IN PAEDC ACCOUNT NO. 120-80-625-5475-00-00-000 (JOB TRAINING PROGRAMS) WHEREAS, the Texas Legislature passed House Bill 1967 during the 83rd Legislative Session, which amended Chapter 501 of the Texas Local Government Code by authorizing economic development corporations to fund workforce development and pre-employment job training programs designed to prepare individuals for employment; and WHEREAS, the Port Arthur Economic Development Corporation ("PAEDC") is committed to workforce development initiatives that increase employment opportunities and strengthen the workforce of the City of Port Arthur;and WHEREAS,PAEDC has identified a need for a structured workforce readiness program that prepares Port Arthur residents with the workplace skills, professionalism, communication skills, financial literacy, interviewing skills and employer expectations necessary for successful employment and participation in technical workforce training programs; and WHEREAS, Future Force Inc. has developed the Future Force Workforce Readiness Program, a four-week workforce readiness program designed to prepare eligible Port Arthur residents for employment through workforce readiness instruction, employer engagement, workforce participation support and issuance of a Work Ready credential; and WHEREAS,the Professional Services Agreement establishes measurable implementation deliverables, participant performance milestones, reporting requirements and accountability measures to ensure public funds are expended for authorized workforce development purposes consistent with Chapter 501 of the Texas Local Government Code; and WHEREAS,at its regular meeting held on July 20,2026,the PAEDC Board of Directors approved entering into a two(2)year Professional Services Agreement (attached hereto as Exhibit "A")with Future Force Inc.in an amount not to exceed $300,000, subject to annual appropriation of funds; and WHEREAS,the estimated fiscal year allocation of funds under the Professional Services Agreement is $50,000 in FY 2026,$175,000 in FY 2027,and $75,000 in FY 2028, with actual expenditures dependent upon successful completion of implementation deliverables, participant enrollment, and achievement of participant performance milestones. NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PORT ARTHUR, TEXAS: Section 1. That the facts and opinions in the preamble are true and correct. Section 2. That the City Council hereby authorizes the PAEDC to enter into a Professional Services Agreement with Future Force Inc. to provide the Future Force Workforce Readiness Program for eligible Port Arthur residents in an amount not to exceed Three Hundred Thousand Dollars ($300,000) over a two (2) year term beginning on or about September 1, 2026, subject to annual appropriation of funds and the terms and conditions of the Professional Services Agreement. #2582714 Page 2 Section 3. The funding for this Professional Services Agreement shall be budgeted and expended from PAEDC Account No. 120-80-625-5475-00-00-000 (Job Training Programs) as follows: FY 2026: $50,000, FY 2027: $175,000, FY 2028: $75,000. Actual expenditures may be less than the amounts stated above and shall be contingent upon successful completion of implementation deliverables, participant enrollment, achievement of participant performance milestones and compliance with the terms of the Professional Services Agreement. Section 4. That this Resolution shall become effective immediately upon passage. Goodson,PAEDC Attorney APPROVED AS TO FORM: Roxann Pais Cotroneo,City Attorney APPROVED AS TO AVAILABILITY OF FUNDS: ef)/dal,e' L d oswe 1, irector of Finance #2582714 Page 4 Exhibit "A" PROFESSIONAL SERVICES AGREEMENT FUTURE FORCE WORKFORCE READINESS PROGRAM RECITALS WHEREAS, the Port Arthur Economic Development Corporation("PAEDC")Board of Directors is dedicated to improving employment opportunities for eligible Port Arthur residents through workforce readiness, employability skills, and employer-aligned training that supports long-term employment; and WHEREAS, House Bill 1967 amends the Texas Local Government Code and adds §501.163 which authorizes expenditures for job training skills sufficient to enable an individual to obtain employment through PAEDC training programs; and WHEREAS, PAEDC has determined that Future Force Inc. ("Future Force") has developed its Future Force Workforce Readiness Program (the "Program") to provide skills to eligible Port Arthur residents that meet instructional and curriculum requirements for employer- aligned training to lead to local employment ("Program Participants"). WHEREAS, Future Force will identify and train Port Arthur residents in its Program after it has received authorization from the PAEDC and the City of Port Arthur, Texas (the "City")Council. WHEREAS, PAEDC and Future Force set forth in this Agreement the terms and conditions for PAEDC to provide funds for the industrial skills training by Future Force for a path to employment for eligible Port Arthur residents. NOW, THEREFORE, in consideration of the Recitals set forth above which are incorporated into this Agreement as if fully set forth below and for other good and valuable consideration,PAEDC and Future Force hereby agree as follows: AGREEMENT DATES AGREEMENT EFFECTIVE DATE This Professional Services Agreement (the "Agreement") is entered into and shall become effective after final approval by the City Council and execution by duly authorized representatives of Future Force Inc. and PAEDC. TERM OF AGREEMENT 2. This Agreement shall have a term commencing on September 1,2026, and ending on August 31, 2028. EXTENSION OF AGREEMENT 3. This Agreement may be extended beyond its initial two (2) year term for an additional term to be determined by PAEDC provided the promised performance by Future Force has been met as outlined in this Agreement. PARTIES 4. PAEDC located at 501 Procter Street,Port Arthur, Texas 77640, is a not for profit corporation. It is duly authorized to do business in the State of Texas under Chapter 504, Texas Local Government Code, its Board of Directors has approved this Agreement, and this Agreement has been duly authorized by Resolution of the City Council. As so authorized and as provided by the PAEDC bylaws, the President and Secretary of the PAEDC Board have the authority to execute this Agreement. 5. Future Force Inc., The Press Building, 549 4th Street, Suite 118A, Port Arthur, Texas 77640, and its duly authorized representative for purposes of this Agreement is Dorian R. Patton. CONDITIONS PRECEDENT 6. This Agreement has no legal consequences unless and until both the Board of Directors of the PAEDC and the City Council approve this Agreement in its final form. PROMISED PERFORMANCE 7. The parties agree to perform as follows. (a) PERFORMANCE BY PAEDC (1) Funding in the amount of $300,000 is allocated to Future Force for the Program for the initial two(2)year term of this Agreement subject to annual appropriation of funds. (2) PAEDC agrees to provide the funding referenced above as follows: • FY 2026 (September 1 — September 30, 2026): Fifty Thousand Dollars ($50,000) • FY 2027 (October 1, 2026 — September 30, 2027): One Hundred Seventy-Five Thousand Dollars ($175,000) • FY 2028 (October 1, 2027—August 31, 2028): Seventy-Five Thousand Dollars ($75,000) (3) Recognizing that Future Force must establish curriculum scheduling, cohort planning, employer coordination, intake procedures, reporting systems, and workforce readiness implementation materials prior to participant enrollment, PAEDC may authorize an initial startup compensation. #2572782 Page 2 Initial startup compensation shall: • Initial startup compensation shall be limited to the Initial Program Development & Implementation Funding authorized under Section 10 of this Agreement and shall be subject to PAEDC review and written acceptance of the required implementation deliverables; • Be limited to documented startup and implementation activities; • Require submission of a startup work plan and implementation schedule; • Require submission of curriculum framework, cohort schedule, and reporting structure; • Be subject to PAEDC approval. Eligible startup activities may include: • Curriculum finalization and adaptation; • Cohort scheduling and implementation planning; • Employer engagement and coordination; • Intake and participant tracking setup; • Reporting and compliance system development; • Outreach and recruitment preparation; • Instructor onboarding and training. (4) Future Force acknowledges that this Agreement is intended to support only the PAEDC-funded Future Force Workforce Readiness Program. Future Force remains responsible for securing any additional funding necessary to support other organizational activities through sponsorships, grants, philanthropic support, in-kind contributions,or other funding sources. (b) PERFORMANCE BY FUTURE FORCE Future Force shall provide workforce readiness and workforce attachment services including: (1) Workforce Readiness Cohorts. Future Force shall administer structured workforce and life skills cohorts that include: • Workplace professionalism and attendance standards • Employer communication and accountability expectations • Conflict management and problem-solving instruction • Safety mindset and workplace culture preparation • Financial literacy instruction designed to support wage stability • Resume preparation and mock interview evaluation • Workforce readiness verification and credential issuance (2) Workforce Readiness Credentials. Future Force shall issue a documented "Work Ready" credential or badge to participants who successfully complete Program requirements. #2572782 Page 3 (3) Employer Engagement. Future Force shall coordinate employer engagement activities including: • Employer presentations • Hiring simulations • Mock interviews • Workforce pipeline coordination • Employer advisory participation (4) Workforce Participation Support. Future Force may provide limited workforce participation coordination and referrals directly tied to employment readiness, training completion, job placement, or job retention. Permissible workforce participation coordination may include: • TWIC navigation • Identification/documentation assistance • Transportation coordination referrals • Employment transition referrals SUBCONTRACTING &THIRD PARTY COLLABORATION 8. (a) SUBCONTRACTING AUTHORIZATION Future Force may collaborate with third-party organizations, facilitators, or service providers in support of Program delivery; however, Future Force shall remain solely responsible for: • Program administration • Performance outcomes • Reporting compliance • Financial accountability • Participant tracking • Compliance with this Agreement (b) INDEPENDENCE SUBCONTRACTING AGREEMENTS Any subcontracting or collaboration agreement entered into by Future Force, including agreements related to participant instruction, workforce participation support, mentoring, financial literacy, coaching, or supportive programming, shall be: • Independently negotiated by Future Force; • Paid from Future Force's awarded funds; #2572782 Page 4 • Subject to Future Force oversight and quality control; • Structured on a defined deliverable or price-per-participant basis where applicable. PAEDC shall not be considered a party to any subcontracting agreement and shall bear no direct liability or contractual obligation to any subcontractor or collaborating organization. (C) APPROVAL OF MATERIAL SUBCONTRACTORS Future Force shall provide written notice to PAEDC of any material subcontractor or collaborating organization providing direct participant services under this Agreement. PAEDC reserves the right to prohibit participation of any subcontractor whose activities are inconsistent with the authorized workforce purposes of this Agreement. PROGRAM PARTICIPANT ELIGIBILITY 9. Program Participants must be verified residents of Port Arthur, Texas, and meet the eligibility requirements as follows: (a) APPLICABILITY The Workforce Readiness Standard shall apply to: • Participants receiving PAEDC-funded workforce assistance • Participants enrolled in PAEDC-supported technical training programs • Port Arthur residents actively seeking employment, subject to cohort availability (b) ENROLLMENT REQUIREMENT Participants receiving PAEDC-funded workforce assistance may begin technical training immediately; however: • Participants must enroll in the Workforce Readiness Cohort within thirty(30) calendar days of technical training start date; and • Participants must complete the Program within ninety (90) calendar days of technical training start date. (C) WORKFORCE PROGRAM PARTICIPATION REQUIREMENT Completion of the Workforce Readiness Standard shall be required for continued participation in PAEDC-supported workforce development initiatives, including: #2572782 Page 5 • PAEDC-funded workforce training programs; • Employer-linked workforce placement initiatives; • Community Pre-Employment Program(CPEP)participation; • Technical workforce training pathways supported through PAEDC workforce development agreements; and • Other PAEDC-authorized workforce participation initiatives. Failure to complete the Workforce Readiness Standard within the required timeframe may result in suspension, removal, or ineligibility for continued participation in PAEDC-supported workforce programs. REQUIRED DOCUMENTATION FOR PROGRAM INITIATION 10. Initial Program Development & Implementation Funding — Future Force shall be eligible to submit an invoice for implementation funding of up to Fifty Thousand Dollars ($50,000) upon PAEDC's review and written acceptance of the implementation deliverables identified in this section. This funding shall be earned upon submission,review, and acceptance of required implementation deliverables, including: • Workforce Readiness curriculum and lesson plans • Cohort delivery schedule • Participant intake and enrollment procedures • Attendance tracking and reporting system • Work Ready credential standards and issuance process • Employer engagement and outreach plan • Workforce participation support referral process • Program implementation work plan • Subcontractor implementation plan, if applicable Upon acceptance of these deliverables, Future Force shall be eligible to submit an invoice for the Initial Program Development &Implementation Funding. PARTICIPANT PERFORMANCE MILESTONES 11. Contract payments after Program initiation shall be tied to participant-based performance milestones. Future Force expects to serve participants as specified in Section 17 annually through four-week Workforce Readiness cohorts averaging ten(10)participants, with a maximum cohort size of twelve (12) participants. Following acceptance of the implementation deliverables, Future Force shall be compensated as follows: Milestone 1: • $750 per eligible participant after two (2) weeks of verified participation #2572782 Page 6 Milestone 2: • $750 per eligible participant upon successful completion of the four-week Workforce Readiness Cohort and issuance of the Work Ready credential Participant milestone payments shall only be made for participants who meet PAEDC eligibility requirements and whose enrollment has been verified by PAEDC or its designee. All compensation, including the Initial Program Development & Implementation Funding and Participant milestone payments, shall remain subject to the Agreement's maximum compensation of$300,000. PROGRAM COMPENSATION STRUCTURE 12. PAEDC shall compensate Future Force for satisfactory performance of the services described in this Agreement. Total compensation under this Agreement shall not exceed Three Hundred Thousand Dollars($300,000) over the term of the Agreement. (a) INITIAL PROGRAM DEVELOPMENT&IMPLEMENTATION FUNDING Future Force shall be eligible to submit an invoice for Initial Program Development and Implementation Funding of up to Fifty Thousand Dollars ($50,000)upon PAEDC's review and written acceptance of the implementation deliverables identified in Section 10 of this Agreement. This funding is intended to support the establishment of the Workforce Readiness Program and is included within the Agreement's maximum compensation of$300,000. (b) PARTICIPANT MILESTONE COMPENSATION Following acceptance of the implementation deliverables, Future Force shall be eligible to receive compensation based upon the successful completion of the following participant milestones: Participant Milestone Maximum Compensation Two (2) Weeks of Verified Participation $750 per eligible participant Successful Completion of the Four (4) Week Workforce $750 per eligible participant Readiness Cohort and issuance of the Work Ready Credential Participant milestone compensation shall only be paid for participants who: • Meet PAEDC eligibility requirements; • Have been verified by PAEDC or its designee; #2572782 Page 7 • Successfully satisfy the applicable milestone requirements; and • Are supported by the documentation required under this Agreement. All compensation under this Agreement, including Initial Program Development & Implementation Funding and Participant Milestone Compensation, shall remain subject to the maximum contract amount of Three Hundred Thousand Dollars($300,000). PAEDC reserves the right to withhold payment for any milestone not supported by the required documentation or not performed in accordance with the terms of this Agreement. DOCUMENTATION FOR PROGRAM PAYMENTS 13. In order to draw funds under this Agreement, Future Force must submit: • Monthly or quarterly invoice; • Participant roster identifying enrolled participants; • Attendance documentation; • Completion status documentation; • Documentation of Work Ready credential issuance; • Description of employer engagement activities completed; • Expenditure summary by budget category; • Supporting receipts or documentation upon request by PAEDC. ELIGIBLE PROGRAM COSTS 14. (a) AUTHORIZED COMPENSATION CATEGORIES Eligible compensation categories may include: • Workforce Readiness cohort instruction and facilitation • Participant materials and curriculum delivery • Employer engagement activities • Workforce participation support activities • Credentialing and participant assessment • Reporting and compliance administration • Approved operating expenses directly tied to Program delivery (b) UNAUTHORIZED COMPENSATION CATEGORIES PAEDC funds shall not be used for: • General social services unrelated to workforce participation • Housing assistance or stabilization funding • Childcare subsidies • Substance abuse treatment services #2572782 Page 8 • Legal representation services • General policy advocacy activities • Open-ended case management unrelated to employment outcomes • Cradle-to-career programming not directly tied to workforce participation Future Force shall maintain financial records sufficient to demonstrate separation of PAEDC-funded workforce activities from non-eligible activities. MINIMUM PERFORMANCE STANDARDS 15. Future Force shall make reasonable efforts to maintain: • Minimum cohort attendance standards; • Participant completion standards; • Accurate participant tracking; • Employer engagement participation; • Timely reporting compliance. Failure to maintain minimum performance standards may result in: • Delayed compensation; • Funding hold; • Reduction in funding; • Agreement termination. RIGHT TO WITHHOLD PAYMENT 16. PAEDC reserves the right to withhold payment for: • Incomplete reporting; • Failure to provide required documentation; • Noncompliance with Agreement requirements; • Expenditures outside authorized workforce purposes; • Failure to maintain participant records. PERFORMANCE REQUIREMENTS 17. Future Force shall provide quarterly workforce performance reports to PAEDC that include, at a minimum: • Number of participants enrolled; • Cohort completion rate; • Number of Work Ready credentials issued; • Job placement and/or technical pathway continuation, where available; • Employer engagement activities; • Workforce participation support activities provided; #2572782 Page 9 • Participant retention indicators, where feasible Projected Program Implementation and Participation The parties acknowledge that the period from September 1, 2026, through September 30, 2026(FY2026) is intended for program development and implementation activities, including curriculum finalization, participant intake procedures, reporting systems, employer engagement, instructor preparation, marketing, recruitment, and other approved implementation deliverables. No participant performance target is established for FY2026. Projected participation targets are as follows: • FY 2026 (September 1, 2026 —September 30,2026): Program Development &Implementation (no participant target) • FY 2027 (October 1,2026—September 30,2027): Approximately 100 participants • FY 2028 (October 1, 2027—August 31,2028): Approximately 65-70 participants These participation targets are planning estimates only and may vary based upon participant demand, referrals, employer engagement, and available funding. Compensation shall be based upon the successful completion of the implementation deliverables and participant milestone requirements established under this Agreement and shall not exceed the maximum contract amount of Three Hundred Thousand Dollars ($300,000). PROGRAM REPORTING REQUIREMENTS 18. Future Force shall submit quarterly written reports to PAEDC including: • Enrollment data • Attendance records • Completion data • Credential issuance totals • Employer engagement activities • Placement and retention information where available • Budget expenditure summaries PAEDC reserves the right to request additional supporting documentation as necessary. PAYMENT TERMS 19. (a) INVOICING #2572782 Page 10 Future Force shall submit invoices no more frequently than monthly. Invoices must include: • Description of services performed • Reporting documentation • Participant counts • Supporting deliverables • Budget category breakdowns (b) PAYMENT APPROVAL Payment shall be contingent upon: • Submission of required reports • Verification of performance deliverables • Compliance with Agreement requirements • Approval by PAEDC PAEDC'S CONDITIONAL OBLIGATIONS AND LIMITED LIABILITY 20. If the average completion rate for Program Participants falls below 70% in two consecutive cohorts, PAEDC, on providing ten (10) day written notice, may suspend authorization of future seats pending review. The PAEDC, at its sole option, may terminate this Agreement for nonperformance or failure to comply with the terms of this contract. In the event of such termination by the PAEDC, the PAEDC may, at its sole option, immediately cease all further funding, if any, required by this Agreement and the PAEDC shall not be liable to Future Force or to any third parties for failure to make payments to Future Force under the terms and conditions of this Agreement. 21. The PAEDC's sole liability/obligation shall be to Future Force and shall be limited to the funding for the Programs detailed in this Agreement. The PAEDC shall not be liable, in contract or otherwise, for any expense, expenditure or cost incurred by or on behalf of Future Force related to the Programs except as set forth in this Agreement. RECORDS/INSPECTION/PAEDC AUDIT 22. All records pertinent to this Agreement shall be retained by Future Force. 23. Upon written request,Future Force shall provide reports to the PAEDC. 24. Upon written request, Future Force shall provide PAEDC with all reports reasonably necessary for PAEDC compliance with the Development Corporation Act of 1979. INDEPENDENT CONTRACTOR #2572782 Page 1I 25. Future Force is an independent contractor and not an employee, agent, or representative of PAEDC. Future Force shall be solely responsible for: • Payroll taxes • Insurance • Employee compensation • Benefits • Licensing • Regulatory compliance INSURANCE 26. Future Force shall maintain insurance coverage customary for professional service providers, including: • General Liability • Workers Compensation (if applicable) • Professional Liability (if applicable) Certificates of insurance shall be provided to PAEDC upon request. CHANGES AND AMENDMENTS 27. Any alterations, additions, or deletions to the terms of this Agreement shall be by amendment in writing and executed by all parties to this Agreement and approved by PAEDC. 28. Any alterations, additions, or deletions to the terms of this Agreement which are required by changes in Federal, state or local law are automatically incorporated into this Agreement without written amendment hereto and shall become effective on the date designated by such law or regulation. DEFAULT/TERMINATION 29. In the event of default of any of the obligations of Future Force detailed herein, the PAEDC may, at its sole and exclusive option, withhold and/or disallow further PAEDC payments or incentives to Future Force. 30. In addition to the foregoing, the PAEDC and Future Force agree that this Agreement may be terminated at any time when both parties agree, in writing, to the terms and conditions of any such voluntary termination. NON-ASSIGNMENT 31. Future Force may not assign or transfer this Agreement without prior written consent of PAEDC. #2572782 Page 12 ORAL AND WRITTEN AGREEMENTS/PRIOR AGREEMENTS 32. All oral and written agreements between the parties to this Agreement relating to the subject matter of this Agreement that were made prior to the execution of this Agreement have been reduced to writing and are contained in this Agreement. VENUE 33. For purposes of litigation that may accrue under this Agreement, venue shall be Jefferson County, Texas,where substantially all the performance will occur. UNDOCUMENTED WORKERS 34. Future Force and any branch, division, or department of Future Force certify that they have not and will not knowingly employ an "undocumented worker," which means "an individual who, at the time of employment, is not lawfully admitted for permanent residence to the United States or authorized under law to be employed in that manner in the United States." or authorized under law to be employed in that manner in the United States." In this chapter: (1) "Economic development corporation" means a development corporation organized under Subtitle Cl, Title 12, Local Government Code. (2) "Public agency" means the state or an agency, instrumentality, or political subdivision of this state, including a county, a municipality, a public school district, or a special- purpose district or authority. (3) "Public subsidy" means a public program or public benefit or assistance of any type that is designed to stimulate the economic development of a corporation, industry, or sector of the state's economy or to create or retain jobs in this state. STATEMENT REQUIRED IN APPLICATION FOR PUBLIC SUBSIDIES. A public agency, state or local taxing jurisdiction, or economic development corporation shall require a business that submits an application to receive a public subsidy to include in the application a statement certifying that the business, or a branch, division, or department of the business, does not and will not knowingly employ an undocumented worker.
