MEMORANDUM

RE: PR 25121 Frenchy's Grand Opening Block Party—Special Event Designation and
Agreement with F. Wilson Investments, LLC
PURPOSE: The purpose of this memorandum is to recommend approval of a Resolution
establishing the "Frenchy's Grand Opening Block Party" as a City-approved special event
pursuant to Chapter 90 of the Code of Ordinances of the City of Port Arthur, designating the event
location and entertainment area, designating F. Wilson Investments, LLC as the exclusive
concessionaire for the Event,and authorizing the City Manager to execute an agreement governing
the Event.
BACKGROUND: F. Wilson Investments, LLC ("F. Wilson Investments"), established by Port
Arthur native Fred Wilson, has requested authorization to conduct the Frenchy's Grand Opening
Block Party as a family-oriented community event intended to promote community engagement,
provide entertainment, encourage visitation to the City, and support continued community
revitalization and economic activity.
The Event is scheduled for August 29,2026.The public event is scheduled to take place from 2:00
p.m. to 8:00 p.m.,with event-site setup occurring from 11:00 a.m. to 2:00 p.m. and take-down and
cleanup occurring from 8:00 p.m.to 11:00 p.m.Accordingly,the requested overall use of the Event
area is from 11:00 a.m. to 11:00 p.m. The proposed Event location is Gulfway Drive between
Bluebonnet Avenue and Orange Avenue,together with such adjoining areas as may be specifically
approved by the City. The designated Event area and entertainment area are depicted in Exhibit
"C"to the Resolution.
Chapter 90 of the City of Port Arthur Code of Ordinances provides the framework for City-
approved special events. The proposed Event falls within the type of community activity
contemplated by Chapter 90 because it is intended to provide family-oriented entertainment,
promote community participation, encourage visitation, and contribute to economic and
community activity within the City.
F. Wilson Investments has provided a certificate of insurance for the Event, which is attached to
the Resolution as Exhibit "B." F. Wilson Investments will be required to maintain all insurance
coverage required by the City and the Event Agreement for the duration of the Event and any
additional period required under the agreement or applicable law.
RECOMMENDATION: City Staff recommends that the City Council approve the Resolution
establishing the Frenchy's Grand Opening Block Party as a City-approved special event,
designating Gulfway Drive between Bluebonnet Avenue and Orange Avenue as the Event location
and entertainment area, designating F. Wilson Investments, LLC as the exclusive concessionaire
within the designated Event area during the Event, and authorizing the City Manager to execute
the Event Agreement.

EXCLUSIVE CONCESSIONAIRE FOR THE EVENT; AND
AUTHORIZING THE CITY MANAGER TO EXECUTE AN

PURSUANT TO CHAPTER 90 (SPECIAL EVENTS) OF THE
CITY OF PORT ARTHUR CODE OF ORDINANCES
WHEREAS, F. Wilson Investments, LLC ("F. Wilson Investments") is a limited liability
company established by Fred Wilson, a Port Arthur native, and is engaged in activities intended to
promote community engagement, economic activity, and revitalization within the City of Port
Arthur; and
WHEREAS, F. Wilson Investments desires to host the "Frenchy's Grand Opening Block
Party" (the "Event"), a family-oriented community event intended to bring together residents of
the City of Port Arthur and visitors from surrounding communities for fellowship, entertainment,
and celebration of the revitalization of the community; and
WHEREAS, the Event is intended to promote community engagement, provide family-
oriented entertainment, encourage visitation to the City, and support local economic activity and
the continued revitalization of the City of Port Arthur; and
WHEREAS, F. Wilson Investments has requested authorization to use Gulfway Drive
between Bluebonnet Avenue and Orange Avenue, together with such adjoining areas as may be
approved by the City, for the Event; and
WHEREAS,the Event shall take place on State Highway 87 (SH 87), also known locally
as Gulfway Drive,between Orange Ave and Bluebonnet Ave within the incorporated limits of the
City of Port Arthur, Jefferson County, Texas, as approved and designated by the City. The Event
shall not occupy any City-owned street, adjacent to or connecting to Gulfway Drive. See Exhibit
"C"; and
WHEREAS,the Event is scheduled for August 29, 2026. The public event is scheduled to
take place from 2:00 p.m. to 8:00 p.m., with event-site setup occurring from 11:00 a.m. to 2:00
p.m. and take-down and cleanup occurring from 8:00 p.m. to 11:00 p.m. Accordingly, the

WHEREAS, pursuant to Chapter 90 (Special Events), Article I (In General), Section 90-
1 of the Code of Ordinances of the City of Port Arthur, the City Council is authorized to establish
and promote special events that benefit the City, encourage community activities, stimulate
economic activity, and contribute to a vibrant and active community; and
WHEREAS,the City Council finds that establishing the Event as a City-approved special
event is consistent with the purposes and objectives of Chapter 90 of the Code of Ordinances and
is in the public interest; and
WHEREAS, the City Council further finds that designating F. Wilson Investments as the
exclusive concessionaire for the Event, within the designated event area and subject to the terms
and conditions of the agreement authorized by this Resolution,will facilitate the orderly provision
of food,beverages,merchandise,and other concessions associated with the Event and is authorized
pursuant to applicable provisions of the Texas Local Government Code, including Section
380.001, as applicable; and
WHEREAS, F. Wilson Investments has provided evidence of insurance coverage in
connection with the Event, as reflected in the certificate of insurance attached hereto as Exhibit
"B", and shall maintain all insurance coverage required by the City and the agreement authorized
by this Resolution; and
WHEREAS, the City Council desires to authorize the City Manager to enter into an
agreement with F. Wilson Investments establishing the respective rights, duties, responsibilities,
and obligations of the City and F. Wilson Investments in connection with the Event, subject to the
terms and conditions approved by the City
NOW THEREFORE,BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF PORT ARTHUR,TEXAS:
Section 1. That the facts and recitals in the preamble are true and correct.
Section 2. The City Council hereby establishes and approves the "Frenchy's Grand
Opening Block Party" as a City-approved special event pursuant to Chapter 90 of the Code of
Ordinances of the City of Port Arthur. The event is scheduled for August 29, 2026. The public
event is scheduled to take place from 2:00 p.m. to 8:00 p.m., with event-site setup occurring from
11:00 a.m. to 2:00 p.m. and take-down and cleanup occurring from 8:00 p.m. to 11:00 p.m.
Accordingly, the requested overall use of the Event area is from 11:00 a.m. to 11:00 p.m.
The Event is subject to compliance with all applicable federal, state, and local laws, City
ordinances, permits, regulations, safety requirements, insurance requirements, and the terms and
conditions of the agreement authorized by this Resolution.

Section 3. Pursuant to Section 380.001 of the Texas Local Government Code, to the
extent applicable, and subject to the terms and conditions of the agreement authorized by this
Resolution, F. Wilson Investments, LLC is hereby designated as the exclusive concessionaire for
the Frenchy's Grand Opening Block Party within the designated Event area during the authorized
Event period. No other person or entity shall conduct concession activities within the designated
Event area during the Event except as may be expressly authorized in writing by the City or as
otherwise provided by applicable law.
Section 4. Nothing in this Section shall be construed to prohibit lawful business
activities occurring outside the designated Event area or to impair any right that cannot lawfully
be restricted by the City.
Section 5. The City Manager is hereby authorized to execute an Agreement with F.
Wilson Investments, LLC establishing the duties, responsibilities, rights, and obligations of the
City and F. Wilson Investments in connection with the Event, substantially in the form attached
hereto as Exhibit "A".
Section 6. The City Council acknowledges receipt of a certificate of insurance
evidencing coverage obtained by Team Wilson Investments LLC in connection with the
"Frenchy's Grand Opening Block Party," attached hereto as Exhibit "B." F. Wilson Investments
shall maintain all insurance required by the City and the Agreement for the duration of the Event
and for any additional period required by the Agreement or applicable law.
Section 7. The City Council hereby designates that The Event shall take place on State
Highway 87 (SH 87), also known locally as Gulfway Drive,between Orange Ave and Bluebonnet
Ave within the incorporated limits of the City of Port Arthur,Jefferson County,Texas,as approved
and designated by the City. The Event shall not occupy any City-owned street, adjacent to or
connecting to Gulfway Drive. See Exhibit "C."
Section 8. F. Wilson Investments shall be responsible for complying with all
applicable City requirements associated with the Event, including all permitting, public safety,
sanitation, fire, traffic control, insurance, cleanup, and other requirements imposed by the City or
applicable law.
Section 9. Nothing in this Resolution shall be construed as waiving any applicable City
ordinance, permit requirement, fee, inspection, license, or other legal requirement unless such
waiver or authorization is expressly approved by the City Council and is otherwise permitted by
law.

Section 10. This Resolution shall take effect immediately upon its adoption.That a copy
of the caption of this Resolution shall be spread upon the Minutes of the City Council.

Exhibit "A"
EXCLUSIVE CONCESSIONAIRE AND SPECIAL EVENT AGREEMENT
BETWEEN
THE CITY OF PORT ARTHUR, TEXAS
AND
F. WILSON INVESTMENTS, LLC
This Exclusive Concessionaire and Special Event Agreement ("Agreement") is entered
into by and between the City of Port Arthur, Texas, a municipal corporation ("City"), and F.
Wilson Investments, LLC, acting by and through Fred Wilson ("Event Organizer").
WITNESSETH:
WHEREAS, the City and Event Organizer desire to coordinate and facilitate the
Frenchy's Grand Opening Block Party (the "Event"), on or near State Highway 87 (SH 87), also
known locally as Gulfway Drive, within the incorporated limits of the City of Port Arthur,
Jefferson County, Texas. The temporary closure will extend along Gulfway Drive from its
intersection with Bluebonnet Avenue to its intersection with Orange Avenue.; and,
WHEREAS, the event is being conducted in conjunction with the grand opening of the
newly renovated Frenchy's Chicken restaurant located at 2200 Gulfway Drive and is intended to
provide family-oriented entertainment and community activities, including live musical
performances, vendor booths, outdoor seating and gathering areas, grand opening activities, and
related entertainment and community activities; and
WHEREAS, the parties desire to establish their respective rights, duties, responsibilities,
and obligations concerning the Event and to establish the terms and conditions governing the use
of the designated Event area and the operation of concessions and related activities during the
Event.
NOW, THEREFORE, it is hereby agreed that the City and The Event enter into this
Agreement regarding the Frenchys Grand Opening Block Party. The public event is scheduled to
take place from 2:00 p.m. to 8:00 p.m., with event-site setup occurring from 11:00 a.m. to 2:00
p.m. and take-down and cleanup occurring from 8:00 p.m. to 11:00 p.m. Accordingly, the
requested overall use of the Event area is from 11:00 a.m. to 11:00 p.m.:
1. General Provisions. Event Organizer shall coordinate and administer the Event in
accordance with this Agreement, the Resolution establishing and approving the Event, all
applicable provisions of the City of Port Arthur Code of Ordinances, and all other
applicable federal, state, and local laws and regulations.

Event Organizer is designated as the exclusive concessionaire for the Event within the
designated Event area during the authorized Event period, subject to the City's approval
rights and the terms and conditions of this Agreement.
Nothing contained herein shall be construed to create an agency, partnership, joint
venture, employment relationship, or other fiduciary relationship between the City and
Event Organizer. Event Organizer is an independent contractor and shall remain solely
responsible for its operations and obligations under this Agreement.
2. Duties of The Event. The Event does hereby agree to be responsible for the following
activities in connection with the Frenchys Grand Opening Block Party, at its expense, and
the City does hereby delegate said responsibilities to The Event, along with certain
income or revenues associated therewith:
(a) The Event shall take place on State Highway 87 (SH 87), also known locally as
Gulfway Drive, between Orange Ave and Bluebonnet Ave within the
incorporated limits of the City of Port Arthur, Jefferson County, Texas, as
approved and designated by the City. The Event shall not occupy any City-owned
street, adjacent to or connecting to Gulfway Drive. See Exhibit"C."
(b) The Event is hereby appointed to coordinate vendor activities conducted on
public lands and streets within the event show area during the Frenchys Grand
Opening Block Party period, giving special attention to the hours of operation,
location, products, costuming, booth design, and vendor permit fees. Vendors
must obtain endorsement from The Event before obtaining a vendor permit from
the City, if one is required. If a City vendor permit is not required, then vendors
must obtain permission from The Event before conducting any business within
the event show area.
(c) The Event, if applicable, is responsible for arranging the event show area for
participants, registration for the event, and obtaining clearances and approval
from the City Council when required to accomplish particular tasks. The Event
shall be entitled to all revenues except as otherwise herein expressly provided
from the event show area.
(d) The Event Organizer shall provide adequate trash receptacles and trash bags
throughout the Event area and shall be responsible for maintaining the Event area
in a clean and sanitary condition throughout the Event.
(e) The Event Organizer shall complete all cleanup and removal of Event-related
materials, equipment, structures, trash, and debris no later than 11:00 p.m. on
August 29, 2026, unless otherwise approved in writing by the City.

(f) The Event Organizer shall restore the Event area to substantially the same
condition in which it existed before the Event, subject to ordinary wear and tear.
(g) The Event Organizer shall coordinate all temporary concession operations
within the designated Event area.
Event Organizer shall not permit any concession, vendor, activity, structure, or
operation that violates applicable law, City ordinance, permit requirements, fire-
safety requirements,health requirements, or other City requirements.
The City shall retain final governmental authority concerning permits, public
safety, use of public property, traffic control, fire protection, sanitation, and
compliance with applicable law.
(h) The Event Organizer shall submit a comprehensive master/site plan to the City
Manager no later than August 25, 2026, identifying all proposed Event activities,
entertainment, concessions, vendors, temporary structures, seating areas, stages,
signage, and other uses within the Event area.
Any material modification to the approved site plan shall be submitted to the City
Manager for review and approval before implementation.
(i) The Event Organizer shall obtain at its sole cost and expense, and cause to be
kept in full force and effect at all times during the 2026 Frenchys Grand Opening
Block Party, a legally binding policy of insurance issued by best-rated carriers
approved to do business in the State of Texas by the State Insurance Commission.
The insurance coverage under such a policy shall be comprehensive general
public liability insurance. It shall name and include the City, its officers,
employees, and agents as additional named insureds, protecting them from
liability for any such matters arising out of the 2026 Frenchys Grand Opening
Block Party. The policies must be endorsed to state that the coverage extended to
the City, its officers, employees, and agents is to be primary, irrespective of any
other primary insurance coverage maintained by the City of Port Arthur. The
limits of coverage under the policy shall be a minimum of One Million Dollars
($1,000,000.00) combined single-limit coverage for death of or injury to a person
and/or property damage per occurrence. The insurance policy shall additionally
provide contractual liability coverage for The Event and indemnification of the
City. The naming of the City, its officers, employees, and agents as additional
named insureds in the policy shall not thereby cause them to be deemed partners
or joint ventures with The Event. The policy shall be performable in Port Arthur,

Jefferson County, Texas, and shall be construed in accordance with the laws of
the State of Texas. A certificate of all such insurance coverage shall be delivered
to the City through its City Manager no later than thirty (30) days before the
commencement of the 2026 Frenchys Grand Opening Block Party. The policy
shall provide that it shall not be subject to cancellation by the insurers except
upon delivery of written notice to the City Manager at least fifteen (15) days prior
to the effective date of cancellation; and in such case, the Event shall, before the
effective date of cancellation, secure substitute policies furnishing the same
coverages set forth above. The furnishing of such insurance coverage shall not in
any way limit or satisfy any of The Event's obligations under this section.
(j) To the fullest extent permitted by applicable law, Event Organizer shall
indemnify, defend, and hold harmless the City of Port Arthur, its officers,
employees, agents, representatives, and elected officials from and against claims,
demands, causes of action, damages, losses, liabilities, judgments, and expenses,
including reasonable attorney's fees, arising out of or relating to:
(i) Any and all claims, actions, and suits, whether groundless or otherwise,
and any judgment resulting therefrom, and expenses connected with any
such claims, actions, or suits, including, but not limited to, attorney's
fees; and,
(ii) Upon the option of the City, the duty to defend against any such claims,
action, or suits, whether groundless or otherwise; and,
(iii) Any and all liabilities, losses, damages, costs, charges and other
expenses of every kind and character, any of which for any reason
whatsoever may arise out of or will be attributable, directly or indirectly,
to the occurrence of the 2026 Frenchys Grand Opening Block Party, or
the construction, maintenance, existence, operation, repair or removal of
any bench, stage, shelter or other type of structure on the 2026 Frenchys
Grand Opening Block Party area.
Nothing in this Agreement shall require Event Organizer to indemnify a party for
liability to the extent caused by that party's own negligence, to the extent such
indemnification is prohibited by Texas law.
3. Duties of the City. The City does hereby agree to be responsible for the following
activities in connection with the 2026 Frenchys Grand Opening Block Party, said
expenses to be reimbursed by The Event.

(a) Types and location of all temporary concession permits on public property within
the Event's show area shall be subject to the prior approval of The Event.
(b) The City shall be responsible for approving or disapproving all banners, signage,
and advertisements to be installed on or above the City right-of-way(s) after The
Event has first approved or proposed the same.
(c) The City shall have the right of approval over all 2026 Frenchys Grand Opening
Block Party activities occurring or taking place on City streets, alleys, and rights-
of-way after The Event has approved or proposed same.
4. Term. The Event shall be conducted on August 29, 2026.
The Event schedule shall be as follows:
• Event-site setup: 11:00 a.m. to 2:00 p.m.;
• Public Event: 2:00 p.m. to 8:00 p.m.; and
• Takedown and cleanup: 8:00 p.m. to 11:00 p.m.
Accordingly, the authorized overall use of the Event area shall be from 11:00 a.m. until
11:00 p.m.
The Event shall be conducted on Gulfway Drive between Bluebonnet Avenue and
Orange Avenue, together with such adjoining or surrounding areas as may be specifically
approved by the City. The boundaries and authorized areas shall be established in the
Event site plan approved by the City.
Nothing in this Agreement grants Event Organizer any permanent property interest,
leasehold interest, easement, or other proprietary interest in Gulfway Drive, any public
right-of-way, or any City-owned property.
5. Termination. The City Manager, after consultation with the Chief of Police and the Fire
Chief, may terminate this agreement and the 2026 Frenchys Grand Opening Block Party
due to security concerns.
6. Description of Proposed Activities:
The Frenchy's Grand Opening Block Party is being held in conjunction with the grand
opening of a newly renovated, regionally franchised Frenchy's Chicken restaurant
located at 2200 Gulfway Drive. Proposed activities include:
• Live musical performances featuring regional and nationally acclaimed hip-hop
and zydeco artists;
• Vendor booths and related community activities;
• Outdoor seating and gathering areas;

• Grand opening activities associated with the restaurant; and
• Other related entertainment and community activities occur within the approved
Event area.
7. Financial Reporting and Settlement of Expenses. The Event and the City each agree
to deliver to the other a report of its receipts and expenditures of the 2026 Frenchys
Grand Opening Block Party within ninety (90) days after the conclusion of the 2026
Frenchys Grand Opening Block Party for each year, subject to the Agreement. The
Event shall reimburse the City for overtime costs (hours worked outside normal shifts)
of police, firefighters, and other City personnel, as well as for supplies and equipment
requested by The Event and used for the event.
8. Security. The Event shall have at least twelve (12) off-duty officers in attendance
during the event. Security guards contracted through a licensed and bonded company
may be used instead of off-duty officers only when off-duty officers are unavailable. The
Chief of Police may require additional security based on the crowd control and security
plans provided, as well as other information he is cognizant of. The Event shall
reimburse the City for overtime costs (hours worked outside normal shifts) incurred by
police, firefighters, and other City personnel resulting from additional security required
by the Chief of Police.
9. Alcohol. The sale, distribution, possession, or consumption of alcoholic beverages is
prohibited within the Event area during the Event, unless separately and expressly
authorized by the City and permitted by applicable law. No provision of this Agreement
shall be construed as granting Event Organizer any authority to sell, distribute, or permit
the consumption of alcoholic beverages.
10. Compliance with Laws. Both parties agree to mutually cooperate to enforce all laws and
regulations relating to the 2026 Frenchys Grand Opening Block Party, including but not
limited to the enforcement of the City of Port Arthur's Code of Ordinances, which makes
it unlawful for anyone to bring coolers containing food and beverages, glass containers,
canned drinks, and pets into the event show area.
11. Amendments. This Agreement may be amended only by a written instrument executed
by both parties. No amendment may materially alter the Event, its location, the exclusive
concessionaire designation, or other matters requiring City Council approval without
such approval when required by law or City policy.
12. Authority. Each person executing this Agreement represents and warrants that he or she
has full authority to execute this Agreement on behalf of his or her respective party and to
bind that party to the terms hereof

13. Severability. If any provision of this Agreement is determined to be invalid, illegal, or
unenforceable, such determination shall not affect the validity or enforceability of the
remaining provisions.
14. Governing Law and Venue. This Agreement shall be governed by and construed in
accordance with the laws of the State of Texas. Venue for any action arising out of or
relating to this Agreement shall lie exclusively in a court of competent jurisdiction
located in Jefferson County, Texas.

To avoid work suspension, an updated insurance form must reach the address listed below one business day
prior to the expiration date. Insurance must be in force in order to perform any work.
Binder numbers are not acceptable for policy numbers.
The certificate of insurance, once on file with the department, is adequate for subsequent department contracts
provided adequate coverage is still in effect. Do not refer to specific projects/contracts on this form.
List the contractor's legal company name, including the DBA (doing business as) name as the insured. If a staff
leasing service is providing insurance to the contractor/client company, list the staff leasing service as the insured
and show the contractor/client company in parenthesis.
The Texas Department of Insurance (TDI)approved forms are the only acceptable proof of insurance for department
contracts.The preferred Certificate of Insurance (COI) is on a 1560 or Acord form.
Over-stamping and/or over-typing entries on the certificate of insurance are not acceptable if such entries change the
provisions of the certificate in any manner.

The contractor is required to have Workers' Compensation Insurance if the contractor has any employees including
relatives.
The word STATUTORY, under limits of liability, means that the insurer would pay benefits allowed under the Texas
Workers' Compensation Law.
GROUP HEALTH or ACCIDENT INSURANCE is not an acceptable substitute for Workers'Compensation.
COMMERCIAL GENERAL LIABILITY INSURANCE:
MANUFACTURERS' or CONTRACTOR LIABILITY INSURANCE is not an acceptable substitute for Comprehensive
General Liability Insurance or Commercial General Liability Insurance.
BUSINESS AUTOMOBILE POLICY:
