SUBJECT: P.R No.15163; Council Meeting February 23, 2010 Attached is P.R. No. 15763 as it pertains to memt~ers of the Port Arthur Downtown Revitalization Board. Attachment Port Arthur tioard of directors (described below in detaIl) is one way of achieving this objective. 7e it is necessary to have representation from a variety of stakeholders on the board, there. is a tradeoff between the number of members and their ability to be focused, achieve a consensus, or act decisively and effectively. Therefore, the IEDC team recommends establishing a small and nimble board of directors with an emphasis on business leaders. Board of Directors Strong leadership and clear vision are the cornerstones of any successful organization. Bringing in the right leaders to the governing body will ensure that the mission is balanced with the external environment. The practical means by which a board accomplishes this includes: • Financial oversight • Strategic planning • Raising funds • Developing policy • Communiryrelations • Monitoring and evaluation • Hiring/firing Executive Director • Development of the Board of Directors • Providing counsel' The IEDC team recommends a seven-member board that brings expertise in finance, real estate development, retail/commercial attraction and government relations to the Downtown PPP. IEDC recommends the following composition for the board of directors: • City of Port Arthur - 3 seats, with at least one appointment from the petrochemical industry such as the Port Arthur Industrial Group • PAEDC - 2 seats, with at least one appointment from the petrochemical industry such as the Pott Arthur Industrial Group • Chamber of Commerce - 1 seat • Lamar State College Port Arthur - 1 seat This structure will result in a diverse board with input from both the public and private sectors. Each nominating entity will provide three nominations for each ` board seat. The nominations will be confirmed by the Port Arthur City Council from among the nominations submitted. Board members will be appointed for staggered, fixed terms of three years. *Hummef, Joan M Starting and Running a Nonprofit Organization, Second Edition, (Minneapolis, University o/Minnesota Pmss, 1996) I IEDC Technical Assistance Report 7 ?1 :a WHEREAS, the Economic Development Corporation Board has appointed Vicki Derese and Kerry Thomas to the Port Arthur Downtown Revitalization Board; and WHEREAS, Lamar State College Port Arthur has appointed Conrad Cooper to the Port Arthur Downtown Revitalization Boazd; and WHEREAS, the Chamber of Commerce has appointed Mark Viator to the Boazd. NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PORT ARTHUR, TEXAS: Section 1. That the facts and opinions in the preamble are true and correct. Section 2. That the term of office shall be three (3) yeazs and shall be staggered, effective immediately. Section 3. That the purpose of the Port Arthur Downtown Revitalization Boazd is to work with City Council to implement a revitalization strategy plan for downtown Port Arthur. Section 4'. That the Port Arthur Downtown Revitalization Boazd shall be made up of twelve (12) members that bring expertise in finance, real estate development,. retail/commercial attraction and government relations and include professionals from the petrochemical industry and senior management from major private sector employers. Section 5. That is hereby appointed by the City of Port Arthur as a member to the Port Arthur Downtown Revitalization Board. Section 6. That a copy of the Resolution be spread upon the minutes of the City Council.
