Recommendation: recommend that the City Council adopt proposed Resolution No. 15878, which authorizes the City Manager to execute a contract with Dikita Engineering, Inc. for the design and con:~truction management of a Texas Parks and Wildlife Grant Project at= SSGT Lucian Adams Park in the amount of $126,500. Back Jr~ ound: The City of Port Arthur received an Outdoor Recreation Grant from the Texas Department of Parks and Wildlife to increase the utility and access of citizens and visitors to SSGT Lucian Adams Park. Specifically, included in said grant was the construction of additional softball/baseball field in the park as well as other amenities which will afford park users greater utility and benefit. The City Council pursuant to Resolution No. 10-082 authorized the City Manager to negotiate a contract with Dikita Engineering to design and handle construction management for the Texas Parks and Wildlife Grant project. The total funded project will. be $806,500. Approval o~~ this resolution will allow the City to move forward in completing n.ot only its grant requirements, but also the project; thereby improving the quality of life for citizens. SHORT FORM OF AGREEMENT BETWEEN OWNER AND ENGINEER FOR PROFESSIONAL SERVICES 1HIS IS AN AGREEMEN'T' effective as of City of Port Arthur, Parks and Recreation ("Owner") and Dikita Enterprises, Inc., dba Dikita Engineering ("Engineer") Engineer agrees to provide the services described below to Owner for Adams Park ("Project"). Description of Engineer's Services: The project engineering scope shall consist of site improvements including: unpaved parking, surface drainage by means of grading, two new softball fields, one softball field lighting system, a sanitary sewer outfall by means of a two-inch forced line, onsite water line, and a 1200-square foot concession with restrooms building. Owner and Engineer further agree as follows: 1.01 Basic Agreement A. Engineer shall provide, or cause to be provided, the services set forth in this Agreement, and Owner shall pay Engineer for such Services as set forth in Paragraph 9.01. 2.01 Payment Procedures B. Owner shall pay Engineer for such additional services as follows: For additional services of Engineer's employees engaged directly on the Project an amount equal to the cumulative hours charged to the Project by each class of Engineer's employees times standard hourly rates for each applicable billing class; plus reimbursable expenses and Engineer's consultants' charges, if any. A. Preparation of Invoices. Engineer will prepare a monthly invoice in accordance with Engineer's standard invoicing practices and submit the invoice to Owner. I3. Payment of Invoices. Invoices are due and payable within l5 days of receipt. If Owner fails to make any payment due Engineer for services and expenses within 30 days after receipt of Engineer's invoice, the amounts due Engineer will be increased at the rate of 1.0% per month (or the maximum rate of interest permitted by law, if less) from said thirtieth day. 1[n addition, Engineer may, without liability, after €;iving seven days written notice to Owner, suspend'. services under this Agreement until Engineer has been paid in full all amounts due for sere ices, expenses, and other related charges. Payments will be credited first to interest and then to l~~rincipal. 3.01 Additional Services A. If authorized by Owner, or if required because of changes in the: Project, Engineer shall furnish seriices in addiction to those set forth above. 4.01 Termination A. The obligation to provide further services under this Agreement may be terminated: 1. For cause, a. By either party upon 30 days written notice in the event of substantial failure by the other party to perform in accordance with the Agreement's terms through no fault of the terminating party. b. By Engineer: 1) upon seven days written notice if Engineer believes that Engineer is being requested by Owner to furnish or perform services contrary to Engineer's responsibilities as a licensed professional; or 2) upon seven days written notice if the Engineer's services for the Project are delayed or suspended for more than 60 days for reasons beyond ("Effective Date") between 1 of4 EJCDC E-520 Short Form of Agreement Between Owner and Engineer for Professional Services Copyright ©2002 National Society of Professional Engineers for EJCDC. Engineer's control. 3) Engineer shall have no liabiliity to Owner on account of such termination. c. ~fotwithstanding the foregoing, this Agreementt will not terminate as a result of a substantia'I failure under paragraph =1.O1.A.i.a if the party receiving such notice begins, within seven days of receipt of such notice, to correct its failure and proceeds diligently to cure such failure within no more than 30 days of receipt of notice; provided, however, that if and to the extent such substantial failure cannot be reasonably cured within such 30 day period, and if such party has diligently attempted to cure the same and thereafter continues diligently to cure the same, then the cure period provided for herein shall extend up to, but in no case more than, 60 days after the date o1' receipt of the notice. 2. For convenience, by Owner effective upon the receipt of notice by Engineer. B. The terminating party under paragraphs 4.O1.A.1 or 4.O1.A.2 may set the effective date of termination at a time up to 30 days later than otherwise provided to allow Engineer to demobilize personnel and equipment from the Project site, to complete tasks whose value would otherwise be loss, to prepare notes as to the status of completed and uncompleted tasks, and to assemble Project materials in orderly files. 5.01 Controlling Law A. This Agreement is to be governed by the law of the state of Texas. 6.01 Successors, Assigns, and Beneficiaries .4. Owner and Engineer each is hereby bound and the partners, successors, executors, administrators, and legal representatives of Owner and Engineer (and to the extent permitted by paragraph 6.O1.B the as>.igns of Owner and Engineer) are hereby bound to the other parry to this Agreement and to the partners, successors, executors, administrators, and lc~;al representatives (and said assigns) of such other party, in respect of all covenants, agreements, and obligations of this Agreement. B. Neither Omer nor Engineer may assign, su~~let, or tra~isfer any rights under or interest (including, but without limitation, moneys that are due or may become due) in this Agreement without the written consent of the other, except to the extent that any assignment, subletting, or transfer is mandated or restricted by law. Unless specifically stated to the contrary in any written consent to an assignment, no assignment will release or dischazge the assignor from any duty or responsibility under this Agreement. 7.01 General Considerations A. The standard of care for all professional engineering and related services performed or fumished by Engineer under this Agreement will be the care and skill ordinarily used by members of the subject profession practicing under similaz circumstances at the same time and in the same locality. Engineer makes no warranties, express or implied, under this Agreement or otherwise, in connection with. Engineer's services. Engineer and its consultants may use or rely upon the design services of others, including, but not limited to, contractors, manufacturers, and suppliers. B. Engineer shall not at any time supervise, direct, or have control over any contractor's work, nor shall Engineer have authority over or responsibility for the means, methods, techniques, sequences, or procedures of construction selected or used by any contractor, for safety precautions and programs incident to a contractor's work progress, nor for any failure of any contractor to comply with laws and regulations applicable to contractor's work. C. Engineer neither guarantees the performance of any contractor nor assumes responsibility for any contractor's failure to furnish and perform its work in accordance with the contract between Owner and such contractor. D. Engineer shall not be responsible for the acts or omissions of any contractor, subcontractor, or supplier, or of any contractor's agents or employees or any other persons (except Engineer's own employees) at the Project site or otherwise furnishing or performing any of construction work; or for any decision made on interpretations or clarifications of the construction contract given by Owner without consultation and advice of Engineer. E. The general conditions for any construction contract documents prepared hereunder are to be the "Standazd General Conditions of the Construction Contract" as prepared by the Engineers Joint Contract Documents Committee (No. C-700, 2002 Edition). All rights reserved. retains an ovvnership and property interest (including the copyright and the right of reuse) in such documents, whether or not the Project is completed. U. To the fullest extent pemtitted by law, Owner and Engineer (1) waive against each other, and the other's employees, officers, directors, agents, insurers, partners, and consultants, any and all claims for or entitlement to special, incidental, indirect, or consequential damages arising out of, resulting from, or in any way related to the Project, and (2) agree that Engineer's total liability to Owner under this Agreement shall be limited to $50,000 or the total amount of compensation received by Engineer, whichever is greater. H. The parties acknowledge that Engineer's scope of services does not include any services related to a Hazardous Environmental Condition (the presence of asbestos; PC1Bs, petroleum, hazardous substances or waste, and radioactive materials). If F,ngineer or any other party encounters a Hazardous Ens-ironmental Condition, Engineer may, at its option and without liability for consequential or any other damages, suspend performance of services on the portion of the Project affected thereby until Ov<ner. (i) retains appropriate specialist consultants or contractors to identify and, as appropriate, abate, renicdiate. or remove the Hazardous Environmental Condition; and (ii) warrants that the Site is in full compliance with applicable Laws and Regulations. 8.01 Total Agreement A. This Agreement (consisting of pages 1 to 4 inclusive together with any expressly incorporated appendix), constitutes the entire agreement between Owner and Engineer and supersedes all prior written or oral understandings. CONSULTANT SCOPE OF WORK Parks and Recreation Department City of Port Arthur APRIL 7, 2010 Professional Services Scope of Work For Adams Park Improvements This document; describes the scope of work for Adams Park (PROJECT) improvements as discussed between the City of Part Arthur (OWNER) and Dikita Enterprise of Texas, dba. Dikita Engineering (E:NGINEER) and becomes a part of the PROJECT legal contract between the OWNER and ENGINEER. 1.0 SCOPE: The project engineering scope shall consist of site improvements including; unpaved parking, surface drainage by means of grading, two new softball fields, one softball field lighting system. a sanitary sewer outfall by means of a two-inch forced line, onsite water line, and a 1200-squre foot concession with restrooms building. PROJECT site is located at 1100 60"' Street, Port Arthur, Texas 77640. 2.0 BASIC SERVICES ENGINEER's services shall consist of the five phases described in Paragraph's 2.1 through 2.6 as follows: 2.1 Schematic Design Phase Schematic drawings will be prepared to provide the design layout at concept level based on provisions 2.2.1 through 2.2.3. This engineering concept level shall be considered as 25% completion level engineering plans. 2.2.1 ENGINEER shall visit the site to verify and inventory existing conditions, taking special note of the following: • Locate applicable bench marks • Existing vehicular and pedestrian circulation • Existing vegetation • Existing impacting physical features • Existing drainage and erosion impact • Existing playgrounds and other physical features 2.2.2 ENGINEER shall prepare schematic site layout. 2.2.3 Deliverables shall include three sets of 24" by 36" blueline prints of the schematic layout plans. 2.3 Design Development Phase Based on the approved Schematic Design and OWNER's comments, ENGINEER shall work in coordination with OWNER to provide Design Development documents consisting of drawings and preliminary construction costs. 2.3.1 Deliverables shall include three sets of 24" x 36" blueline prints of the design development plans and details. 2.3.2 Design Development Documents review sets will be provided at 65% and 90% design completion level. 2.3.3 ENGINEER shall prepare and submit to OWNER estimates of probable costs at 60% and 90% plans complete level. 2.4 Construction Documents Phase Based on the approved Design Development Documents and Preliminary Cost Estimate, ENGINEER shall prepare Construction Documents for OWNER's approval. 2.4.1 Construction Documents shall consist of • Cover sheet showing vicinity map for project, signature block, index of drawings, contact list. • Demolition details showing removal and or relocation of existing elements as required to accommodate improvements. • ENGINEER shall provide horizontal and vertical control drawings at appropriate horizontal and vertical scales. Drawings shall include existing and proposed contour lines also showing surface drainage flows. Plans shall not include underground drainage calculation nor shall they include underground drainage design. ENGINEER shall provide cross sections and quantities for areas with cut and fill for clarifications. • Water distribution layout and sanitary sewer plan and profile drawings shall be included in Water Utility Plan(s). • Construction details sheet(s) shall be included in construction documents where relevant construction details are not covered in the OWNER's construction standard drawings. • Specification in line with the OWNER's standards and requirements. This document shall be assembled and organized in collaboration with the OWNER's staff, particularly with regards to bidding and construction management provisions. • Quantity Summary sheet containing each construction pay item and its estimated quantity. • If design requires submittals of shop drawings, consultant may be required to review the submittals 2.4.2 Deliverables include two sets of 24"x36" prints on bond, one set of 24"x36" on mylar, and one set of digital PDF (Portable bocument Format) saved on compact disc. 2.5 Bid Phase Based on approved Construction Documents, ENGINEER shall provide bidding services to include the following: 2.5.1 Attend pre-bid conference and prepare meeting notes 2.5.2 Prepare addenda items 2.5.3 Answer questions during the bidding process 2.6 Construction Phase During construction, ENGINEER shall perform the following construction administration services: 2.6.1 Attend pre-construction conference 2.6.2 Review submittals and shop drawings as required 2.6.3 Consultant shall make: 2.6.3.1 Two periodic site visits, as requested by OWNER, to observe contractor progress and plan compliance. 2.6.3.2 Attend final walk through inspection and prepare punch list. 2.6.4 Prepare brief written report of findings and report visually evident discrepancies or problems to the OWNER, based on site visits. 2.6.5 Provide administrative services, including preparation of proposal requests, change orders, and response to Requests for Information. 3.0 ENGINEER'S Team ENGINEER may, at its own sole discretion, engage sub-consulting services where it feels necessary to employ such assistance to complement its engineering services or manpower. 4.0 Schedlule Work ;>hall be performed in accordance with the following schedule: Commencement of basic of services as described herein shall commence 14 days after receipll of an executed contract and written Notice to Proceed. The schedule for each phase and deliverables described herein are based on the basic scope of services. 4.1 Schematic Design: Commencement ten (10) working days after receipt of Notice to Proceed and immediately upon receipt of topographical map (design base map) whichever is later. 4.1.1 Ten (10) working days is allocated for the preparation of the Schematic Design drawings. 4.2 Design Development: Commencement upon receipt of Schematic plan comments from the OWNER. 4.2.1 Ten (10) working days is allocated for completion of this phase 60% completion level plans. 4.2.2 Fifteen (15) working days is allocated for completion of this phase 90% completion level plans. 4.3 Construction Documents: Commencement upon receipt of 90% completion level plans comments from OWNER. 4.3.1 Ten (5) working days is allocated to finalizing construction documents. 4.4 Bidding: As directed by OWNER. 4.5 Construction Administration: Commencement upon the pre-construction conference, through duration of construction or as directed by OWNER. 5.0 Fees and Payment Schedule 5.1 Basic Services For the Basic Services outlined above, OWNER agrees to pay ENGINEER the following fee payments: • Engineering Fee Total $ 102,000.00 • Bidding Assistance $ 8,000.00 • Construction Administration $ 10,000.00 TOTAL BASIC ENGINEERING FEE $ 120,000.00 Reimbursables $ 6,500.00 5.2 Engineering service fees shall be invoiced on monthly basis commensurate with the completion level of the task. The overall fee for each task is based on the ratio of task efforts relative to the total phase efforts. Design phase is broken down to work packages of Schematic, First Design Development, Second Design Development, and Construction Document tasks are shown with task effort percentages below.
