No. 13150 Council Meeting May 24, 2005 Date: May 19, 2005 Attached is P.R. No. 13150 appointing directors and/or advisory directors to the City of Port Arthur Section 4A Economic Development Corporation. It appears that House Bill 3036 may be passed. This Bill allows the City to restructure the number of voting members of the Board. We are still waiting for the Senate to adopt it. The last day of the 79th Regular Session is May 30, 2005. The d directors is that it does not provide any flexibility to a governing body r Because of this lack of elasticity, city council members have difficulty ag H.B. 3036 proposes to amend the number of Section 4A directors required fro some flexibility in the size of the board of directors. This bill also aut set the length of term for each 4A director at not more than six years and director at any time without cause. RULEMAKING AUTHORITY This bill does not expressly grant any additional rulemaking authority to a SECTION BY SECTION ANALYSIS SECTION 1. Amends Section 4A(c), Development Corporation Act of 1979 (Arti provide that the board of directors of a corporation under this section con are appointed by the government body of the city and who serve at the pleas may be removed by the governing body at any time without cause. Please propose a resolution for the May 24, 2005 City Council meeting for our Mayor and Councilmembers to make their Economic Development Corporation Board appointments. A RESOLUTION APPOINTING DIRECTORS AND/OR ADVISORY DIRECTORS TO THE CITY OF PORT ARTHUR SECTION 4A ECONOMIC DEVELOPMENT CORPORATION WHEREAS, the City of Port Arthur Section 4A Economic Development Corporation was created by Ordinance 96-08; and, WHEREAS, the present members are delineated in Exhibit "A"; and, WHEREAS, Section 7.03 and Section 11.04 of the Bylaws of the Economic Development Corporation delineates the appointment procedures for directors and advisory directors. No director shall serve more than three (3) consecutive three (3) year terms; and, WHEREAS, board members shall be collectively selected (nominated) by pools of Council Members, with such nomination being subject to confirmation by a majority vote of the City Council; and WHEREAS, there is a need to appoint board members and/ advisory board members; and, WHEREAS, the City Council reserves the ability to restructure the Board of Directors under the parameters of House Bill 3036, if it is adopted into law. z.pr13150 NOW THEREFORE, HE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PORT ARTHUR= Section 1.
