A RESOLUTION RECOMMENDING Tl~ RENEWAL OF
AN AGREEMENT WITH BAKER & TAYLOR LOCATED IN
CHARLOTTE, NC FOR THE PURCHASE OF BOOKS, VIDEO
& AUDIO MATERIALS AT AN ANNUAL MINIMUM AMOUNT
OF $ 55,000.
WHEREAS, in May of 2004, the City of Port Arthur entered into an agreernant with
Baker & Taylor of Charlotte, North Carolina, for the purchase of books, video, and audio
materials; and,
WHEREAS, the contract provided an option to renew the contract for up to four (4)
additional years; and,
WHEREAS, the staff at the City of Port Arthur Public Library is very pleased with the
quality of services that Baker & Taylor provides, including the delivery of materials in a timely
fashion; and,
WHEREAS, the library staff wishes to accept Baker and Taylor's offer to extend the
contract for one additional year at an annual minimum mount of $55,000 (a copy of said offer is
attached as Exhibit "A" and the original proposal is attached as Exhibit "B").
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF PORT ARTHUR, TEXAS:
.SECTION 1. That the facts and opinions in the preamble are true and correct.
SECTION 2. That the extension of the contract from Baker & Taylor for an
additional year is hereby approved.
SECTION 3. That a designated representative of Baker & Taylor will sign this
Resolution agreeing to the terms hereof.

RECOMMENDATION:
It is recommended that Baker & Taylor be awarded the bid for "Purchase of
Books, Video & Audio Materials" for the Library with option to renew for f~our additional years at
an annual minimum amount of $55,000 Funds are available in the Library's General Fund
budget for Library Materials (001-1403-552.47-01 through -04) and the Library Special fund
(102-1421-552.47-01 through 001-1421-552.47-04).
BACKGROUND:
Several bids were received, but only two vendors (Ingram Library Services, Inc. and
Baker & Taylor) bid the complete range of materials and services requested in the bid
package. These two vendors also were the most competitive in the size of discounts provided
and in the services offered. Ingram is our current vendor.
With a large number of factors taken into consideration, Baker & Taylor presented the
best overall proposal. Their discounts were higher in all categories except DVDs which was
the same. Attachment "A" gives comparisons.
References were checked and we found no major dissatisfaction with either vendor.
BUDGETARY/FISCAL EFFECT:
Approval will provide a purchase commitment of $55,000 - up from $50,000 over the
last five year period. This helped gain the competitive discounts reflected in the bids. Funds
are available as indicated in the summary.
STAFFING~EMPLOYEE EFFECT:
Handling orders through a jobber consolidates much paperwork, enabling staff to order
from a wide array of publishers through a single account.
SUMMARY:
It is recommended that Baker & Taylor be awarded the bid for provision of "books, other
print materials and audiovisual materials" to the Library for a term of one year with option to
renew for up to four additional years. Discounts secured in the Baker & Taylor proposal were
based on fifty-five thousand dollars per year anticipated expenditure. Funds are available in
the Library budget to cover this commitment. Fund numbers are 001-1403-552.47-01 through
001-1403-552.47-04 (General Fund) and 102-1421-552.47-01 through 001-1421-552.47-04
(Library Special Fund).

Note: Ingrain offers slightly lower pro(~essing costs and possibly faster delivery, although the
references we checked with seemed pleased with Baker & Taylor's delivery time. The greater

price for library books. The discounts extended by Baker & Taylor are discounts from the current
publisher's list price, however, publishers' list price is subject to change without notice. Your discount will

Baker & Taylor has provided a listing of category types and their definiUons (Attachment B). The
category number will match the discount categories (and number) as stated on the Terms and CondiUons
of Sale. This will clarify to the library what criteria are used to classify a particular binding category and
how it relates to the discounts offered.
As part of our comprehensive pricing proposal, we have enclosed a copy of the Title Source on CD-ROM
for your review. The library should use this sample to determine how a parUcular title may be
categorized and to verify the appropriate price indicator applied to that particular title.
Title Source will provide the unique opportunity to review how each of B&T's 3.5 million tit[es will be
priced to the library. Price Indicators and all other title attributes included on the May 2004 Title Source
CD-ROM are subject to change according to changes in B&~s relationships with publishers or publisher
list price updates.
Price Tndicators, which appear in the discount code field in Title Source, have been outlined on the
enclosed list of binding types and discount codes (See Attachment A). These Price Indicators will show
the category and applicable discount for individual items.

~ource ~'J'is the most extensive database of bibliographic acquisiUons informaUon for U.S.
publications. This database includes book, spoken word audio, video, DVD and Music CD titles.
Our proprietary database contains detailed, comprehensive, up-to-date information on over 3.5 million
book titles, 85,000 video titles, and 240,000 music titles. [n addition, it contains over 850,000 annotaUons
and 1.3 million book covers in full color.
Data element~ include: AnnotaUons from LC and B&T publications, digitized cover images, 19 key search
indices, eleven filter criteria, and duplicate checking between orders and selection carts. Physical
materials descriptions such as book dimension, weight, and pagination are also included. Additional title

Pre Binding Services/Cover Lamination for Paperback Editions
To meet all your prebound paperback needs, two methods are available: Vinabind, and Kapco®. The
Vinabind method allows the entire original paperback cover to be retained. The cover is constructed of
Davey Binders board and then covered with a polyvinyl lamination. The spine is reinforced using a strong
double-fan adhesive binding. Cost for this process is $4.75/unit.
The Kapco(~ method uses clear, thick, plastic sheets, adhered directly to the original paperback cover.
This covers the entire book to protect the spine, front, and back covers. Cost for this service is
$1.99/unit.

Rebound Paperback Books

Selection Tools provided by Baker & Taylor
Selection Tools

Our collection management librarians will work with you to provide title lists incorporating your particular
specifications.
Basic Selection Lists are defined as single subject lists based on a minimum of selection criteria.
These lists include the standard bibliographic information needed for selection and ordering. (an example
would be a list to support Black History Honth).

About Our Collection Management Librarians and Technical Staff...
Baker & Taylor collection management librarians have extensive experience working in library collection
development and/or technical services in public, academic, and special libraries before their employment
with Baker & Taylor. Our management team has created this organization carefully, recruiting librarians
with a wide range of complementary, specialized subject knowledge representing different-sized
institutions and a range of geographic regions.
Baker & Taylor collection management librarians are active in contributing to their profession. Our group
features a former member of the LC CZP Advisory Committee, B]~SAC participants, a former chair of an
ALA divisional discussion group, ALA committee participants, and participants in regional professional
organizations. Our librarians have published articles on collection development, and have been featured
presenters in professional meetings and workshops.

procuring trdes from small or hard to find publishers. By utilizing B&T's vast publisher and title
database, the library can purchase a wide variety of Iow demand and small print run tlUes from
associations and limited ediUon, prepayment, and non-returnable publishers.
Baker & Taylor's Enhanced Services Program provides libraries with access to 3.5 million active
book tiUes representing over 72,000 fmprlnts. This breadth of coverage is greater than that of
any other book industry wholesaler.
The "£SP" program builds on B&T's already outstanding publisher relaUons by:
· Expanding our vendor relaUons team responsible for the follow-up of all publisher orders,
thereby improving the speed of delivery of all tiUes to the library.
· Widening our publisher base to include hundreds of small non-commercial publishers
formerly considered "Apply Direct" by the book industry.
· Increasing our reporting capabilities by providing order status for 100% of all tlUe
not yet published and by supplying anticipated release dates for all out of stock items.
In order to provide these enhanced title acquisition services, B&T will apply a service charge to
qualifying titles. Titles supplied from small non-commerdal publishers which require prepayment
or where B&T receives no discount from the publisher, or flues of small, limited in demand
publishers will he invoiced at the list price plus a $4.95/unit surcharge.
If you would like to determine whether a spedfic title is subject to the surcharge, you may check
the Title Source for Windows, Baker & Taylor's CD-ROM database of over 2.2 million titles.

The following guidelines are required to ensure prompt handling of your return. All product returns
(excluding Retail overstock returns and program defined returns such as the Approval and Book Leasing
programs) require prior authorization from a Customer Servce Representative.
How to Obtain Return Authorization
Please use the Return Authorization Form from your shipment's packing list to make all returns. Contact
your Customer Service Representative for return authorization. All claims must be made within 45
days from the date of invoice.

the Return Authorization Form explanation)

returned with prior authorization within six months of the product's date of invoice. Products
purchased with value-added processing services which have been shipped as ordered are
considered non-returnable.
DAMAGED SHIPMENTS: If you receive a damaged carton(s) which resulted in damaged product(s),
please hold the product(s) and save the carton for Carrier inspection. If the damage is visible at the time
of delivery, bring it to the Carrier's attention and note it on the Bill of Lading. Then, contact your Baker &
Taylor Customer Service Representative via the toll-free number listed below.
CLAIMING SHORTAGES: Please check your packing list or invoice before claiming shortages. All claims
must be made within 45 days from the product's invoiCe date. Please ensure you have received all
cartons of a shipment prior to signing for receipt from the Carrier. Cartons you have signed for as

GENERAL INFORMATION:
NOTE: It is extremely important that the Vendor, Bidder, and/or Contractor furnish the
City of Port Arthur the required information specified in the Bid or Proposal
Specifications listed in this Bid Package.
The intent of this INVITATION TO BID (ITB) is to provide bidders with sufficient information
to prepare SEALED BIDS IN DUPLICATE for furnishing:
PURCHASE OF BOOKS, OTHER PRINT MATERIALS, AND AUDIOVISUAL
MATERIALS FOR PORT ARTHUR PUBLIC LIBRARY.
Bids must be in a sealed envelope addressed to the City Secretary, City of Port Arthur,
P. O. Box 1089, Port Arthur, Texas 77641. Bids shall be received no later than
3:00 P. M. May 12, 2004. Bid proposal MUST BE SIGNED BY THE BIDDER.
Ail bids meeting the intent of this request for bid will be considered for award. BIDDERS
TAKING EXCEPTION TO THE SPECIFICATIONS, OR OFFERING SUBSTITUTIONS,
SHALL STATE Tt~SE EXCEPTIONS BY ATTACHMENT AS PART OF THE BID. The
absence of such a list shall indicate that the bidder has not taken exception and the City shall
hold the bidder responsible to perform in strict accordance with the specifications of the
invitation. The City reserves the right to accept any and all or none of the
exception(s)/substitufions(s) deemed to be in the best interest of the City of Port Arthur.
Bids cannot be altered or amended after submission deadline. Any interlineation, alteration, or
erasure made before opening time must be initialed by the signer of the bid, guaranteeing
authenticity.
The City reserves the right to:
1. Reject any and all bids, and to make no award if it deems such action to be in its best
interest.
2. Award bids on the lump sum or unit price basis, whichever is in the best interest of the
City.
3. Reject any or all bids and to waive informalities or defects in bids, or to accept such
bids as it shall deem to be in the best interests of the City,
4. Award bids to bidders whose principal place of business is in the City of Port Arthur
and whose bid is within 3% of the lowest bid price. This preference can't be granted
for purchases involving Federal Funds.
The award shall be made to the responsible vendor(s) whose bid is determined to be the lowest
offer; taking into consideration the relative importance of price, conformance to specifications,
and capability and experience of the contractor.

TERMINOLOGY: "Bid"vs. "Proposal"..For the purpose of ~s ITB, the terms "Bid" and
Proposal" shall be equivalent.
Bidders are cautioned to read the information contained in this ITB carefully and to submit a
complete response to all requirements and questions as directed.
CONFLICT OF INTEREST: No public official shall have interest in this contract, in accordance
with Vemon's Texas Code Annotated, Local Government Code Title 5, Subtitle C, Chapter 171.
ETHICS: The bidder shall not offer or accept gifts or anything of value, nor enter into any
business arrangement with any employee, official or agent of the City of Port Arthur.
MINIMUM STANDARDS FOR RESPONSIBLE PROSPECTIVE BIDDERS: A prospective
bidder must affirmatively demonstrate bidder's responsibility. A prospective bidder must meet
the following requirements:
1. Be able to comply with the required or proposed delivery schedule.
2. Have a satisfactory record of performance.
3. Have a satisfactory record of integrity and ethics.
4. Be otherwise qualified and eligible to receive an award.
5. Be engaged in a full time business, and can assume liabilities for any performance or
warranty service required.
6. The City Council shall not award a contract to a company that is in arrears in its
obligations to the City.
7. No payments shall be made to any person of public moneys under any contract by the City
with such person until such person has paid all obligations and debts owed to the City, or has
made satisfactory arrangements to pay the same.
Any interpretations, corrections or changes to the ITB and Specifications will be made by
addenda. Sole issuing authority of addendas shall be vested in the City of Port Arthur
Purchasing Manager. Addendas will be mailed to all who are known to have received a copy of
the ITB. Offerers shall acknowledge receipt of all addenda.
PRICES: The bidder should show in the proposal both the unit price and total amount, where
required, of each item listed. In the event of error or discrepancy in the mathematics, the unit
price shall prevail.
PURCHASE ORDER: A purchase order(s)shall be generated by the City of Port Arthur to the
successful bidder. The purchase order number must appear on all itemized invoices.
INVOICES: All invoices shall be mailed directly to the Port Arthur Public Library, 4615 9th
Avenue, Port Arthur, TX 77642.
PAYMENT: Payment will be made upon receipt of the original invoice and the acceptance of
goods or services by the City of Port Arthur.
SALES TAX: The City of Port Arthur is exempt by law from payment of Texas Sales Tax and
Federal Excise Tax, therefore the proposal shall not include Sales Tax.
VENUE: This agreement will be governed and construed according to the laws of the State of
Texas. This agreement is performable in Port Arthur, Texas, JefferSon County.

COMPLIANCE WITH LAWS: The Contractor shall comply with all applicable laws,
ordinances, rules, orders, regulations and codes of the federal, state and local governments
relating to performance of work herein.
INTEREST OF MEMBERS OF CITY: No member of the governing body of the City, and no
other officer, employee or agent of the City who exercises any functions or responsibilities in
connection with the planning and carrying out of the program, shall have any personal f'mancial
interest, direct or indirect, in this Contract; and, the Contractor shall take appropriate steps to
assure compliance.
DELINQUENT PAYMENTS DUE CITY: The City of Port Arthur Code of Ordinances prohibits
the City from granting any license, privilege or paying money to anyone owing delinquent taxes,
paving assessments or any money to the City until such debts are paid or until satisfactory
arrangements for payment has been made. Bidders must complete and sign the AFFIDAVIT
included as part of this ITB.
CONTRACT: The following will comprise the contract between the City and the successful
bidder:

QUANTITIES: Quantities shown are estimated, based on projected use. It is specifically
understood and agreed that these quantifies are approximate and any additional quantifies will be
paid for at the quoted price. It is further understood that the supplier shall not have any claim
against the City of Port Arthur for quantities less than the estimated amount.
All bids will remain in effect for sixty (60) days after the bid opening date.
If, through any cause, the Bidder falls to fulfill in a timely and proper manner his obligations
under this Contract, or fails to perform in accordance with these specifications, the City reserves
the right to terminate this Contract by giving written notice to the Bidder of such termination and
specifying the effective date thereof, at least fifteen (15) days before the effective date of such
termination.
No person has the authority to verbally alter these specifications. Any interpretations,
corrections or changes to this ITB and specifications will be made in writing by the Purchasing
Division of the City of Port Arthur and sent to each person having a bid package.
The vendor must be an authorized dealer for all products offered. The vendor must give the
manufacturers name and product description of all items. Inferior products, products which
perform at a substandard level, or poor quality products will be rejected.

INCORPORATION OF PROVISIONS REQUIRED BY LAW: Each provision and clause
required by law to be inserted into the Contract shall be deemed to be enacted herein and the
Contract shall be read and enforced as though each were included herein. If, through mistake or
otherwise, any such provision is not inserted or is not correctly inserted, the Contract shall be
amended to make such insertion on application by either party.
CONTRACTOR'S OBLIGATIONS: The Contractor shall and will, in good workmanlike
,manner, perform all work and furnish all supplies and materials, machinery, equipment, facilities
and means, except as herein otherwise expressly specified, necessary or proper to perform and
complete all the work required by this Contract, in accordance with the provisions of this
Contract and said specifications.
The apparent silence of these specifications as to any detail or to the apparent omission from it of
a detailed description concerning any point, shall be regarded as meaning that only the best
commercial practices are to prevail. All interpretations of these specifications shall be made on
the basis of statement.
While the purpose of the specifications is to indicate minimum requirements in the way of
capability, performance, construction, and other details, its use is not intended to deprive the City
of Port Arthur the option of selecting goods which may be considered most suitable for the
purpose involved.
In the event of conflicts between the written bid proposal and information obtained verbally, the
vendor is specifically advised that the written bid proposal will prevail in the determination of
the successful bidder.
Under the Title VI of the Civil Rights Act of 1964, no person shall, on the grounds of race, color,
or national origin, be excluded from participation in, be denied the benefits of, or be subjected to
discrimination under any program or activity receiving Federal financial assistance.

If cataloging / processing is quoted, bid should include specification sheets as
requested on page 12.
SAMPLES
Samples must be submitted free of expense and will not be returned.
DELIVERY ARO
Be sure to show delivery time required after receipt of order (ARO), in appropriate
space on page 11.

SHIPMENTS OF MULTIPLE CONTAINERS
must be marked prominently. (Example: Carton 1 of 4). The first carton in each
shipment must have a packing slip enclosed.
DAMAGED OR DEFECTIVE MATERIALS RECEIVED
Vendor will provide toll-free phone contact for return of defective materials or
those received in damaged condition. Vendor will initiate immediate replacement
of such materials and will make no additional charge for shipping or replacement.
Returns of such materials will be at the expense of the vendor. (Same notice on
