A RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE A SUPPLEMENT TO THE APPLICATION SERVICES PROVIDER AGREEMENT WITH SUNGARD PUBLIC SECTOR, INC., IN A NOT TO EXCEED AMOUNT OF $16,000.00 TO ADD CLICK2GOV EMPLOYEE SELF SERVICE; FUNDING AVAILABLE IN ACCOUNT NO.001- 1034 - 515.54- 00 WHEREAS, the City of Port Arthur entered into an Application Service Provider (ASP) agreement with SunGard Public Sector for application software for payroll, accounting, utility billing, purchasing, and other central functions, approved by Council Resolution 10 -440 and renewed for the third year by Council Resolution 13 -388; and WHEREAS, the supplement to the ASP agreement will provide employees with online access to much of their payroll information. NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PORT ARTHUR: Section 1. That the facts and opinions in the preamble are true and correct. Section 2. That the City Council hereby authorizes the City Manager to execute the supplement to the ASP Agreement with SunGard Public Sector, Inc. as attached hereto as Exhibit A. Section 3. That a copy of the caption of this Resolution shall be spread upon the Minutes of the City Council. Application Service Provider Agreement Schedule A - Order Form This Schedule A - Order Form is entered into under the terms and conditions of the SunGard Public Sector Inc. Application Service Provider Agreement dated October 6, 2010 (Agreement), between SunGard Public Sector Inc. (SunGard Public Sector) and City of Port Arthur, Texas (Customer). Unless otherwise stated below, all terms and conditions as stated in the Agreement shall remain in effect. Term: Begins July 1, 2014 and expires commensurately with the expiration of Schedule A — Order Form, Contract No. PTAR- 100764-1. 2. Payment Terms: Professional Services Fees: Installation will be billed 50% at contract execution and 50% when completed. Training is billed as incurred. Start-Up Fee: Due at contract execution. Monthly Access Fee: The initial Monthly Access Fee will be due July I, 2014. Subsequent Monthly Access Fees will be due on the first of the month thereafter. Monthly Access Fees will be billed with current ASP Monthly Access Fees and subject to annual increases defined in the original ASP agreement. KT: Special Terms Relating to the SunGard Transaction Manager: In addition to any SunGard Transaction Manager configuration and /or setup fee(s) listed above, Customer will be responsible for payment of a monthly usage fee on a monthly basis relating to the SunGard Transaction Manager. Upon the conclusion of each month following installation of the SunGard Transaction Manager (KT), SunGard Public Sector will invoice Customer a monthly usage fee equal to the following: i. Eight point five cents ($0.085) for each transaction processed by the SunGard Transaction Manager during the prior month; or - ii. Five point five cents ($0.055).for each transaction processed by the SunGard Transaction Manager during the prior month provided that Customer utilizes a SunGard Public Sector approved payment partner for that transaction's related merchant services; or iii. One hundred Fifty dollars ($150.00) if the applicable transaction -based monthly usage fee is not greater than One hundred Fifty dollars ($150.00). The per transaction rates that are used to calculate each monthly usage fee are subject to change with 90 days notice. Other changes to these special terms relating to the SunGard Transaction Manager may occur at any time as may be required and such changes will be effective upon SunGard Public Sector's written notice to each Customer who utilizes the SunGard Transaction Manager services. For the purpose of the SunGard Transaction Manager, the term "transaction" means a transaction that is submitted to the SunGard ASP Agreement, Schedule A - Order Form PTAR- 100764 -8.doc Ver 11.01.07 Page 1 of2 4/23/2014 Transaction Manager whether such transaction be a credit card, signature debit card, online electronic check transaction, or otherwise. Upon ninety (90) days prior written notice to SunGard Public Sector, Customer may terminate usage of the SunGard Transaction Manager subscription effective upon the last day of the month in which the notice period concludes. The SunGard Transaction Manager is the only solution for real -time, online transaction processing within the SunGard Public Sector suite of internet and core products. The SunGard Transaction Manager solution is available 24 hours /7 days per week except when the service is off -line for support and maintenance. Maintenance is scheduled to be performed each Sunday starting at 12:OOAM to be completed as soon as possible but no later than 5:OOAM. Upon installation of the SunGard Transaction Manager, Customer's license to use the OnePoint Payment Engine -KL (if applicable) shall terminate. The terms and conditions contained in this Schedule A — Order Form, including the prices, will be honored as set forth herein, provided this Schedule A — Order Form is executed by May 31, 2014.
