Comeaux, P.E., Interim City Manager FROM: Allison Walker, Public Works Administrative Assistant DATE: June 4, 2014 SUBJECT: P.R.18356—Debris Monitoring COMMENTS RECOMMENDATION: It is recommended that the City Council approve Proposed Resolution No. 18356, authorizing City Manager to execute the third and final year of the agreement with O'Brien's Response Management, L.L.C. (formerly O'Brien's Response Management, Inc.) of Fort Lauderdale, Florida, for debris monitoring in the event of an emergency or disaster. BACKGROUND: This is the third and final year of the agreement with O'Brien's Response Management, L.L.C. (formerly O'Brien's Response Management, Inc.) of Fort Lauderdale, Florida, for debris monitoring in the event of an emergency or disaster. This contract was approved by the City Council per Resolution 12-348 and renewed per Resolution 13-332 (under the name of Witt/O'Brien's, L.L.C.), in order to meet the requirements of the Federal Emergency Management Agency (FEMA) for all debris removal in the event of an emergency or disaster. BUDGETARY/FISCAL EFFECT: Funding will be provided for in the appropriate disaster/emergency recovery project accounts. EMPLOYEE/STAFF EFFECT: None. SUMMARY: It is recommended that the City Council approve Proposed Resolution No. 18356, authorizing the City Manager to execute the third and final year of the agreement with O'Brien's Response Management, L.L.C. A RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE THE THIRD AND FINAL YEAR OF THE AGREEMENT BETWEEN THE CITY OF PORT ARTHUR AND O'BRIEN'S RESPONSE MANAGEMENT, L.L.C. (FORMERLY O'BRIEN'S RESPONSE MANAGEMENT, INC.) OF THEODORE, ALABAMA, FOR DEBRIS MONITORING IN THE EVENT OF AN EMERGENCY FOR DISASTER. WHEREAS, it is deemed in the best interest of the City of Port Arthur to have a service in place for debris monitoring in the event of an emergency or a disaster; and, WHEREAS, pursuant to Resolution 12-348, the City entered into a one year agreement with the option to renew for two additional years with O'Brien's Response Management, Inc.; and, WHEREAS, pursuant to Resolution 13-332, the City renewed the contract with Witt/O'Brien's, LLC (formerly O'Brien's Response Management, Inc.) for an additional year; and, WHEREAS, this is the third and final year of the contract with O'Brien's Response Management, L.L.C. (formerly O'Brien's Response Management, Inc.); now therefore, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PORT ARTHUR: THAT, the facts and opinions in the preamble are true and correct; and, THAT, the City Manager is hereby authorized to execute the third and final year of a contract attached hereto as Exhibit "A" with O'Brien's Response Management, L.L.C. of Fort Lauderdale, Florida, for debris monitoring for the City of Port Arthur on a unit price basis; and, THAT, a copy of the caption of this Resolution be spread upon the Minutes of the City Council. Deborah Echols, CPA Interim City Manager Director of Finance 1 4.14449.--A t.:1/4.._ _ i L.4 ) s„--/ d - 7 Shawna Tubbs, CPPO Purchasing Manager Exhibit "A" • CONTRACT FOR DEBRIS MONITORING FOR THE CITY OF PORT ARTHUR THIS AGREEMENT, made this the day of , 2014, by and between the City of Port Arthur, a municipal corporation organized under the laws of the State of Texas, hereinafter called "OWNER" or "CITY", and O'Brien's Response Managements L.L.C. a(n) corporation herein acting by and through hereinafter called"CONTRACTOR". WITNESSED: That for and in consideration of the payment terms, conditions and agreements set forth herein, OWNER and CONTRACTOR agree as follows: 1. Pursuant to Resolution 12-348, the City entered into a one-year contract with the option of renewal for two additional years. Pursuant to Resolution 13-332, the parties executed the first year renewal. The parties hereby agree to exercise said option for the third and final year. 2. Effective December 26, 2012, O'Brien's Response Management, Inc. converted to O'Brien's Response Management L.L.C. 3. Upon receipt of the Notice to Proceed,the CONTRACTOR shall initiate work under this contract within 24 hours. The term of this contract shall be for the duration of the emergency or disaster recovery period as determined by the City Council of the City of Port Arthur. 4. The term of this Contract shall be from August 7, 2014 to August 6, 2015. 5. During the term of this Contract, the CONTRACTOR will furnish at his own expense all of the materials, supplies, tools, equipment, labor, and other services necessary in connection therewith, excepting those supplies specifically not required of CONTRACTOR in the Specifications items mentioned in the attached Proposal. 6. The term"Contract Documents"means and includes the following: (A) Agreement (B) Request for Proposal* (C) General Information* (D) Specifications* (E) Bid Proposal* (F) Bidder's Information Sheet* * These items were attached to the original letting contract. The agreement only is included for this renewal. 7. This Agreement shall be binding upon all parties hereto and their respective heirs, executors, administrators, successors, and assigns. 8. IN WITNESS WHEREOF, the parties here to have executed, or caused to be executed by their duly authorized officials, this Agreement in two (2) copies, each of which shall be deemed an original of the date first written above.
