CONTRACT WITH
19, 2006, per Resolution 06-514, the
Planning Commission awarded the City of
Port Arthur $2,574,700 for (1) renovation and expansion of the
City's Health Department, (2) special services for at-risk youth,
and (3) the abatement of abandoned structures; and
WHEREAS, the Community Prosecution Program has received
$152,000 of said award for Special Services-At Risk Youth and
Adults, Counseling Services,
Services; and
WHEREAS, on February 13,
2007,
and Prevention and Intervention
per Resolution No. 07-066, the
on March 13, 2007, per Resolution No. 07-115, the
City Council approved teaching contracts for the above described
services; and
WHEREAS,
City Council approved class monitors to monitor the classes; and
WHEREAS, the Community Prosecution Program will be hosting a
Youth Empowerment Day on June 28, 2007 at the Parker Center at
Lamar State College or such other location that is available; and
WHEREAS, the Community Prosecution Program desires to have
Judge Greg Mathis and Eugene Rivers as speakers; and
WHEREAS, the Community Prosecution Program will also have
teaching programs or other presentations as it pertains to Self-
Esteem & Character Building Class, GED Prep and Testing Guidance
Class, Truancy Prevention Class, Intensive Anger Management Class,
Drug, Alcohol and Tobacco Awareness Class, Parenting Classes for
Women, and Parenting Classes for Men; and
WHEREAS, Truth and Education will also be involved in making a
presentation as to how they can facilitate self-esteem programs in
association with the Community Prosecution Program. The Programs
will focus on psychological and emotional health issues as to
increase positive self-esteem for at risk youth as per their Health
Watch programming; and
WHERF_~, the City Council deems it in the best interest of the
citizens of Port Arthur to support Youth Empowerment Day.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY

I authorize the AMERICAN PROGRAM BUREAU, Inc. to make a firm and binding
offer to Rev. Eugene Rivers (the Speaker) for Thursday, June 28, 2007 at 1:30 p.m. to
3:30 p.m. The honorarium for this engagement is $6,000 plus all coach class air
fare.
The Speaker must agree to the following terms: A motivational speech to be presented to
youth, Question and Answer segment, interview with local media and students, and
attendance at a reception at the Port Arthur City Hall. This a government sponsored
program which will be directed at youths of many different backgrounds.

1, This Contract is between Ame~can Program Bureau, Inc., ("APB') and the

All charges other than for fee, including expenses fo,' the Speaker, will be

Client agrees to pay any and all federal, state, and local rental, amusement,
sales or other such taxes and tees to obtain all necessay licenses and
insurance.

Should the Speaker be unable th appear as sehedu~J, neither APB nor
the Speakor will have any riabtiity for any exponses o~ other damages
incurred by the Client. Sh~ld the Speaker cancel and a comparable
speaker not ha provided, all deposits paid witl be applied to another
program or, at the Client's opiton, refunded in full saitstecgon of any and
all obligaEons of tha Speaker and APB to the Cdient.
Notwithstanding any other provisions of this Conitact, in the event that
the pedormance of any obtigalion under this Contract by ehher Party is
prevl~led due to acts of God, exchange conitois, wars, hoalilities,
blockades, civil disturbances, revolutions, sldkes, terrehst attacks, or
lockouts, APB, Speaker and/or Citenl (Parties) shall not be respansibth
to the other for failure to delay in parformance of its ob[igafiens under
this Conitact. Each Party shall promptly noitty the other parties of such
force majeure condition, The terms of this Clause shall not exempt, but
merely suspend, any PaAy from its duty to pedorm the obligations under
this Contract until as eaon as practicable after a force majeure condihon
ceases to exist.
4. The Client may not pablicize this event unitl the conitact is fully executed by
both APB and the Client and the APB has received the required deposit, All

Client agrees to furnish a suitable place for the program, property lighted,
product or service in connection with any commercial lie-up with~t pdor
whiten permission from APB or the Speaker.
Speaker ehall have the dght to sell prngrams or merchandising items on the
premises of presentation Without participation by the Client, subject, however,
to local concessionaire's requirements, if any.
Should the Client cancel or breach this agreement up to sixty (60) days prior
to the program, the deposit equal to filfy (50%) of the total fee shall be
fudeged or immediately be due to APB. In ~e event ct breach or
cancetiafien of this contract Within sixty (60) days of the program, the full
contracted fee shall be forfeited and whatever balance is owed is due
immediately ta APB.
10. If for any reason the Speaker is delayed or cannc( appea' APB Will use its
best effort to notify the Client and to arrange for a mutually agreeable change
of date or provide a com~oarable Speaker that is acceptable to the Client,

In the event the Speaker is delayed, but ardves and presents his/her
program in full, all fees, honorariums, and other charges shall be due in
full to APB.

APB, acting as the Speaker's agent wherein the Speaker is an
independent contractor, shall not be responsible in any way for the
Speaker's acts, omissions, statements, or any commitment made by the
Speaker or the CtienL Neither APB nor the Speaker has the authedly
eithor express or implied to bind the other 1o any agreement not
pamonally signed by the party to be bound. There is no principal agent
relatioeahip that exists between APB and the Speaker. The Client is not
the agent or empiayee of either APB or the Speaker and has no other
autheqty express or implied to speak for or bind either APB or the
Speaker except as set out in this contract.
It is agreed that this is a personal service centract and that the terms of
this contract are not assignable in whole or in part by any patty without
the whiten agreeme~l of the other.
No additional aclivi§es shall be planned by the Client nor expected of the
Speaker ualeas expressly contained as pad of the terms of this
agreement, The fee is understood to be for the speaking engagement
only. Any matedal change in the nature of this contract shall constitute a
breach of this contract unless agreed to in writing by the padies hereto.
The person signing this contract for the Client warrants that he/she is
signing as a duly authedzed representative of the Client. This contract
may ha executed in one or more counterparts, each of which will be
deemed an odgthal but all of which when taken together will constitute
one in the same instrument. This insitumenl sets forth the entire
agreement between the parties Grid shall not become effedive until
copies of the conbact are exscuted by all parties. This contract may not
be altered, changed, modified or waived in whale or in part except by an

INNER CITY MINISTER/YOUTH ADVOCATE
Reverend Eugene F. Rivers, III is Pastor of the Azusa Christian Community, a Pentecostal church affiliated
with the Church of God in Christ (COGIC) and located in the Four Corners section of Dorchester, MA.
Reverend Rivers was born in Boston and reared in South Chicago and North Philadelphia. He was
educated at Harvard University, and has worked on community development and various aspects of Christian
activism for nearly thirty years, especially on behalf of the black poor. As co-chair of the National Ten Point
Leadership Foundation, he is working to build new grassronts leadership in forty of the worst inner-city
neighborhoods in America by the year 2006.
In response to the culture of violence, drugs, and poverty in inner-city Boston, the Reverend has developed
several programs and ministries. Among them are: the Seymour Institute for Advanced Christian Studies, the Azusa
Christian Community, the Dorchester Uhuru Project and the TenPoint Coalition.. For many years, he served as
President of Azusa's social service arm, the Ella J. Baker House, which provides street intervention, education and
mentoring for hundreds of youths in Dorchester and elsewhere in Boston each year.
Rev. Rivers has interests in Foreign policy and geopolitics, and is now General Secretary of the Pan
Afl'lean Charismatic Evangelical Congress that was formed to organize churches in the U.S. to assist their
counterparts in Africa in dealing with the AIDS pandemic, as well as advocating 'for changes in foreign and
development policies of the U.S. vis-fi-vis Africa. He spoke at the 1998 meeting of the World Council of Charches
to urge them to act in the face of the HIV/AIDS pandemic in sub-Saharan Africa.
Rev. Rivers has appeared on CNN's Hardball, NBC's Meet the Press, PBS's The Charlie Rose Show, and
BET's Lead Story, among other programs. He has been featured or provided commentary for publications such as
Newsweek, The New Yorker, The New York Times, The Washington Post, The Los Angeles Times, the Boston
Herald, and the Boston Globe, as well as periodicals such as Sojourners, Christianity Today and Books and Culture.
He has lectured at numerous universities, including Harvard, Yale, Princeton and Calvin College. He has also
authored or co-authored numerous essays, including On the Responsibility of Intellectuals in the Age of Crack;
Beyond the Nationalism of Fools: A Manifesto for a New Black Movement; Black Churches and the Challenge of
U.S. Foreign and Development Policy; An Open Letter to the ~ZS. Black Religious, Intellectual, and Political
Leadership Regarding AIDS and the Sexual Holocaust in Africa; and A Pastoral Letter to George W. Bush on
