RESOLUTION NO.
A RESOLUTION AUTHORIZING THE CITY MANAGER TO ENTER
INTO A CONTRACT WITH ARCENEAUX WILSON & COLE, LLC., OF
PORT ARTHUR, TEXAS, FOR DESIGN AND CONSTRUCTION
MANAGEMENT SERVICES FOR PARKING AND DRAINAGE FOR THE
NEW TRANSIT ADMINISTRATION BUILDING, IN AN AMOUNT NOT
TO EXCEED $9,500.00. FUNDS ARE AVAILABLE IN ACCOUNT 401-
1509-561-82.00 AND GRANT TX90-2015.
WHEREAS, the original plans for the new Transit Administration Building did not
include any parking in the rear of the building; and
WHEREAS, it is recommended by the Project Manager that Engineering plans be
developed to allow for parking and drainage; and
WHEREAS, the Project Manager requested qualifications from three engineering firms
(see Exhibit"A"); and
WHEREAS, the Project Manager reviewed the submitted proposals and determined that
Arceneaux Wilson& Cole, LLC. presented the best proposal and are qualified and available to
take on the project on short notice (a copy of the proposal is attached hereto as Exhibit"B"); and
WHEREAS, Port Arthur Transit(PAT) is requesting authorization to enter into a
contract with Arceneaux Wilson& Cole LLC., in an amount not to exceed $9,500.00, for design
and construction management services for parking and drainage for the new administration
building, in substantially the same form as attached hereto as Exhibit"C."
NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF PORT ARTHUR:
THAT,the facts and opinions in the preamble are true and correct.

THAT,the City Manager is hereby authorized and directed to execute a contract with
Arceneaux, Wilson& Cole LLC., of Port Arthur, Texas for design and construction management
services for parking and drainage for the new administration building, in an amount not to
exceed $9,500.00, in substantially the same form as attached thereto as Exhibit"C".
THAT,this agreement can be terminated if funds are not available in any fiscal year within
fifteen(15) days with notice being given Arceneaux Wilson& Cole LLC., of Port Arthur, Texas.
THAT, a copy of the caption of this Resolution is spread upon the Minutes of the City
Council.

RE: PROPOSAL FOR ENGINEERING SERVICES

Dear Ms. Ambroise:
Thank you for requesting our Proposal for professional services relating to the design and
construction management services for construction of a parking lot at the City's Transit
Department Administration Building. Our approach to the design is to maximize the utilization
for the open area adjacent to the rear of the building for staff and visitor parking.
We are familiar with the City's standard contract form for professional services which would be
the appropriate format for a services contract. This proposal can be used as an exhibit to the
contract to supplement the standard scope of work outlined in the contract.
SCOPE OF SERVICES
Preliminary and Design Phase
1. Meet with staff to more fully understand any special requirements for the parking area.
2. Conduct a topographic survey of the site and adjoining areas.
3. Prepare a preliminary design and estimated construction cost for the proposed parking
lot, striping, drainage and lighting and submit to the City for review and approval.
4. Once approved, proceed with the preparation of detailed plans,contract documents
and technical specifications for the project. Submit said documents for review and
approval by the City and any other agency which may have jurisdiction.
Construction Phase
1. Provide all Construction Phase Services outlined in the City's standard contract.

2. Provide construction material testing services as may be required by the technical
specifications, such as for cast-in-place concrete.
COMPENSATION AND SCHEDULE
We propose to be compensated on the basis of a fixed fee of Nine Thousand Five Hundred
Dollars and No Cents ($9,500.00)for the services rendered according to the payment terms
contained in the City's standard contract. Upon Notice to Proceed by the City, we can
commence work within 10 calendar days and complete the Preliminary and Design Phase
Services within 60 calendar days. It is premature to estimate the schedule for the completion
of Construction Phase Services at this time, but my early recommendation would be to allow
for a four (4) month bidding, award and construction period.

CONTRACT BETWEEN THE CITY OF PORT ARTHUR
A N D ARCENEAUX WILSON & COLE, LLC
THIS AGREEMENT,made this day of 2015, by and between
the City of Port Arthur, a municipal corporation organized under the laws of the State of Texas,
hereinafter called "OWNER" or "CITY" and Arceneaux Wilson & Cole, LLC., of Port Arthur,
Texas, herein acting by and through ,.hereinafter called "CONTRACTOR".
WITNESSETH: That for and in consideration of the payment terms, conditions and
agreements set forth herein, OWNER and CONTRACTOR agree as follows:
1. The term of this Contract shall be for six months from the date stated on the Notice to
Proceed, unless sooner terminated under the provision hereof The City can terminate this
contract at its convenience which includes, but is not limited to, funding not being available
in any budget cycle within fifteen(15) days written notice.
2. During, the term of this Contract, the Contractor will furnish all of the supplies and labor and
other services necessary in connection therewith, to allow forphone and data services.
3. The CONTRACTOR agrees to perform all the work described in the proposal and
contract documents and to comply with the terms therein as per our proposal and
assessment of the site at 344 Procter aka Tract 2 Block 138 Port Arthur, Texas, in an
amount not to exceed $9,500.00. CONTRACTOR will be given the information as to the
Federal Transit Administration (FTA's) Circular 4220.1F for third party services to be in
compliance with federal regulations.
4. The term "Contract Documents" means and includes the following:
A. Agreement
B. Proposal
C. Notice to Proceed
5. This Agreement shall be binding upon all parties hereto and their respective heirs, executors,
administrators, successors and assigns.
6. IN WITNESS WHEREOF, the parties hereto have executed, or caused to be executed by their
duly authorized officials,this Agreement in(2 copies)each of which shall be deemed an original
on the date first above written.
