RECOMMENDATION
It is recommended that the City Council approve Proposed Resolution No. 11668
authorizing the Mayor to execute a Traffic Signal Agreement between the City of
Port Arthur and BASF FINA Petrochemicals, Limited Partnership for the
installation, operation, maintenance and removal of a traffic signal on F.M.
Highway 366 at BASF FINA's new NROC facility at no cost to the City.
BACKGROUND
The City and BASF FINA have agreed that a traffic signal is necessary at the main
entrance to BASF FINA's new NROC and C-4 facilities, formerly FINA Gate 99.
BASF FINA has agreed to install, operate, maintain and remove the signal at its
sole cost and in accordance with the Texas Department of Transportation permit
issued to the City for the traffic signal.

None.
STAFFING/EMPLOYEE EFFECT
None.
SUMMARY

RESOLUTION NO.
A RESOLUTION AUTHORIZING THE MAYOR TO
EXECUTE A TRAFFIC SIGNAL AGREEMENT
BETWEEN THE CITY OF PORT ARTHUR AND BASF
FINA PETROCHEMICALS, LIMITED PARTNERHIP,
FOR THE INSTALLATION, OPERATION,
MAINTENANCE AND REMOVAL OF A TRAFFIC
SIGNAL ON F.M. HIGHWAY 366 AT BASF FINA'S
NEW NROC FACILITY, AND AT NO COST TO THE
CITY.
WHEREAS, the City and BASF FINA have agreed that a traffic signal is
necessary at the main entrance to BASF FINA's new NROC and C-4 facilities,
formerly FINA Gate 99; and,
WHEREAS, BASF FINA has agreed to install, operate, maintain and
remove the signal at its sole cost, and in accordance with the Texas
Department of Transportation permit issued to the City for the traffic signal;
now, therefore,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PORT
ARTHUR:
THAT the
Mayor of the City of Port Arthur be and he is hereby
authorized to execute a traffic Signal Agreement between the City of Port
Arthur and BASF FINA Petrochemicals, Limited Partnership, attached hereto
and made a part hereof as Exhibit 'A'; and,
THAT BASF FINA will install, operate, maintain and remove the traffic
signal at their sole expense; and,
THAT a copy of the caption of this Resolution be spread upon the

LETTER OF AGREEMENT
BASF FINA Petrochemicals, Limited Partnership ("BASF FINA~) and the City of Port
Arthur {"the Citf') hereby agree to the following as it pertains to the installation,
operation, maintenance and removal of a traffic signal on F.M. Highway 366 at
BASF FINA'S new NROC facility, to w/t:
BASF FINA, at its own expense, has previously retained the services
of Arceneaux & Gates Consulting Engineers, Inc. of Port Arthur,
Texas, in association with Ergonomic Transportation Solutions, Inc.
(the "Consulting Engineer") to conduct a traffic signal warrant
analysis. The results of this study indicated that a temporary traffic
signal is warranted at this time. The proposed traffic signal will be
located on FM 366 at the main entrance to the newly constructed
NROC facility, formerly Fina Gate 99. This entrance also serves as
the construction entrance for the construction of the new C-4 facility
that is being constructed adjacent to the NROC facility. This traffic
signal will increase the safety to motorists that travel along FM 366
within the vicinity of this entrance and also the safety of those who
use the entrance. --

The City has applied for and has received a permit.,from the Texas
Department ofTranspbrtation {TxDOT) for a temporary traffic signal
and subsequent operation and maintenance of said traffic signal.
BASF FINA, at its own expense, has had its Consulting Engineer
prepare detailed construction plans and specifications for the
construction of this traffic signal.
BASF FINA agrees that it shall, at its own expense and in compliance
with the TxDOT permit issued the City to install the temporary traffic
signal, construct the traffic signal and associated pavement marking.
BASF FINA shall supply electrical power for the traffic signal and
street lighting at no cost to the City. BASF FINA shall cause the City,
its officers, employees and agents to be named as additional insureds
on BASF FINA's general liability policies, all to the extent their
interests appear hereunder, during the time of the signal and

pavement marking work.
The City agrees to operate and maintain the temporary traffic signal
at the expense of BASF FINA, and shall invoice BASF FINA as
expenses are incurred.
Upon completion of construction of the C-4 facility and full staffing
of same, BASF FINA shall, at its own expense, cause a Traffic Signal
Warrant Analysis to be performed to determine whether or not the
temporary traffic signal is warranted as a permanent traffic signal.
The estimated time frame for this work will be during the first
quarter of 2004, but its contingent upon the completion and staffing
of the C-4 facility.
If said Traffic Signal Warrant Analysis shows that a traffic signal is no
longer warranted, BASF FINA shall remove the traffic signal at no
cost to the City.
