A RESOLUTION APPROVING AN ECONOMIC
DEVELOPMENT CONDITIONAL GRANT AGREEMENT
BETWEEN PA69 L.P. AND THE CITY OF PORT ARTHUR
SECTION 4A ECONOMIC DEVELOPMENT CORPORATION
WHEREAS, the City Council deems it in the public interest to authorize the City of Port
Arthur Section 4A Economic Development Corporation ("PAEDC") to enter into an Economic
Development Conditional Grant Agreement(the"Agreement")with PA69 L.P.; and
WHEREAS, the PAEDC Board of Directors has concluded that the expenditures found
for the infrastructure improvement will promote or develop new or expanded business
enterprises and indicated that PA69, L.P has presented an application qualifying as a Section 4A
project as set forth in the Economic Development Act; and
WHEREAS, PAEDC has reviewed the PA69 L.P. application and accompanying
financial statements presented by PA69 L.P. and the proposals for infrastructure work to serve
the intersection of Highway 69 and Jimmy Johnson Blvd. in the City of Port Arthur, Texas; and
WHEREAS, PAEDC agrees on a conditional grant in the amount of $275,000 for the
infrastructural storm drainage improvements at the intersection of Highway 69 and Jimmy
Johnson Blvd. based upon findings of fact of economic benefit as to the installation of the storm
drainage; a copy of the findings of fact as to economic benefit is attached to this Resolution as
Exhibit "A"; and
WHEREAS, in consideration of the conditional grant, PA69 L.P. will install the storm
drainage and shall be obligated to ensure the design and construction of an additional 13,260 sf

of retail space and for a new restaurant next to the existing Saltgrass Steakhouse in Port Arthur,
Texas; and
WHEREAS, the installation of the storm drainage by PA69 L.P. shall also provide
additional drainage for the 4 acres that is owned by the City of Port Arthur; and
WHEREAS,PA69 L.P. has reviewed and approved the Agreement.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF PORT ARTHUR, TEXAS:
Section 1. That the facts and opinions in the preamble are true and correct.
Section 2. That PAEDC is herein authorized to enter into the Agreement with PA69
L.P., and the President and Secretary of PAEDC are authorized to sign the Agreement in
substantially the same form attached hereto as Exhibit "B".
Section 3. That a copy of the caption of this Resolution be spread upon the Minutes
of the City Council.
