RESOLUTION APPROVING
A THE
APPLICATION OF THE AMSTAR AMBULANCE
GROUP PORT ARTHUR INC. FOR AN
AMBULANCE AGREEMENT
WHEREAS, the City Council adopted Ordinance No. 98-49, which authorized
ambulance agreements; and
WHEREAS, a company that desires to operate an ambulance in the City is
required to file an application under Chapter 114 of the Code of Ordinances; and
'WHEREAS, thc application shall be verified under oath and provide thc
following information:
1) The name, resident address and telephone number of the owner of the
ambulances for which an agreement is desired to be authorized;
2) The business names, telephone and address of the premises which are to
serve as the base of operation from which thc ambulance service will be
originated;
3) Thc make, model, motor number and correct state license plate number
of thc ambulances;
4) Thc experience of the applicant and his employees in the transportation
and care of sick or injured persons;

5) Thc number and type, age and patient capacity of each private ambulance
proposed to be operated by the applicant;
6) The history ofthe"response time~ of the owner in other similar cities; and
7) The rates to be charged.
WHEREAS, the City Council reviews the application to determine if the
applicant has the ability and experience to (1) maintain 5 MICU ambulances in the City
of Port Arthur in strategically located positions to respond to calls for 911 service while
on rotation; (2) can make an average response time of six (6) minutes for 911 calls; (3)
can make an average response time of thirty (30) minutes for non-emergency transport
calls; (4) has the insurance as required by Section 114-34 of the Code of Ordinances
and can otherwise comply with Sections 114-31 through 114-41 of the Code of
Ordinances; and
WHEREAS, under Section 114-34 of the Code of Ordinances, the agreement
shall only be authorized if the applicant receives a determination by majority vote of the
City Council, that it is in the best interests of the citizens of Port Arthur that an
ambulance agreement be authorized; and
WHEREAS, Amstar Ambulance Group Port Arthur, Inc. has submitted a non-
refundable application fee of $1,000 on November 16, 2001, and an application, a copy
of which is attached as Exhibit "A'; and
WHEREAS, the City Council has reviewed the application with the Fire

NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF PORT ARTHUR:
Section 1. That the facts and opinions in the preamble are true and correct.
Section 2. That the City Council finds that it is in the best interests of the
citizens of Port Arthur that an ambulance agreement be authorized and the City
Manager is therefore authorized to execute the non-exclusive ambulance agreement
with the Amstar Ambulance Group, as delineated in Exhibit "B".
Section 3. That the Amstar Ambulance Group has thirty (30) days to sign the
agreement and pay the first quarterly installment.
Section 4. That the effective date of the agreement shall be May 1, 2002.
Section 5. That a copy of the caption of this Resolution be spread upon the
Minutes of the City Council,

COMMENT
This memo is in response to your request for review of the Ambulance Application for AmStar
Ambulance Group Port Arthur, Inc (AmStar). An application was submitted to the City Secretary's
Office on November 16, 2001 and received for review by the Fire Department on November 26,
2001 (See Attachment No. 1). Information submitted by Randy G. Vaughn, Pastor of Mount Sinai
· Missionary Baptist Church was received by the Fire Department on December 4, 2001 after a request
was made fi.om the Fire Department for additional information fi.om the City Secretary's Office (See
Attachment No. 2). On January 18, 2002, the Fire Department scheduled a meeting with AmStar
for January 29, 2002. Additional information requested by the Fire Department from AmStar was
provided on January 30 & 31, 2002. Several telephone conversations were made between AmStar
and the Fire Department to assist with the application process. An overview of the company was
provided with the information provided on December 4, 2001 (See Attachment No. 1).
All correspondence with Mr. Clifford Brooks, Jr. and specifically with Mr. Wesley Boyd has been
productive and professional. The information received to date is assembled for presentation to the
City Council for the March 5, 2002 meeting. Mr. Boyd verbally advised that it would take
approximately 45 days before AmStar could start up. The information provided below is to give City
Council documentation of AmStar's compliance with Chapter 114, Vehicles for Hire, Article II.,
Emergency Medical Vehicle of the City Code of Ordinances.

(4) The experience of the applicant and his employees in the transportation and care of sick or

Note 1: The AmStar.4mbulance Group, Ina (located in Houston & Beaumont) was established
on July 28, 2OOO (to date l year and 7 months). The ,4mStar ,4mbulance Group Port ,4rthur, Ina
was established on December 5, 2001.
Note 2: ,4ccording to .4ttachment No. 1, the experience of the management team has over 30
years in the ambulance business in Houston, TX. The 30years of experience is based on Mr.
Boyd's experience in the ambulance business and an additional 20years of business experience
can be added for Mr. Brook's experience. The ,4mbulance Medics are hired from the Jefferson
County area with experience from 1-10years.
Note 3: With the information provided on December 4, 2001 there were twelve (12) employees
listed-four (4) EMT-P, three (3) EMT-I, five (5) EMT-B.
Note 4: In checking with the Texas Department of Health (TDH) there were no certification
records found on .4ngell Thibedeaux & James Eishliman. ,4Il other listed employees had good
standing with the TDH. The new information received on ~4mStar employees on 1-30-02, did not
include ,4ngell Thibedeaux and James Eishliman, EMT-I had no deficiencies.
Note 5: Of the twelve employees listed with TDH, 3 were from Port ,4rthur, 3from Beaumont, 1
from I. umberton, l from Silsbee, l from Vidor, l from [Finnie, 2 unknown.
Note 6: ,4fter the January 29, 2002 meeting, ,4mStar provided a list of additional names of
employees and their status with the TDH (See ,4ttachment No. 6). There were no deficiencies in
certifications. The employee roster includes ten (10) EMT-P, six (6) EMT-I, and seven (7) EMT's
and a letter that said ,4mStar will hire more employees upon approval of an ambulance agreement
with The City of Port ,4rthur (See ,4ttachment No. 6). The Fire Department had requested that
some type of comment be made on how ,4mStar was going to be able to man 5 MICU.4mbulances
24/7.

(5) Number and type, age and patient capacity of each private ambulance proposed to be operated
by the applicant.
Amstar will provide five (5) MICU capable ambulances that carry two patients each (see Sec 114-
35, Equipment, Inspection).
(6) History of the response time of the owner in other similar cities.
In the AmStar letter dated 11-I 6-01, the response time for transfers and not for E911 calls for the
City of Houston is 8 to 15 minutes. In the fax dated 1-31-02, AmStar averaged 6 minute response
times for the City of Beaumont "Rollover" E911 program. AmStar started in this program in
November 2001 and has posted approximately 60 times for the City of Beaumona AmStar
responded to approximately 40 E911 calls (See Attachment No. 7).
(7) Rates to be charged.
The base rate will be $300 (one way), $5.50 mileage, $43 oxygen, $20 (additional supplies)
Section 114-34. Conditions for issuance of ambulance agreement.
No ambulance agreement shall be entered into unless the following conditions are satisfied and the
agreement is authorized by the City Council.
(1) Insurance. Unless there is in full fome and effect a policy of insurance companies authorized
to do business in the state and in the standard forms approved by the state board of insurance, with
coverage provisions in amounts not less than the following:
(a.) Commercial general liability insurance in an amount not less than $1,000,000.00.
(b.) Comprehensive automobile liability insurance in an amount not less than $1,000,000.00.
(c) Medical malpractice insurance in an amount not less than $10,000,000.00.
(d) Liability insurance coverages required under this section may be arranged under single
policies for the full limits required or by a combination of underlying policies with the balance
provided by an excess or umbrella liability policy. Every insurance policy required under this article
shall remain in effect for the time period to be covered by the agreement, and the insurers shall be
Obligated by the certificate of insurance filed with the City Secretary to give not less than 30 days
written notice to the City Secretary before any modification, cancellation or other termination of any
such policy.
AmStar indicated they wouM bind coverage on the Medical Malpractice Insurance required upon

approval of the Ambulance Permit.
(2) Taxes. Unless the applicant owes no delinquent taxes to the city.
AmStar owes no taxes to the City of Port Arthur. This was confirmed through the Finance
Director, the Jefferson County Appraisal District and the Tax Offic~
(3) State permit. Unless the ambulance for which the permit is sought meets the minimum
standards established by the State Department of Health.
AmStar ambulances meet TDH requirements confirmed by the Fire Department Ambulance
Inspections.
(4) Other requirements. Unless the applicant has received a determination by majority vote of
the city council, that it is in the best interests &the citizens of the city that an ambulance agreement
is authorized.
Council Determination.
(5) State certificate of license. Unless the ambulance shall at all times o£operation be operated
by a licensed paramedic and an emergency medical technician and be staffed by personnel licensed
or certified by the State Depa~nent of Health.
AmStar has committed to run five (5) MICU ambulances for 911 response in the City of Port
Arthur as required in the ambulance ordinanca One (1) EMT-P and one (1) EMT is required
by TDH for MICU ambulances.
(6) Dispatch. Unless the applicant operator staffs and operates a radio and telecommunications
ambulance dispatch facility 24 hours per day to receive emergency calls and, as appropriate, to
dispatch an ambulance to respond to emergency calls.
Amstar has committed to man a dispatch faciliO~ 24 hours per day to respond ambulances to
emergencies. AmStar has 800Mhz radios in their ambulances and will program them with the
necessary talk groups to include the Fire Department frequencies when permitted.
(7) Minimum number of ambulances. Unless the applicant maintains a minimum o£ five fully
staffed MICU ambulances when it is on call for 911 emergencies, that are strategically located witbSn
the city.
AmStar has five (5) MICU ambulances with no ambulances in reserve. AmStar indicated that

they would obtain the additional ambulances needed upon approval of Ambulance Permit.

Sec. 114-35. Equipment; inspection.
(a) Initial inspection, equipment required. Prior to the initial use and operation of any vehicles
as an ambulance, the vehicle and the premises from which it is operated shall be thoroughly
examined and inspected by the fire department, and found to comply with the requirements of
V.T.C.A., Health and Safety Code ) 773.001 et seq., and the provisions stated in this section.
On the following dates, Fire Department personnel inspected five (5) AmStar ambulances. The
following ambulances have been approved for operation in the City of Port Arthur:

Attached is an application from Thc Amstar Ambulance Group, Inc.
for an ambulance agreement to operate in the City. I contacted Mr. Wesley Boyd,
who is their Chief Operating Officer. He indicated that his company is t~vo (2)
years old and it has five (5) ambulances in Beaumont. They have fifteen (15)
employees in Beaumont and ten (10) employees in Houston. I asked him to send
detailed information as to xvho owns the company and their experience. Once we
receive all the information and the Acting Fire Chief checks into the background of
the company, it will be placed on the Council Agenda for action. Mr Boyd also
queried when would he need to buy the additional insurance that is required in our
Ordinance. As to thc insurance, he will need to have the $1,000,000 liability
insurance and $10,000,000 in medical malpractice insurance before the agreement
can be signed.

The Amstar Ambulance Group, Inc. (Amstar) was established July 28, 2000. The first
office was opened in Houston, Texas at 2010 Naomi, Suite C. The company was
incorporated in the leadership of President and Chief Financial Officer, Clifford Brooks,
Jr. and the Chief Operating Officer, Wesley Boyd, Jr.
With in one year, Amstar. has become one of the fastest growing ambulance services in
Texas. Amstar has expanded into Beaumont, forming one of the most innovative and
aggressive companies in the area. Amstar has secured an agreement with St. Elizabeth
Hospital, running back-up service for Beaumont EMS. Because of the company's
successful handling of established contracts, they have been assured the oppormnlty ~o
qualify for the Memorial Hermann Baptist rotation to be renewe, d in January 2002.
Amstar ambulances stationed in Beaumont are BLS/MICU capable and are staffed with
EMT-P, EMT~I, and EMT-B professionals. The company's communication system is 800
MHz and VHS Ahem, allowing each ambulance to communicate with Beaumont EMS,
hospitals, and fire departments within the Jefferson County area. The EMT's carry hand
held radios for constant communication with their dispatcher.
The Amstar Ambulance Group, Inc. - Port Arthur (Amstar - PA) is proud to announce its
decision to apply for an ambulance agreement with the City of Port Arthur. The initial
five (5) ambulances have MICU capabili .ty and xvill be staffed with at least one EMT-P '
and one EMT~B. The ambulances are individually designed with specific features to meet
or exceed standards for 9-1-1 services. The ambulances are equipped in accordance with
the Texas Department of Health and the City of Port Arthur specifications.
Amstar - PA is a certified Medicare and Medicaid provider. Additionally, we will accept
all insurance plans with ambulance provisions. Our automated billing system is fully -
integrated with Medicare, Medicaid, and all sofavare compatible insurance carders.

Clifford Brooks, Jr. is President and Chief Financial Officer of The Amstar Ambulance
Group, Inc. Mr. Brooks is responsible for all financial transactions for the company. With
a vast background in business management and banking, Mr. Brooks uses his keen
financial acumen to secure financial backing for the company's operation and expansion
activity.
Because of the company's swift move into diverse markets, Mr. Brooks is challenged to
position the organization to meet financial expectations. Through calculated planning and
strategic relationships, his sound and conservative approach has resulted in the necessary

expansion into the diversified market of Tri-City area, particularly Beaumont and Port

Coming from a service background, Mr. Boyd realizes the importance of relationship
building. He interfaces with public officials, organizational leadership, medical advisors,
and patients. Mr. Boyd oversees the full scope of activities in both the Houston and
Beaumont offices, and, at time, taking the active role of Emergency Medical Technician
as well. Mr. Boyd manages all daily activities, contract negotiation, and business

in all the communities it serves.
In addition to his current role, Mr. Boyd also lends his expertise to others in the industry.
He is a consultant to start-up businesses, particularly ambulance services, regarding
procedures and daily operations.
A veteran to the business, Mr. Boyd previously founded, owned, and operated Boyd Jr's
Ambulance. The company transported over 100,000 patients for the Harris County
Hospital District, which included Ben Taub, Jefferson Davis, and Quentin Mease
hospitals. The type of patients ranged from basic transfers to complicated emergencies.
The Boyd family has a legacy of public service. The family has been involved in the'
funeral home and Ambulance business since 1945. Mr. Boyd, his wife Regina and his
children reside in Houston, Texas.

James E. Payne is an investor in The Amstar Ambulance Group, Inc. He is a native of
Port Arthur, Texas.
In 1995, Mr. Payne moved back to Jefferson County and began working with Provost ~
Umphrey Law Firm, L.L.P. His primary areas of practice include personal injury',
xwongful death, and products liability. In 1997, he became a partner in the firm. The
Texas Board of Legal Specialization certified Mr. Payne in Personal Injury Trial Law in
1999. He recently became a Board certified Civil Trial Advocate by the National Board
of Trial Advocacy. Since obtaining his position with Provost -k lJmphrey Law Firm, Mr.
Payne has secured several multi-million dollar verdicts and settlements on behalf of
injured people.
Mr. Payne is currently licensed to practice law by the United States Supreme Court,
United States Fifth Circuit, State of Texas, United States District Court, Eastern district
of Texas and the United States District court, Southern District of Texas. He is a member
of the State Bar of Texas, Association of Trial Lawyers of America, Texas Trial Lawyers
Association (Board of Directors), Texas Young Lawyers Association, Jefferson County
Bar Association, Port Arthur Bar Association (Past President), and Jefferson County
Black Lawyers Association.
Mr. Payne graduated with honors from the University of Houston in 1989 with a
Bachelor of Science degree in Political Science. He earned his law degree in 1993,
following his tenure on Capital Hill in Washington, D.C. with Congressman William
Lehman. Prior to working at Provost 9r Umphrey, Mr. Payne held a position with
Houston based Vinson & Elkins.

Marsha Thigpen, M.D. is medical director of The Amstar Ambulance Group, Inc. Dr.

team. Because of the critical nature of the business, Dr. Thigpen is responsible for the
medical strategy and direction.
Located in the Port Arthur area, Dr. Thigpen is sensitive to. the Tri-City community
needs, thus enhancing the strength of the company as it strives to expand to the Beaumont
and Port Arthur markets. When she is not directing the medical affairs for The Amstar

Lamont L. Seltzer, EMT is the Paramedic Supervisor of The Amstar Ambulance Group,
Inc. He has an extensive background in emergency medicine.
Mr. Seltzer comes to The Amstar Ambulance Group with critical paramedic experience,
holding several paramedic leadership positions. Immediately prior to joining The Amstar
Ambulance Group, he works for the City of Beaumont as a paramedic in the 911 system.
his position requires that he maintain competencies of state and national ALS standards.
Other emergency medical positions held by Mr. Seltzer include Hospital Corpsman and
Paramedic Field Training Officer. He is knowledgeable of helicopter crewman duties and
the responsibilities for air transport of critically ill and injured persons on land or sea. He
is also skilled at development and execution of training material for all levels of EMT
professionals.
Mr. Seltzer holds a Bachelor of Science degree in Special Education from Southern
University and is working on a Bachelor of Science in Public Health. He completed

NONEXCLUSIVE AMBULANCE AGREEMENT
WHEREAS, thc parties agree that thc providing of ambulance service with
an excellent response time is essential; and
WHEREAS, thc Amstar Ambulance Group Port Arthur, Inc. (company) has
requested to provide ambulance service in the City of Port Arthur; and
WHEREAS, the Amstar Ambulance Group Port Arthur, Inc. acknowledges
that the City of Port Arthur has the authority to regulate this industry for health and
safety purposes and under Section 773.051 Health and Safety Code, V.T.C.A.; and
WHEREAS, all parties agree that there has been full and adequate
comideration for this nonexclusive ambulance agreement; and
WHEREAS, the parties agree that thc following terms arc reasonable,
appropriate, legal, and not unduly restrictive of business activities.
NOW THEREFORE, in consideration of the promises and thc mutual
agreements of the parties contained herein, the City of Port Arthur and the Amstar
Ambulance Group Port Arthur, Inc. (company) agree with each other as follows:

Section 1. Thc Amstar Ambulance Group Port Arthur, Inc. (company) will
maintain within the City of Port Arthur a business office and a minimum of five (5)
fully staffed MICU ambulances when it on call for 911 emergencies, that arc
strategically located throughout thc City of Port Arthur.
Section 2. The company will respond to all 911 calls for assistance and will
respond to all requests for transportation of any sick person or injured to a hospital,
regardless of inclement weather or other exigent circumstances.
Section 3. Thc company will not discriminate based on race, religion,
national origin, or duc to thc financial status of the injured or ill.
Section 4. Thc company shall use MICU ambulances for all 911 calls and
~vill use MICU capable ambulances for all other calls.
Section 5. All MICU ambulances shall be operated by licensed paramedics
and Emergency Medical Technicians that are licensed or certified by the Texas
Department of Health.
Section 6. Every ambulance shall be equipped with the following:
1) Extrication collars (small, medium and large).
2) Portable suction unit with connecting tubing and suction tips
(bulb syringe, syringe or foot pump not acceptable).

3) Three (3) bag valve mask units (adult, pediatric and infant)
oxygen capable.
4) Oropharyngeal airways (non-metallic adult, pediatric and infant).
5) Two (2) portable oxygen "D" units with one regulator or one
piped in thc "M" cylinder and one portable "D' unit with
regulator.
6) Oxygen masks (adult and pediatric) and robing.
7) Two (2) multi-trauma dressings (10" by 30").
8) Five (5) dozen sterile gauze pads.
9) Twelve (12 ) soft roller adhering bandages.
10) Six (6) occlusive dressings.
11) Four (4) rolls of adhesive tape.
12) Four (4) sterile bum sheets.
13) Traction splints (one adult and one pediatric or one suitable for
both).
14) Splints (two (2) 15" x 3" and one 48" x 3")
15) Spine boards (one long and one short or commcrcial device for
both).

27) "No smoking" signs (one in patient compartment and one in
cab).

Section 7.
Drugs (as required by medical supervisor).
One copy of the Medical Treatment Protocols/Standing Orders
that was provided in the provider licensing application packet.
Drugs as prescribed by thc company's medical director.
No ambulance which is unsafe or in any way unsuitable for
ambulance service shall be operated by the company.
Section 8. Every EMS vehicle of the company shall be equipped with a
fully operational two-way radio communications system. This system shall have a
minimum of two (2) frequencies, one (1) of which shall be attuned to thc frequency
of 155.340 MhzFM for communication with hospitals in Jcffcrson County and
Orange County having emergency medical facilities. EMS vehicles shall be equipped
with radio cquipmcnt capable of communication with the Port Arthur Fire and
Police Departments on the 800 MHZ band. Mobile or portable 800 MHZ radios
may be used. However, there shall be sufficient radios for each unit providing
services to thc City of Port Arthur. The EMS vehicles of thc company shall call "in
route" and "on scene" on all 91! and medical emergencies. They shall use Port
Arthur Fire Department 1 Frequency.
Section 9. The ambulances of thc company shall bc required to transfer

patients in a prompt and safe manner with an average response time of six (6)
minutes for Priority One Life Threatening Emergencies, as defined in the Advanced
Medical Priority Dispatch System written by Medical Priority Consultants, Inc. for
emergency calls. The company shall not operate or drive an ambulance on
emergency calls on the public streets of the City at a rate of speed of more than ten
(10) miles per hour in excess of the legal speed limit. The Company shall not
operate or drive an ambulance on an emergency call in excess often (10) miles per
hour while entering and passing through an intersection if such intersection is
controlled by a stop sign or by a traffic signal xvhich indicates stop by displaying a
red light.
Section 10. The company shall respond to all non-emergency transfer calls
with an average response time of thirty (30) minutes.
Section 11. At all times, ambulance drivers and emergency medical services
personnel of the company shall be required to wear personnel identification cards,
name tags or other appropriate insignia which will visibly, clearly and quickly
identify them as emergency medical services personnel and identify the degree of
their Texas Department of Health Certification, i.e., ECA, EMT, EMT-1 or EMT-P.

Section 12.
a) There shall be a weekly rotation of the 911 emergency ambulance calls.
The company shall, in turn, be assigned a one-week shift to respond to
said calls. When each ambulance company has served a one-week shift,
thc rotation shall start over.
b) The ambulance company shall timely respond to all 911 calls referred
by the fire or police department during the compans)s shift and at all
other times as requested by thc City and shall provide adequate
ambulances, dispatch facilities, and staffing to respond to said calls.
Violation of this provision shall subject the company to revocation of
right to operate an ambulance in thc City.
c) It shall bca violation of this contract for the ambulance company to
refuse to render emergency medical service after responding to an
emergency call for said service.
d) It shall be a violation of this contract for the company to charge
excessive rates or to charge for services not rendered.
Section 13. Reports.
The company shall furnish a report to the City Secretary on January S~ and

July 5t~ of each year containing a complete schedule of rates and justification for
changes in rates. The company shall also file reports with the Fire Chief on the fifth
day of each month in regards to the number of calls, response time and any
complaints received in the previous month.
Section 14. The company shall staff and operate a radio and
telecommunications ambulance dispatch facility twenty-four (24) hours per day to
receive emergency calls and, as appropriate, to dispatch an ambulance(s) to respond
to emergency calls.
.Section 15. Prior to the initial use and operation of any vehicles as an
ambulance, the vehicle and the premises from which it is operated shall be
thoroughly examined and inspected by the fire department, and found to comply
with thc requirements of V.T.C.A., Health and Safety Code, Chapter 773, and the
provisions stated herein.
Section 16. Every ambulance operating under this article shall be subject to
inspection at any time and shall be inspected by the City at least once every year.
Section 17. The Company shall pay the City $50,000 per year as partial
reimbursement for thc First Responder Services provided by the City, and as a
regulatory fcc. Said fee shall be paid quarterly as follows: $12,500 payable when thc

agrccmcnt is signed, xvhich will be credited as the first quarterly installment.
Thereafter, payments will be made on August 15~h, November 15~h, February 15~h,
and May 15~ of each year. If the company agrees to provide (a) thc City the usc of
up to five (5) of their ambulances if they cease operations in thc City; (b) thc City
thc usc of their dispatch systems in case of an emergency; and (c) maintain an
average response time of six (6) minutes or less as delineated in Ordinance No. 02-
07, then their quarterly fcc shall be reduced to $6,250 per quarter. If thc company
requests thc City to inspect more than five (5) ambulances for service within thc
City, they shall pay an additional inspection fee to the Fire Department of $100 per
ambulance.
Section 18. For every month that thc average response time exceeds six (6)
minutes on Priority One Life Threatening emergency calls, the ambulance company
shall pay the following to the City:

Section 19. During 911 cmergcncy calls, the City of Port Arthur's Fire

Dcpartmcnt will, if resources arc available, as determined by thc Fire Chief, provide
First Response Services at the site. Nevertheless, the ambulance company shall be
primarily liable for taking such precautions as is expected in the indusuy to respond
quickly to thc scene with thc proper equipment and trained personnel and transport
the injured or ill to suitable lncdical facilities.
Section 20. Thc company shall immcdiatcly notify the fire dispatch office if
thc ambulance company needs for the dispatcher to call for additional ambulances.
Section 21. The company shall continue to seek qualified applicants for
employmcnt by advertising in thc Port Arthur News as to give Port Arthur residents
a fair opportunity to apply for cmploymcnt with the company.
Section 22. Thc books and records of the company, with regards to response
time, rates, and complaints shall be subject to audit by the City.
Section 23. The Company shall maintain insurance as required by Chapter
114 of the City Code of Ordinances and shall comply with other provisions of
Chapter 114 of the Code of Ordinances.
Section 24. This agreement can be terminated by the City or by the
Company for any reason with one year's written notice. Nevertheless, the agreement
can be terminated by the City at any time if the ambulance company violates any of

the tcrms of this agreement or of Chapter 114 of the Code of Ordinances.
.Section 25. Any notice provided in thc contract shall be given in writing to
the parties by certified mail,
