RESOLUTION NO.
A RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE
A SIX (6) MONTH CONTRACT EXTENSION BETWEEN THE CITY OF
PORT ARTHUR AND ARCENEAUX WILSON & COLE LLC, OF PORT
ARTHUR, TEXAS, FOR THE DESIGN AND CONSTRUCTION
MANAGEMENT SERVICES FOR PARKING AND DRAIN SYSTEM FOR
THE NEW TRANSIT ADMINISTRATION BUILDING AT NO
ADDITIONAL COST TO THE CITY OR THE FEDERAL TRANSIT
ADMINISTRATION.
WHEREAS, per Resolution No. 15-222, the City of Port Arthur entered into a
professional services contract with Arceneaux Wilson & Cole LLC ("AWC"), of Port Arthur,
Texas, for design and construction management services for the parking and drain system for the
new administration building; and,
WHEREAS, the Notice to Proceed was issued July 20, 2015, with an ending date of
January 20, 2016; and,
WHEREAS, the parking and drain projects are not complete, and AWC will exceed their
contract time; and,
WHEREAS, an extension of the contract time for AWC is necessary to allow them to
provide the professional service for the construction management services for parking and drain
system for the new Transit Administration building.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY PORT ARTHUR:
THAT,the facts and opinions in the preamble are true and correct.
THAT, the City Manager is hereby authorized to execute on behalf of the City of Port
Arthur, a Contract Extension to the contract between the City of Port Arthur and Arceneaux
P.R.No. 19248

Wilson & Cole LLC, of Port Arthur, Texas, extending the ending date of the contract to July 20,
2016, in substantially the same form as attached hereto as Exhibit"A".
THAT, there will be no additional cost for the time extension to the City of Port Arthur or the
Federal Transit Administration.
THAT, a copy of the caption of this Resolution be spread upon the Minutes of the City Council.

EXHIBIT "A"
CONTRACT EXTENSION FOR
DESIGN AND CONSTRUCTION MANAGEMENT SERVICES
FOR PARKING AND DRAINAGE FOR THE NEW
TRANSIT ADMINISTRATION BUILDING
THIS AGREEMENT, made this day of , 2016, by and between
the City of Port Arthur, a municipal corporation organized under the laws of the State of Texas,
hereinafter called"City", and Arceneaux Wilson& Cole LLC, a corporation herein acting by and
through Joe M. Wilson, President, hereinafter called"Engineer".
WITNESSETH: That for and in consideration of the payment, terms, conditions, and
agreements set forth herein, City and Engineer agree as follows:
1. Pursuant to Resolution 15-222, the City and Engineer entered into a contract
agreement for professional services of design and construction management for
parking and drainage system at the new Transit Administration Building with a
starting date of July 20, 2015 and an ending date of January 20, 2016.
2. The City and Engineer agree to extend the contract until July 20, 2016 to allow
Arceneaux Wilson & Cole LLC, to complete the necessary professional services
required for the new Transit Administration Building parking and drainage system at
no additional cost to the City or the Federal Transit Administration.
3. This agreement shall be binding upon all parties hereto and their successors and
assigns.
IN WITNESS WHEREOF, the parties hereto have executed, or cause to be executed by
their duly authorized officials, this Agreement in two (2) copies, each of which shall be deemed
an original, on the date first written above.
