A RESOLUTION AUTHORIZING THE EXECUTION OF AN ENCROACHMENT AGREEMENT BETWEEN CITY OF PORT ARTHUR AND GSSW 9TH AVENUE STATION, LLC. WHEREAS, the City of Port Arthur and GSSW 9th Avenue Station, LLC wish to enter into an encroachment agreement as it pertains to a private fence encroachment (depicted in Exhibit "A" ) , onto city owned property located at Babe Zaharias Golf Course, surrounding the 9th Avenue Station Apartment complex. WHEREAS, it is deemed in the best interests of the citizens of Port Arthur to approve an Encroachment Agreement with GSSW 9th Avenue Station. NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PORT ARTHUR: THAT, the City Manager is hereby authorized and instructed to execute on behalf of the City, an Encroachment Agreement between the City of Port Arthur and GSSW 9th Avenue Station, LLC, pertaining to a private fence encroachment (depicted in Exhibit "A" ) , onto city owned property located at Babe Zaharias Golf Course, surrounding 9th Avenue Station Apartments, in substantially the same form attached hereto as Exhibit "B" . THAT, a certified copy of said Encroachment Agreement shall be filed for record in the office of the County Clerk of Jefferson County, Texas . THAT, a copy of the caption of this Resolution be spread upon the Minutes of the City Council . Exhibit "B" STATE OF TEXAS § § COUNTY OF JEFFERSON § ENCROACHMENT AGREEMENT This Encroachment Agreement (this "Agreement") is entered into this day of , 2016 by the City of Port Arthur Texas (hereinafter "Grantor") and GSSW 9th Avenue Station LLC, a Texas limited liability company (hereinafter"Grantee"). RECITALS WHEREAS: 1) The Grantor is the owner of that certain real property as depicted and more fully described in Exhibit A attached hereto and made a part hereof and commonly known as Babe Didrikson Zaharias Memorial Golf Course (the "Golf Course"); 2) The Grantee is the owner of that certain real property located at 7225 9th Avenue, Port Arthur, Texas as more fully described in Exhibit B attached hereto and made a part hereof and more commonly known as 9th Avenue Station(the"Apartments"); 3) The south and west boundaries of the Apartments is encompassed by a four foot iron fence protrudes into the Golf Course as depicted on Exhibit C attached hereto and made a part hereof(the "Encroachment"); 4) Grantee and Grantor have agreed that the Encroachment is to remain in the present location under the terms and conditions set forth herein. NOW THEREFORE,for valuable considerations,the receipt and sufficiency of which are hereby acknowledged, Grantor hereby grants and conveys to Grantee, their heirs, successors and assigns as owners of the Apartments an easement to allow the Encroachment to remain in its present location. The easement shall be over that portion of Grantor's property that is encroached by the fence as reflected Exhibit C. This easement is granted upon the following terms and conditions: 1. This easement is granted to allow the above referenced Encroachment to remain in its present location and to allow Grantee access to the fence in order to repair and maintain said fence and easement area. Grantees shall not erect any other improvement in the easement area. 2. Grantee agrees to maintain the fence and easement area and keep in good repair and at no cost to Grantor. 3. This Agreement shall be binding upon and shall inure to the benefit of the parties hereto, their respective heirs, successors and assigns. Grantee has executed this Agreement for the purpose of agreeing to be bound by the provisions hereof. It is the express purpose of this agreement that Grantors will not lose possession, ownership or title to the encroached property through adverse possession as a result of the encroachment of Grantee's driveway onto their property. This Agreement may be executed in any number of counterparts and all counterparts shall be construed together and shall constitute but one Agreement.
